Gary Hirst, Michael Fllavsa, Joseph Bianco, Tore Nag, Jack Doueck, and Richard Rudy (collectively, the "Settling Defendants." and with Plaintiffs the "Settling Parties" ) have entered, by and through their respective counsel, into a settlement of the claims asserted in the Litigation, the terms of which are set forth in a Stipulation and Agreement of Settlement, dated February 4, 20 14 (the "Stipulation"), which is subject to review under Rule 23 of the Federal Rules of Civil Procedure and which, together with the exhibits thereto, sets forth the terms and conditions for the proposed settlement of the claims alleged in the Amended Class Action Complaint in the Goldberg action, the Amended Complaint in the In re Stillwater Capital Partners inc. Litigation action, and the Amended Class Action Complaint in the in re Gerova Financial Group, Ltd, Securities Litigation action (the "Complaints") tiled in the Litigation; and the Court having read and considered the Stipulation, the proposed "Notice of Pendency and Proposed Settlement of Class Action" to the classes of Stillwater investors (the "Stillwater Notice"), "Notice of Pendency and Proposed Settlement of Class Action" to the class of (]erova open-market stock purchasers investors (the "Gerova Notice"), the proposed "Summary Notice of Pendency and Proposed Class Action Settlement" to the classes of Stillwater Investors ("Stillwater Summary Notice"), the proposed "Summary Notice of Pendency and Proposed Class Action Settlement" to the class of Gerova open-market stock purchasers investors (the "Gerova Summary Notice") the proposed Plan of Allocation of the Net Settlement Fund among Class Members, the proposed form of the Proof of Claim and Release ("Proof of Claim"), the proposed form of Order and Final Judgment, and submissions made relating thereto, and finding that substantial and sufficient grounds exist for entering this Order;

Capitalized terms used herein have the meanings defined in the Stipulation. 2. Pursuant to Rule 23(a) and (b)(3) of the Federal Rules of Civil Procedure and for the purposes of the Settlement only, the Class Actions are hereby preliminarily certified as: a. The Goldberg Class, consisting of all persons or entities who were investors in the Stillwater Funds, other than the Named Defendants or the officers and directors ofgerova or of any subsidiary of Gerova. and such excluded persons family members (only spouse and minor children), affiliates and entities controlled by them, who were promised the common stock of Gerova in exchange for their interests in the Stillwater Funds pursuant to a share exchange agreement dated on or about December 23, 2009, and that was completed on January 20, 2010; h. The Stillwater Class, consisting of all persons or entities, other than the Named Defendants or the officers and directors of Gerova or of any subsidiary of Gerova, and such excluded persons family members (only spouse and minor children), affiliates and entities controlled by them, who invested in any of the Stillwater Funds and whose interests in any of the Stillwater Funds were transferred in the transactions between Stillwater and Gerova consummated on January 20, 2010, and who (1) submitted a request for full or partial redemption of their accounts in the Stillwater Funds prior to December 23, 2009 and have not been paid in full on those redemption requests and/or (2) received (Jerova Series A Preferred Stock, which was converted or was to be converted into restricted, unregistered Gcrova ordinary shares', and

Collectively, the Goldberg Class, the Stillwater Class, and the Open-Market Class are the "Classes," Excluded from the Classes are all are those persons who file valid and timely requests for exclusion in accordance with this Order. 3. The Court finds, preliminarily and for purposes of the Settlement only, that the prerequisites for a class action under Rules 23(a) and (b)(3) of the Federal Rules of Civil Procedure have been satisfied in that: (a) the number of Class Members is so numerous that joinder of all members of the Class is impracticable; (h) there are questions of law and fact common to the Class Members: (c) the claims of the Proposed Class Representatives are typical of the claims of the Class they seek to represent; (d) the Proposed Class Representatives will fairly and adequately represent the interests of the Class; (e) the questions of law and fact common to the members of the Class predominate over any questions affecting only individual members of the Class; and (1) a class action is superior to other available methods for the fair and efficient adjudication of the Litigation. 4. Pursuant to Rule 23 of the Federal Rules of Civil Procedure, preliminarily and for the purposes of the Settlement only, Proposed Class Representatives are certified as the class representatives on behalf of the Class, and (i) The Rosen Law Firm, P.A., is appointed as class counsel to the Goldberg class; (ii) Frank & Bianco, LLP. and Kaplan Fox & Kiisheimer, LLP, are appointed class counsel to the Stillwater Class, and (iii) Pomerantz. The Rosen Law Firm, PA.. Frank & Bianco, LLP, Kaplan Fox & Kilsheimer, LLP, Pomerantz, LAY, and Wohi & Fruchter, LLP, are "Class Counsel") 5. A hearing (the "Final Settlement Hearing") pursuant to Federal Rule of Civil fl 6, Procedure 23(e) is hereby scheduled to be held before the Court on L4/AuE I 14 at rn. for the following purposes: a. to finally determine whether the Litigation satisfies the applicable prerequisites for class action treatment under Federal Rules of Civil Procedure 23(a) and (h); ft to finally determine whether the Settlement is fair, reasonable, and adequate, and should be approved by the Court; c, to finally determine whether the Order and Final Judgment as provided under the Stipulation should he entered, dismissing the Complaint on the merits and with prejudice, and to determine whether the release by the Class of the Released Parties as set forth in the Stipulation, should be ordered, along with a permanent injunction barring efforts to bring any claims extinguished by the release; d, to finally determine whether the proposed Plan of Allocation for the distribution of the Net Settlement Fund is fair and reasonable and should be approved by the Court; e, to consider the application of Lead Counsel for an award of Attorneys' Fees and Expenses; C to consider any Putative Class Member's objections to the Settlement; and g, to rule upon such other matters as the Court may deem appropriate.

The Court reserves the right to adjourn the Final Settlement Hearing to a later date. The Court further reserves the right to enter its Order and Final Judgment approving the Settlement and dismissing the Complaint, on the merits and with prciudice, regardless of whether it has approved the Plan of Allocation or awarded Attorneys' Fees and Expenses. The Court reserves the right to approve the Settlement, with such modifications as may be agreed upon or consented to by the Settling Panics. and without further notice to the Class where to do so would not impair Putative Class Members rights in a manner inconsistent with Rule 23 and due process of law. 8. The Court approves the form, substance and requirements of (a) the Stillwater Notice, (b) the Gerova Notice. (c) the Stillwater Summary Notice, (d) the Gerova Summary Notice. (e) the Gerova Prool'of Claim, and (f) the Stillwater Release, all of which are exhibits to the Stipulation. Class Counsel have the authority to enter into the Stipulation on behalf of the Classes and are authorized to act on behalf of the Putative Class Members with respect to all acts or consents required by or that may be given pursuant to the Stipulation or such other acts that are reasonably necessary to consummate the Settlement. 10. Class Counsel, through the Claims Administrator, shall effect the following schedule: a. Open-Market Class: i, Cause the Gerova Notice and the Gerova Proof of Claim, substantially in the forms annexed hereto, to be mailed, by first class mail, postage prepaid, within twenty-eight (28) calendar days of the entry of this Order (the "Gerova Notice Date"), to all Putative Open-Market Class Members who can be identified with reasonable effort by the Claims 6

The Settling Defendants and any and all issuers, securities firms or transfer agents holding transfer records which indicate the Legal owners of Gerova common stock currently or during the Class Period are hereby ordered to produce such transfer records in a usable electronic format to Class Counsel or the Claims Administrator within fourteen (14) calendar days of receipt of a copy of this Order. iii. Class Counsel, through the Claims Administrator, shall also make all reasonable efforts to give notice to nominee owners such as brokerage firms and other persons or entities who purchased Cierova common stock during the Class Period. Such nominee purchasers are directed to forward copies of the Gerova Notice and Gerova Proof of Claim to their beneficial owners or to provide the Claims Administrator with lists of the names and addresses of the beneficial owners and the Claims Administrator is ordered to send the Gerova Notice and (jerova Proof of Claim promptly to such beneficial owners. Once the Claims Administrator has considered a timelysubmitted Cierova Proof of Claim, it shall determine whether such claim is valid, deficient or rejected. Prior to rejection of Cierova Proof of Claim, the Claims Administrator shall communicate with the Claimant in order to allow him/her/it to remedy curable deficiencies in the Gerova Proof of Claim submitted. The Claims Administrator shall notify, in a timely fashion and in writing, all Claimants whose Gerova Proofs of Claim it proposes to reject in whole or in part, setting forth the reasons therefor, and shall indicate in such notice that the Claimant whose claims are to he rejected has the right to review by the Court if the Claimant so desires and complies with the requirement of subparagraph D.9 of the Stipulation.
