1. NAME OF CLUB The name of the club is the COOGEE BEACH SURF LIFE SAVING CLUB (INC)." 2. OBJECTS The objects of the club are: 2.1. To study and practice the methods of surf lifesaving as specified by Surf Life Saving Australia Ltd. (SLSA); 2.2. To be affiliated with Surf Life Saving Western Australia (SLSWA) and to adhere to the amateur status specified by SLSWA; 2.3. To minimise the loss of life from drowning and render all possible aid to those in distress by providing beach patrols as specified by SLSWA within the City of Cockburn borders of Woodman Point to CY O Connor Reserve ; 2.4. To promote demonstrations and arrange classes of instruction in water safety, lifesaving and resuscitation and to organise and to conduct competition and improve the efficiency and lifesaving skills of members; 2.5. To co-operate with the local governing authorities in taking such measures as are considered necessary by the club to ensure the safety of users of the beach; 2.6. To promote social functions for members of the club and their friends and to provide conveniences, facilities, premises and accommodation with all the usual privileges and advantages of a club; 2.7. To adhere to all other requirements and procedures as laid down in the Constitution of SLSWA and the manuals of SLSA. 2.8. The property and income of the Association shall be applied solely towards the promotion of the objects or purposes of the Association and no part of that property or income may be paid or otherwise distributed, directly or indirectly, to members of the Association, except in good faith in the promotion of those objects or purposes. 3. POWERS For the purpose of achieving or furthering the above objects the club shall have power: 3.1. To purchase, sell, hold, lease or rent or otherwise acquire real or personal property; 3.2. To borrow, raise or secure the payment of money to secure the repayment or performance of any debt. Liability, contract or guarantee incurred, or to be entered into by the club; 3.3. To enter into any arrangements with any government or local government authority or instrumentality; 3.4. To employ, appoint, hire, engage, pay, dismiss or suspend any officer, manager, clerk, secretary, instructor, coach, workman or any other person; 3.5. To invest the monies, of the club; 3.6. To receive and make gifts and to give prizes; 3.7. To amalgamate or associate with any other surf lifesaving club or 3.8. association or any other sporting club or association; Document Number: CB001 Page - 3 -

3.9. To procure any permits and licenses from time to time required by the Liquor Control Act 1988; 3.10. To do any such other things as are incidental or conducive to the attainment of the objects of the club. 4. INCOME AND PROPERTY The income and property of the club shall be applied solely to the promotion of its objects and no part thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise by way of pecuniary profit to the members PROVIDED THAT remuneration may be paid in good faith to officers or servants of the club or other persons in return for services actually rendered to the club. 5. MEMBERSHIP AND GUESTS 5.1. All applications shall be posted on the noticeboard of the Club for a period of not less than seven days before election, provided also that an interval of not less than two weeks shall elapse between nomination and election. 5.2. The classes of membership shall comprise those classes set out in the by-laws of the Club from time to time which in any event shall comprise at least those categories laid down by SLSA and furthermore the following classes of membership shall be available: a) Award Members -shall be any member holding an Association Award other than the Bronze Medallion, or other qualified non-patrolling member as determined by the Board; b) Associate Members -shall be as determined by the Board, and may include Gymnasium Membership and Affiliated Clubs and their Members. c) Life Members shall be elected at an Annual General Meeting and shall have been nominated consistent with paragraph 5.5. Life Members shall only be elected at an annual general meeting upon attaining by secret ballot a four-fifths majority of those personally present and eligible to vote. 5.3. The Board shall have power to create or modify the classes of membership within the above classes consistent with paragraph 5.2 5.4. Restrictions on Membership a) Active, Junior Activities, Cadet, Active Reserve, Long Service, Award, Associate and Life members shall be the only classes of membership eligible for entry in club competitions; b) Conditions of entry in SLSA competitions shall be as stipulated in the relevant SLSA Handbook: c) Probationary members shall be required to complete an application form. and satisfactorily pass a test swim. In addition, applicants for Junior Activity and Cadet Membership must produce a Birth Certificate or Extract of Birth entry, or alternatively Statutory Declaration confirming their date of birth, if requested. 5.5. Membership Definitions a) Active Member -Shall be a minimum of 15 years of age and shall be required to gain the Surf Life Saving Australia Limited Bronze Medallion within three Document Number: CB001 Page - 4 -

months of joining the club unless granted an extension by the Beach Management Committee or Board. Active Members shall be liable for patrol duty. b) Cadet Member shall be a minimum of 13 years of age but under 15 years and shall be required to gain the Surf Life Saving Australia Limited Surf Rescue Certificate within three months of joining the club unless granted an extension by the Beach Management Committee or Board. c) Junior Activities Member -Shall be a minimum of five (5) years of age and up to and including 13 years of age and shall be required to gain the Junior Activities Award relevant to their age group as laid down by the Association. d) Life Members Any five (5) voting members may propose in writing to the Life Membership Committee any Member for consideration for Life Membership of the Club. The Member proposed, shall have rendered special and outstanding service to the Club. Life members shall be nominated by the Life Membership Committee to the Board of Directors, which if approved, shall submit any such nomination to the next Annual General Meeting for election consistent with paragraph 5.2(c). A Life Member has, without payment of a membership fee, all the rights of a voting Member. e) Active Reserve Member -This class of membership may be granted to members following written application to the Beach Management Committee or Board, who have 'satisfactorily completed (10) ten Years of active service. excluding leave of absence, or where in the opinion of the Beach Management Committee extenuating circumstances prevail. They shall be liable for Patrol Duty as determined by the Beach Management Committee. f) Long Service Member -This class of membership may be granted to members. following written application to the Board, who have satisfactorily completed five (5) years of Active Reserve Membership. g) Award Member -This class of membership is available to any member holding a current Surf Life Saving Australia Limited Award other than the Bronze Medallion. They may be required for Patrol Duty at the discretion of the Beach Management Committee or Board. h) Associate Member -This class of membership is available to any person with the approval of the Board, and may include Gymnasium Membership, and Affiliated Clubs and their members. i) Honorary Member -The Board shall have the power to appoint Honorary Members of the Club. j) Probationary Membership -Shall be granted to all new members joining the Club until such time as their category of membership is confirmed by the Board. k) Social Membership -Shall be a minimum 18 years and shall consist of Club Honorary Members - Members of other local sporting clubs or associations which shall form the basis of Social Membership and General Social Activities, as coordinated by the Director of House and Social, for the benefit of the club. l) Temporary Members A person who is on any day visiting the club as a member or an official of another club; a) That is to engage in a pre-arranged event with the host club conducted for the purpose of one of the host club s principal objects; or, Document Number: CB001 Page - 5 -

b) That is to hold a pre-arranged function at the host club involving the use of the host club s sporting facilities; c) May be taken to be a person who is accorded temporary membership on that day. 5.6. Every Member shall be bound by and submit to the Constitution of the Club and Bylaws of the Club. 5.7. Register of members of Club 1) In accordance with section 27 of the Act the Club shall keep an up to date register of members in respect of each class of membership. The register must be continually available for inspection at the club premises. 2) The Registrar shall cause the name of a person who dies or who ceases to be a member under rule 7 or 8 to be deleted from the register of members referred to in sub-rule (1). 5.8. Guests - Members may introduce guests to the club subject to the following conditions: a) No member may introduce more than five (5) guests to the Club premises at any one time; b) A guest shall not be supplied with liquor in the Club premises except on the invitation and in the company of a member; c) A guest shall be supplied with liquor to be consumed on the Club premises only. d) The member introducing the guest shall be responsible for the proper conduct of the guest whilst on the Club premises e) Any person who has been refused membership of the Club, or who is under suspension or expulsion of the Club, shall not be admitted as a guest of any member of the Club f) A member may, at their expense, and with the approval of the club committee, supply liquor to guests, without limitation to number, at a function held by or on behalf of that member, at the Club premises. 6. ENTRANCE, FEES SUBSCRIPTIONS AND OTHER MONIES 6.1. The Board shall determine the entrance fee and subscription for each class of member. 6.2. Any person wishing to become a member shall submit an SLSA approved application form with approval by the Board together with relevant membership fee for one year and the Board may accept with or without conditions or reject any application without being required giving reasons. Membership Forms and Fees are to be lodged with the Director Administration. 6.3. All membership fees for the forthcoming year shall be due for payment on 1st October each year for renewing members and upon joining for new members. 6.4. To be eligible to vote at the Annual General Meeting, and all other meetings, and where appropriate for the use of club facilities, members must have paid the fees in full for that membership year. 7. SUSPENSION, EXPULSION AND OTHER DISCIPLINARY MATTERS 7.1. The Constitution makes provision for certain action under Clause 10.11 Disciplinary Committee. 7.2. The Board shall deal with the matter of suspension as designated under the Club Bylaws. 7.3. A member shall be automatically suspended for failure to comply with the Patrol regulations as stated in the By-laws. 7.4. A member may be suspended at the discretion of any Director of the Club for contravention of the By-laws. 7.5. A suspended member shall be advised in writing within fourteen days of the reason, duration and rights of appeal relating to the suspension. 7.6. The member has the option to appear before the Disciplinary committee to state his/her case within seven (7) days of receipt in writing of the breach. 7.7. The Disciplinary Committee shall determine the merits of the case and either confirm the suspension shall stand and for what period, or determine that the suspension be removed with or without penalty. 7.8. The member shall be advised of the decision in writing within seven (7) days of the meeting. The member has the right of appeal to the Board who shall deal with the matter as they determine. The appeaiant must state the circumstances and the basis of the appeal in writing and the decision of the Board shall be final and binding. 8. RESIGNATION 8.1. Any person who wishes to resign membership shall do so in writing by letter addressed to the Director Administration; 8.2. Any person who fails to pay the annual subscription before December 31 of each year may be deemed by the Board to have resigned from the membership of the club. 9. OFFICERS 9.1. The Officers of the Club shall be: Patron Vice Patron/s President Director Finance Vice President Club Operations Director Administration Director Marketing Director Club Development Vice President Beach Operations Director Life Saving Director Surf Sports Director Member Development Document Number: CB001 Page - 7 -

Other officers of the club listed in attachment A to this Constitution 9.2. All nominations for office with the exception of Patron, Vice Patron, Auditor, Legal Officer and Medical Advisor must conform to the following conditions: 9.3. a) Nominees for the office of Director Surf Life Saving, Chief Patrol Officer, Club Captain, Boat Captain, Ski Officer, Craft Officer, Beach Officer, R&R/Marchpast Officer, Director Education and Training, and Chief Instructor must, as a minimum, hold the SLSA Bronze Medallion. In addition, nominees for the office of Director Education and Training, and Chief Instructor must hold a SLSA Training Officer's Certificate; b) Nominees for the office of First Aid Officer shall hold a Current Recognised First Aid Certificate or equivalent, plus a current SLSA Advanced Resuscitation Certificate. a) The Directors of the club as listed in clause 10.1. shall be nominated by and elected from the financial members of the club and shall be elected at the Annual General Meeting for a two-year term and shall take office immediately on election. Any Director vacancy which may occur from time to time may be filled by the Board at its discretion up until the next AGM only, regardless of the balance of the term of that Director. b) The officers of the club as listed in clause 9.1 with the exception of the Patron, Vice Patron Legal Officer and Medical Advisor, shall be nominated and elected by from the financial members of the club at the Annual General Meeting 9.4. Other Officers or vacant officer positions may be appointed by the Board at its discretion; 9.5. No person shall be an officer of the Club unless that person is a registered and financial Member of the club. 9.6. An Officers term will be from his or her election at an Annual General Meeting, or appointment by the Board, until the election at the next Annual General Meeting after his or her election or appointment. 10. COMMITTEES 10.1. Board of Directors The management and operational activities of the Club shall be the responsibility of the Board of Directors which shall consist of the: President Director Finance Vice President Club Operations Director Administration Director Marketing Director Club Development Vice President Beach Operations Director Surf Life Saving Director Surf Sports Director Member Development Document Number: CB001 Page - 8 -

10.2. The Board shall meet at least quarterly, and shall have the power to make or amend or delete by-laws which are to be presented for confirmation as soon as practicable at a general meeting thereafter and shall have the power to appoint sub-committees to oversee any operational aspect of the club or for any other purpose as determined by the Board. 10.3. A quorum of the Board shall consist of 6 Board Members; 10.4. The Board shall have power to fill any vacancy of office or other positions of the Board which may occur before the next Annual General Meeting. 10.5. In the event that any member of the Board is absent from 3 consecutive meetings or a total of 4 meetings in any one season without reasonable excuse, the seat shall be declared vacant and the Board shall then appoint another member to fill the vacancy; 10.6. In the event that any member of the Board holds more than one (1) office, that person shall be entitled to 1 vote only. A Board Member holding a Proxy vote for an absent Board Member shall be entitled to vote for the absentee; 10.7. The Executive Management Committee of the Club shall comprise; the President (Chairperson), the Vice President Club Operations, the Vice President Beach Operations, and Director Finance, and other Officers as required which shall have the power to deal with all matters that could be exercised by the Board at any time. Their action shall be reported to the next meeting of the Board for confirmation and any 3 of the above persons shall form a quorum for this committee. 10.8. The Club Management Committee of the Club shall comprise; the Vice President Club Operations (Chairperson), the Director Administration, the Director Marketing, and the Director Club Development, and the Venue Manager and other Officers as required. Their action shall be reported to the next meeting of the Board for confirmation and any 3 of the above persons shall form a quorum for this committee. 10.9. The Beach Management Committee of the Club shall comprise; The Vice President Beach Operations (Chairperson), the Director Life Saving, the Director Surf Sports, the Director Member Development, the Club Captain, and other Officers as required. Their action shall be reported to the next meeting of the Board for confirmation and any 3 of the above persons shall form a quorum for this committee. 10.10. The Life Membership Committee shall be appointed by the Board. Five (5) shall form a quorum. This Committee shall meet at least three months prior to the Annual General Meeting to review all members who may be eligible, or nominated for Life Membership. This Committee shall then forward any nominees to the Board for their ratification before final submission to the Annual General Meeting; 10.11. Disciplinary Committee -The Disciplinary Committee shall consist of five Directors with a Vice President as Chairperson. Three (3) shall form a quorum. a) The Disciplinary Committee shall be convened to hear all matters referred to it in writing, and determine action to be taken in accordance with the Constitution and by-laws and in the best interests of the Club and report on its findings to the Board. b) The Disciplinary Committee may expel, or for any period or indefinitely, suspend from the privileges of membership or otherwise penalise any member who violated a rule or by-law of the Club or who is found guilty of Document Number: CB001 Page - 9 -

misconduct or act contrary to the general policy or the Club provided that such member has the opportunity to state his/her case either personally or through another member, to the Committee before it arrives at its decision. c) A Director of the Club may suspend any member who disobeys instructions when given in time of emergency or who is considered to have committed an act of misconduct. The incident shall be immediately reported in writing to the Chairman of the Disciplinary Committee who will call a meeting within seven (7) days to hear the case. The member concerned is to be advised of the date of the meeting in writing at least three (3) days before the set meeting time and he/she may state his case personally or through another member. d) The finding of the Disciplinary Committee shall be presented to the next or a special meeting of the Board. The member concerned shall be given at least three (3) days notice of the date of time of the meeting in writing to allow him/her if he/she desires, to appeal to the Board either personally or through another member. The Board may revoke or endorse the penalty or otherwise increase or decrease the penalty as seen fit by the Board. A Board convened to consider an appeal of a finding made by the Disciplinary Committee or Beach Management Committee shall not contain members of the Disciplinary Committee or Beach Management Committee that was involved in the finding. e) Any further rights of appeal shall be as governed by the Constitution and rules of Surf Life Saving Australia and/or Surf Life Saving Western Australia Inc. 10.12. Sub-committees -The Board may appoint sub-committees to consider and report or carry out any club activities referred to them. Convenor and Chairman and the number to form a quorum shall be decided by the Board with the proviso that one member of each sub-committee shall be a member of the Board and shall be responsible for submitting regular reports. The President shall be ex-officio on all sub-committees. 10.13. The Chairperson of any committee shall have a deliberative as well as a casting vote; 10.14. A Member Screening Committee of at least three members shall be appointed by the Board consistent with the SLSWA and SLSA Member Protection Policy 11. NOTICE OF MEETINGS (GENERAL) 11.1. The Director of Administration as directed by the Board shall give to all members, twenty-one (21) days notice in writing of the date, time and place of Annual General Meetings and in the case of General Meetings a minimum of seven (7) days notice shall be given to all members. 11.2. Any notice of such meetings shall state the nature of the business proposed to be transacted at the meeting and no other business other than that stated in the notice may be dealt with at that meeting. 11.3. The board must call within seven (7) days a General Meeting if requested to do so by a petition stating the reason for requesting such a meeting and signed by a minimum of ten (10) financial members of the club. 12. ANNUAL GENERAL MEETING 12.1. The Annual General Meeting shall be held not later than 31st July, on a day and time to be determined by the Board; 12.2. Twenty (20) members with the right to vote and personally present shall form a quorum at any general meeting. Failing such a quorum the meeting shall be held within twenty-one days (21) later after due notice has been given. 12.3. The business of the Annual General meeting shall include: a) Confirmation of the minutes and matters arising; b) President s Report; c) The Director Finance s Report and statement of accounts for the preceding financial year; d) The election of officers and members of the Board and other Committees; e) The election of a patron and honorary officials; f) The appointment of an auditor; g) Motions on notice, which have been duly given in accordance with the notice, specified for extraordinary general meetings; h) General Business. 13. EXTRAORDINARY GENERAL MEETING 13.1. An Extraordinary General Meeting may be called in one of the following ways: a) By resolution of the Board; b) By petition in writing by at least thirty percent of members of the club with the right to vote; c) By the President; or d) By resolution at a previous Annual General Meeting or Extraordinary General Meeting. 13.2. Twenty (20) members with the right to vote and personally present shall form a quorum at any general meeting. Failing such a quorum the meeting shall be held within twenty-one (21) days later after due notice has been given, 13.3. The Director Administration as directed by the Board shall advise all members by letter at least 7 days in advance, and only business outlined in the notice shall be dealt with at the Extraordinary General Meeting. 14. CHAIRPERSON OF GENERAL MEETING 14.1. The President, or in his/her absence, the Vice President shall preside at the Annual General Meeting and at an Extraordinary General Meeting; 14.2. In the absence of the President or Vice President, the meeting shall elect from among those eligible to vote, a member to preside; Document Number: CB001 Page - 11 -

15. VOTING AND PROXY VOTE 15.1. Only elected officers (excluding Patron, vice Patrons and Medical Advisor) and Active, Active Reserve, Long Service and Life Members shall be eligible to vote at any general meeting of the Club. All members must be financial for the current season. or in the case of the Annual General Meeting for the ensuing season as provided in rule 19.3 hereof. At every General meeting, a resolution put to the vote shall be decided by a show of hands by a numerical majority of members present. a) Associate Members may vote at General Meetings in accordance with para15.1 until, and including, the Annual General Meeting in 2005. 15.2. A member (in this rule called the appointing member ) may appoint in writing another member who is a natural person to be the proxy of the appointing member and to attend and vote on behalf of the appointing member at any General Meeting. 16. MINUTES OF MEETINGS 16.1. The Director Administration, or in his/her absence, another member shall keep minutes of all General Meetings and Committee Meetings. 16.2. Subject to the discretion of the President, minutes of all meetings shall be open to inspection by any member at a time and place convenient to the Director Administration. 17. AFFILIATION The Club shall be affiliated with Surf Life Saving WA. 18. BY-LAWS The Board shall have the power to make amend adopt and rescind any by-laws of the club from time to time, and the duties of all officers of the club shall be defined in those by-laws. 19. SEASON AND FINANICAL YEAR 19.1. The financial year shall be the 1st day of May to the 30th day of April in the following year. 19.2. The season and membership year for the Club shall be the 1st day of October to the 30th day of September in the following year. 20. FINANCE 20.1. The Board shall cause true accounts to be kept of the monies received and expended. All monies received shall be deposited in the name of: Coogee Beach Surf Life Saving Club (Inc.). 20.2. A balance sheet containing a summary of the assets and liabilities of the Club as at April 30th together with a statement of profit and loss for the preceding year; shall be made out and submitted to the Annual General Meeting; 20.3. The Auditor who shall make a report on the accounts shall audit the accounts; Document Number: CB001 Page - 12 -

20.4. The Board shall conduct its financial statements through a bank or other financial institution. 20.5. Any two of the following shall sign all cheques, or authorize electronic payments and the issuing of debit cards to Club Officers: (i) The President; (ii) The Director Administration; or (iii) The Director Finance. 20.6. The accounts shall be open to inspection by any member upon giving reasonable notice to the Director Finance at a time and place convenient to the Director Finance. 21. AUDITOR The Auditor shall be appointed by resolution at the Annual General Meeting to audit the accounts and he/she shall not be a member of the Board. The Auditor may attend the Annual General Meeting and take part in discussions. 22. COMMON SEAL The club shall have and use a common seal inscribed with the name of the club which shall be held in the custody of the Director Administration and it shall be used or affixed to any document after authority has been given by the Board. 23. CUSTODY OF BOOKS AND DOCUMENTS AND INSPECTION The Director Administration, shall hold all books, documents and other papers and information relating to the club affairs, and these shall be open to inspection by any member subject to the discretion of the President, upon the member giving reasonable notice to the Director Administration at a time and place convenient to the Director Administration. 24. CLUB COLOURS The club colours shall be Orange [PMS 144], Royal Blue [PMS 293] and White. 25. ALTERATION TO CONSTITUTION a) Notice of any such proposed alteration, addition or amendment shall be given in writing to the Board within fourteen (14) days of the notified date and time of the Annual General Meeting and/or General meeting as specifically called for. The Board shall then ensure that this notice is circulated with the notice of the general meeting to which the matter is referred. b) As soon as practicable after the making of any proposal for a change to the Constitution of Rule of the Club, the Secretary shall provide to the Director of Liquor Licensing, certified particulars of the changed proposed. No effect will be given to the change without the prior approval of the Director. c) No alteration addition or amendment of this Constitution shall be made unless and until carried by a special resolution at any general meeting called for such purpose by a majority of 75% of the members present. 26. INDEMNITY Every present or former Officer of the Club or member of the Board shall be indemnified out of the funds of the Club against all costs, charges, damages or expenses incurred by that person by reason of any contract or obligation into or of any act done or default made by that person in any way in or arising from the performance of that person of that person s duties as such Officer or member of that Board, except where any such costs, charges, damages or expenses have been caused by that persons own negligence. 27. DISSOLUTION a) The Club may at any time be dissolved by special resolution with the consent of a majority of 75% of the members present at a General Meeting cailed for the purpose. b) If upon the dissolution or winding up of the Club there remains after the satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid to or distributed among the members of the club but shall be given or transferred to Surf Life Saving Western Australia Incorporated. 28. STANDING ORDERS AT MEETINGS a) Any member wishing to speak shall stand and address the Chairperson respectfully. b) Any member wishing to speak will be allowed a total or five (5) minutes to do so. c) No member shall speak more than once to a question except in explanation. d) A reply shall be allowed only to a member who has moved a substantive motion. e) No member shall use offensive or unbecoming words. f) No member shall digress from the subject under discussion. and imputations of improper motives and personal reflections on members shall be deemed disorderly. g) Whenever the Chairperson rises during debate the member who is speaking shall cease and sit down. h) No member shall interrupt another whilst speaking, except on a Point of Order. i) Any member during the debate may raise a point of order, when the member that is speaking shall sit down until the point of order has been decided. The member rising to order shall state concisely the point of order. and the Chairperson without further discussion shall give a ruling. j) The Chairperson shall refuse to receive any amendment which is a direct negative or which does not preserve the substance of the original motion. k) At any time during the debate a member may without notice move that the question now be put", and such motion, being duly seconded, shall be put without debate; if carried the question shall be put to a vote; if lost, the debate shall proceed. l) If a member becomes disorderly the meeting shall be adjourned until that member leaves the meeting. If that member refuses to leave the meeting, the meeting will be adjourned until a later date. m) The Chairperson shall have a deliberative, as well as a casting vote on any resolution before the chair. 29. GENERAL Any matter not provided for in this Constitution or the Club By-laws determined by the Board consistent with paragraph 18, or any matter requiring clarification shall be governed by the constitution and by-laws of Surf Life Saving WA as amended from time to time. 30. COMPLAINTS AND DISPUTES 30.1. Any complaint made by a member or member of the public against the Club or a member must be submitted in writing to the Board within 3 months of the incident or cause of complaint. 30.2. The Board must investigate the complaint fully. 30.3. The person(s) making the complaint will be informed of the outcome in writing. 30.4. In the case of a dispute, the parties to the dispute must meet and discuss the matter, and try and resolve the dispute within 14 days after the dispute comes to the attention of all of the parties. 30.5. If the parties are unable to resolve the dispute at the meeting, or if a party fails to attend that meeting, then the parties must, within 10 days, hold a meeting in the presence of a mediator. 30.6. The mediator must be: a) a person chosen by agreement between the parties; or b) in the absence of agreement: c) in the case of a dispute between a member and another member, a person appointed by the Board; or d) in the case of a dispute between a member or non-member and the Club, a person who is a mediator appointed to, or employed with, a not-for-profit organisation. 30.7. A member of the Club can be a mediator, provided they are not a party to the dispute. 30.8. The parties to the dispute must, in good faith, attempt to settle the dispute by mediation. 30.9. The mediator must: a) give the parties to the mediation process every opportunity to be heard; b) allow due consideration by all parties of any written statement submitted by any party; and c) ensure that natural justice is accorded to the parties to the dispute throughout the mediation process. 30.10. The mediator must not determine the dispute. 30.11. The mediation must be confidential and without prejudice. 30.12. If the dispute is not resolved by mediation, the parties may seek to resolve the dispute in accordance with the DOCEP Act or otherwise at law. Document Number: CB001 Page - 15 -
