This BILL OF SALE, made and entered into on this the day of, 2000, by and between, if one or more individuals, or, a partnership composed of, and, and, partners, or, a corporation existing under and by virtue of the laws of the State of North Carolina, with one of its principal offices and places of business at, hereinafter called OWNER, unto GREENVILLE UTILITIES COMMISSION OF THE CITY OF GREENVILLE, NORTH CAROLINA, hereinafter called COMMISSION ; W I T N E S S E T H: THAT for and in consideration of the sum of Ten (10.00) Dollars and other good and valuable consideration passing from each party to the other, the receipt of which is hereby respectively acknowledged by each of the parties, and in further consideration of COMMISSION s willingness to accept responsibility for the maintenance of the property hereinafter described, OWNER does hereby transfer and convey to COMMISSION, absolutely and unconditionally, all right, title and interest of the OWNER in and to the personal property described on Schedule A, which is attached hereto and made a part hereof as fully as if set forth herein verbatim, and incorporated herein by reference; F - 1
TO HAVE AND TO HOLD the said personal property to COMMISSION, absolutely and unconditionally. OWNER hereby covenants that OWNER is the owner of the said personal property as described on said Schedule A, and has the right to convey the same to COMMISSION absolutely and unconditionally, and that the same is free and clear of all encumbrances, except as are set forth and described with Particularity on Schedule A, which is attached hereto, and that OWNER will forever warrant and defend the title to the same against the lawful claims of all persons whomsoever. Words of gender used in this Bill of Sale shall be deemed to include any other gender, and a reference to the singular shall include the plural, and vice versa, unless the context indicates that such reading would be inappropriate.
