Call to Convention In accordance with the bylaws of the Arizona Federation of Republican Women (AzFRW) Article XI, Section 2 Call to the Convention "I, Mary Williams, President of the Arizona Federation of Republican Women hereby issues the Official Call to the Arizona Federation of Republican Women 66th Biennial Convention and request that the delegated representatives of the members of the AzFRW present themselves for the Biennial Convention to be held on September 10, 2015 at the JW Marriott Desert Ridge Resort in Phoenix, Arizona. This is also the Call to the pre- Convention Board of Directors Meeting on Thursday, Sept 10th prior to the Convention. The agenda will include such business as should properly be conducted by the delegates including election of officers for the 2016-2017 term, proposed bylaws amendments, resolutions and any additional business appropriate for consideration. In addition, we will recognize club and other achievements, install our newly elected officers and share in the camaraderie and friendship of like minded Republican women from within our state and also the nation as we host the NFRW 2015 Biennial Convention! See you in September and have a great summer. NOTE: Partial information only. Please refer to your AzFRW Bylaws for full convention details, Articles X and XI. ARTICLE X DELEGATES Section 1 A. Each delegate and alternate shall be an ACTIVE member in good standing of a club. The delegates shall be selected from those active members whose dues have been paid to the AzFRW Treasurer as of the third quarter report of the current year. B. To qualify for delegate representation to the AzFRW Biennial Convention a club shall have been in good standing for at least three (3) months prior to the convention. Section 2-AzFRW CONVENTION DELEGATES Club delegates to the AzFRW Biennial Convention shall be: The Club President or her accredited alternate. One delegate for each ten (10) or major fraction thereof, ACTIVE members in good standing of the AzFRW. The delegates shall be selected from the current list of names submitted to the AzFRW with the per capita dues. The club may select alternates from the same list to act in place of delegates who are unable to attend the Convention, providing they relinquish their delegate badge to the Credentials Committee who in turn will provide the alternate with a delegate badge. The Club President is responsible to submit an alphabetical list of delegates and alternates in order of elevation from her club which shall be sent to the Chairman of the Credentials Committee by the date approved by the Convention Committee. All voting members of the Board of Directors and Past Presidents of the Federation have the option of registering themselves for the Convention, providing they submit a DELEGATE credentials form and a Convention registration form within the time lines specified for the Convention. There shall be no alternates for the Federation Executive Committee. Each delegate shall be entitled to only one (1) vote on each question or election. The Elected Officers. B. The Appointed Officers. C. Chairman of Standing Committees or their Vice Chairman if credentialed as alternates. D. Past Presidents of the AzFRW. E. The Arizona National Committeewoman. F. The AzFRW members, who serve on the National Federation of Republican Women Board of Directors. G. The President of each club or her accredited alternate. H. One (1) qualified delegate for each ten (10) active members, or major fraction thereof, of each club. Section 4-CREDENTIALS AND ALTERNATES A. At the time of registration, a person shall present her membership card or other proof of eligibility, if requested by the Credentials Committee. B. If needed, an alternate who is replacing a delegate shall be verified by the club s President. Only a prepaid alternate is eligible to be elevated from alternate to delegate status. Section 5-PROXIES There shall be no proxy voting. Section 6-CONVENTION SEATING The members of the voting body shall be seated in a section reserved for them. Non-voting members and visitors shall be seated in a section apart from the voting body. Section 7-QUORUM The members of the voting body who are in attendance at each meeting of the Convention shall constitute a quorum. www.azfrw.com 3

At the September Board of Directors Meeting prior to the Convention, a motion will be offered to the Board to rescind that action and open nominations from the floor at Convention. The Nominating Committee will present their recommendations to the body on Thursday, Sept 10th. The Chair will then accept nominations from the floor, if any. For any contested offices, the candidates may have a nominating speech (limited to 1 minute); each candidate may address the body (limited to 2 minutes); and elections will follow. Special thanks to long time AzFRW member and Maricopa County Recorder Helen Purcell, and her staff, for assistance not only with our AzFRW election but also with the NFRW elections to be held on Sunday morning. RESOLUTIONS GUIDELINES Resolutions to be considered by AzFRW must be postmarked by August 10, 2015 and mailed to Resolutions Chair Sharon Giese, 10855 E Shepperd Avenue, Mesa, AZ 85212. A resolution for consideration by AzFRW must first be approved by a club and submitted with the signature of the President. Resolutions should pertain to state or national issues only. Each resolution (except courtesy resolutions which will be prepared by the committee) must be accompanied by a fact sheet indicating sources of information and rationale explaining why AzFRW should take a position on the issue. Resolutions should be submitted in the proper format found in Robert s Rules of Order, 11 th Edition, Page 108 and should contain no more whereas than strictly necessary and reflecting that resolved is the main motion. Rationale: Our new 2014 Liability Insurance Policy contains coverage for Officer dishonesty, and therefore, a secondary Bond Policy is actually unnecessary. However, the Bylaws dictate specifically a BOND. Amending the language will give future Boards the option of either. ARTICLE V, DUTIES, TREASURER, SECTION 3, ITEM D-10 Currently Reads: D-10 - Submit an audited report as may be requested by the Executive Committee. Amend To Read: D-10 Submit a financial review as may be requested by the Executive Committee. Rationale: Replace terminology. We do not request audits and there is no definition of what an audited report would require. #4 ARTICLE V, SECRETARY DUTIES, SECTION 3, ITEM C-5 Currently Reads: C-5 Keep accurate minutes of all proceedings of the AzFRW Biennial Convention. A copy of the minutes shall be sent to the appointed approval committee within thirty (30) days of the Convention s close. Amend to Read: C-5 Keep accurate minutes of all proceedings of the AzFRW Biennial Convention. Rationale: We amended this language to two (2) weeks at the Prescott 2013 Convention. Refer to Article XI, Committees of the Convention, Section 8, Item F-Minutes. #5 ARTICLE VII, EXECUTIVE COMMITTEE DUTIES, SECTION 2, ITEM E Currently Reads: E-Provide for a bond for the President and the Treasurer. The fee shall be paid by the Federation. Amend to Read: E-STRIKE ALL Rationale: E is redundant. Article V, Section 3, Item A, President s Duties # 6 and Item D, Treasurer s Duties #3 provide for required coverage. (See Proposed Amendments #1 and #2) (Items F-L will be re-designated to reflect the deletion) #6 ARTICLE VII, EXECUTIVE COMMITTEE, SECTION 2, DUTIES-ITEM K Currently Reads: K-Provide for an annual audit twelve (12) months after serving in office and immediately prior to presenting books to the new Treasurer. Amend to Read: J-Provide for an annual financial review twelve (12) months after serving in office and immediately prior to presenting books to the new Treasurer. (Refer to proposed Amendment #5 for K-J) Rationale: Replace terminology. We do not request audits and there is no definition of what an audited report would require. #7 ARTICLE XI, AzFRW BIENNIAL CONVENTION, SECTION 4, CREDENTIALS & ALTERNATES, ITEM A Currently Reads: A-At the time of registration, a person shall present her membership card or other proof of eligibility, if requested by the Credentials Committee. Amend to Read: A-At the time of registration, a member shall present photo identification, if requested by the Credentials Committee. Rationale: Only members may be delegates or alternates, not persons. AzFRW does not issue membership cards but our Convention rules have traditionally said that photo identification may be requested and the membership issue is resolved internally at Credentials with membership paperwork from the clubs submitted timely. #8 ARTICLE XI, AzFRW BIENNIAL CONVENTION, SECTION 8, COMMITTEES OF THE CONVENTION, ITEM D, ELECTIONS Currently Reads: D-Elections. The Election Committee shall provide the ballots, the set up of elections, adequate tellers and counting process, and shall allow for any contesting candidate to have an observer present during the balloting and counting process. (Sentence 2 remains the same) Amend to Read: D-Elections. The Elections Committee shall provide the ballots, the setup of elections, adequate tellers and counting process. For contested races, each candidate may have one observer, who is not a candidate herself, in the room while votes are being counted. Teller Committee Chair must be notified in writing of the observer s name prior to opening of the polls or there shall be no admittance. (Sentence 2 remains the same) Rationale: Primarily word smithing to clean up Bylaws language which is singular only for the contesting candidate and not the nominee candidate.
