Statement of Nature, Basis and Reasons On October 31, 1996, in Docket No. RP96-389, 3 the Commission approved Section VII.34 of the General Terms and Conditions of Columbia Gulf s Tariff, which authorized Columbia Gulf to enter into negotiated rate agreements with its customers. In accordance with Section VII.34, paragraph 9, Columbia Gulf is submitting for filing the referenced Amendment that extends a previously filed and accepted negotiated rate agreement between Columbia Gulf and Kaiser Marketing Appalachian, LLC ( Kaiser ), as more fully described below. Columbia Gulf has agreed to allow Kaiser to extend the term for negotiated rate FTS-1 Contract No 165055 from April 1, 2017, to October 31, 2017, at a negotiated rate of $0.20/Dth/Day for Primary and Secondary Points. Contract No. 165055 is included in Appendix A as tariff record 3.7. 4 Columbia Gulf advises that no undisclosed agreements, etc., are linked to the Amendment. 5 Furthermore, the Amendment in the instant filing does not contain any non-conforming provisions that would impact the terms and conditions of transportation service. Consistent with the Commission s Negotiated Rate 3 Columbia Gas Transmission Corporation, 77 FERC 61,093 (1996), order on compliance filing, 78 FERC 61,263, reh g, 81 FERC 61,206 (1997). 4 Columbia Gulf originally filed Contract No. 165055 with the Commission as a service agreement containing negotiated rates in Columbia Gulf Transmission, LLC, Docket No. RP16-713-000 (March 23, 2016) (unpublished Director s Letter Order). Subsequently, Columbia Gulf filed to amend Contract No. 165055 in its entirety in Columbia Gulf Transmission, LLC, Docket No. RP16-1279-000 (October 20, 2016) (unpublished Director s Letter Order). The negotiated rate of $0.20 Dth/Day as well as the other essential elements of Contract No. 165055 are not being revised from the terms previously accepted by the Commission. 5 The Agreements provide all the information required by Section VII.46 of Columbia Gulf s Tariff, including: (1) the exact legal name of the Shipper; (2) the negotiated rate; (3) the applicable rate schedule; (4) the receipt and delivery points; and (5) the contract quantities. 2

Policy Statement, 6 Columbia Gulf has delineated the differences between the negotiated contractual terms in the Amendment and Columbia Gulf s pro forma form of service agreement. 7 To conform with Order No. 714, Columbia Gulf is submitting the Amendment individually and in its entirety. Columbia Gulf is requesting that the Commission approve the Amendment (Appendix A, tariff record 3.7), to become effective April 1, 2017. Request for Waiver and Effective Date Columbia Gulf respectfully requests that the Commission accept the tariff record included as Appendix A, to become effective April 1, 2017, and respectfully requests waiver of Section 154.207 of the Commission s regulations to allow for this effective date. 8 Other Filings Which May Affect This Proceeding There are no other filings before the Commission that may significantly affect the changes proposed herein. Contents of Filing In accordance with Section 154.7 of the Commission s Regulations, Columbia Gulf is submitting the following via its electronic tariff filing: 1. This transmittal letter; 2. A clean version of the tariff record (Appendix A); and 3. A marked version of the tariff record (Appendix B). Certificate of Service As required by Sections 154.7(b) and 154.208 of the Commission s regulations, copies of this filing are being served upon all parties in this proceeding, all of Columbia Gulf s existing customers and interested state regulatory agencies. FTS- 1 SERVICE AGREEMENT Service Agreement No. 165055 Revision No. 2 THIS AGREEMENT is made and entered into this 22~day of MAI.Ltt, 2017, by and between COLUMBIA GULF TRANSMISSION, LLC ("Transporter") and KAfSER MARKETING APPALACHIAN, LLC (''Shipper"). WITNESSETH: That in consideration of the mutual covenants herein contained, the parties hereto agree as follows: Section I. Service to be Rendered. Transporter shall perfonn and Shipper shall receive the service in accordance with the provisions of the effective FTS-1 Rate Schedule and applicable General Tenns and Conditions of Transporter's FERC Gas Tariff, Third Revised Volume No. l ("Tatiff''), on file with the Federal Energy Regulatory Commission ("Commission"), as the same may be amended or superseded in accordance with the mles and regulations of the Commission herein contained. The maximum obligations of Transpot1er to deliver gas hereunder to or for Shipper, the designation of the points of delivery at which Transporter shall deliver or cause gas to be delivered to or for Shipper, and the points of receipt at which the Shipper shall deliver or cause gas to be delivered, are specified in Appendix A, as the same may be amended from time to time by agreement between Shipper and Transpotter, or in accordance with the rules and regtllations of the Commission. Section 2. Tetm. Service under this Agreement shall commence as of April 1, 2017 and shall continue in full force and effect until October 31, 2017. Shipper and Transpm1er agree to avail themselves of the Commission's pre-granted abandonment authority upon termination of this Agreement, subject to any right of first refusal Shipper may have under the Commission's Regulations and Transporter's TmitT. Section 3. Rates. Commencing April l, 2017, Shipper, having been apprised of the availability of a maximum recourse reservation rate for service under this Agreement, has elected to 1'ay a negotiated reservation rate of $0.20/Dth/Day at both Primary and Secondary Points on the Columbia Gulf system, which shall be fixed for the tenn of such intetim finn service, notwithstanding changes that may occur in the maximum recourse rate set forth in the Tariff. fn addition, Shipper shall pay all applicable demand and commodity surcharges applicable specified under Rate Schedule FTS-1, as such may change from time to time. Section 4. Notices. FTS- 1 SERVICE AGREEMENT Service Agreement No. 165055 Revision No. 2 THIS AGREEMENT is made and entered into this 22~day of MAI.Ltt, 2017, by and between COLUMBIA GULF TRANSMISSION, LLC ("Transporter") and KAfSER MARKETING APPALACHIAN, LLC (''Shipper"). WITNESSETH: That in consideration of the mutual covenants herein contained, the parties hereto agree as follows: Section I. Service to be Rendered. Transporter shall perfonn and Shipper shall receive the service in accordance with the provisions of the effective FTS-1 Rate Schedule and applicable General Tenns and Conditions of Transporter's FERC Gas Tariff, Third Revised Volume No. l ("Tatiff''), on file with the Federal Energy Regulatory Commission ("Commission"), as the same may be amended or superseded in accordance with the mles and regulations of the Commission herein contained. The maximum obligations of Transpot1er to deliver gas hereunder to or for Shipper, the designation of the points of delivery at which Transporter shall deliver or cause gas to be delivered to or for Shipper, and the points of receipt at which the Shipper shall deliver or cause gas to be delivered, are specified in Appendix A, as the same may be amended from time to time by agreement between Shipper and Transpotter, or in accordance with the rules and regtllations of the Commission. Section 2. Tetm. Service under this Agreement shall commence as of April 1, 2017 and shall continue in full force and effect until October 31, 2017. Shipper and Transpm1er agree to avail themselves of the Commission's pre-granted abandonment authority upon termination of this Agreement, subject to any right of first refusal Shipper may have under the Commission's Regulations and Transporter's TmitT. Section 3. Rates. Commencing April l, 2017, Shipper, having been apprised of the availability of a maximum recourse reservation rate for service under this Agreement, has elected to 1'ay a negotiated reservation rate of $0.20/Dth/Day at both Primary and Secondary Points on the Columbia Gulf system, which shall be fixed for the tenn of such intetim finn service, notwithstanding changes that may occur in the maximum recourse rate set forth in the Tariff. fn addition, Shipper shall pay all applicable demand and commodity surcharges applicable specified under Rate Schedule FTS-1, as such may change from time to time. Section 4. Notices. Notices to Transporter under this Agreement shall be addressed to it at 5151 San Felipe, Suite 2500, Houston, Texas 77056, Attention: Customer Services and notices to Shipper shall be addressed to it at Kaiser Marketing Appalachia, LLC, 6733 South Yale, Tulsa OK, 74136 Attention: Don Millica, until changed by either party by written notice.

Section 5. Superseded Agreements. This Service Agreement stlpersedes and cancels, as of the effective date hereof, the following Service Agreement(s): FTS-1 Agreement 165055 Revision 1. Section 6. Credit AnneJi. The credit requirements appended hereto as Attachment A are incorporated herein by reference with full force and effect and are made a part of this Service Agreement as though restated herein vet'batim.
