CONTRACT BY AND BETWEEN JEFFERSON PARISH SCHOOL BOARD AND ISAAC G. JOSEPH UNITED STATES OF AMERICA STATE OF LOUISIANA PARISH OF JEFFERSON ****************************************************************************** fifteen (2015). BE IT KNOWN, that on this day of, in the year of our Lord two thousand BEFORE ME, MICHAEL G. FANNING, a Notary Public, duly commissioned and qualified, in and for the Parish of Jefferson, State of Louisiana, therein residing, and in the presence of the undersigned witnesses: PERSONALLY CAME AND APPEARED: (1) JEFFERSON PARISH SCHOOL BOARD, a political subdivision of the State of Louisiana, appearing herein through its President, Cedric Floyd, acting under the authority of a resolution of said Board adopted at its meeting held on April 15, 2015, a true copy of which is annexed hereto and made a part hereof, and hereinafter designated as Board, and (2) ISAAC G. JOSEPH, a person of the full age of majority and a resident of the Parish of Jefferson, State of Louisiana, hereinafter referred to as Superintendent, both of whom declare and agree as follows: I. TERM The Board hereby employs Isaac G. Joseph as Superintendent for a term commencing May 1, 2015. The existing contract between the parties shall be mutually terminated at the end of the day on December 31, 2016. II. SALARY The Board shall pay to the Superintendent during the initial term of this contract a salary of TWO HUNDRED THOUSAND AND NO/100 ($200,000.00) DOLLARS per annum, payable at a rate of one-twelfth (1/12) thereof monthly. III. STATE SALARY INCREASES The Board agrees to extend to the Superintendent any and all salary increases passed by the Legislature of the State of Louisiana as received during the term of this contract. IV. FRINGE BENEFITS The Superintendent shall accrue one vacation day per month. Prior to his leaving on vacation, or if he leaves the metropolitan area of New Orleans for more than one day, the Superintendent shall notify the President of the Board of his absence and designate a person who shall serve as Acting Superintendent during this period. He shall be allowed to accumulate said vacation in the same manner as is provided for administrative employees of the Jefferson Parish Public School System. The Superintendent shall be entitled to any and all benefits of the sick leave policy of the Jefferson Parish School Board in effect at the time for administrative personnel and shall be entitled to accumulate earned sick leave in the same manner as is provided for such employees by the laws of the State of Louisiana and the appropriate policies of the Jefferson Parish School Board. He shall also be allowed to participate in the Board's Major Medical Plan available to administrative personnel. The Board, in addition to the foregoing payments, shall annually make all employer payments to the Louisiana State Retirement System on behalf of the Superintendent in the same manner as is provided for administrative certified personnel under the appropriate policies of the Jefferson Parish School Board. V. HOLD HARMLESS The Board shall, as part of the consideration of this contract, defend, hold harmless, and indemnify the Superintendent from any and all demands, claims, suits, actions, judgments, and legal proceedings brought against the Superintendent in his individual capacity or in his official capacity, provided the Superintendent was acting within the scope and course of his employment with the Board. He will use the Board attorney as his attorney to defend him in the event a demand, claim, suit, action, judgement or legal proceeding is brought against him as stated above. If the Board, the Superintendent or the Board attorney believe that counsel other than the Board attorney must be retained to defend him, the Jefferson Parish School Board must approve the retention of outside counsel and the hourly rate to be paid said counsel. VI. GOALS AND OBJECTIVES On or before July 1st of each year, the Board and the Superintendent shall agree, in Page 2 of 5
writing, on the goals and objectives for the Jefferson Parish School Board, all of which shall become part of the terms and conditions of this contract as if copied in extenso. VII. EVALUATION OF SUPERINTENDENT Beginning July 2016, the Board shall evaluate in writing the Superintendent's performance for the preceding year. Between July 1 and August 15 of each year, the Superintendent shall receive from the Board written notice of his annual evaluation. The Board shall meet with the Superintendent in executive session to discuss same no earlier than seven (7) days and no later than fifteen (15) days after the Superintendent has received a copy of said evaluation. Said evaluations shall be conducted in accordance with the Open Meeting Laws. Upon an evaluation that is deemed successful by the Board, the Superintendent will receive a five percent (5%) increase in his salary for the remainder of the term of this contract. VIII. AUTOMOBILE AND CELL PHONE The Board shall provide a cell phone and a vehicle for the use of the superintendent, including all gasoline, insurance, and maintenance. The Board also agrees to pay the Superintendent up to SEVEN THOUSAND TWO HUNDRED AND NO/100 ($7,200.00) DOLLARS per year as an allowance for all out-of-pocket business costs incurred while performing his duties. Additionally, all out-of-parish and out-of-state travel expenses incurred for job related travel shall be paid pursuant to the appropriate administrative or Board policies. All such costs under this Article shall be adequately documented. IX. SUPERINTENDENT'S DUTIES The Superintendent shall devote his entire time and faithfully perform all of the duties and responsibilities of his office in accordance with the laws of the United States, the State of Louisiana and the lawful policies and directives of the Board. X. TERMINATION OF CONTRACT A) This contract may be terminated during its term by any of the following: (1) mutual agreement of the parties; (2) retirement of the Superintendent; (3) disability of the Superintendent; (4 ) discharge for cause discussed in paragraph B of this article below; or (5) death of the Superintendent. B) The Superintendent shall be retained during the term of the contract; however, if Page 3 of 5
he is found incompetent, unworthy, inefficient, or is found to have failed to fulfill the terms and performance objectives of his contract or to comply with school board policy, then the Superintendent shall be removed from office as provided by La. R.S. 17:54(B)(3)(iii). Before the Superintendent can be removed during the contract period, he shall have the right to written charges voted on by the Board and a fair hearing before the Board after reasonable written notice. C) Except in the case of an unforeseen event sufficient to justify an immediate resignation, the Superintendent shall give the Board no less than thirty (30) days written notice of his intention to resign under (2) and (3) of paragraph A of this article. XI. CHANGES TO CONTRACT In addition to any of the aforementioned provisions, it is mutually agreed by the parties to this contract that the Board and the Superintendent may at any time modify, amend, or terminate this contract by written mutual consent.
