BY LAW No. 2 A by-law relating generally to the day to day operations of the affairs of the OWEN SOUND REVOLVER CLUB. BE I T ENACTED as a by-law of OWEN SOUND REVOLVER CLUB as follows: 1. Objective: The objective of the club shall be BY-LAW NUMBER 2 i) the encouragement of organized shooting for its members ii) the development of safe handling and use of firearms in a group environment iii) to further the characteristics of honesty, self discipline, team play and good fellowship among shooters iv) to further develop firearms as a lawful sport 2. MEMBERSHIP QUALIFICATIONS: a. all members shall abide by all rules and regulations as set forth by the club b. all members shall pay the required fees as set by the executive c. (Revised 19 th December 2013) a member who has not paid their dues by December 31 st of the current year will be considered A MEMBER I N NOT GOOD STANDI NG and will lose their ATT d. (Revised 27 th April, 2004) all members must complete a period of probation of 90 days and prove competency in the safe use and handling of restricted firearms

(Revised 24 th October 2000) all members shall attend the range on at least two occasions per each calendar year to shoot f. all members shall attend the range on at least one occasion per year to assist with general maintenance and clean up 3. REGULAR MEMBERSHIP - (Revised 25 th May, 2010) shall be limited to maximum number of one hundred and fifty (150) members shall be limited to persons of good behaviour and moral character who are at least 18 years of age shall be limited to those persons who successfully complete the required period of probations and receive a positive recommendation from the club executive 4. PROBATIONARY MEMBERSHIP - shall be limited to a maximum number of ten (10) member - shall be limited to persons of good behaviour and moral character who are at least 18 years of age - shall be limited to those persons who hold a valid Firearms Acquisition Certificate or Firearms Licence as of October 1 st, 1998 - shall be open to individuals who are sponsored and/ or recommended by a regular member(s) in good standing with the club. -3-

5. JUNIOR MEMBERS - shall be open to sons, daughters and wards of regular members in good standing or persons who shall be sponsored and supervised by a regular member - shall be open to individuals who will be under direct and immediate supervision by a regular member (Revised 19 th December 2013) Shall be available to those persons who are the age of 12 through 18 inclusive have written parental approval. shall be limited to those persons who have successfully completed the Canadian Firearms Safety Course and Test and hold a valid Firearms Licence for minors 6. SOCIAL MEMBERS (Rescinded 19 th December 2013) 7. EXECUTI VE OFFI CERS: The President, The Vice President, The Secret ary and The Treasurer In addition to the duties set out in By-Law No. 1 the Executive Officers as aforesaid: a) shall be elected by a simple majority of the membership at an annual general meeting of the club b) shall be elected from the regular membership only c) (Revised 13 th March, 2012) shall serve a minimum of 2 years -4- d) shall if the total membership of the club exceeds 15 regular members

include 3 directors e) shall make decisions on day to day matters and those relating to club policy f) shall make decision on any matters pertinent to club business g) shall provide for appointments to fill vacancies on the club executive and/or board of directors h) shall empower the president and the secretary/treasure with signing authority for financial expenditures and the request for a members authorization to transport restricted firearms if applicable. i) (Revised 5 th May, 2009) that the maximum time a board member can fill a position on the board will be 4 years. j) (Revised 19 th December 2013) that the President, Treasurer, Range Officer and 1 Director are elected on even years and VP secretary and remaining Directors are elected on odd years. 8. The Executive Committee of the Club: a) shall be comprised for the president, vice president, secretary, treasurer and range safety officer b) shall carry out the duties of the executive if a quorum of that body is unable to meet. -5-

9. The Club President: In addition to duties set out in By-Law No. 1 the President a) shall be the chief executive officer of the club b) shall preside over all meetings of the club, the executive and the executive committee c) shall be responsible for the proper functioning of the club and its day to day operations d) shall call meetings as required e) (Revised 13 th March, 2012) shall be elected by the club membership and serve a minimum of two years term 10. The Club Vice President: In addition to the duties set out in By-Law No. 1 the Vice President a) (Revised 13 th March 2012) shall be elected by the membership and serve a 2 year term b) shall in the absence of the club president, preside at all meetings of the club, the executive and the executive committee c) shall perform such duties as are assigned to him/her by the president, the executive and the executive committee. -6-

11. ( Revised 5 th May 2009) to Split the position of Secretary/ Treasurer to be A Secretary and A Treasurer In addition to the duties set out in By-Law No. 1 The Secret ary a) shall keep all files and records of the club b) shall attend to all correspondence, including new issuance and renewals of 1996 authorization to transport for restricted firearms (if applicable) c) (Revised 13 th March, 2012) shall hold the term for two years. 12. (Revised 5 th May 2009) In additional the duties set out in By-Law No. 1 The Treasurer a) shall be responsible for the collection of all membership fees b) shall take charge of the clubs general finances c) shall administer the payment of all expenses as approved by the club executive. d) (Revised 13 th March, 2012) shall hold the term for two years. 13. The Range Safety Officer/ The Firearms Training Officer There shall be a Range Safety Officer /Firearms Training Officer who: a) shall be responsible for the general and specific operations of the range pertaining to range safety b) shall be responsible for the posting and maintenance of warning signs, warning and range safety rules c) shall enforce all range safety rules and regulation without prejudice as approved by the executive and club membership. -7-

d) shall be responsible for general range maintenance and upkeep, as well as the approval of targets and target stands e) shall recommend safety rule changes, as required, to the executive. f) shall perform such duties as assigned by the president, the executive or the executive committee may if circumstances dictate, hold another office on the executive g) shall successfully complete an approved course relating to firearms safety training h) shall be responsible for firearms training delivery to new and probationary member shall recommend safety rule changes, as required, to the executive shall sign for the authorization to transport (restricted firearms) request for those persons who have received firearms training. i) (Revised 19 th December 2013) Range Safety Officer and Firearms Training Officer be made into one position. j) (Revised 13th March, 2012) shall hold the term two years. 15. The Directors: In addition to the duties set out in By-Law No. 1 the Directors: a) shall perform duties as assigned to them by the president, the executive and the executive committee b) shall attend all meeting of the executive as called by the president c) may be removed from office by 2/3 vote of the remaining executive after missing consecutive meetings without satisfactory explanation. d) (Revised 13 th March, 2012) shall hold the term of Director for two years. 16. Meetings: -8-

a) The club year shall be the calendar year. 2. The Annual General Meeting: a) (Revised 19 th December 2013) shall be the Second Tuesday of March at 7.30pm b) shall receive the annual financial reports relating to the clubs activities c) shall receive the reports submitted by the directors and club officers d) shall hold elections for club executive and directors positions for the following year e) shall consider all other business brought forward by the executive, directors or general membership 3) Other General Meetings: a) (Revised 19 th December 2013) Quarterly meetings shall be held on the second Tuesday of June, September, December. b) shall be called by the president of the club upon written request by any five (5) general members in good standing c) shall be called by the president to discuss major renovations or expenditures as required. 4) Executive Meetings: a) shall be called by the president b) shall be held at least 4 times per year with the first meeting being held directly after the general meeting to discuss; 1) the required fees for club initiation (if applicable) 2) the required fees for annual membership -9-

17. GENERAL 3) the required range use and target fees (if applicable) 4) empowerment of the president and secretary/treasurer as signing authority for the club 5) all other general club business and membership concerns. (Revised 30 th May, 2006) Notice of a general meetings shall be provided in writing to all club members in good standing at least 3 weeks prior to the general meeting, including agenda and any motions to be voted upon. Only club members in good standing may vote at any general meeting (Revised 18 th December 2014) A quorum for a general meeting shall be at least 1/4 of the regular members in good standing with the club A quorum for an executive meeting shall be at least ½ of the executive The club executive, directors and officers will carry out their duties without prejudice towards any member of the club or any invited guest The club and its members shall endeavour to operate in a professional manner with main goal being public safety and the safety of its members and guests. 18. Amendments: 1) Amendments to the Letters Patent a) must be received in written draft form by the club executive at least 30 days prior to the annual general meeting b) must be posted in draft form as written, for review by all members prior to the annual general meeting -10-

c) shall become effective only by a majority vote of regular members in good standing who are present at the annual general meeting and upon being accepted by the Corporations Branch of the Ministry of Consumer and Commercial Relations. 2) Amendments to the By-Laws. a) May only be made at the annual general meeting or general meeting of the club b) must be received in written draft form by the club executive at least 30 days prior to the meeting c) must be posted in draft form as written, for review by all members prior to the meeting d) shall become effective only by a majority of regular members in good standing who are present at the meeting e) must comply with the Corporations Act of Ontario Revised and retyped to reflect motions duly made, seconded and carried from October 24 th, 2000 through December 18th, 2014
