FITNESS CLUB CONSTITUTION FA13 Article I Name, Nature, and Purpose Section I This organization shall be known as the Penn State Wilkes-Barre Fitness Club (PSWB-FC). The purpose shall be to create a healthy environment that engages our student body in the pursuit of health and physical fitness; helping students to manage stress and express emotions in a healthy way. The organization and operation of the Branch shall be in accordance with the Constitution and Bylaws of the PSWB-FC. Article II Membership Full membership shall be limited to students of the Penn State Wilkes-Barre campus, who are taking at least 50% of a full-time academic program. Membership shall be free from discrimination based on gender, race, religion, handicap, or sexual orientation. Article III Officers

The Officers shall consist of a President, Vice-President, Treasurer, Secretary and SGA Rep. 1) The President: shall be to preside over all meetings, set agendas for meetings, appoint committees, and serve as the organization s official representative. 2) Vice-President, whose duty shall be to assume the duties of the president in his /her absence, 3) Secretary, whose duties shall include taking minutes of the meetings, maintaining current attendance records, maintaining a schedule of events, and official record keeping for the organization. 4) Treasurer, whose duties shall include recording and monitoring all organization funds, preparing financial reports. 5) SGA Rep., whose duty shall be to represent FC at the SGA s meetings, and informs SGA of FC activities; also, report back the information discussed at SGA meetings to the FC Executive board. Any current active member can run for and hold an Officer position. The term of office shall be one year. Section 4 Elections shall take place the second to last meeting of the Spring Semester. 1) Any member may nominate any fellow member to any office 2) Elections shall be held at the next meeting following nominations, or at a time stipulated by the group. Election to an office shall be based on a simple majority, determined by a secret ballot.

Article IV Executive Committee The Management of the affairs of the Branch shall be in the hands of the Executive Committee, consisting of the duly elected officers of the Branch and the Counselor appointed by the PSWB-FC the Branch Chair shall also chair the Executive Committee. Other committee chairs and appointed Officers shall be ex-officio members of the Executive Committee. The Executive Committee shall be the governing body of the Branch and shall transact all business it deems advisable, including the filling of vacancies in offices, authorization of expenditures, etc. Article V Standing Committees The following Standing Committees or their equivalent shall be appointed by the President. The Program Committee shall prepare the programs for all meetings and shall be responsible for all arrangements for these meetings. The program committee shall be responsible for proper advertisement of each meeting. The President at his or her discretion can create and disband Committees. 1) The President shall set the Committees purpose, and when the Committee has fulfilled its purpose the President can disband it. Article VI Meetings and Attendance

Section 4 The President shall hold regular and special meetings at such places and time as designated by the Executive Board. Attendance is mandatory at all meetings unless excused for a legitimate reason. Should members exceed 3 unexcused absences per semester, the executive board holds the right to strip an individual of membership in the PSWB-FC. Officers attendance is mandatory at all meetings unless excused for a legitimate reason. Should officers exceed 3 unexcused absences per semester, the rest of the executive board holds the right to strip an officer of membership/duties in the PSWB-FC. The branch shall encourage an attendance average greater or equal to fifty percent at club functions by members to be considered an active member. Article VII Service Requirements The PSWB-FC is required to complete two service projects; one community and one campus per year, with at least on each semester. Attendance at service projects is mandatory unless a legitimate excuse is presented. Members who do not complete at least fifty percent of the projects will not be considered an active member of the PSWB-FC Article VIII Amendments The Branch is empowered to adopt Bylaws, which are consistent with this Constitution. In the event of an emergency may occur between meetings, with the advice and consent of at least fifty percent of the executive board, the chair holds the right to take action to carry out such items deemed necessary to uphold the PSWB FC s

mission, provided this item does not conflict with standards, opinions, and procedure of the PSWB-FC This will be in effect until the next meeting held by the branch. The Constitution may be amended by a two-thirds vote of members of the Branch present and voting, provided the amendment have been proposed at least on duly publicized meeting previous to the time of voting and provided that quorum is met. Such amendments become effective only upon the approval of the Executive Committee, but such approval shall not be unduly withheld.
