D. : School of Maritime Business and Management (SMBM) The rapid changes in business environment make companies more relying on financial instruments and international transactions, which raise the importance of the risk reporting issues. Moreover, the major accounting scandals and corporate collapses of the early 2000 s and the global financial crisis of 2008-2009, have attracted increased attention of the risk disclosure and risk management practices. Although risk reporting practices have attracted a great deal of interest, less attention has been paid to empirical research on Corporate Risk Disclosure (CRD), which mostly conducted in developed countries. This study deals with this gap through investigating CRD practices in a developing country with different social, economic, and institutional contexts, namely, the Kingdom of Saudi Arabia. This study specifically focuses on CRD being a unique type of corporate disclosure. Beside the information on opportunities and good news, CRD involves negative information related to hazard, danger, harm, threat or exposure that has already iii

affected the company or may affect the company in the future, which is of great importance for decision-making and rarely provided by other types of disclosure. Saudi Arabia suffers from a lack of transparency and low level of awareness of CRD because corporate governance and CRD practices are still relatively new topics. Saudi financial market is still beginner and less developed and the regulations and governance are still weak with a high concentrated ownership and dominance of controlling shareholders, such as family, institutional, government, and blockholder ownership, which are expected to have significant and mixed effects on CRD. There is no study, so far, investigated CRD practice and its determinants in Saudi Arabia. Therefore, the main objectives of this study are to explore the level and nature of CRD, in addition to investigate the determinants of the level of CRD in the annual reports of the Saudi non-financial listed companies. Using the content analysis, the extent of CRD in the annual reports is measured based on the number of risk-related sentences. Regarding the nature or content of CRD, risk-related sentences are classified into four main quality dimensions, namely, type of risk disclosure (financial and non-financial), form of disclosure (quantitative and qualitative), time frame of disclosure (future and past, present, or non-time-specific), and type of news (bad, good, and neutral). To investigate the influence of corporate governance mechanisms and ownership structure, in addition to firm-specific characteristics on the level of CRD, this study employs the panel data analysis of a sample of 307 annual reports over the period from 2008 to 2011, in addition to the cross-sectional analysis of a sample of 85 annual reports of 2011. iv

The results from the descriptive analysis indicate that Saudi Arabia provides a moderate level of CRD among developed and developing countries. However this level of CRD was found in low quality as it mostly non-financial, qualitative, past, present, or non-time-specific, and neutral. Furthermore, the results from the panel data and the OLS analyses indicate that good corporate governance practice improves CRD in Saudi Arabia as most of the board characteristics and board committees characteristics significantly influence CRD. Moreover, the results show a strong impact of all variables of ownership structure on CRD. Overall, the results confirm the essential role of corporate governance mechanisms proposed by Saudi Corporate Governance Regulations (SCGRs) and ownership structure to influence the agency conflicts in Saudi Arabia through increase (decrease) CRD. This study attempts to fill the gap in the risk literature by providing a comprehensive study on the level and nature of CRD in a developing country, namely, Saudi Arabia. Furthermore, This study extends the risk literature by investigating further aspects of corporate governance mechanisms (e.g., the role of royal family members on the board, the presence of nomination and compensation committees and their characteristics) and ownership structure (e.g., royal family ownership, executive and non-executive directors ownership) on the level of CRD. The results of this study would be of interest to Saudi policy-makers, accounting authorities, market participants, and researchers as well. v

D. : Pusat Pengajian Perniagaan dan Pengurusan Maritim (PPPPM) Perubahan mendadak dalam persekitaran perniagaan menyebabkan syarikat-syarikat lebih banyak bergantung kepada instrumen kewangan dan transaksi antarabangsa, lalu meningkatkan kepentingan isu pelaporan risiko. Tambahan pula, skandal perakaunan besar-besaran dan keruntuhan korporat pada awal abad ke-20 dan krisis kewangan global pada tahun 2008 hingga tahun 2009 telah menyebabkan meningkatnya perhatian terhadap pendedahan risiko dan amalan pengurusan risiko. Walaupun amalan pelaporan risiko telah menarik banyak minat, kurang perhatian diberikan kepada penyelidikan empirikal berkenaan Pendedahan Risiko Korporat (PRK) yang biasanya dijalankan di negara-negara maju. Kajian ini membincangkan masalah ini dengan menyiasat amalan PRK di sebuah negara sedang membangun yang berbeza dari konteks sosial, ekonomi, dan institusi, iaitu Kerajaan Arab Saudi. Kajian ini memberikan tumpuan khusus kepada PRK sebagai sejenis pendedahan korporat yang unik. Selain maklumat mengenai sebarang peluang dan berita baik, vi

PRK melibatkan maklumat negatif yang berkaitan dengan mudarat, bahaya, kecederaan, ancaman atau pendedahan yang telah menjejaskan syarikat atau boleh menjejaskan syarikat itu pada masa akan datang, yakni sesuatu yang amat penting ketika membuat keputusan dan jarang ditawarkan oleh jenis-jenis pendedahan lain. Arab Saudi menghadapi masalah kurang ketelusan dan kurang kesedaran berkenaan PRK kerana tadbir urus korporat dan amalan PRK masih agak baru di negara itu. Pasaran kewangan Arab Saudi masih berada pada peringkat awal dan kurang maju. Selain itu, peraturan-peraturan dan tadbir urusnya masih lemah dengan pemilikan tertumpu tinggi dan dominasi pemegang saham yang berkuasa seperti keluarga, pemilikan institusi dan pemilikan pemegang blok. Setakat ini, masih tiada kajian yang menyiasat amalan PRK dan penentu-penentunya di Arab Saudi. Oleh itu, objektif utama kajian ini adalah untuk meninjau tahap dan sifat PRK, selain menyiasat penentu-penentu bagi tahap PRK dalam laporan tahunan syarikat-syarikat bukan kewangan di Arab Saudi. Dengan menggunakan analisis isi, tahap PRK di dalam laporan tahunan diukur berdasarkan bilangan ayat yang berkaitan dengan risiko. Berkenaan keadaan atau isi PRK, ayat-ayat yang berkaitan dengan risiko berkenaan dikelaskan kepada empat dimensi kualiti utama, iaitu jenis pendedahan risiko (kewangan dan bukan kewangan), bentuk pendedahan (kuantitatif dan kualitatif), rangka masa pendedahan (masa akan datang dan masa lalu, sekarang, atau tanpa masa), dan jenis berita (buruk, baik, nuetral). Untuk menyiasat pengaruh mekanisme tadbir urus korporat dan struktur pemilikan, selain ciri-ciri khusus firma berkenaan PRK, kajian ini menggunakan analisis data panel yang melibatkan 307 buah laporan tahunan dari tahun 2008 hingga tahun 2011, selain analisis kerat rentas yang melibatkan 85 buah laporan tahun bagi tahun 2011. vii

Keputusan daripada analisis deskriptif menunjukkan bahawa, jika dibandingkan dengan negara-negara maju dan membangun, Arab Saudi menyediakan tahap PRK yang sederhana. Namun begitu, tahap PRK ini didapati berkualiti rendah memandangkan kebanyakannya bersifat bukan kewangan, kualitatif, masa lalu, sekarang, atau tiada masa, dan nuetral. Lebih lanjut lagi, keputusan daripada data panel dan analisis kuasa dua terkecil biasa menunjukkan bahawa amalan tadbir urus korporat yang baik meningkatkan PRK di Arab Saudi memandangkan kebanyakan ciri lembaga dan ciri jawatankuasa lembaga amat mempengaruhi PRK. Tambahan pula, keputusan berkenaan menunjukkan kesan yang kuat pada semua variabel struktur pemilikan terhadap PRK. Pada keseluruhannya, keputusan berkenaan mengesahkan peranan penting yang dimainkan oleh mekanisme tadbir urus korporat dan struktur pemilikan dalam mempengaruhi konflik agensi di negara Arab Saudi dengan meningkatnya (menurunnya) PRK. Kajian ini bertujuan untuk mengisi jurang dalam bidang kajian risiko dengan menyediakan satu kajian menyeluruh mengenai tahap dan sifat PRK dalam sebuah negara membangun, iaitu Arab Saudi.
