Lake Spokane Elementary PTN Bylaws Article I- The name of this organization is Lake Spokane Elementary Parent Teacher Network. It will be referred to in these bylaws as the LSE PTN. Section 1- The purposes of the LSE PTN are Article II- Purpose a. To promote the welfare of children and youth in home, school, community, b. To bring into closer relationship between the home and the school, so that parents and teachers may cooperate intelligently in the education of children and youth, and c. To develop between educators and the general public such united efforts as will secure for all children and youth the highest advantages in physical, mental, social, spiritual, and educational wellbeing. Section 2- The purposes of the PTN are promoted through an advocacy and educational program directed toward parents, teachers, and the general public; developed through conferences, committees, projects, and programs; and governed and qualified by the basic policies set forth in Article III. Section 3 The organization is organized exclusively for the charitable, scientific, literary, and educational purposes within the meaning of Section 501(c) (3) of the Internal Revenue Code or corresponding section of any future federal tax code. Article III Basic Policies The following are basic policies of the LSE PTN: a. The organization shall be noncommercial, nonsectarian, and nonpartisan. b. The organization shall work with the schools and community to provide quality education for all children and youth, and shall seek to participate in the decisionmaking process establishing school policy, recognizing that the legal responsibility to make decisions has been delegated by the people to boards of education, state education authorities, and local education authorities
e. c. The organization shall work to promote the health and welfare of children and youth, and shall seek to promote collaboration among parents, schools, and the community at large d. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to, its members, directors, trustees, officers, or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered, and to make payments and distributions in furtherance of the purposes set forth in Article II hereof. LSE PTN is to retain copy for file and a copy of providers insurance. Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on (i) by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or (ii) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code. Reimbursement form must be submitted with an original receipt and within 30 days. f. Upon the dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to one or more nonprofit funds, foundations, or organizations that have established their tax exempt status under Section 501(c) (3) of the Internal Revenue Code and whose purposes are in accordance with those of LSE PTN. g. The organization or members in their official capacities shall not, directly or indirectly, participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office, or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise h. 51% present to be a quorum i. Two LSE PTN offices are to verify all monies collected prior to a deposit. j. NSF checks policy: A letter will be written to the payer of the NSF written to the LSE PTN. The letter will contain a copy of the returned check along with a request or the amount and any fees by the bank. The original check will be returned to the payer upon receipt of payment. k. Any officer or chair person who shall be absent more than two consecutive meetings (Except in case of emergency or illness) shall automatically forfeit office. l. Any new request must be made to the president at least 10 days prior to the next board meeting via written or emailed request. Additionally included in your request should be the topic of your request and the length of time needed to make your presentation.
m. Any items, prizes, candy, food, etc. remaining after any LSE PTN event will be the property of the LSE PTN. Remaining perishable items may be disbursed by present volunteers as deemed appropriate. No board members, committee chair persons, or volunteers will disperse any nonperishable property of the PTN's to any individuals, of keep any nonperishable PTN property for themselves. The PTN board will decide how any remaining nonperishable; tangible items will be dispersed after each event. n. Reimbursements; see example form below: Article IV- Members Section 1- Membership in PTN shall be open, without discrimination, to anyone who believes in and supports the mission and purposes of LSE PTN. Article V- Governance Structure Section 1- No one shall serve more than one full term in the same position, unless no other candidate can be recruited. Section 2- anyone who serves in a position for more than one-half (1/2) of a full term shall be deemed to have served a full term in such position. Section 3- Those committing a conflict of interest by supporting only those activities or events that benefit themselves, their children, and/or personal interests or failing to fulfill the responsibilities of their positions shall be removed according to the basic policies of the board of officers. Section 4- Only those who have consented to serve shall be nominated or appointed. Section 5- Diversity, PTN participation, and/or professional expertise shall be guiding principles when making nominations or appointments.
Article VI- Officers Section 1-The officers of the LSE PTN shall be a president, a vice-president, a secretary, and a treasurer as well as additional officers if needed. Section 2-Officers shall be elected by the voting body at LSE PTNs annual year-end meeting. Section 3- The LSE PTN shall nominate one candidate for each elective office. Nominees must have given thirty (30) days notification before the beginning of the May meeting to accept or deny their nomination. Section 4- The vote shall be conducted by ballot and/or a majority vote shall elect. When there is only one candidate for any office that election may be held by voice vote. Section 5- The general provisions for eligibility for office are described in Article VI. In addition, the following shall apply: 1. Only those who have served as an active LSE PTN member during the current year shall be eligible for nomination or election to office. Section 6- Elected officers shall take office at the close of the school year at which they are elected and shall serve a term of two terms, or until their successors take office. Officers shall serve no more than one (1) term in the same office. Section 7- Vacancies shall be filled as follows: In case of a vacancy in the office of president, the president-elect shall become president and shall hold office for the balance of the term. In filling the vacancy, the president-elect shall be entitled to continue in the presidency for the following term providing not more than one-half (1/2) of a full term as president has been served. The vacancy in the office of president-elect shall be filled at the next convention by the voting body. In the interim, duties of the vice-president shall be delegated by the president. A vacancy in the office of secretary-treasurer shall be filled by the board of directors. The vote shall be by ballot. When there is only one (1) candidate for the vacancy, the election may be by voice vote. A majority vote shall be required for election if at least ten
(10) days notice of the election to fill the vacancy has been given. If notice is not given, the election to fill the vacancy all require a two-thirds (2/3) vote. Article VII- Duties of Officers Section 1- The president shall 1. Coordinate the work of the officers and committees of the organization in order that the objectives may be promoted 2. Confirm that a quorum is present before conducting any business at any meeting of the organization. That a 51% quorum of board officers is present. 3. Preside at all meetings of the association 4. Preside at all LSE PTN school events. In the event the President cannot attend then the Vice-President or other PTN officer will assist 5. Appoint chairmen of special committees subject to approval of executive board 6. Be authorized to sign on bank accounts 7. Call a meeting of officers for the purpose of selecting standing committee chairmen 8. Perform such other duties as may be prescribed in these bylaws or assigned by the organization Section 2- The Vice-President shall 1. Act as aide-to-the-president 2. Preside in the absence of the President 3. Perform other duties assigned by the President or association 4. Be authorized to sign on bank accounts Section 3- The Secretary shall 1. Record the minutes of all meetings of the LSE PTN and post minutes to the school website 2. Have a current copy of the bylaws 3. Maintain a membership list 4. Perform other duties as assigned by the President or association 5. Be authorized to sign on bank accounts
Section 4- The Treasurer shall 1. Have custody of all the funds of the board 2. Keep books of account and records including bank statements, receipts, budgets, invoices, paid receipts, and canceled checks for five years 3. Make disbursements in accordance with the budget adopted by the association 4. Sign on bank accounts 5. Present treasurers report at each meeting and to be displayed per request 6. Make a summery at the annual meeting to be held in May 7. Be responsible for the maintenance of such books of accounts and records as conform to the requirements of these bylaws 8. Submit books to the accountant per request. 9. Perform other duties as assigned by the President or association Article VIII- Meetings Section 1- Regular meetings of the LSE PTN shall be held the 2nd Tuesday of each month. The time and date are to be established by the executive board at its first meeting of the year. Five days notice shall be given if change of date is needed. Section 2- Special meetings of the association may be called by the President or a majority of the executive board, five days notice having been given. Section 3- The officer nomination meeting shall be held in April Section 4- The election and annual meeting shall be held in May Section 5- Adhere to Roberts Rules Of Order Section 6- bylaws may be amended at the annual bylaws review meeting to be held prior to September of each new school year. Section 7- Members may submit a written notice to the board formally addressing any questions or concerns
