Temple Longhorn Riding Club Organized October 18, 1951 Articles of Association WE the members of the Temple Longhorn Riding Club have associated ourselves for the purpose of forming a riding club to promote and encourage public interest and good sportsmanship and citizenship through horsemanship. To establish a foundation that is both educational and instructive for children and adults, to promote the acquaintance and friendship of members and non-members alike. ARTICLE I: The name of this Association is the Temple Longhorn Riding Club and shall be conducted and operated as an organization and all activities cooperative in character for the mutual benefit of its members. Article II: Temple Longhorn Riding Club should be governed by the by-laws of the Temple Longhorn Riding Club. The rules contained in the current edition of the Robert's Rules of Order shall govern the association in all cases to where they are applicable. Article III: Temple Longhorn Riding Club Arena is located at 4788 Hwy 95 Temple Texas 76503 Mailing address is P O Box 1944 Belton, TX. 76513 Article IV: These articles shall be indefinite unless otherwise determined by a majority vote of the current Officers/Board of Directors of the club. Article V: A.) The governing board of this club will be Officers and Board of Directors, which must not be less than 8 and may be in number in excess thereof, one term of office shall be for a two year period with no more than 2 consecutive terms (total 4 years) in a said position. B.) The president, if not re-elected will automatically remain on the Board of Directors, for the following term and the directors whose term is expired is eligible for re-election along with other nominations. C.) All directors should attend all general membership and all directors meetings. If a director misses two consecutive meetings without legitimate excuse, he/she is automatically replaced by a majority of votes at the next regular monthly meeting. Does not include emergency meetings.

Article VI: Any changes to Article of Association and By-Laws of the Temple Longhorn Riding Club must be presented to the Officers/Board of Directors and then to the membership at a regular monthly meeting and given appropriate discussion. The Temple Longhorn Riding Club does hereby adopt the following code of By-Laws as By-Laws of the said association Section 1: The Officers of this club shall be a President, Vice President, Secretary, Treasurer, and Sergeant of Arms and a maximum of (3) other Directors. Section 2: The duties of the officers of the association shall be as follows: President: The president shall be the chief executive officer and preside over all regular membership meetings, and Board of Director meetings, without vote unless in case of a tie vote, he/she shall cast the deciding vote. He/She shall appoint all committees, unless by a vote of the membership the committee shall be appointed by the recommendation of Membership. The President shall have the authority to call special meetings at any time necessary to transact the business of the club, and upon his/her inability or failure to do so, when requested in writing by majority of the Board Members, the Vice-President shall call such meeting and preside even through the President present. The President will be responsible for the enforcement of the bylaws and rules of the club along with the assistance of the Sergeant of Arms. He/She will call the roll of Officers and Directors. Vice-President: The Vice-President shall perform all duties of the President in the latter's absence or inability, provided that upon death, resignation, or in ability of the President to act the Board of Directors may declare the office vacant and elect a President. He/She will also serve as a member of the Board of Directors. Secretary: The Secretary shall perform duties such as document and keep minutes of the meetings of the general membership and the directors meetings, minutes are to be kept in an orderly manner and housed in binder that will be delivered to each individual who follows in this office, maintain membership roster, complete with name, address, phone number and distribute membership roster to all paid members, maintain other club records deemed by President, be responsible for club correspondence as directed by President, be responsible for notices of club meetings, be responsible for advertisement of club functions in media. He/She will also serve as a member of the Board of Directors.

Treasurer: The Treasure shall keep all monies of the club and shall pay the same out upon authority of the Board of Directors, and shall make monthly report or as often as requested by the President upon recommendation from the Board of Directors. The Treasurer shall have authority to pay outstanding bills, not in excess of five hundred dollars ($500.00), with two (2) signatures or in the absence of both authorized signatures one (1) signature and initials from one (1) Officer/Board of Directors. The Treasurer shall furnish the Secretary with a written report at monthly meetings and an audited report at the end of each year to be filed as permanent record of the club. The treasurer shall also brief the Board of Directors of any transactions since the previous month to include any current bills. Treasurer will also serve as a member of the Board of Directors. Sergeant of Arms: The Sergeant of Arms is responsible for order of all club meetings and events; He/She is also the chief mediator in deciding issues between members in accordance to Temple Longhorn Riding Club by-laws. The Sergeant of Arms will also head the conduct committee with three (3) other Board of Directors or five (5) members of General Membership to decide on disciplinary actions. He/She will also serve as member of Board of Directors. Board of Directors: The Officers and Board of Directors shall be the governing Board of the club, and shall be responsible for the operation of the club and shall have the final jurisdiction as to the spending and investment of the monies of the club. A quorum of the Board of Directors shall consist of a majority of the Board of Directors and shall be sufficient to transact the business of the club. The Board of Directors may appoint such committees as from time to time in their opinion shall be necessary for the proper management and conduct of the affairs of the club, provided that no committee shall have the power to bind the club to payment of money unless previous authority has been given to the committee. Auditing Monies Section 1: Auditing/Year A.) This club shall conduct its affairs on a calendar year basis, beginning January 1st and ending December 31 st of any year. The treasure shall submit an itemize statement at the end of the year to be presented to the executive board for approval at the February meeting. B.) The books shall be audited by a committee, which will be appointed by the president, no later than the February meeting, with the treasurer who prepared the statement present.

Membership Rules 1.) Membership New members shall be admitted to the club upon the following: a.) Written Application is completed and turned into club Secretary b.) Club dues paid in full A family membership has one (1) vote per parent or guardian. All members while in good standing shall have equal rights, interests and responsibilities with respect to the club. A family unit shall be defined as mother, father, or legal guardian(s), and all unmarried children living as one household. Grandchildren may ride under their grandparent s membership if parents of the child are not members with the club. In the event a person leaves his/her immediate family, either by marriage, divorce, or for any reason creates a new household, he/she shall file a new application for membership with the club. Club member s children, 18 years of age or older, must have their own membership to, hold office or be on the Board of Directors. c.) The Temple Longhorn Riding Club is an equal opportunity association, although we do have the right refuse membership to any persons with a majority vote of the Board of Directors. 2.) Dues a.)the annual dues shall be $100.00 per single or family unit. The membership dues are payable on or before December 31st. Dues not paid by January 1st would be considered as a new member. Membership dues may be paid at any time during the year, however are based upon a calendar year from January 1st-December 31st. b.) A member will have to attend 25% of meetings per year, in order to have any voting privileges. c.) Proof of a current negative Coggins report is required for each horse, that will be on the TLRC property is required with the membership papers. 3.) Resignation Member Resignation a.)upon resignation or dismissal of an individual member/member family for any reason other than dissolution of the club, no monies paid for dues will be refunded nor any further reimbursements made. 4.) Membership Meetings a.) Membership meetings shall be held the 3 rd Monday at 7pm of each month unless otherwise decided by the general consent of the club. The Officer and Directors will meet on the same night as regular meetings unless otherwise decided upon by the Directors. b.) Election of Officers and Directors will be at the first regular business meeting of the club in December of each year. The Officers and Directors membership dues must be paid current for the year to serve. Nomination of candidates for office will be

from the floor during the previous business meeting held in the months of September thru November. All nominations will be open until determined by the presiding officer, at which time no other nominations are obtainable. Voting will be by written ballot with only one vote per membership of an adult 18 & over, unless there is only one candidate for the office, and then elected by acclamation. The candidate receiving the most votes will be declared the winner. The President shall appoint a committee of three (3) to act as tabulating committee for election. c.) The first meeting in December shall be conducted as regular meeting until after the election of officers, at which time, if the case be, the new officers shall take over and conduct a short business meeting. d.) The terms of office for the Officers and Board of Directors will be two (2) years and staggered as follows: Vice President, Treasurer, BOD #6 and BOD #8 will be on terms will end at the end of even numbered years. President, Secretary, BOD #5/ Seargeant of Arms and BOD #7 will be terms will end at the end of odd numbered years. 5.) CONDUCT a.) A club member shall at all times conduct himself/herself in a manner so as not to cast any negative reflection upon the club. A member shall not use abusive profane language, use of alcoholic beverages, display disorderly conduct, abuse, mistreat or cause injury to any animal, member or non-member on club property or during club functions, fail to pay dues. No member should speak in a negative, derogatory, sarcastic, hateful, vengeful manner against another member or nonmember. Any non-member who misbehaves will be asked to leave the property and depending on the severity of rule breaking may be asked to never return. Any misconduct of member(s) will be investigated by the Sergeant of Arms and a committee of three (3) officers and or five (5) members of general membership. If so decided, the secretary will be instructed to notify individual(s) concerning results of investigation. Probation time will be determined by committee or termination of membership which will be permanent. Those members concerned have ten (10) days in which to file an appeal to be heard by the membership at the next general membership meeting. The membership decision is final with no refund of money. Article VII CLUB DISSOLUTION Dissolution, any proposal for dissolution will be discussed by the club membership. Majority vote must decide dissolution and balance of assets will be disposed of by a majority vote of the members attending said meeting. Proceeds, if any, will be decided upon whom to pay with final vote of members.

Temple Longhorn Riding Club Arena Rules 1. Ride at your own risk 2. No alcohol will be allowed on premises. 3. Arena Lights must be off by 12:00 am CST nightly not to be turned back on until the following evening. 4. Pick up after yourself, your trash and personal items left behind 5. Please be courteous when riding and others are riding it s a club arena so we need to share it with other members 6. A non horse owning, non competing, guest may ride when accompanied by a club member. Special circumstances may be brought before the board for consideration. 7. Barrels must be placed 15 foot off the stakes 8. All vaccinated dogs must be kept on a leash at all times. 9. If you make holes in the arena you will need to drag or rake the arena you may do so by hooking the drag to your truck and dragging the arena, however we will not be responsible for any damages to your vehicle. 10. Proof of Negative Coggins is required on ALL horses on the premises at the arena. 11. Any repairs needed or emergencies at the arena must be reported to the president or secretary. 12. No one under the age of 18 will be allowed on TLRC premises without being accompanied by a parent or guardian who must be present at all times when minor is on property 13. Speed limit around the arena and in the drive way is 10mph. 14. Arena is for use with your horses only unless club sponsored event, it shall not be used for a playground when you are done riding the lights need to be turned off. 15. The gate should remain shut except during events. Any violation of these rules will be dealt with by the officers and Board of Directors.
