Code 27383 FOR VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, the CITY OF SIGNAL HILL, as Successor Agency to SIGNAL HILL REDEVELOPMENT AGENCY, a public body, corporate and politic ( Grantor ), hereby remises, releases and forever quitclaims to the CITY OF SIGNAL HILL, a public body, corporate and politic ( Grantee ), that certain real property legally located at 2621 St. Louis Avenue in the City of Signal Hill, California (APN. 7212-014-911) and legally described in Exhibit A attached to and incorporated herein by reference ( Property ). RECITALS: A. In 2011, the Signal Hill Redevelopment Agency ( Redevelopment Agency ) originally acquired the Property (APN. 7212-014-911) on March 20, 2011 pursuant to that certain Grant Deed dated April 23, 2011 and recorded on May 20, 2011 as Instrument No. 20110710858 in the Official Records of Los Angeles County, California ( Original Grant Deed ). B. Pursuant to Assembly Bill 1X 26, enacted on June 28, 2011, and Assembly Bill 1484, enacted on June 27, 2012, (collectively the Dissolution Act ), the Redevelopment Agency was dissolved on February 1, 2012. C. Pursuant to the Dissolution Act and by adoption of Resolution No. 2012-01-02, on January 17, 2012, the City of Signal Hill became the Successor Agency to the Redevelopment Agency ( Successor Agency ) upon the Redevelopment Agency s dissolution. D. On February 20, 2015, the California Department of Finance ( DOF ) approved Successor Agency s Long Range Property Management Plan ( LRPMP ). E. The passage of Senate Bill 107 in September 2015 permitted successor agencies with an approved LRPMP to amend their LRPMP solely to allow for the retention of real property that constitutes parking facilities and lots dedicated solely to public parking for governmental use, pursuant to Health and Safety Code 34181. F. On February 23, 2016 the Successor Agency amended its LRPMP to permit the conveyance of the Property to the City ( LRPMP Amendment ) which was approved by Successor Agency Resolution 2016-02-34 and subsequently approved on May 26, 2016 by the Oversight Board by Resolution No. 2016-05-24 (jointly the LRPMP Amendment Resolutions ). G. The LRPMP Amendment and the LRPMP Amendment Resolutions were forwarded to the DOF which approved the LRPMP Amendment as evidenced by that certain letter dated July 1, 2016, a copy of which is attached hereto as Exhibit B and incorporated herein by reference ( DOF Approval ). 01002.0012/327928.1 1

NOW, THEREFORE, Grantor quitclaims and conveys the Property to Grantee subject to all easements, rights-of-way, covenants, conditions, restrictions, reservations, and all other matters of record and subject to the following: 1. Conveyance pursuant to LRPMP Amendment. The Property is conveyed by Grantor in accordance with the LRPMP as amended by the LRPMP Amendment which was approved by the LRPMP Amendment Resolutions and the DOF Approval. 2. Covenants, Conditions, Restrictions and Agreements. 2.1 Condition of Property. Grantor conveys the Property to Grantee and Grantee accepts the Property in AS IS condition with no warranties, expressed or implied, as to the environmental or other physical condition of the Property, the presence or absence of any patent or latent environmental or other physical condition on or in the Property, or any other matters affecting the Property. 2.2 No Discrimination or Segregation. Grantee covenants and agrees that the Property is subject to the following covenants, conditions and restrictions: (a) Standards. There shall be no discrimination against or segregation of any person or group of persons, on account of any basis listed in Government Code 12955 (a) or (d), as those bases are defined in Government Code Sections 12926, 12926.1, 12955(m), 12955(p)(1), and 12955.2, in the leasing, subleasing, transferring, use, occupancy, tenure, or enjoyment of the Property nor shall Grantee or any person claiming under or through it establish or permit any such practice or practices of discrimination or segregation with reference to the selection, location, number, use, or occupancy, of tenants, lessees, sublessees, subtenants, or vendees in the Property. (b) Interpretation. Notwithstanding Section 2.2(a), with respect to familial status, Section 2.2(a) shall not be construed to apply to housing for older persons as defined in Government Code Section 12955.9. With respect to familial status, nothing in Section 2.2(a) shall be construed to affect Civil Code Sections 51.2, 51.3, 51.4, 51.10, 51.11, and 799.5, relating to housing for senior citizens. Civil Code Sections 51(d) and 1360 and Government Code Section 12955(n), (o) and (p) shall apply to Section 2.2(a). 2.3 Running with the Land. Each covenant, condition, restriction and agreement contained in this Deed shall run with the Property and is for the benefit of Grantor (and any legal successor thereto). In the event of any breach of any such covenant, condition, restriction and agreement, Grantor (and any legal successor thereto) has the right to exercise all of the rights and remedies, and to maintain any actions at law or suits in equity or other proper proceedings, to enforce same. 2.4 Interpretation. Each covenant, condition, restriction and agreement in this Deed shall be construed liberally in favor of giving it full force and effect in favor of Grantor (or its legal successor).
