Constitution Article I Name A) The name of this organization, which is chartered and authorized through the Sovereign Grand Inspector General of the Orient of Alabama, Ancient and Accepted Scottish Rite shall be known as: The Knights of Saint Andrew. Article II Purpose A) The Knights of Saint Andrew shall exist for the purpose of being a service organization to all members of the Valley of Huntsville to promote Scottish Rite Masonry and Masonic good will within the Tennessee Valley. Article III Statement of Allegiance A) This Constitution shall never be interpreted as conflicting with, or superseding the allegiance of Scottish Rite Masons to the Sovereign Grand Inspector General for the Orient of Alabama, his appointed Personnel Representative, the Huntsville Scottish Rite Bodies, or the Supreme Council of the 33rd Degree, S. J., USA. B) The Knights of Saint Andrew shall remain under the auspices of the Valley of Huntsville Personal Representative to the Sovereign Grand Inspector General of Alabama, hereinafter referred to as the Grand Knight and/or his designee. Constitution Article IV Membership Section 1 -Charter Members A) For the purpose of establishing the initial membership of the Knights of Saint Andrew, and to assist in its formative process, the Grand Knight and appointed committee shall select Charter Members of the Knights of Saint Andrew from among the eligible membership of the Valley of Huntsville. Section 2 Regular Members A) Regular members shall be taken exclusively from the Regular Membership of the Valley of Huntsville Scottish Rite and who are 32nd Degree Scottish Rite Masons and are not, as of the date of their application for membership, members of the 32nd Degree Knight Commander Court of Honor. Section 3 Other Membership Types A) The Personal Representative to the Sovereign Grand Inspector General of Alabama hereinafter referred to as the Grand Knight and/or his designee shall be Honorary Members. B) Other types and designations of Knights of Saint Andrew members, and the process of their selection and initiation, shall be set forth in the bylaws of the Order. PAGE 5

Article V Officers and Elections Section 1 Officers Constitution A) The Grand Knight shall be an ex-officio officer of the Knights of Saint Andrew. B) The other officers of the Knights of Saint Andrew shall consist of the following elected officers: 1. 1st Knight 2. Grand Councilor 3. Knight Keeper of the Realm C) The 1st Knight in consultation with the Knight Grand Orator and Knight of the Watch shall appoint four Knights from the council to serve as: 1. Knight Grand Orator The voice and spokesman of the realm 2. Knight of the Watch Direct all performers in the ceremonies and rituals of the realm 3. Knight of Merriment Coordinates all outside activities 4. Knight of Heraldry and Regalia Responsible for the history and regalia of the realm. Section 2 Officer Elections A) The officers shall be elected and appointed in the manner set forth in the bylaws. PAGE 6

Article VI Meetings Section 1 Stated Meetings A) Stated meetings shall be held in the manner set forth in the bylaws. Section 2 Special Meetings A) 1st Knight may call special meetings at such times and places as are convenient and expedient. B) The Grand Knight may, at his convenience and through the 1 st Knight, call such special meetings he deems appropriate. Article VII Bylaws Constitution Section 1 Presentation of Amendments A) The membership may prepare, present, and ratify bylaws as shall be deemed appropriate. Section 2 Ratification of Amendments A) Amendments to the bylaws shall require a two-thirds majority of members present. B) Notice of proposed amendments shall be presented to the membership at the Stated Meeting prior to the vote on any changes to the bylaws. PAGE 7 PAGE 7

Constitution Article VIII Constitutional Amendments Section 1 -Presentation of Amendments A) Any proposed constitutional amendment must be: 1. Submitted to the Secretary of the Order in writing. 2. Must be signed by at least three Regular Members. 3. Presented to the Secretary of the Order in sufficient time to be placed on the agenda for the stated meeting prior to the meeting at which the vote is taken Section 2 Ratification of Amendments A) The Secretary/Treasurer shall notify all Regular Members, the Grand Knight and his designee at least thirty days prior to any vote to amend the Constitution B) Said notification shall be in writing, include a copy of the proposed amendment(s) and delivered by U.S. mail. C) This Constitution may be amended provided that: 1. A quorum of Regular Members is present 2. The issue is passed by a two-thirds vote Section 3 Nullification of Amendments A) No adopted amendment shall be effective if such amendment shall subsequently be rejected by the Grand Knight of the Knights of Saint Andrew. Bylaws Preamble As it is the stated purpose of the Knights of Saint Andrew to work diligently for our Brethren of the Scottish Rite, we, the Membership of the Knights Commander of Saint Andrew of the Valley of Huntsville Scottish Rit~ declare that these bylaws must always conform to, and never be in violation of, the statutes of the Supreme Council of Ancient and Accepted Scottish Rite of Freemasonry for the Southern Jurisdiction of the United States of America. Article I Membership Section 1 Regular and Charter Membership A) Regular Membership in the Knights of Saint Andrew, Huntsville Valley, will be composed exclusively of members in good standing of the Huntsville Valley of the Ancient and Accepted Scottish Rite of Freemasonry who are not, as of the date of their application, members or designates of the 32nd Degree Knight Commander of the Court of Honor or 33rd Degree. B) Members initiated into the Knights of Saint Andrew prior to 1 January 2004, shall be designated Charter Members. Section 2 Ex-Officio Membership A) The Grand Knight of the Huntsville Scottish Rite Bodies and his designee advisor to the Order shall be Ex- Officio Members of the Knights of Saint Andrew. Section 3 Honorary Membership A) If at any point in time a member of the Knights of Saint Andrew is invested with the rank of the 32 PAGE 9

PAGE 10 Bylaws Knight Commander of the Court of Honor, such member shall forfeit his Regular Membership in the Knights of Saint Andrew, automatically continuing an Honorary Member B) The Regular Membership of the Knights of Saint Andrew may distinguish members of the Huntsville Valley who are 32 Knight Commander of the Court of Honor or 33 as Honorary Members of the Knights of Saint Andrew. C) Honorary Membership selection will be made through nominations made by the 1st Knight and a majority vote of the Regular Membership of the Knights of Saint Andrew. Section 4 New Membership A) Membership in the Knights of Saint Andrew shall be open to any 32 Master of the Royal Secret who has not received 32 Knight Commander of the Court of Honor, and is in good standing with the Valley of Huntsville. Section 5 Officer Election and Appointment A) The officers of the Knights of Saint Andrew shall be composed of the following positions: 1. 1st Knight of the Order 2. Grand Councilor 3. Knight Keeper of the Realm 4. Secretary & Treasurer 5. Knight Grand Orator 6. Knight of the Watch 7. Knight of Merriment 8. Knight of Heraldry and Regalia B) During the Stated Meeting immediately prior to the start of each new year, the membership of the Knights

of Saint Andrew by secret ballot shall elect the following incoming officers: 1. Knight of the Order 2. Grand Councilor 3. Knight Keeper of the Realm 4. Secretary & Treasurer C) Prior to a Knight of Saint Andrews being elected to the office of 1st Knight, he must have served in at least one of the following officer positions: 1. Grand Councilor 2. Knight Keeper of the Realm 3. Secretary / Treasurer D) The following Officer's shall be appointed by the 1 st Knight in consultation with the Grand Councilor and Knight Keeper of the Realm, and shall serve at the pleasure of the 1 51 Knight: 1. Knight Grand Orator 2. Knight of the Watch 3. Knight of Merriment 4. Knight of Heraldry and Regalia Section 6 Membership Requirements A) Annual Dues 1. In order to retain membership in the Knight of Saint Andrews, Regular Members will be required to annual dues of $10.00 2. Honorary, Emeritus and Ex-Officio members shall not pay dues. B) Initiation Fee Bylaws 1. Initiation Fees $65 PAGE 11

A) Dress Bylaws 1. All Members of the Knights of Saint Andrews will appear at meetings in the following dress at Stated Scottish Rite and Knights of Saint Andrews. 2. Scottish Rite Stated Meeting -Black blazer, khaki pants, white button down long or short sleeve shirt, black tie, unornamented Knight of Saint Andrews fly plaid, and black 32nd Degree cap. 3. Dispensation may be granted by 1st Knight when notified of just cause for the member's lack of proper attire at an upcoming meeting. Article II Meetings Section 1 Stated Meetings A) The Knight of Saint Andrews shall hold Stated Meetings no fewer than four (4) times per year. B) Stated Meetings will be held at a time and location specified by the 1st Knight and with the concurrence of the Grand Knight. Section 2 Special Meetings A) The 1st Knight may call special meetings at such times and places as are convenient and expedient. B) The Grand Knight may, at his convenience and through the 1st Knight, call such special meetings he deems appropriate. Section 1 Officer s Meetings PAGE 12

Bylaws A) An Officers meeting shall be held in the thirtyday period prior to the beginning of each Scottish Rite Reunion. B) The1 st Knight may call additional Officer Meetings he deems appropriate to facilitate the business of the Order. C) Banquets and Knighting Festivals: A banquet shall be held in the month of the anniversary of the battle of Bannockburn and the observance of Saint Andrew's day. Article III Conduct of Meetings A) All meetings of the Knight of Saint Andrews shall be conducted in accordance with Roberts Rules of Order and prudent Masonic decorum with the following provisions: 1. Officer Meetings: The 1 st Knight may, as he deems appropriate, suspend such rules to facilitate active and open communications, and resolve issues by consensus. 2. Banquets and Knighting Festivals: Activities at all banquets and Knighting Festivals will be conducted with prudent Masonic decorum. Article IV Annual Budget A) The incoming 1st Knight shall present an annual budget to the Regular Membership immediately following his installation. B) The presented budget shall be approved by a majority vote of the Regular Membership. C) This budget shall be presented to the Grand Knight for final approval. PAGE 13

Article V Resignation A) Any dues paid Regular, Emeritus, or Charter Member may resign or demit from the Knight of Saint Andrews upon written notification to the Knight Keeper of the Realm. B) If a Regular member of the Knight of Saint Andrews does not participate in the Order's activities for a period of twelve months, and cannot be located, he will be considered voluntarily demitted. C) Article VI Suspension and Expulsion Section 1 Nonpayment of Dues A) A member shall be suspended for nonpayment of dues at the end of the second year for which dues are delinquent. B) A member shall also be suspended from the Knight of Saint Andrews if he is suspended from the Huntsville Valley of the Ancient and Accepted Scottish. Section 2 Expulsion Bylaws A) A member shall be expelled from the Knight of Saint Andrews Cross if he is expelled from the Huntsville Valley of the Ancient and Accepted Scottish Rite. Article VII Financial Obligations and Administration A) No debt shall be contracted in excess of the amount of the assets of the Knight of Saint Andrews Cross PAGE 14

Bylaws B) All expenditures will require the approval of the 1st Knight. C) The Secretary / Treasurer shall present a report on the status of financial expenditures and assets at each Stated Meeting. D) Any officer(s) elected at such meetings shall serve from the time of election to the next meeting regular election and installation. Article VIII Removal from Office of Elected or Appointed Officers A) The Huntsville Valley, Personal Representative of the Sovereign Grand Inspector General for the State of Alabama shall have the authority to remove from office and declare vacant any office when it shall be deemed in the best interest of Scottish Rite Masonry. B) The Huntsville Valley, Personal Representative of the Sovereign Grand Inspector General for the State of Alabama shall have the authority to instruct any Officer of the Knights of Saint Andrew to call a special meeting of the Regular Membership for the purpose of holding a special election to select any officer or officers to succeed any who may have been removed from office. C) Any officer(s) elected at such meetings shall serve from the time of election to the next meeting regular election and installation. PAGE 15
