TERMS AND CONDITIONS FOR EXECUTION OF AGREEMENT BETWEEN THE LICENSEE AND THE ESI CORPORATION 1. That the shops are situated at ESI Colony, Sector-56, Noida (U.P.) in the Staff Colony which is a newly constructed building. Therefore, the said building is exempted from the preview of U.P. Urban Building (Regulation of letting Rent and Eviction) Act of 1972. 2. That the shop is given on license basis over which the licensee shall have the title or right in the shop whatsoever except till such time as required by the ESI Corporation and the licensee undertakes to remove all his effects from the said shop on the expiry of agreement or on the revocation of the license and the Corporation will have the right to enter into the shop without any resistance from the licensee and in such event the licensee shall pay upto date water charges, sewer charges, electricity bills, license fees, etc. and he will obtain NO DUE CERTIFICATE from JOINT DIRECTOR (GENERAL) E.S.I. CORPORATION (HEADQUARTERS), situated at New Delhi. 3. INITIALLY LICENSE WILL BE GRANTED FOR 11 MONTHS ON EACH OCCASION PROVIDED THE SERVICE OF THE CONTRACTOR IS FOUND TO BE SATISFACTORY. 4. That the licensee will have no right to cause any alteration, additions and structural changes in the premises without the prior written consent of licensor. 5. The license fee shall be monthly payable in advance by 10th of each English Calendar month except the first month's fee (which shall be payable immediately on acceptance of the license agreement ) to the JOINT DIRECTOR (GENERAL), ESI CORPORATION (HEADQUARTERS), Kotla Road, New Delhi. 6. That, if the license fee is not paid for a continuous period of two months, the license will be revoked and the licensee will have to vacate the premises within ten days of the receipt of the termination order apart from other action which may be taken against him for the recovery of license fee. 7. The overall control and supervision of the said premises shall remain vested to the JOINT DIRECTOR (GENERAL), E.S.I. CORPORATION (HEADQUARTERS) whose authorised officer shall at all reasonable hours be entitled to enter and inspect the said premises with respect to bonafide use and in connection with fulfillment of the other terms and conditions of the license. 8. The licensee shall use the aforesaid premises admeasuring 4 metre (length) X 3 metre (breadth) X 3 metre (height) exclusively for the purpose of benefit of the residents of the ESI Colony, Sector- 56, NOIDA and shall not use the same for any other purposes without the written permission of the JOINT DIRECTOR (GENERAL), E.S.I. CORPORATION (HEADQUARTERS). No saleable commodity etc. shall be kept in verandah which shall exclusively be used as passage. 9. That the licensee shall not allow the use or occupation of the said premises or any other part thereof by any other third party / person(s). 10. That the licensee while (time of the business) in the aforesaid premises will also not be entitled to take any person in partnership or to enter any type of agent, without the written permission of JOINT DIRECTOR (GENERAL), E.S.I. CORPORATION (HEADQUARTERS). 11. That license for running business made in favour of the licensee will be purely temporary one and the same shall be treated as a bate-license which is revocable at any time without assigning any reason; and in the event of revocation of the license on account of breach of any of the terms and conditions of the license; the licensee shall be bound to quit the premises within ten days of the notice of revocation of his license by the JOINT DIRECTOR (GENERAL), E.S.I. CORPORATION (HEADQUARTERS) and shall not claim any compensation for any loss resulting thereof.

12. In case the licensee withdraws his contract on his own, three months prior notice or three months license fee has to be deposited in advance otherwise the security deposit will be forfeited. 13. The premises shall remain accessible to the authorised residents of the E.S.I. Colony, Sector-56, NOIDA in general without any interference and the obstruction by the licensee. 14. That the licensee shall not either himself or allow any person to cook, manufacture or prepare any food in or outside the premises or in the verandah outside the premises. 15. The licensee shall not keep animal or conveyance in or outside the premises. 16. The licensee shall fulfil an deligently comply with all the directions in general or special orders given by the Corporation or any authorised officer of the Corporation. 17. The licensee shall keep the premises neat and clean and shall not employ or permit to be employed or allow to enter into or remain in the said premises any person suffering from contagious, loath-some or infectious disease. 18. The licensee shall not do anything in or outside the premises which may be a source of nuisance or annoyance to the neighbours or to the passer-by. 19. That on the expiry of the period of the license or in the event of revocation of the license under the terms and conditions or non-utilisation of the premises for a period of 30 days or in the event of the notice for termination, the E.S.I. CORPORATION will be entitled to re-enter upon the premises and assume exclusive charge thereof and deal in such manner as it deem fit. 20. In the event of breach of any of the said terms and conditions of the license, the E.S.I. CORPORATION shall be entitled to forfeit the whole or part of the security deposited by the licensee besides terminating the license and the licensee shall handover the possession of the premises to the E.S.I. CORPORATION without any resistance and obstructions. In additions, the Corporation may recover damages @ twice the license fee paid by the licensee for the period of misuse / overstayal. 21. The electricity charges shall be payable by the licensee as desired by the E.S.I. CORPORATION or if fitted with meter, as per meter bills on commercial rates fixed by the U.P.S.E.B. 22. The licensee shall be charged Rs.10/- per month as water charges and Rs.26/- per month as security charges or such other amount as may be fixed in this behalf from time to time by the Corporation. Provisionally, water charges will be charged on flat rate basis as determined by the Corporation. 23. The licensee shall observe or obey all rules and regulations framed and are in force by the NOIDA Authority / State Government or any other authority for running of the business in the locality and shall obtain all license or permission from NOIDA Authority / State Government as required at his own expense and cost. In this regard, E.S.I. CORPORATION will not pay any amount and shall not be responsible for obtaining such license or permission to run the business. 24. The licensee shall observe and shall be bound by NOIDA or State notifications bye-laws and rules applicable for running the business in the locality and shall obtain all license or permission from NOIDA Authority / State Government as required and pay all fees, penalties, expense, etc. for the same. 25. That the licensee may obtain license from Civil Supplies and Food Department of Uttar Pradesh or any other authority and he will pay all the fees and charges through his own sources and expenses and the E.S.I. CORPORATION will not take responsibility for the same and shall not pay any such expenses or fees.

26. That in the event of revocation of license by the E.SI. CORPORATION the licensee will be under obligation to vacate the shop even if the license of Food and Civil Supplies Department may not be expired. 27. The licensee shall maintain complete cleanliness as required by the Corporation or any officer of the Corporation and shall observe all directions and instructions given by the JOINT DIRECTOR (GENERAL), E.S.I. CORPORATION, New Delhi or any officer authorised by him and in violation thereof the license be revocable by the Corporation or any officer not below the rank of JOINT DIRECTOR (GENERAL). 28. The licensee shall pay all cost for damages and expenses in regard to any damages caused to the premises structurally or otherwise by the licensee and in this regard the decision of JOINT DIRECTOR (GENERAL ), E.S.I. CORPORATION (HEADQUARTERS), New Delhi shall be final and the Corporation is entitled to deduct such amount from the security deposited by the licensee with the Corporation. 29. The licensee is to pay license fee from the date of taking over the possession of the very premises. 30. Personal SURETY BOND shall be submitted by the licensee after obtaining from any employee (not below Class-III employee) of the Central Government / State Government / Semi- Government/Incorporate owned or controlled by the Central Government / State Government / E.S.I.C. 31. The licensee shall give the BANK GUARANTEE of Rs.20,000/- (Rupees twenty thousand only) in case the license is awarded in his favour. 32. An earnest money of Rs.3,000/- (Rupees three thousand only) in the form of Demand Draft / Pay Order in favour of DEPUTY DIRECTOR (FINANCE), E.S.I. CORPORATION, Kotla Road, New Delhi will have to be submitted alongwith the TENDER FORM. 33. The terms and conditions as mentioned above should be read thoroughly, understood and returned duly signed by the licensee alongwith the TENDER FORM.

TENDER NOTIFICATIOIN Sealed Tenders are invited in the prescribed forms for letting out three shops in the Shopping Complex of ESIC Colony, Sector-56, Noida (U.P.) on 11 months lease basis. The lease is renewable only on the satisfaction of this office. Each shop measures 4 mtrs. X 3 mtrs..x 3 mtrs. and having adjoining Verandah of 3 mtrs. X 2 ½ mtrs. in front of each shop. Shops are for specific purpose i.e. General Store / Confectionery / Grocery shop exclusively to cater to the needs of the residents of the ESIC Colony having 364 Staff Quarters. Tender form costing Rs.100/- can be obtain from General Branch till 23.12.2008 up to 5.00 P.M. Last date of submission of sealed tender is 24.12.2008 by 1.00 P.M. and the tender will be opened on the same day at 3.00 P.M. Tender form is also available at ESIC website www.esic.nic.in. In case of downloading from website the tenderer shall enclose a Demand Draft of Rs.100/- payable in favour of ESIC fund A/c No.1 at New Delhi / Delhi. (M.S. DAHIYA) J.D. (G.)/Estate Officer
