Cameo Club Virginia Daughters of the American Revolution Organized 20 Mar 1998 BYLAWS ARTICLE I NAME The name of this organization shall be the Cameo Club, Virginia Daughters of the American Revolution (VADAR). The objects of this Club shall be: ARTICLE II OBJECTS a. To promote understanding and fellowship between generations; b. To encourage the passage of genealogical information, family histories, and patriotism to subsequent generations; and (NSDAR). c. To promote membership in the National Society Daughters of the American Revolution ARTICLE III MEMBERSHIP Section 1. Membership in the Cameo Club, VADAR, shall be open to any VADAR grandmother, mother, daughter, granddaughter, sister, niece, aunt, or cousin who can prove NSDAR membership at the same time with a living relative or at the same time with a relative who is now deceased. The living NSDAR relative shall also be eligible for membership. Section 2. Each NSDAR member joining the Cameo Club, VADAR, at the Organizing Meeting and before the close of the VADAR lo2nd State Conference shall be known as an Organizing Member. Section 3. Each NSDAR member joining the Cameo Club. VADAR, after the close of the VADAR 102 nd State Conference and before the 1999 Cameo Club Annual Meeting at the VADAR 103 rd State Conference shall be known as a Charter Member.
Section 4. Each NSDAR member who wishes to join the Cameo Club, VADAR, is required to submit to the Registrar, Cameo Club, VADAR. a Cameo Club Application for Membership and a check to include the application fee and annual dues. Section 5. Upon payment of a Life Membership fee and completion of a Life Membership application, a Cameo Club member may become a Life Member of the Cameo Club. Life Members are exempt from paying annual Cameo Club dues. ARTICLE IV OFFICERS Section 1. The Officers shall be a President, First Vice President, Second Vice President, Chaplain, Recording Secretary, Corresponding Secretary, Treasurer, Registrar, and Historian. Section 2. The Parliamentarian shall be appointed by the Club President and shall attend meetings without vote. ARTICLE V NOMINATION AND ELECTION OF OFFICERS Section 1. The Officers shall be elected at the Annual Meeting in even-numbered years and shall serve a term of two (2) years or until their successors are elected. They shall assume office at the end of the Annual Meeting at which they were elected. Section 2. Officers shall not serve two consecutive terms in the same office, except the Treasurer and Registrar, who may serve two consecutive terms. Section 3. A nominating committee of three (3) members shall be elected by the Club at the Annual Meeting in odd-numbered years. Members of this committee shall be ineligible to serve consecutive terms. It shall be the duty of this committee to nominate a candidate for each office. This proposed slate of officers shall be included in the VADAR Cameo Club's Annual Meeting Notification during the second year of an administration. a. Additional nominations may be made from the floor, provided the consent of the nominee shall first have been obtained. b. If no nominations are made from the floor, and if there is no opposition for any nominee, the election shall be by voice vote. A majority vote shall constitute an election. c. If nominations are made from the floor, and if there is opposition to any nominee, the election shall be by ballot. A majority vote shall constitute an election. d. Vacancies occurring in all Club offices except that of Club President shall be filled by the Executive Committee until the next Annual Meeting. Nominations shall be made from the floor, and the election shall be by ballot. e. Any officer having served in a vacancy for more than one-half of a term shall be considered to have served a term. Section 4. In recognition of valuable service to the Cameo Club, VADAR, a Club President may be elected Honorary Club President for life at the Annual Meeting when a new Club President is elected. The nomination shall be made from the floor, and the election shall be made by ballot. ARTICLE VI DUTIES OF OFFICERS Section 1. The PRESIDENT shall preside at the meetings of the Club and of the Executive Board. She shall be the chief executive officer of the Club. She shall appoint all committee chairmen except the Nominating
Committee. She shall be ex-officio member of all committees except the Nominating Committee. She shall have the authority to invite Club Chairmen to attend meetings of the Executive Board without vote. She shall have the authority to approve the inviting of guests to the Annual Meeting. Section 2. The FIRST VICE PRESIDENT, in the absence of the President or in the event of a vacancy in the office of President, shall perform the duties of the President. She shall be responsible for the Program. The First Vice President shall be responsible for table decorations at the Annual Meeting. Section 3. The SECOND VICE PRESIDENT, in the absence of the First Vice President, shall perform the duties of First Vice President. She shall be the Membership Chairman. She shall maintain accurate membership records and keep a roll of Club members. She shall have a sign-in book available at each Annual Meeting. She shall introduce new members to the Club. She shall prepare the ClubYearbook each year making sure that all names and other pertinent data are listed in order. Section 4. The CHAPLAIN shall give the invocation and benediction at Club meetings and conduct any religious services as occasion may demand. Members are requested to notify the Chaplain of a Club member's death. Section 5. The RECORDING SECRETARY shall keep a record of the proceedings of the meetings of the Club and of the Executive Board. Upon completion of the minutes, she shall forward a copy of the minutes to the President. Section 6. The CORRESPONDING SECRETARY shall send out the Call to the Annual Meeting and the dues notice one month in advance to the Annual Meeting. She shall prepare and mail other correspondence as may be required by the President, the Club, or the Executive Board. Section 7. The TREASURER shall receive all funds of the Club to include initiation fees, annual dues, luncheon checks, and funds for special projects. All funds shall be made payable to State Treasurer, VADAR. The Treasurer shall forward all funds to the VADAR State Treasurer who shall pay all Club expenses approved by the State Regent. a. She shall be responsible for maintaining up-to-date and accurate Bookkeeping records, and disbursement of Club funds. She shall prepare all forms to be used in the financial process and forward all expense forms to the Club President for approval. All expenses must receive final approval from the State Regent. b. Dues are payable upon receipt of the Call to the Annual Meeting. Members who do not pay their dues by the day of the Annual Meeting shall be dropped from the roll. c. Requests for expense reimbursements by Cameo Club Officers shall be sent to the Treasurer with receipts. A Reimbursement Form shall be completed by the Treasurer following the directions set forth by the State Treasurer and/or Chairman of the State Finance Committee. All Club expenditures require the approval of the Club President. d. Club Accounts shall be reviewed at the end of each term by a committee appointed by the President Section 8. a. The REGISTRAR shall furnish application forms to candidates and shall be responsible for the examination and verification of all applications for membership. Applications shall be signed by the Registrar. The Registrar, in conjunction with the Treasurer, shall keep a register of names and dates of membership of all members. The Registrar shall retain custody of all original application papers. The Registrar shall.file a duplicate application paper for each member with the Second Vice President, Corresponding Secretary, and Treasurer. b. The Registrar will furnish Life Membership applications to Cameo Club Life Member applicants. She will verify (1) the member s current status; (2) her Cameo Club membership number; (3) her age and Life Membership fee. In conjunction with the Treasurer, she will keep a register of Life Members, recording names and dates of Life Membership. The Registrar will retain custody of all original application papers, and
will file a duplicate application with the Second Vice President, Corresponding Secretary, and Treasurer. Members of the Cameo Club, VADAR, may purchase a Cameo Club pin from Hamilton Jewelers. The Hamilton Jeweler order form may be obtained from the REGISTRAR The order form must be verified and signed by the REGISTRAR. the Club. Section 9. The HISTORIAN shall be responsible for keeping information of historical importance for Section 10. Reports: a. All Club Officers, except the Club President and the Club Treasurer, shall send double spaced typewritten reports of no more than 200 words on 8 ½ x 11" paper to the Club President and Club Recording Secretary before MARCH 1 st to be incorporated in the annual report of the Club President to the State Regent, VADAR. b. The Club President and Treasurer shall each compose an annual report that shall not be limited to 200 words. The Treasurer shall send a copy of her report to the President and the Recording Secretary before MARCH 1 st. Reports of the President and the Treasurer shall also be incorporated in the annual report of the Club President to the State Regent, VADAR. c. Club Officers shall make brief narrative reports at the Annual Meeting. Section 11. It shall be the duty of each Club Officer to maintain a record of guidelines and procedures pertaining to the work of the office and to deliver the record to her successor within 30 days after leaving office. ARTICLE VII MEETINGS Section 1. The Annual Meeting of the Club shall be held in conjunction with the VADAR State Conference. The details of time, place, and character of said function shall be arranged by the Executive Committee and every Club member shall be duly notified by the Corresponding Secretary 30 days before the Annual Meeting. Section 2. Chapter Officers shall be installed at the Annual Meeting during the last year of the two-year Cameo Club administration. Section 3. A quorum shall consist of twenty-five (25) members present. ARTICLE VIII EXECUTIVE COMMITTEE Section 1. The Club Officers shall constitute the Executive Committee. The Executive Committee shall meet at the Call of the Club President or at the written request of three of its members. The Executive Committee shall conduct the business of the Club during the interim of the Annual Meeting. Action taken by the Executive Committee shall be reported at the Annual Meeting. Section 2. Five members of the Executive Committee shall constitute a quorum. Section 1. Standing and Special Committees: ARTICLE IX COMMITTEES
a. The Executive Board shall specify Standing and Special Committees and their duties. b. The Club President shall appoint all committee chairmen except the Chairman of the Nominating Committee. A committee shall incur no expense without prior approval of the Club President. ARTICLE X FEES AND DUES Section 1. The fiscal year shall be from March 1 st through the end of February. Section 2. The application fee for membership in the Cameo Club, VADAR, shall be five dollars ($5.00) per member. Section 3. The annual dues for membership in the Cameo Club, VADAR, shall be five dollars ($5.00) per member. All dues are payable upon notification of the Annual Meeting. Section 4. The fee for Life Membership is $100 for members age 65 and younger at the date of the annual meeting, and $75 for members at least age 66 at the date of the annual meeting. Section 5. Life Membership fees are non-refundable, and will be placed in a special interest-bearing account. Annual dues of Cameo Club Life Members will be transferred to regular checking account of the Cameo Club and will be drawn first from interest, and supplemented by principle in the account. ARTICLE XI PARLIAMENTARY AUTHORITY Robert's Rules of Order Newly Revised shall govern this organization except when inconsistent with these Bylaws or the Bylaws of the VADAR. ARTICLE XII AMENDMENTS Section 1. These Bylaws may be amended at any Annual Meeting of the Club by a two-thirds vote of those present and voting, provided notice of the proposed amendments has been sent out thirty days prior to the Annual Meeting. However, no general revision and no amendments pertaining to the number, term, or eligibility of Club Officers may be proposed in a year of election of Club Officers. Any amendment to these Bylaws shall take effect at the close of the Annual Meeting at which it is adopted unless otherwise provided prior to its adoption or in motion to adopt. Section 2. Amendments shall be proposed by the Executive Board or by a committee appointed by the Club President. This committee shall also receive and review amendments submitted by individual Cameo Club members and forward to the Annual Meeting those amendments found (by majority vote of the committee) to be in the best interest of the Club.
