Agreement No. CA-1443CA5090-97-018 COOPERATIVE AGREEMENT between U.S. DEPARTMENT OF THE INTERIOR NATIONAL PARK SERVICE and FRIENDS OF THE SELMA TO MONTGOMERY NATIONAL HISTORIC TRAIL: SELMA-DALLAS COUNTY, ALABAMA Article I. Background and Objectives This COOPERATIVE AGREEMENT (the Agreement) is made and entered into by and between the United States of America, acting by and through the National Park Service, U.S. Department of the Interior (hereinafter the SERVICE), and the Friends of the Selma to. Montgomery National Historic Trail: Selma-Dallas County (hereinafter referred to as PARTNER). WHEREAS, the Act of August 25, 1916,39 Stat. 535, (current version at 16 U.S.c. I, et seq. (1992 & Supp.1993) declares that the SERVICE shall promote and regulate the use of the Federal areas known as national parks, monuments, and reservations by such means and measures as conform to the fundamental purpose of the parks, monuments, reservations, which purpose is to conserve the scenery and the natural and historic objects and wildlife therein and to provide for the enjoyment of the same in such manner and by such means as will leave them unimpaired for the enjoyment of future generations; and WHEREAS, the Federal Grant and Cooperative Agreement Act of 1977, 31 U.S.c. 6301, et seq. (1983 & Supp. 1992) (original version at Pub. L. 95-224) states that the executive agency shall use a cooperative agreement as the legal instrument reflecting a relationship between the United States Government and a state, local government, or other recipient when the principle purpose of the relationship is to transfer a thing of value to the state, local government, or other recipient to carry out a public purpose of support or stimulation authorized by a law of the United States, and where substantial involvement is expected between the executive agency and the state, local government, or other recipient when carrying out the activity contemplated in the agreement; and
WHEREAS, the SERVICE has undertaken an initiative known as the Challenge Cost- Share Program (CCSP) established to broaden opportunities for non-federal involvement in the activities of the National Park Service; and WHEREAS, the SERVICE wishes to develop cooperative efforts and increase awareness and participation by both neighboring communities and the public at large in the preservation and improvement of NPS recreational, cultural and natural resources and in the enhancement of recreational opportunities and visitors' experiences; and WHEREAS, the SERVICE has the authority to participate in such activities under 16 U.S.C. I et seg. an Act establishing the National Park Service, August 25, 1916 and in accordance with P.L. 104-208, the Fiscal Year 1997 Appropriations Act; and WHEREAS, pursuant to the Act of June 5, 1920 (16 U.S.C. 6), the SERVICE is authorized to accept donations of property and money for the National Park System; and WHEREAS, the CITY OF SELMA-DALLAS COUNTY has formed a "Friends of the Selma to Montgomery National Historic Trail", a non-profit community based organization to commemorate, preserve, interpret and develop the Selma to Montgomery 1965 Voting Rights March which took place along a 54-mile route from Selma to Montgomery, Alabama; and WHEREAS, the FRIENDS OF THE SELMA TO MONTGOMERY NATIONAL HISTORIC TRAIL: CITY OF SELMA-DALLAS COUNTY are interested in working with the SERVICE to commemorate, preserve, interpret and develop the Selma to Montgomery National Historic Trail which has been designated as part of the National Historic Trail System. Article II. Statement of Work NOW THEREFORE, in consideration of the above premises and in the interest of mutual advantage in attainment of common objectives, the parties hereby enter into the following Agreement to accomplish the CCSP project entitled "Friends of the Selma to Montgomery National Historic Trail Project" follows: 2
A. The PARTNER Agrees to: I. Provide the necessary facilities, staff and equipment in the amount of $9,240 as its share of the CCSP to educate the public about the need and purpose of the National Historic Trail and identify techniques and procedures for developing and maintaining the trail. B. The SERVICE Agrees to: I. Assist the FRIENDS OF THE SELMA TO MONTGOMERY NATIONAL HISTORIC TRAIL: SELMA-DALLAS COUNTY with the following: a. educating the public about the need for and purpose of the Historic Trail Association; b. establishing the legal and organizational structure of the Historic Trail Association; and c. defining the techniques and procedures needed to develop and perpetually maintain the National Historic Trail. 2. Provide on a cost reimbursable basis CCSP funding in the amount of $5,000 as payment to the FRIEND OF THE SELMA TO MONTGOMERY NATIONAL HISTORIC TRAIL: SELMA-DALLAS COUNTY for the activities specified herein as outlined in the Budget Summary attached hereto as Attachment A. C. Both Parties further agree that the total costs of the agreed upon project is $14,240 and that the FRIENDS OF THE SELMA TO MONTGOMERY NATIONAL HISTORIC TRAIL: SELMA-DALLAS COUNTY will provide no less than $9,240 of that total. D. This Agreement shall terminate on December 31, 1999 unless formally reaffirmed for an additional period not to exceed five (5) consecutive years or terminated as prescribed in Article XI "Termination" of this Agreement. AwardIPayments A. The total costs reimbursed under this Agreement shall not exceed $5,000, unless amended. B. Payment will be made by the SERVICE upon receipt of an itemized invoice accompanied by a completed Standard Form 270 "Request for Advance or Reimbursement." Itemized invoices shall identify the project title; Agreement number and shall be submitted in an original and two copies through the SERVICE's Technical Representative identified in Article IV. Key OfficialslRepresentatives for his or his designee's review, recommendation for payment, and forwarding to the SERVICE's Contracting Officer identified in Article IV for further processing. The SERVICE shall reimburse the PARTNER according to Attachment A - Budget Summary. I. Final payment will be made upon completion of the project based upon the written acceptance by the SERVICE's Technical Representative and approval by the Service's Contracting Officer. 5
Article VI. Prior Approval A. During the performance of this Agreement, prior approval by the SERVICE is required for any proposed contracts in accordance with OMB Circular A-I02 and the "Common Rule", 43CFR, Part 12, Subpart C, Paragraph 12.70, Appendix A. B. As set forth in Article X. of this Agreement, the PARTNER must obtain prior Government approval from the SERVICE for any public information releases which refer to the Department of the Interior, any bureau or employee (by name or title), or this Agreement. The specific text, layout, photographs, etc., of the proposed release must be submitted with the request for approval. Article VII. Reports A. Technical I. No technical report is required as part of this agreement. B. Administrative 1. The SERVICE's Technical Representative must provide to the SERVICE's Contracting Officer copies of the Form 10-150 that are required as a deliverable from the PARTNER. 2. Upon completion of the project, the PARTNER must submit an Activities Summary and Project Completion Form to the SERVICE's Contracting Officer attesting that all project work has been accomplished in a manner consistent with the stipulations of the CCSP application (Attachment B) and this Agreement. Article vrn. Property Utilization and Disposition A. To the extent authorized by OMB Circular A-I 10 (REV 11-93) all equipment and property of any kind purchased by The SERVICE's Technical Representative must provide to the SERVICE's Contracting Officer copies of the Form 10-150 that are required as a deliverable from the and the SERVICE. under the auspices of this Agreement with funds provided by the SERVICE, that exceeds the $5,000 value, and not consumed in the project shall be the property of the SERVICE and shall be disposed of as directed upon the completion of the project. 6
B. Property/equipment furnished by the government to the under the auspices of this Agreement shall be used as directed. Government furnished property/equipment shall remain vested with the Government and shall be returned to the SERVICE upon completion of the project. C. Property management standards shall be as prescribed in OMB Circular A-II 0 (REV 11-93). D. The PARTNER shall submit to the SERVICE a report of purchases and disposition of property acquired under the Agreement, prior to fmal payment. Article IX. Certification Requirements A. The shall execute the following certifications prior to the award of the Agreement: I. Certifications Regarding Debarment, Suspensions and Other Responsibility Matters, Drug-Free Workplace Requirements and Lobbying (Department of Interior Form DI-2010 - Attachment C). B. The contractors and subcontractors shall execute, prior to award of The contracts and subcontracts entered into for the benefit of this Agreement, the Department of Interior Form DI-2010, "Certification Regarding Debarment, Suspensions and Other Responsibility Matters, Drug-Free Workplace Requirements and Lobbying (Attachment Q. Article X. Prohibition Against Advertisement or Endorsement The PARTNER Agrees that: A. Neither this Agreement nor the purposes described herein will be used by the PARTNER to advertise products, services, or purposes. Any press releases or other written materials produced by or for the PARTNER discussing the Agreement or its purposes must have prior written approval from the SERVICE. B. Neither this Agreement nor its existence will be used in any way by the PARTNER to imply endorsement by the SERVICE of the PARTNER or its purposes. 7
Article XI. Termination A. Except as provided for in Section 1283.43 "Enforcement," this Agreement may be terminated in whole or in part in accordance with Section 1284.44 "Termination for Convenience" of OMB Circular A-102 only if I., 2., or 3., below, applies: I. By the SERVICE, if the PARTNER materially fails to comply with the terms and conditions of the Agreement. 2. By the SERVICE with the consent of the PARTNER, in which case the SERVICE and PARTNER shall agree upon the termination conditions, including the effective date and, in the case of partial termination, the portion to be terminated. 3. By the PARTNER upon sending to the SERVICE Contracting Officer written notification setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if the SERVICE determines in the case of partial termination that the reduced or modified portion of the Agreement will not accomplish the purposes for which the Agreement was made, the SERVICE may terminate the Agreement in its entirety under either paragraphs I. or 2., above. B. This Agreement constitutes the full, complete, and entire Agreement between the SERVICE and PARTNER. No modifications or amendments of the Agreement shall be binding on any party hereto unless such modification or amendment is in writing, executed in duplicate by appropriate officials representing the SERVICE and PARTNER and by reference made a part of this Agreement. Article XII. Attachments/Appendices A.
