Article 1 Name & Purposes CONSTITUTION OF THE MAGNOLIA FFA BOOSTER CLUB The name of this organization shall be the Magnolia FFA Booster Club (Referred to hereafter as "MFFABC") The purposes for which the MFFABC is formed are as follows: 1. To aid and support the activities of the Magnolia FFA. 2. To provide scholarships to graduating seniors in the Magnolia FFA. 3. To provide support for the Magnolia ISD Livestock Show. Article II Membership Membership in the MFFABC shall be open to individuals interested in supporting the Magnolia FFA Chapter in the Magnolia Independent School District. The MFFABC shall conduct an annual enrollment of members. Persons may be admitted to membership at any time, with eligibility to participate in business meetings or to serve in any of its elective or appointive positions commencing one (1) month following the payment of dues. Membership shall be for a twelve-month (12) period beginning September 1 st and ending August 31 st. SECTION C Dues to the Magnolia FFA Booster Club shall be $10.00 per person. Article III Officers/Representatives -OFFICERS The officers of the MFFABC shall be: President, Vice President, Secretary, Treasurer and Reporter. Officers shall be elected during the November meeting of the school year and shall serve a one-year term. With the exception of President and Treasurer who will serve a 2 year term. The President will be voted in on odd years and the Treasure will be voted in on even years. The duties/authority of the MFFABC officers shall include, but not be limited to, the following: 1. President Set meeting agendas; preside over the meetings; implement programs and actions approved by the MFFABC membership; initiate and sign off on expenditures. Page 1 of 6

2. Vice President Preside at meetings in the absence of the Presidents; coordinate fund raising programs; coordinate committee activities; initiate and sign off on expenditures. 3. Secretary Maintain records of all meetings; maintain membership roll; prepare correspondence for the MFFABC; initiate and sign off on expenditures. 4. Treasurer Maintain all MFFABC financial records and reports, including coordination of tax returns; coordinate all bank transactions; secure contracts, as applicable; disburse and collect funds related to MFFABC activities; and initiate and sign off on expenditures. 5. Reporter Over sees public relations and media releases. Article IV Executive Committee/Organizational Committee The Executive Committee shall consist of the officers of the MFFABC and the Agricultural Science Instructors of those schools designated by Magnolia ISD as being within the Magnolia High School attendance zone. The applicable Agricultural Science Instructors shall serve in an advisory role. Executive Committee meetings shall be called by the President of the MFFABC or by any two (2) members of the Executive Committee. For an executive meeting to be deemed valid the meeting must include three officers. SECTION C The MFFABC will set up organizational committees as required to fulfill the purposes and objectives of the MFFABC. Article V - Meetings SECTION D Regular meetings of the MFFABC shall be held on the first Monday of each month throughout the fiscal year. Meetings will begin at 7:00 p.m. in the Agricultural Science classrooms and end before 9:00 p.m. At the discretion of the Executive Committee, regularly scheduled meetings may be re-scheduled or cancelled because of conflicts with contemporaneous events such as school activities, holidays, livestock shows, etc., with ten (10) days notice to the members. The constitution and/or related By-laws of the MFFABC may be amended by twothirds vote of the members present at any regular meeting, provided that the proposed amendment(s) has been submitted in writing and read at one previous meeting for discussion. Article VII Articles of Incorporation MFFABC is a tax-exempt organization operated exclusively for charitable, educational, or scientific proposes, within the meaning of section 501(c) (3) of the Internal Revenue Code (or corresponding section of any future Federal tax code.) No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, directors, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of IRC Section 501 ( c ) ( 3 ) purposes. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. SECTION C Notwithstanding any other provision of these articles, the corporation shall not carry on other activities not permitted to be carried on ( a ) by a corporation exempt for Federal income tax under Section 501 ( c ) ( 3 ) of the Internal Revenue Code (or corresponding section of any future Federal tax code.) SECTION D Upon dissolution of this corporation, assets shall be distributed for one or more exempt purposes within the meaning of Section 501 ( c ) ( 3 ) Revenue Code, i.e. charitable, educational, religious or scientific, or corresponding section of any future Federal tax code, or shaii be distributed to the Federal government, or to a state or local government for public purposes. Robert's Rules of Order shall govern the parliamentary procedure of the Magnolia FFA Booster Club ("MFFABC") for any points not specifically addressed in the Constitution or these By-Laws. SECTION 2. a. Officer elections, held in November of each year, shall be conducted by secret, written ballot. Individual ballots shall be conducted for each position in the following order: President, Vice President, Secretary, Treasurer and Reporter. Nominations for each position shall be opened at the regularly scheduled October meeting. Nominations for each position shall be closed at the November meeting, immediately prior to each election. Candidates may nominate themselves or be nominated from the floor, neither method requiring a second. Candidates for President, Vice President and Treasurer should have served as an officer or on a committee in the past year. No more than one family member may hold office at any one time. Candidate shall be considered elected after receiving a majority of the votes cast. Should no candidate receive a majority, the two candidates who received the most votes shall enter a second ballot (runoff), with no further nominations allowed for that position. If a qualified candidate for any position is unopposed, that candidate shall be deemed elected without a ballot. b. Any Officer who is absent from three consecutive regularly scheduled MFFABC meetings, without the consent of the Executive Committee, shall be deemed to have vacated his/her office. c. In the event that an officer's position is vacated prior to the expiration of the applicable term, this position shall be filled based on the following circumstances; (1) Committee may app to fulfill this term, at its discretion; or (2) otherwise, the membership shall elect a replacement, as outlined in Section 2. (a),above, with nominations being opened at the next regularly scheduled meeting. d. Only one SECTION 3. a. In December the MFFABC shall elect Representatives to the Magnolia ISD Livestock Show Committee ( MISDLSC ) consistent with the qualifications and governing procedures approved by Magnolia ISD. Nominating candidates shall have served on a committee or attended 50% of the MFFABC meetings in the past year. Such election will be conducted by single, secret, written ballot. Candidates may nominate themselves or be nominated from the floor, neither method requiring a second. The candidate receiving the most votes is deemed elected. Should there be two positions open, the MFFABC member receiving the second highest number of votes is deemed to be elected to the second available position. If a qualified candidate(s) for any position(s) is unopposed, that candidate(s) shall be deemed elected without a ballot. Page 4 of 6

b. Any MISDLSC Representative who is absent from three consecutive regularly scheduled meetings, without the consent of the Executive Committee, shall be deemed to have vacated his/her position. c. In the event that a MISDLSC Representative's position is vacated prior to the expiration of the applicable term, the membership shall elect a replacement, as outlined in section 3. (a), above, with the nominations and election being held at the next regularly scheduled MFFABC meeting. SECTION 4. Items of business transacted at a regular meeting must be approved by 51% of the members present. SECTION 5. Disbursement of any MFFABC funds requires signatory authority of two (2) MFFABC officers. Disbursement of any amount in excess of $250.00 requires the approval of the members present at a regular meeting. Any expenditure of motion for expenditure in excess of $250.00 shall be brought forth at a regularly scheduled meeting and be reviewed and authorized by treasurer for submission to the membership for approval/disapproval to insure that adequate information has been gathered to allow the membership to be properly informed and that sufficient funds exist within the MFFABC budget. Expenditure disbursement must be approved by 51% of members present at the meeting following submission of disbursement. SECTION 6 An Agricultural Science Instructor of the Magnolia ISD attendance at each regularly scheduled meeting. SECTION 7. In the event the MFFABC dissolves, the assets of the Magnolia FFA Booster Club shall be transferred to the Magnolia FFA. SECTION 8 a. Except as noted below, the Scholarship Committee shall consist of the MFFABC Officers and representatives designated by the MFFABC president. A total of 5 or 7 members should make up this committee. Any Committee member having a relative eligible for an FFA Scholarship in that year shall not participate in the selection process in any way. b. Upon distribution of Scholarships the total amount of scholarships given in the year should be removed from the Scholarship account and deposited in the General MFFABC Account. c. All moneys earned by fundraising for Scholarships should be deposited in the Scholarship account following the fundraiser. Page 5 of 6
