We Are Proud This is the time during the meeting to recognize outstanding achievements of students, staff and community members. After an honoree's name has been read they will accept their certificate(s) and a photo will be taken. We Are Proud of Moorhead High School student Riley Schock who qualified for the 2018 Minnesota Class 3A state wrestling tournament held March 2 and 3 in St. Paul. Schock, wrestling at 182 pounds, placed fourth at state. The wrestling head coach is Kenard Booker, and assistant coaches are Mike 1

Hamm and Trent Sovde. We Are Proud of Moorhead High School student Alex Seigel for being awarded a 2018 Minnesota Scholastic Art Silver Key Award for his photography entry titled Feeding Frenzy. He was honored February 17 at the Weisman Art Museum in Minneapolis. His art teachers are Grady Carlson and Marissa Jensen. We Are Proud of Moorhead High School students Anna Ludwig, Hali Selseth, Chani Thorne, Levi Mastrud, Hope Stromsodt, Ali Astrup and Mariah Kellerman for being selected to exhibit artwork at the 4th Annual MSUM High School Art Exhibition. Chani Thorne earned an honorable mention in photography, and Levi Mastrud earned a Best in Show in sculpture. Their art teachers are Grady Carlson and Marissa Jensen. We Are Proud of Moorhead High School student Megan Markert, who was selected by audition for the Minnesota All-State Band for the 2017-18 school year. Markert attended All-State Camp at Concordia College in August. She reconvened with the All-State Band in February to perform at the Minnesota Music Educators Association state conference, but the final concert was canceled hours prior to the performance due to weather. Markert is a student of Moorhead High band teacher Pam Redlinger. We Are Proud of Moorhead High School student Emiley Nelson who was selected by audition for the Minnesota Band Directors Association Grades 9-10 Honor Band for both the 2016-17 and 2017-18 school years. This year Nelson worked under the direction of Dr. Robert Taylor, and the ensemble performed April 22 at Kasson-Mantorville High School. Nelson s band teacher is Pam Redlinger. We Are Proud of Moorhead High School student Tor Kartenson who was selected by audition for the 2018 Concordia College High School Honor Band, which is made up of students from a five-state region. His band teacher is Pam Redlinger. Kartenson worked April 6-8 under the direction of composer Jim Stephenson and was part of a world premier of Trench Coat, a piece written by the composer/conductor. We Are Proud of Moorhead High School Science Olympiad team members who qualified for the 2018 Science Olympiad state competition held March 3 at Bethel University. State qualifiers are Fatuma Abdallah, Calvin Darling, Andrew Gullickson, Ethan Kirkey, Katie LeGare, Avyan Mejdeen, Sofia Perez Chupina, Emma Pranger, Erika Stanek, Lila Stanley, Michael Valdez and David Wichmann. Cal Darling and Erika Stanek placed first at state in the Herpetology event. Coaches are Moorhead High teachers Angie Jelinek and Jana Kasper. We Are Proud of Nathan Helgeson and Ethan Sculthorp, Horizon Middle School East Campus students, for placing second in the Roller Coaster event at the 2018 Division B State Science Olympiad competition held in March at St. Olaf. Christine Berg is the Science Olympiad coach. We Are Proud of the Horizon Middle School West Campus Destination 2

Imagination Team sdrawkcabsihtyas for placing third at the Destination Imagination Lakes and Prairie Regional Tournament held April 7. Students competed in the elementary level scientific challenge Unlikely Attraction. Team members are Sam Schaefer, Evan Froslie, John Altenberg, Skyla Bergin, Sadie Kolehmainen, and Vivian Ming. Team manager is Terese Schaefer. We Are Proud of the Ellen Hopkins Elementary Destination Imagination Team Time Travelers for placing third at the Destination Imagination Lakes and Prairie Regional Tournament held April 7. Students competed in the elementary level fine arts challenge Change of Tune. Team members are Isabelle Loween, Ella Lammers, Rachel Leiseth, Lela Hultgren, Hazel Schmidt, Kennadi Berg and Claire Haberman. Team manager is Kate Bohmer. We Are Proud of the Horizon Middle School East Campus Destination Imagination Team Howling Owls for tying for second place at the Destination Imagination Lakes and Prairie Regional Tournament held April 7. Students competed in the middle level fine arts challenge Change of Tune. Team members are Aiden Williams, Nona Harrison, Amelia Bailly, Gabby Mutschelknaus, Christopher Sween, Julia Smithmeyer and Lewis Long. Team managers are Kenyon Williams and Amy Anderson. We Are Proud of the Ellen Hopkins Elementary Destination Imagination Team Soccer Puppy Beasts for placing third at the Destination Imagination Lakes and Prairie Regional Tournament held April 7. Students competed in the elementary level engineering challenge Drop Zone. Team members are Kate Jenkins, Claire Gibb, Simone Bailey, Braeden Perkins, Henry Theye, and Logan Bergman. Team manager is Ryan Jenkins. We Are Proud of Moorhead High School student Thalia Christenson for being selected by audition to participate in the 2017-18 Grades 9-10 SSAA Honor Choir sponsored by the American Choral Directors Association of Minnesota. The Grades 9-10 SSAA Honor Choir rehearsed and performed under the direction of Dr. Jennaya Robinson on February 22 in Minneapolis. Christenson is a student of Rachel Horan, choir teacher at Moorhead High School. F. None. MSBA SUPERINTENDENT SEARCH PROCESS: Kristin Dehmer, executive director of human resources, and board members discussed the final step of the search process to negotiate the superintendent s contract parameters and salary. Discussion was held related to the April 1, 2018-June 30, 2018 bridge contract and the salary included. At the November 27, 2017 board meeting members approved appointing Brandon Lunak as interim superintendent effective December 1, 2017 through June 30, 2018 or earlier if a permanent superintendent is able to assume the position. Compensation was provided on a prorated annual rate of $154,715 as agreed upon for the interim superintendent duties. Board members discussed the three-year contract from July 1, 2018 through June 30, 2021. Dehmer noted it was common practice to negotiate a three-year contract for school superintendents as state statute only allows for a superintendent to have a three-year contract. Discussion was held related to annual evaluations, and Chair Steffes said MSBA has a Superintendent Evaluation Workshop scheduled for May 8 or May 9 and asked board members to attend if interested. Board members recommended no salary increase for the contract period of April 1, 2018-June 30, 2018 based on an annual salary of $154,715 and recommended a three-year contract with an annual salary of $176,948 for the 2018-19 contract year, $184,203 for the 2019-20 contract year, and $191,755 for the 2020-21 contract year. Judy Schaible, 810 Westwynd Drive, West Fargo, N.D. - Expressed the need to assist and support developing new teachers, especially with the increase of social and emotional needs of students and how these needs create great challenges even for experienced teachers. Kent Wolford, 1930 22nd Avenue South - Shared his experience with teaching and Education Moorhead, and expressed the importance of school board members being involved in the teacher evaluation process. Bethany Cromwell, 2211 19th Street South - Shared that at least two of the teachers being nonrenewed went beyond expectations to work with her children at Ellen Hopkins Elementary and expressed concern about the school climate because of teachers not feeling supported and how that will affect her children. RESOLUTION RELATING TO THE TERMINATION AND NON-RENEWAL OF TEACHING CONTRACTS OF PROBATIONARY TEACHERS until the April 23 board meeting. Motion carried 7-0. Valan expressed concern about not wanting the issues swept under the rug and talked about at a private meeting. He thanked presenters for sharing their concerns. Dehmer noted private data could not be discussed due to data privacy, but that information could be shared in a closed session. Discussion was held regarding what could be discussed. Dehmer said the teacher evaluation process is the only topic that could be discussed. Tomhave said the board needs more information about the process prior to making decisions. Altenburg noted his concern about the Spanish immersion teachers recommended for nonrenewal. Dehmer explained the district is required to lay off any teachers hired as community experts or under variances, which is done every year. Many of the Spanish immersion teachers are considered community experts and must be laid off each year, but could be rehired after July 1. 12

These purposes will be hereinafter collectively and individually referred to as the Easement Purposes. C. Grantor is granting and conveying to Grantee an Easement above, below, upon and across a portion of the Subject Property identified as the Easement Area. The description of the Easement Area is attached hereto as Exhibit C. D. Grantor is granting and conveying to Grantee an Easement under, upon, and across the Easement Area for the Easement Purposes. This grant and conveyance is on a permanent and perpetual basis. E. This Easement is being provided for good and adequate consideration, which may include, but is not limited to, the providing of Utility Services to the Subject Property by Grantee. NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements of the parties, the adequacy and sufficiency of which is hereby acknowledged by both parties, it is agreed as follows: Section 1. Recitations. The Recitations set forth above are hereby incorporated into this Agreement. Section 2. Grant of Easement. Grantor does hereby grant and convey to Grantee, its successors and assigns a perpetual, irrevocable Easement above, below and upon the Easement Area for the Easement Purposes. Section 3. Obligation to Keep Clear. Grantor, its successors and assigns will be obligated to keep the Easement Area free and clear from the placement or location of buildings and obstacles of any kind which may interfere with the construction, operation, maintenance, upgrading, and repair of installations made to serve the Easement Purposes. This does not prevent parking of motor vehicles or installing hard surfaces upon the Easement Area, except as it relates to the location of Equipment located upon or above the surface. No water-retention structures or improvements may be constructed in the Easement Area. No water-retention structures may be constructed near the Easement Area which would adversely affect the Equipment or the Easement Purposes. No excavations may occur near the Easement Area if the same may adversely affect the support of any portion of the utility structures and/or Equipment located within the Easement Area. Section 4. Obligation to Repair. In the event damage is done to the surface of the Easement Area or any other portion of the Subject Property in the course of constructing, installing, maintaining, repairing, operating, upgrading, and/or replacing Equipment installed pursuant to fulfilling the Easement Purposes, Grantee or its 12/06/16/3 3 59

successors and assigns, at their expense, will be obligated to refill any excavations; level the ground to its level prior to any excavation; and repair any damage to the Subject Property leaving it in substantially as good a condition as it was prior to the commencement of the work. To the extent prohibited items, such as buildings or obstacles are located upon or above the Easement Area, Grantee is not obligated to return those items to the same condition as prior to performing its work. If the Area was grass prior to the work being performed, the Area will be reseeded or sodded, with the election to either reseed or sod being that of Grantee at Grantee s discretion, with the obligation to water and care for the seeded or sodded Area resting with Grantor, its successors or assigns. Section 5. Damages to Grantor s Property/Consideration. In the event of damage caused by Grantee to the Subject Property, including the Easement Area, during the course of construction, maintenance, upgrading, repair, or replacement, Grantee will be obligated to reasonably repair the same or to pay reasonable damages for what Grantee had an obligation to repair but does not repair. Grantee will timely perform repairs dependent upon the weather and time of year or will timely pay damages. Grantee has provided adequate consideration for the obtaining of the Easement. No additional consideration will be paid for this Easement or use of this Easement. Section 6. Right of Access. Included with the grant of the Easement, Owner is granting and conveying to MPS the right of ingress and egress to the Subject Property. This access is for MPS, its successors, assigns, employees, agents, contractors, subcontractors, engineers, inspectors, and insurers. This right of ingress and egress does not restrict the ability of Owner to use and develop all portions of the Subject Property as Owner deems appropriate, as long as the Easement Area is kept clear; use or improvement does not interfere with Easement Purposes as provided herein; ingress and egress is provided to the Subject Property; and all other terms of this Easement Agreement are abided. Section 7. Obligation Not To Interfere. Grantor, its successors and assigns, will be obligated to keep the Easement Area free and clear from the placement or location of any buildings or any obstacles of any kind which may interfere with the construction, operation, maintenance, upgrading, repair, and replacement of installations made to serve the Easement Purposes. No structures may be constructed within the Easement Area except that hard surfaces, walking paths and bike paths built in accord with applicable codes and regulations may be constructed within the Easement Area. MPS will have the right to expand and adjust the location of the Transmission Line within the Easement Area and to change its support structure arrangement. These restrictions do not prevent the parking of motor vehicles or installing of hard surfaces over the Easement Area, except as it relates to interference with the location of the support and anchor structures for the Transmission Line and any improvements thereto. Ponds ) may be constructed within the Easement Area or adjacent to the Easement Area if the Retention Ponds will adversely affect the support of the Equipment. No construction or uses may be made of the Easement Area in any manner which will interfere with the construction, operation, maintenance, repair, replacement, or upgrading of the Transmission Line, or which will endanger the Transmission Line or any of the equipment or personnel of MPS, its contractors and subcontractors, as used in accessing, constructing, operating, maintaining, repairing, upgrading, and replacing the Transmission Line. Section 8. Indemnity. Grantee shall indemnify and hold harmless Grantor for any damages or injuries caused by or arising from Grantee s use of the Easement Area or Subject Property, except as may be caused or arise from the negligence of Grantor, its employees or agents. Section 9. Perpetual. The Easement created hereby is perpetual and irrevocable. To the extent any law or regulation affects the permanent nature of this Easement, this Easement will be deemed to be in effect for the longest time period allowed by law. Section 10. Binding on Successors. The Easement created hereby will be binding upon the parties, their heirs, successors, and assigns. Section 11. Easement Runs With the Land. The terms and covenants of this Easement will run with the Subject Property. It is further provided that the covenants and terms contained in the Agreement shall survive and remain effective regardless of whether any subsequent documents or other instruments hereafter executed convey or mortgage the Subject Property. This Easement Agreement may be terminated only by written document recorded with the Clay County Recorder executed by all those holding an ownership interest in the Subject Property and by MPS or its successor or assigns. Section 12. Cumulative Rights. Every right, power, and remedy provided for in this Agreement shall be cumulative and concurrent and shall be in addition to every other right, power, or remedy provided for in this Agreement or under applicable law. Nothing shall preclude a party hereto from the exercise of all of the rights, powers, and remedies under this agreement or under applicable law. Section 13. Quality of Work. All work performed by Grantee, its agents, successors, and assigns, related to restoration of the Subject Property shall be performed in a good and worker-like manner and shall be done to allow restoration in a reasonable manner. Section 14. Execution of Additional Documents. The parties agree to execute such additional documents as may be necessary to carry out the intent as set forth in this Agreement and to accomplish the Easement Purposes set forth in this 12/06/16/3 5 61

ARTICLE I PURPOSE The School Board of Independent School District No. 152, Moorhead, Minnesota (School District) enters into this Contract with Brandon Lunak (Superintendent), a legally qualified and licensed Superintendent, who agrees to perform the duties of Superintendent of the School District. The School District and the Superintendent agree as follows: ARTICLE II APPLICABLE STATUTE This Contract is entered into between the School District and the Superintendent in conformance with Minn. Stat. 123B.143. ARTICLE III LICENSURE The Superintendent shall furnish, throughout the life of this Contract, a valid and appropriate license to act as Superintendent in the State of Minnesota as provided by applicable state laws, rules, and regulations. ARTICLE IV DURATION, EXPIRATION, TERMINATION DURING THE TERM, MUTUAL CONSENT, AND CONTINGENCY Section 1. Duration This Contract is for a term of 3 years, commencing July 1, 2018 and ending June 30, 2021. This contract may be negotiated for additional years with mutual agreement of the School Board and Superintendent. It shall remain in full force and effect unless modified by mutual consent of the School Board and the Superintendent or unless terminated as provided herein. Section 2. Expiration This Contract shall expire at the end of the term specified in III, A. hereof. At the conclusion of its term, neither party shall have any further claim against the other, and the School District's employment of the Superintendent shall cease, unless a subsequent contract is entered into in accordance with M.S. 123B.143, Subd. 1. Three (3) to six (6) months prior to the expiration of this Contract, at the Superintendent s written request, the School board shall conduct a performance evaluation of the Superintendent pursuant to M. S. 13D.05, Subd.3. Section 3. Termination During the Term The Superintendent's employment may be terminated during the term of this Contract only for cause as defined in M.S. 122A.40, Subds. 9 or 13. Except for purposes of describing grounds for discharge, the provisions of M.S. 122A.40 shall not be applicable. If the School Board proposes to terminate the Superintendent during the Contract term for cause as described in M.S. 122A.40, 2 84

Subds. 9 or 13, it shall notify the Superintendent in writing of the proposed grounds for termination. The Superintendent shall be entitled to a hearing before an arbitrator provided the Superintendent makes such a request in writing within fifteen (15) calendar days after receipt of the written notice of the proposed termination. In such event, the parties shall jointly petition the Bureau of Mediation Services (BMS) for a list of five (5) arbitrators. The arbitrator shall be selected by the parties through the normal striking process as provided by BMS rules. The arbitrator shall conduct a hearing under normal arbitration procedure rules and issue a written decision. The decision of the arbitrator shall be final and binding upon the parties, subject to normal judicial review of arbitration decisions as provided by law. The Superintendent may be suspended with pay pending final determination by the arbitrator. If the Superintendent fails to request a hearing as provided herein within the fifteen (15) calendar day period, it shall be deemed acquiescence by the Superintendent to the School Board's proposed action and the proposed action shall become final on such date as determined by the School Board, and the Superintendent shall have no further claim or recourse. Section 4. Mutual Consent This Contract may be terminated at any time by mutual consent of the School Board and the Superintendent. Section 5. Contingency If this Contract is a subsequent contract entered into prior to the completion of an existing Contract, this subsequent contract is contingent upon the Superintendent completing the terms of the existing Contract. ARTICLE V DUTIES The Superintendent shall have charge of the administration of the schools under the direction of the School Board. The Superintendent shall be the chief executive officer of the School District; shall direct and assign teachers and other School District employees under the Superintendent's supervision; shall organize, reorganize, and arrange the administrative and supervisory staff, including instruction and business affairs, as best serves the School District subject to the approval of the School Board; shall select all personnel subject to the approval of the School Board; shall, from time to time, suggest policies, regulations, rules, and procedures deemed necessary for the School District, and, in general, perform all duties incidental to the office of the Superintendent and such other duties as may be prescribed by the School Board from time to time. The Superintendent shall abide by the policies, regulations, rules, and procedures established by the School Board and the State of Minnesota. The Superintendent shall have the right to attend all School Board meetings and all School Board and citizen committee meetings, serve as an ex-officio member of the School Board and all School Board committees, and provide administrative recommendations on each item of business considered by each of these groups. 3 85

ARTICLE VI DUTY YEAR AND LEAVES OF ABSENCE Section 1. Basic Work Year The Superintendent s duty year shall be for the entire twelve (12) month Contract year, and the Superintendent shall perform services on those legal holidays on which the School District is authorized to conduct school if the School Board so determines. The Superintendent shall be on duty during any emergency, natural or unnatural, unless otherwise excused in accordance with School Board administrative policy. Section 2. Vacation The Superintendent shall earn twenty-seven (27) working days of annual paid vacation each Contract year. Unused vacation must be taken within twelve months after the end of the Contract year in which it is earned. Upon termination of employment, the Superintendent shall be entitled to payment for any unused vacation days accrued and earned pursuant to the provisions of this paragraph. Section 3. Holidays The Superintendent shall be entitled to holidays each Contract year designated as follows: New Year s Eve New Year s Day Good Friday Memorial Day Independence Day President s Day Labor Day Thanksgiving Day Day after Thanksgiving Christmas Eve Christmas Day The School District reserves the right, if school is in session, to change any of the above holidays and establish another holiday in lieu thereof. Any legal holiday, which falls within the Superintendent s vacation period, shall not be counted as a vacation day. Holidays that fall on weekends will be observed on a day established by the School Board. Section 4. Sick Leave The Superintendent shall be entitled to 60 sick leave days per year to cover any illness or injury incurred, up to the time she becomes eligible for coverage under the LTD insurance benefit (60 days) provided for all District employees. Sick leave will be accrued each year with a maximum accrual of 180 days. Section 5. Personal and Emergency Leave The Superintendent may be granted paid personal or emergency leave during the Contract year at the discretion of the School Board. Section 6. Bereavement Leave The Superintendent may be granted paid bereavement leave during the Contract year at the discretion of the School Board. Section 7. Workers Compensation Pursuant to M.S. Chapter 176, the Superintendent injured on the job in the service of the School District and collecting workers compensation insurance may draw sick leave and receive full salary from the 4 86

School District, the salary to be reduced by an amount equal to the insurance payments, and only that fraction of the days not covered by insurance will be deducted from accrued sick leave. Section 8. Jury Service The Superintendent who serves on jury duty shall be granted the day or days necessary as stipulated by the court to discharge this responsibility without any salary deduction or loss of basic leave allowance. Expenses received for this service shall be retained by the Superintendent. Section 9. Military Leave Military leave shall be granted pursuant to applicable law. Section 10. Medical Leave Subd. 1 Statutory Reference. Pursuant to M.S. 122A.40, Subd. 12., the Superintendent shall have a right to a leave of absence for health reasons. Subd. 2 Procedure. If the Superintendent is unable to perform regular duties because of personal illness or disability and has exhausted all sick leave credit available or has become eligible for long term disability compensation and has not been suspended or placed on leave of absence pursuant to M.S. 122A.40, Subd. 12, the Superintendent shall, upon request, be granted a medical leave of absence, without pay, up to one year in duration. The School Board may, in its discretion, extend such a leave upon written request. A request for medical leave of absence or extension thereof, pursuant to this section, shall be accompanied by a written statement from a physician outlining the condition of health and estimated time at which the Superintendent is expected to be able to resume normal responsibilities. Section 11. Insurance Application A Superintendent on unpaid leave is eligible to continue to participate in group insurance programs if permitted under the insurance policy provisions. The Superintendent shall pay the entire premium for such insurance commencing with the beginning of the leave and shall pay to the School District the monthly premium in advance. In the event the Superintendent is on paid leave from the School District under Section 4. above or supplemented by sick leave pursuant to Section 5. above, the School District will continue insurance contributions as provided in this Contract until sick leave is exhausted. Thereafter, the Superintendent must pay the entire premium for any insurance retained. ARTICLE VII INSURANCE Section 1. Health and Hospitalization and Dental The School District shall provide the Superintendent and Superintendent's dependents with health and hospitalization and dental insurance coverage of the superintendent s preference for the premium, under the School District's group plan, at the expense of the School District. $5,500 will be contributed to the superintendent s VEBA Account annually. In the event this Contract will cause or does cause penalties, fees, or fines to be assessed against the School District, the parties agree to reopen negotiations that result in a revised Contract 5 87

between the parties that eliminate or reduce penalties, fees, or fines to be assessed against the School District. The amount of any reduction in the School District s contribution toward the Superintendent s healthcare benefits as a result of addressing the highly compensated employee component of the ACA will be placed into another School District provided benefit(s) (i.e., a retirement HRA, salary, etc.) as agreed upon between the parties. Section 2. Life Insurance The School District shall provide, at the expense of the School District, term life insurance coverage for the Superintendent under the School District s group life insurance plan in the amount of $300,000, payable to the Superintendent's named beneficiary (ies). Section 3. Long-Term Disability Insurance The School District shall provide, at the expense of the School District, long-term disability insurance coverage for the Superintendent under the School District's group plan. Section 4. Liability Insurance The School District shall provide, at the expense of the School District, liability insurance coverage naming the Superintendent as an insured, along with the School District, in an amount not less than that which is required by law for the School District. Section 5. Eligibility The eligibility of the Superintendent and the Superintendent s dependent(s) and beneficiary (ies) for insurance benefits shall be governed by the terms of the insurance policies purchased by the School District pursuant to this article. Section 6. Claims Against the School District It is understood that the School District's only obligation is to purchase the insurance policies described herein, and no claim shall be made against the School District as a result of denial by an insurer of insurance benefits if the School District has purchased the policies and paid the premiums described herein. ARTICLE VIII OTHER BENEFITS Section 1. Deferred Compensation The Superintendent will be eligible to participate in a School District approved tax-sheltered annuity/mutual fund plan through payroll deduction established pursuant to Section 403(b) of the Internal Revenue Code of 1986, Minnesota Statutes, Section 123B.02, Subd. 15, and School District policy, and as otherwise provided by law. The Superintendent shall be entitled to a matching contribution of 5% of salary, not to exceed $8,500 in the first year of this Contract. All contributions will be paid in twelve (12) equal monthly installments according to the provisions within this paragraph and not to exceed the maximum allowed by law. Section 2. Health Reimbursement Account The School District shall contribute the sum of $2,500 per Contract year to a School District approved Health Reimbursement Account. 6 88

Section 3. Automobile The School District shall compensate the Superintendent for business use of the Superintendent s private automobile at the maximum allowable Internal Revenue Service rate per mile pursuant to Minn. Stat. 471.65, Subd. 1. The Superintendent shall submit mileage reimbursement requests to the School Board Chairperson for approval. Section 4. Conferences and Meetings The School District shall pay all legally valid expenses and fees for the Superintendent's attendance at professional conferences and meetings with other educational agencies when attendance thereof is required, directed, or permitted by the School Board. The Superintendent shall periodically report to the School Board relative to all meetings and conferences attended. The Superintendent shall file itemized expense statements to be processed and approved in accordance with School District policy and law. ARTICLE IX SALARY The Superintendent shall be paid an annual salary of $176,948 for the 2018-2019 contract year, $184,203 for the 2019-2020 contract year, and $191,755 for the 2020-2021 contract year. The annual salary may be modified, but shall not be reduced, during the term of this Contract. The salary shall be paid in twelve (12) equal installments during the Contract year. Upon completion of a Doctoral Program, a one-time stipend of $3000 will be paid on July 1 of the year the degree is awarded. ARTICLE X OTHER PROVISIONS Section 1. Outside Activities While the Superintendent shall devote full time and due diligence to the affairs and the activities of the School District, the Superintendent may serve as a consultant to other school districts or educational agencies, lecture, engage in writing and speaking activities, and engage in other activities if such activities do not impede the Superintendent's ability to perform the duties of the Superintendency. The Superintendent shall not engage in other employment, consultant service or other activity for which a salary, fee, or honorarium is paid without the prior approval of the School Board. Section 2. Indemnification and Provision of Counsel In the event that an action is brought or a claim is made against the Superintendent arising out of or in connection with the Superintendent's employment, and the Superintendent is acting within the scope of employment or official duties, the School District shall defend and indemnify to the extent permitted by law. Indemnification, as provided in this section, shall not apply in the case of malfeasance in office or willful or wanton neglect of duty, and the obligation of the School District herein shall be subject to the limitations as provided in Minnesota Statutes, Chapter 466. 7 89

Section 3. Dues The Superintendent is encouraged to belong to and participate in appropriate professional and educational organizations when such membership will serve the best interests of the School District. Accordingly, the School District will pay the membership dues for professional and educational organizations as are required, directed, or permitted by the School Board. The Superintendent shall present appropriate statements for approval as provided by law and School District policy. The School District shall pay the Superintendent s membership dues for the following local civic organizations: F-M Chamber and Moorhead Rotary. Section 4. Severance Pay. Upon separation from the School District by the Superintendent for termination of employment, resignation or retirement, the Superintendent will receive severance pay in the following manner: a. Up to 114 days of sick leave, if available, through the completion of five years of service as Superintendent. b. Up to 130 days of sick leave, if available, after completing ten years of service as Superintendent. The Superintendent must have banked adequate sick days in the three (3) years preceding separation, having been entitled to up to sixty days per year if needed, in order to receive the entire severance. If the net amount of sick days available in the three (3) years preceding separation is less than the maximum amount of eligible days available, (i.e. 114 days, 130 days) the Superintendent will receive the actual amount of sick days remaining as severance pay. Total severance of all types will be capped at the amount allowable under applicable statute. Severance pay shall be paid in one lump sum within thirty (30) days following separation to the Superintendent s designated district approved 403(b) special pay plan in total. If the amount of severance pay exceeds the 403(b) special pay plan limits in the year of separation, the remaining severance pay will be paid to the 403(b) special pay plan in the year or years following separation until the entire amount has been paid. If the Superintendent dies while employed or before receiving payment after separation from the School District, the balance shall be paid to the Superintendent s named beneficiary (ies), or lacking same, to the surviving spouse of the Superintendent, if any, otherwise to the estate of the deceased Superintendent. ARTICLE XI SEVERABILITY The provisions of this Contract shall be severable, and if any such provision or the application of any such provision under any circumstances is held invalid, it shall not affect any other provisions of this Contract or the application of any provision thereof. 8 90

This Contract shall be effective only upon signatures of the Superintendent and of the officers of the School Board after authorization for such signatures by the officers is given by the School Board in appropriate action in its minutes. Deferred Compensation The Superintendent will be eligible to participate in a School District approved tax-sheltered annuity/mutual fund plan through payroll deduction established pursuant to Section 403(b) of the Internal Revenue Code of 1986, Minnesota Statutes, Section 123B.02, Subd. 15, and School District policy, and as otherwise provided by law. The Superintendent shall be entitled to a matching contribution of 5% of salary, not to exceed $8,500 in the first year of this Contract. All contributions will be paid in twelve (12) equal monthly installments according to the provisions within this paragraph and not to exceed the maximum allowed by law. This amount will be prorated for the period of April 1, 2018-June 30, 2018. Section 2. Health Reimbursement Account The School District shall contribute the sum of $2,500 per Contract year to a School District approved Health Reimbursement Account. This amount will be prorated for the period of April 1, 2018-June 30, 2018. Section 3. Automobile The School District shall compensate the Superintendent for business use of the Superintendent s private automobile at the maximum allowable Internal Revenue Service rate per mile pursuant to Minn. Stat. 471.65, Subd. 1. The Superintendent shall submit mileage reimbursement requests to the School Board Chairperson for approval. 6 98

Section 4. Conferences and Meetings The School District shall pay all legally valid expenses and fees for the Superintendent's attendance at professional conferences and meetings with other educational agencies when attendance thereof is required, directed, or permitted by the School Board. The Superintendent shall periodically report to the School Board relative to all meetings and conferences attended. The Superintendent shall file itemized expense statements to be processed and approved in accordance with School District policy and law. ARTICLE IX SALARY The Superintendent shall be paid a prorated salary for the period of April 1, 2018-June 30, 2018 based on an annual salary of $154,715. The annual salary may be modified, but shall not be reduced, during the term of this Contract. The salary shall be paid in three (3) equal installments during the period of April 1, 2018-June 30, 2018. ARTICLE X OTHER PROVISIONS Section 1. Outside Activities While the Superintendent shall devote full time and due diligence to the affairs and the activities of the School District, the Superintendent may serve as a consultant to other school districts or educational agencies, lecture, engage in writing and speaking activities, and engage in other activities if such activities do not impede the Superintendent's ability to perform the duties of the Superintendency. The Superintendent shall not engage in other employment, consultant service or other activity for which a salary, fee, or honorarium is paid without the prior approval of the School Board. Section 2. Indemnification and Provision of Counsel In the event that an action is brought or a claim is made against the Superintendent arising out of or in connection with the Superintendent's employment, and the Superintendent is acting within the scope of employment or official duties, the School District shall defend and indemnify to the extent permitted by law. Indemnification, as provided in this section, shall not apply in the case of malfeasance in office or willful or wanton neglect of duty, and the obligation of the School District herein shall be subject to the limitations as provided in Minnesota Statutes, Chapter 466. Section 3. Dues The Superintendent is encouraged to belong to and participate in appropriate professional and educational organizations when such membership will serve the best interests of the School District. Accordingly, the School District will pay the membership dues for professional and educational organizations as are required, directed, or permitted by the School Board. The Superintendent shall present appropriate statements for approval as provided by law and School District policy. The School District shall pay the Superintendent s membership dues for the following local civic organizations: F-M Chamber and Moorhead Rotary. 7 99

Section 4. Severance Pay. Upon separation from the School District by the Superintendent for termination of employment, resignation or retirement, the Superintendent will receive severance pay in the following manner: a. Up to 114 days of sick leave, if available, through the completion of five years of service as Superintendent. b. Up to 130 days of sick leave, if available, after completing ten years of service as Superintendent. The Superintendent must have banked adequate sick days in the three (3) years preceding separation, having been entitled to up to sixty days per year if needed, in order to receive the entire severance. If the net amount of sick days available in the three (3) years preceding separation is less than the maximum amount of eligible days available, (i.e. 114 days, 130 days) the Superintendent will receive the actual amount of sick days remaining as severance pay. Total severance of all types will be capped at the amount allowable under applicable statute. Severance pay shall be paid in one lump sum within thirty (30) days following separation to the Superintendent s designated district approved 403(b) special pay plan in total. If the amount of severance pay exceeds the 403(b) special pay plan limits in the year of separation, the remaining severance pay will be paid to the 403(b) special pay plan in the year or years following separation until the entire amount has been paid. If the Superintendent dies while employed or before receiving payment after separation from the School District, the balance shall be paid to the Superintendent s named beneficiary (ies), or lacking same, to the surviving spouse of the Superintendent, if any, otherwise to the estate of the deceased Superintendent. ARTICLE XI SEVERABILITY The provisions of this Contract shall be severable, and if any such provision or the application of any such provision under any circumstances is held invalid, it shall not affect any other provisions of this Contract or the application of any provision thereof. 8 100

This Contract shall be effective only upon signatures of the Superintendent and of the officers of the School Board after authorization for such signatures by the officers is given by the School Board in appropriate action in its minutes.
