INTRODUCTION This Constitution document sets out how Trent Park Golf Club (TPGC) is run and administered. This document can only be changed by a voting procedure at a TPGC Annual General Meeting. The TPGC Rules (found in the yearly Club Fixture List and Competition Rules handbook) relates to all Club Competitions and can only be amended by the elected committee through a voting procedure at Club committee meetings. 1. NAME 1.1 The name of the Club shall be the TRENT PARK GOLF CLUB (TPGC) (hereinafter referred to as "the Club") which operates within, but is separate from Trent Park Golf Centre. 2. THE OBJECTS 2.1 Object overview: - The Club shall provide Golf and other social activities and amenities associated therewith. The Club shall be affiliated to the English Golf Union and to the Middlesex County Golf Union and the Ladies' Section of The Club to the Ladies Golf Union. 2.2 The objects of the Club and its Committee are as follows: (a) To maintain and conduct a golf club for the benefit of the Members. (b) To promote the game of golf and to forward the interests and reputation of the Club. (c) To appoint a Handicap Committee as required by the Council of National Golf Unions Unified Handicap System. (d) To arrange the programme of golfing events and competitions. (e) To uphold all forms of golfing etiquette and all rules of the Club. (f) To provide Local Rules for the playing of golf at the Club and promote compliance with the Rules of Golf of Amateur Status as approved by the Royal and Ancient Golf Club of St. Andrews. 3. CONTROL AND MANAGEMENT 3.1 The Club, through its Committee shall be responsible for the management of the Club's affairs, both financial and administrative. In the event of any dispute in the Club's affairs the decision of the Committee shall be final and decided on by a voting procedure as set in item 7.4 Voting at meetings. 3.2 Twigmarket Limited, for the time being, or any associated company or duly nominated agent thereof hereinafter shall be referred to as "The Proprietor". The Proprietor shall license the Club to occupy such parts of the golf course and the Club House for the objects herein provided as The Proprietor shall deem desirable and necessary provided that such License shall in no way conflict with this constitution. 3.3 The Committee, with the assistance of The Proprietor, shall determine and agree the Constitution of the Club as presented in this document. 3.4 The Proprietor has the over-riding authority to ban any member for any indiscretion he feels warrants such actions. Once a club member has been banned, their Club Membership will automatically end as of the date of the ban without appeal, and any refund of membership fees. 4. OFFICERS 4.1 The Officers of the Club shall be; The President, The Men s Captain, The Men s Vice Captain, the Hon. Secretary, the Hon. Treasurer, the Lady Captain and the Lady Vice Captain and shall all be full Members of the Club. 4.2 All Officers except the President will be allowed to vote at meetings. 4.3 All serving committee members shall be Full members of Club. 5. COMMITTEE 5.1 The General Committee (hereinafter referred to as "The Committee") shall consist of the President, the Men s Captain, the Immediate Past Men s Captain, the Men s Vice Captain, the Ladies Captain, the Ladies Vice and Ladies past Captain, two nominees of the Proprietor and up to six Full Members of The Club. 5.2 By way of election to the Committee, each member agrees to abide by the Code of Conduct for Committee Members 6. ELECTION OF OFFICERS and MEMBERS OF THE COMMITTEE. 6.1 The Captain-elect, with The Committee, shall appoint the Vice-Captain-elect from its own members elected to The Committee for the time being at a General Meeting: and The Committee shall appoint the President in both cases before notice of the Annual General Meeting is given. A Notification will be posted for the position of Vice Club Captain on the Clubs Notice Board. All nominations will be considered by the Club Captain elect and their recommendation voted on the by the whole committee. Nominations are welcomed from all sections of the membership. In all cases these appointments will be made before the AGM A 2 nd Notification will be posted for the position of Committee members on the Clubs Notice Board. All nominations will voted on by Club members at the AGM. Nominations are welcomed from all sections of the membership and from either sex. All nominations should be made in writing or email to the Hon secretary. For further information on the Annual General Meeting (AGM) procedure Go to point 9. 6.2 The election of Members of The Committee and of two Returning Officers for the Meeting shall be made at the AGM. 6.3 Any two Full Members may nominate a Full Member for election as a member of The Committee or as a Returning Officer, provided that they have obtained his/her consent in writing to be nominated. Nominations in writing shall be delivered to the Hon. Secretary not less than 21 days before the date set for the AGM. or, they can enter their name on the Committee nomination form that will be posted on the Clubs Notice board not less that 60 days before the AGM. A Returning Officer shall not be a candidate for election to The Committee. 6. 4 The retiring Vice-Captain shall be elected as Captain and the retiring Captain as immediate Past Captain and the Vice-Captain-elect as Vice-Captain and the Captain of the Ladies' Section shall be elected unopposed in all four cases at the AGM and shall serve until the next AGM. 6.5 The President shall be elected unopposed at an AGM for a term of one year. 6.6. The retiring Hon. Secretary and the retiring Hon. Treasurer shall be elected unopposed at the AGM to serve until the first meeting of The Committee which shall be held within 14 days of the AGM. 6.7 The Committee shall appoint the Hon. Secretary and the Hon. Treasurer and both shall serve until the first meeting of The Committee after the next AGM. (See 6.6). 6.8 Lists of names of the candidates in alphabetical order, separately as candidates for election to The Committee and as Returning Officers, together with the names of their Proposers and Seconders shall be posted on the Notice Board in the Club House by the Hon. Secretary not less than 14 days before the date set for the AGM. 6.9 If the number of nominations exceeds the number of vacancies to be filled, balloting lists shall be prepared by The Committee containing the names of the candidates only, in alphabetical order. 6.10 Each Member present at the AGM and qualified to vote shall be entitled for the number of candidates necessary to fill the vacancies. In case there shall not be a sufficient number of candidates nominated The Committee shall be entitled to nominate qualified candidates for submission to the AGM without previous notice. The Members securing the most votes shall be deemed to be elected, any ties in the election of the Committee Members being resolved by lot drawn by the Returning Officers, who may appoint any person of persons to act as Tellers or in any other capacity they deem necessary in conducting the elections. The Chairman shall be responsible for conducting the counting of votes in the election of Returning Officers. A candidate standing for election to the committee shall be present at the meeting, unless a satisfactory written explanation for the absence is received and accepted by the AGM. 6.11 The Committee shall be empowered to fill any vacancies in their number after the AGM. 7. COMMITTEE MEETINGS 7.1 The Committee shall normally meet not less than once a month. The Club Captain shall take the Chair at these meetings (or the Past Men s Captain or Men s Vice-Captain in his absence). Six members shall form a quorum. 7.2 Any Member of The Committee not attending meetings for three consecutive months shall cease to be a Member of The Committee unless his/her absence has been for good and sufficient reason approved by The Committee. 7.3 Copies of the minutes of all monthly Committee meetings shall be made available to any requesting full member of the club by the Hon. Secretary following the approval of those Minutes by the Committee at the next monthly committee meeting. 7.4 Voting at Monthly meetings: Each Committee members present, (except the President) shall be entitled to a single vote on any issue or issues that require a decision. 7.5 If the votes are tied, the Club Captain, or chairman in his absence, will have the casting vote. 8. SUB-COMMITTEES 8.1 The Committee may appoint Sub-Committees from its own members to carry out specifically defined responsibilities delegated to them. Each Sub-Committee may, with the approval of The Committee, co-opt up to two additional Sub-Committee Members who shall be Full Members. 9. ANNUAL GENERAL MEETING 9.1 The Annual General Meeting (AGM) of The Club shall be held in November in each year. 9.2 The AGM shall be convened by the Committee and The Proprietors 9.3 Notice in writing by ordinary post, on the club web site, email or by hand when this is possible, to all Members not less than 28 days before the date named in the notice for holding the Meeting. Accompanying the notice there shall be circulated an Agenda which shall include: - i) The election of two Returning Officers for the Meeting. ii) The reading and approval of the minutes of the previous AGM and of any Special General Meeting held since the last AGM. iv) Consideration of the accounts and balance sheet of The Club and the report of the Hon. Treasurer. v) The reports of The Committee (to be given by The Chairman of The Committee) and Sub- Committees. vi) The election of Officers and Committee Members. vii) Any special resolution of which not less than 21 days' notice has been delivered in writing to the Hon. Secretary. viii) Any other business. 9.4 The accidental omission to give notice of a General Meeting to, or the non-receipt of notice of a General Meeting by, any person entitled to receive notice shall not invalidate the proceeding of that Meeting. 9.5 A copy of the Notice and the Agenda shall be posted on the Notice Board in the Club House by the Hon. Secretary not less than 28 days before the date named in the notice for holding the Meeting. A copy of proposed Rule changes and Special Resolutions received shall be posted on the Notice Board in the Club Houses not less than 14 days before the date set for the AGM. 9.6 The Captain of The Club (or in his absence, a Full Member nominated by the Committee) shall preside. He shall not be entitled to vote but in the event of the voting being equal, the matter shall be determined by his casting vote. The ruling of the Chair in any matter of procedure or point of order shall be final. 9.7 Only eligible members as defined herein shall be entitled to vote. The vote being registered by a show of hands, excepting in the voting for the election of The Committee and of the Returning Officers (which shall be by ballot) or if the Meeting by majority vote shall elect otherwise. 9.8 Thirty voting members present shall form a quorum. 9.9 Should the Committee propose major changes to the Constitution, the whole of the Constitution shall be posted on the Notice Board and Web site and members shall be invited to register any comments in writing or email 28 days before the AGM. 9.10 Any further specific amendment raised by a Club member regarding the Constitution will initially be discussed by the Committee and if appropriate will be voted on at the AGM. 10. SPECIAL GENERAL MEETINGS 10.1 The Committee may convene a Special General Meeting by giving 21 days' notice thereof in writing by ordinary post, or by hand when this is possible, to all Members and must call such a Meeting on receiving a requisition signed by not less than 30 voting Members and stating the resolution to be moved, the cost of such notification to be borne be The Club. 10.2 The Committee arranging the Meeting with all the expediency permitted by the availability and cost of the meeting room and by the cost of such notification. 10.3 No business other than consideration of the resolution of resolutions of which due notice has been given by the Members shall be conducted. The procedure for the AGM shall apply. 11. LADIES' SECTION 11.1 For the purpose of managing the Ladies' competitions, meetings, handicaps and similar matters affecting Lady Members only, there shall be a Ladies' Committee. 11.2 The rules for the Ladies Section shall be those set out in this document and the general Club Rules. Additional rules specific to the Ladies Section shall be voted on by the Ladies Committee and ratified by The Committee. 12. ACCOUNTS, AUDITS AND AUDITOR 12.1 The Auditor, who shall be a Chartered Accountant, and shall not be a Member of The Club, shall be appointed and the remuneration fixed by The Committee. 12.2 A copy of the audited accounts and balance sheet will be made available to any requesting full member 12.3 The Committee shall have the right to call an audit of the accounts of The Club at any time. 13. THE FINANCIAL YEAR 13.1 The financial year shall run from the 1st September to the 31st August. 14. NOTICES 14.1 No paper, notice or placard shall be exhibited in the Club House nor on the Club Notice Boards unless it bears the signature of, or has been authorised by the Committee and the Proprietors. 15. CLASSES OF MEMBERSHIP 15.1 Full Members being ladies and gentlemen who have paid an Annual Subscription and either (a) have achieved an official playing handicap, or (b) have yet to achieve an official handicap. 15.2 Junior Members who shall not have attained the age of 18 years at the commencement of the current financial year. 16. ELECTION OF CLUB MEMBERS AND RENEWALS 16.1 Candidates shall apply for membership to The Club by completing the official Application Form and submit to a Committee member or post in the Score card box in an envelope together with their payment of the Annual subscription. By way of application or renewal of membership, each member is agreeing to abide by The Club Members Code of Conduct. 16.2 The Committee may either decline to elect a new member or decline a renewal of an existing member, their membership with the Club. Any such decision will be made at a committee meeting and must have at least a 75% majority vote (see 7.4 voting procedure). A member being declined membership will be notified in writing. 16.3 All Members shall be given a copy of the Fixture Book with the Club Competition Rules. The Club Constitution will be on the web site. 16.4 Handicaps a) New members must show their official handicap certificate from their previous club when applying for membership of the Club. b) If a new member does not have an official handicap, they must provide 3 fully completed score cards, signed by a Club member or someone with an official CONGU handicap. 17. ANNUAL SUBSCRIPTION 17.1 Renewal of Annual subscriptions are to be paid yearly on or by 31 st December each year. 17.2 The Annual Subscriptions fee shall be set by committee. 17.3 The Committee, with the assistance of The Proprietors, shall be entitled to alter the rate of Subscription by posting a Notice on the Notice Board in the Club House not less than one month before such increase is to take effect. 17.4 Junior Members who shall not have attained the age of 18 years (or at the discretion of the Committee, over the age of 16 years and in full time education) shall not be required to pay an entrance fee. 17.5 The Annual Subscription shall include subscriptions to the English Golf-Union and the Middlesex County Golf Union and a sum to be determined by the Committee for use in promoting golf activities generally. 17.6 Members and New members must supply the membership secretary with their updated contact details of; their Address, telephone, mobile and email. DISCLAIMER: All Members can be assured by the TPGC Committee, that these details will not be forwarded to any 3 rd party. 17.7 If a member joins the club after January1 and before 30 th June the full fee is required. If a member joins after 1 st July to 31 st December, 50% of the annual fee is required. Thereafter renewal dates will always be on 31 December. 17.8 The name of any member whose subscription is unpaid for 5 months from their renewal date shall - unless the committee with the assistance of the proprietor, shall for good and sufficient reason otherwise resolve - be erased from the Register of Members. 17.9 The Committee shall have the right to waive or to reduce the payment of an Entrance Fee in cases they shall deem appropriate. 18. RESIGNATION OF OFFICERS/COMMITTEE MEMBERS 18.1 In the event of the resignation of the Men s Captain before the completion of his term of office, the Men s Vice Captain becomes Captain and continues to hold that office until the AGM following the date of resignation of the Captain. In the event of the resignation of the Vice Captain, the Captain shall appoint a replacement for the remainder of the year subject to the agreement of the Committee. 18.2 In the event of resignation of both Captain and Vice Captain, the Committee shall appoint a new Captain and Vice Captain to hold office until the AGM following the resignation of the two Officers. 18.3 In the event of the resignation of a Committee member more than 4 months prior to the next AGM, nomination forms shall be displayed to the Membership on the notice board. Any nominations received shall be subject to a vote by the Members of the Committee. The nominee receiving the most votes will be requested to join the Committee for the remainder of the club year. 18.4 A Member wishing to resign his Membership may do so at any time and no subscription shall be refunded except at the discretion of The Committee. Membership will automatically determine on the death of a Member. 19. DISCIPLINE 19.1 A copy of the Constitution and Club Rules and amendments thereto shall be posted on the web site and every Club Member shall be taken to be acquainted with them. 19.2 The Rules and Etiquette of Golf as adopted by the Royal and Ancient Golf Club of St.Andrew's as varied by any Local Rules approved by the Committee and The Proprietors shall be obligatory. 19.3 Complaints must be submitted to the Hon. Secretary in writing or email and shall be investigated and dealt with by The Committee as outlined in the disciplinary procedure 20. 19.4 No Member may instruct or reprimand any employee, agent, associate, guest or servant of The Proprietors. 19.5 Any Member who is not in possession of a valid season ticket or a valid Green Fee ticket or receipt may be asked to leave the course and may be reported to The Committee who shall take any action they deem appropriate. 19.6 No Member of the Club shall at any time without the Prior approval of The Proprietors negotiate arrange tender or conclude any agreement or exercise or negotiate any documents in any matter affecting the Trent Park Golf Course nor shall they without such consent as aforesaid, assume any authority to act on behalf of The Club, The Committee or The Proprietors in such regard. 19.7 Dogs are not allowed in the Club House nor on the course. 19.8 If any Member shall be guilty of any conduct which shall in the absolute discretion of The Proprietors be considered to be injurious harmful or prejudicial to the character or interests of Trent Park TRENT PARK GOLF CLUB CONSTITUTION 2012 2013 SEASON 8

Golf Course then The Proprietors shall be entitled to suspend or expel such Member after he or she shall have the opportunity of being heard (or of being represented should he or she so elect) at a meeting with The Proprietors. 19.9 If any Member shall wilfully refuse or neglect to comply with this Constitution or Code of Conduct (in Appendix) of The Club, in the opinion of The Committee, such Member shall be reprimanded, suspended or expelled but shall have the opportunity of being heard (or of being represented should he or she so elect) at the meeting of The Committee. 19.10 A Member expelled under the Clubs Code of Conduct and Rules shall forfeit all rights in or claims upon either The Club or The Proprietors or its or their property. 19.11 Any member who willfully damages Trent Park Golf Club property will be subject to disciplinary action by the committee. 19. 12 Any member who verbally or physically threatens, abuses, discriminates or harasses on the grounds of age, gender, race, national origin, sexual orientation, disability, religion or belief will be subject to disciplinary action by the committee. 20. THE DISCIPLINARY PROCEDURE 20.1 A sub committee of the Captains, Hon. Secretary will be set up to investigate all complaints. This will be called the Disciplinary sub committee. 20.2. If the Disciplinary sub committee finds the accusations were deemed serious enough, an initial hearing will be organised for the defendant(s) and person(s) who have made the accusation to clarify events. If the complaint is deemed not serious for actions, the committee will notify the complainant. 20.3 The defendant will be notified of the complaint received, in writing or email and of the date of a Disciplinary hearing and they have the option to either; a) attend b) attend with representative c) or not attend 20.4 All Committee members will be notified of an extraordinary Committee meeting to judge the case and only those committee members present will eligible to vote as set out in rule 7.4. 20.5 From the outcome of the disciplinary process, the whole committee will vote on any subsequent action in accordance with the committee's voting procedure and its decision will be final. 20.6 If the vote is tied; The Chair will have the casting vote. 21. APPEALS PROCEDURE 21.1 The defendant has the right to appeal. 21.2 The appeal should be made in writing or email to the Hon. Secretary who will put this forward to the Disciplinary Sub committee to review. 21.3 Subject to the nature of the appeal, the verdict may be reviewed again by the Committee. 22. RIGHTS OF MEMBERS 22.1 All fully paid up Members shall be entitled to participate in all Club tournaments and competitions for which they are qualified and to receive notices of and attend General Meetings of The Club, but only fully paid up Full Members shall be entitled to vote at these -and then only if they are present in person. 22.2 All full paid up Members, except as herein provided, shall be entitled at the permitted times, subject to any Bye-Laws made by The Committee, to use in common with all other entitled thereto such of the premises and property owned by The Proprietors as The Proprietors shall in their absolute discretion see fit and shall subject to obtaining prior approval of The Proprietors introduce visitors for the enjoyment of the amenities provided by The Club for use by its Members. 23. INDEMNIFICATION OF OFFICERS, COMMITTEE AND PROPRIETORS 23.1 Any Officer or Committee Member of The Club who, with the authority of The Committee for the time being, and The Proprietors, signs any lease, agreement, guarantee, indemnity or other document or assumes any obligation on behalf of The Club and, by reason thereof, incurs any personal liability in respect of, or in relation to the affairs of The Club shall be and is hereby fully indemnified, provided that the indemnity does not exceed the value of the assets of The Club at that time, by all Members of The Club, other than Junior Members, against all liability on account thereof. 23.2 Neither The Proprietors nor The Committee nor Officers of The Club shall be liable (and no claim shall be made against them) for the loss of, or damage to, any of the property or effects of, or intended to be for, and Member of The Club or any visitor or guest introduced by any Member, whether left in the Club premises and whether arising by any reason of the Lawful or unlawful act, default, omission or negligence of any person engaged or employed by The Club or The Proprietors. 23.3 Neither The Proprietors nor The Committee nor Officers of The Club shall be liable for any loss or damage or injury to the person or property of Members or visitors or guests whilst on the Club premises due to the act or default of its servants or any third party nor shall they be liable for any damages arising out of the expulsion of a Member under the exercise of their discretion by virtue of Rule 19.11 hereof. The Proprietors accept no responsibility for supervising children or pets on the premises. The responsibility for any damage or injury caused by such children or pets shall lie with their parent or persons in loco parentis. 24. SUGGESTIONS 24.1 Suggestions shall be submitted in writing to the Hon. Secretary and shall be dealt with as deemed appropriate by The Committee. 25. ADDRESSES OF MEMBERS 25.1 Members shall notify the Hon. Secretary of any change of permanent address. A notice posted to the last address notified shall be considered as duly served. 26. GREEN FEES 26.1 Green Fees shall be determined by The Proprietors and any alterations thereto shall be published on the Notice Board on the Club House or signified by The Proprietors thereon. Every Member shall be subject to the foregoing rules and pay a Green Fee for every occasion on which he or she shall pay unless he or she is in possession of a valid season ticket. 27. VISITORS 27.1 The following persons shall be visitors and entitled to use the Club premises and to make use of The Club's facilities, subject to these and the foregoing Rules: a) Any members of the Public without discrimination as to race or religion using the golfing facilities of The Club and the Trent Park Golf Course including facilities with regards to golf facilities or any person (not being a Club Member) taking part in any approved tournament competition or meeting held at The Club and the officials of any such event. b) Non-playing persons being the guests of Club Members, provided their names have been entered in the Visitors Book. 28. ALTERATIONS TO THIS CONSITUTION AND BYE-LAWS 28.1 This Constitution shall not be altered nor repealed, nor shall any new points to the Constitution be made except by resolution at an AGM at which two-thirds of those attending vote in favour, and then only if the number in favour exceeds 30. Before any changes to the Constitution can be implemented, it must have the approval of The Proprietors. TRENT PARK GOLF CLUB CONSTITUTION 2012 2013 SEASON 10

28.2 Twenty-eight days' notice of the intention to propose any new points or changes to any points to the Constitution shall be given in writing to the Hon. Secretary. 28.3 The Committee and The Proprietors are empowered to make Bye-Laws for the regulation of The Club and to alter them as they deem necessary, provided such Bye-Laws in no way conflict with this Constitution. 28.4 This Constitution shall at all times be subject to any alteration or amendment required by the London Borough of Enfield or the Freeholder for the time being of the Trent Park Golf Course notwithstanding the foregoing provisions. 29. ISSUE OF CONSITUTION & COMPETITION RULES 29.1 Every Member shall be notified that the Constitution and Competition Rules shall be posted on the Web site and of any amendments thereto on the Notice Board in the Club House. APPENDIX CODE OF CONDUCT FOR PLAYERS 1. SEQUENCE OF PLAY 1.1 Once started, all games or matches should play holes in their proper sequence. 1.2 Players who fail to do so have no standing on the course for the remainder of their round of golf. 2. BREACHES OF ETIQUETTE, SLOW PLAY ETC. 2.1 Breaches of etiquette and slow play are to be discouraged and serious instances of either should be taken up at the time with the offenders or promptly reported to the Captain, Club officials or Proprietor so that they may be dealt with. 2.2 Officers of the Club, Committee Members, the Proprietor and Club Professional have the power to order any Member from the course if the breach is sufficiently serious e.g. abusive behaviour, continuous throwing down of golf clubs, playing from a tee bed when mats are in use, abuse of putting surface etc. 3. DRESS 3.1 Members, guests and visitors are expected to wear golf attire on the golf course; meaning No jeans or T-shirts and no footwear other than golf shoes. 4. AMENDMENT OF THE CLUB COMPETITION RULES 4.1 These Competition Rules may be revoked or amended at any time by the Committee, at their absolute discretion, provided that such revocations and amendments shall be posted in the Clubhouse Notice Board and advised to the membership at the next AGM. CODES OF CONDUCT FOR MEMBERSHIP / VISITORS AND COMMITTEE MEMBERS OF TRENT PARK GOLF CLUB (TPGC) The Codes of Conduct have been developed to ensure a safe, friendly and respectful place for members, visitors and the Committee to gather in the spirit of cooperation, relaxation, good will, fun and friendly competition. First, there will be a listing of a general code that applies to everyone and then there will be additional Code of Conduct for the Committee Members. The Code of Conduct differs from rules in that it addresses acceptable/unacceptable behavior. All members, visitors, staff and Committee members are expected to conduct themselves in a manner that: Creates an environment and culture that is reflective of the personal integrity and respect taught in the rules of golf where it is written that we are capable of enforcing rules upon ourselves with honesty, integrity and good sportsmanship. This same integrity, honesty and good will are expected whether on the golf course, or in the Club House. Observes proper etiquette on and off the course and in the Club House Acknowledges TPGC as a family friendly environment and, therefore, refrains from using obscenities, offensive and loud boisterous behavior inappropriate for children and good taste Shows the utmost respect and dignity towards fellow members, visitors and Trent Park Golf Centre staff and eliminates discrimination and harassment on the grounds of age, gender, race, national origin, sexual orientation, disability, religion or belief Does not damage the character, integrity, good will, property and community view (local and/or the broader community) of TPGC Is reflective of an adherence to ALL club and centre rules CODE OF CONDUCT FOR COMMITTEE MEMBERS This Code is developed to ensure a mechanism for establishing a business environment for the smooth operation and sound decision making process utilizing a spirit of cooperation. All Committee members are expected to conduct themselves in a manner that: Reflects honesty, integrity and support for the best interests of TPGC in carrying out the day to day business and planning for the future of TPGC Affords the membership an identifiable method to voice concerns in a proper and consistent manner, namely: A place to bring concerns, ideas and suggestions for appropriate consideration and/or action A respectful place where they have the freedom to voice opposition and/or praise A place that does not create unnecessary strife, ill will and divisiveness among the membership Has a professional and healthy regard for confidentiality Is an unbiased participant in establishing guidelines that are sound for the entire club through feedback from the membership Is consistent with a committee system of operation, namely: Structure and Meetings as set out in the Constitution Conduct: Committee Members will respectfully hear concerns, ideas, suggestions, and will, through a committee system, make and vote on motions for action or inaction TRENT PARK GOLF CLUB CONSTITUTION 2012 2013 SEASON 12

The Committee will discuss, agree, disagree, seek further information, solicit advice from professionals in a particular discipline and gather as much information as possible about issues Committee members should always keep in mind and in their decision making the question What is in the best interest of TPGC and its members? The Committee will then, at some point, make a motion on an issue and vote after everyone has been heard Once a vote is taken, however, Committee members are expected to support the decisions to the membership and conduct themselves as a unified body It is not acceptable for Committee members to undermine decisions made (democratically through the voting process) by voicing to small groups or individuals that he/she is not in agreement with the decision that was made.
