"PATRON" Token Sale Terms of Service This Agreement (hereinafter "Terms and Conditions") is made, by the PATRON. using the PATRON website, or in purchasing a PATRON COIN token (hereinafter referred to as "PAT"), for the purchaser need to be taken into account. It is considered that the purchasers are agreed these terms, at the time of starting the purchase procedure by PATRON, by the purchaser. PAT purchase conditions will be bound by these terms, so please make sure to read before using this service. 1. (General Rules Scope of Application) 1. PAT does not have the property of securities in any jurisdiction. This contract does not constitute any proposal, recommendation, or solicitation of any investment, and /or any proposal, recommendation, or solicit purchase of securities. In addition, these terms have not been submitted or registered to the regulatory authorities, etc. Also, it has not been reviewed or confirmed by the regulatory authorities and there is no plan to do so. 2. These Terms prescribe basic matters concerning Purchase of PAT by Buyer and the conditions for PAT purchase of all purchasers shall be prescribed by this Agreement. We will separately determine the details of PAT and detailed purchase conditions, so please refer. 3. When the PATRON posts individual regulations and additional provisions on the PATRON website, or when sending rules etc. by e-mail or the like, they constitute a part of this agreement. In the case where individual regulations, additional provisions, rules, etc. conflict with this agreement, the individual regulations, additional provisions or rules etc shall prevail. 2. Definition 1.In this Agreement, the meanings of the terms listed in the following items shall be as prescribed in each of the relevant items. (1) This Agreement
This refers to the contractual relationship concerning purchase of PAT between purchaser and PATRON. (2) Purchaser A customer who initiated the PAT purchase procedure separately specified by PATRON, after approving the terms of purchase. (3) PATRON officials Members of PATRON and related persons. (4) PATRON website Website which domain is https://patron-ico.io/ operated and managed by PATRON (If the domain or content of PATRON's website has changed, regardless as the reason of the change, the changed domain is also described as PATRON website). (5) Intellectual property right Copyright, patent right, utility model right, trademark right, design right and other intellectual property rights (Includes the right to acquire those rights or to file registration etc. for those rights.) 3.Purchase restrictions on PAT 1. Purchase of PAT cannot be made by citizens, residents or other purchasers who belong to countries (ie: The People's Republic of China) or states that are forbidden or not lawful to purchase PAT or similar tokens. 2. Purchase of PAT concerns software systems based on tokens and block chains Shall be only done by individuals or by the enterprise who have extensive experience, knowledge of their use and complexity. The buyer must understand the function of the storage method and transmission mechanism concerning PAT and other tokens. 3. PATRON and PATRON officials are not responsible for any reason for the loss of PAT by the purchaser.
4.If the purchaser does not have the above necessary experience or expertise, purchaser cannot purchase PAT. When purchasing PAT, purchasers are considered to buy after carefully considering the risks and expenses of purchase and any other disadvantages. If the purchaser does not have the required experience or expertise, as stated above, the purchaser himself / herself must obtain the knowledge of risks of purchasing the PAT, by independent advice from experts on this point/etc., Please purchase after becoming acceptable situation. 5. Purchaser cannot purchase PAT, if PATRON determines that the purchaser violated the representation and warranty stipulated in Article 5. 4. ( Risk of PAT purchase) Purchasing PAT involves serious risks. Prior to purchasing PAT, the buyer carefully examines the risks listed below, and if there are items that cannot be understood, ask consultant to lawyers, accountants, tax accountants and other experts to the extent of necessity. (1) Purchaser cannot access PAT without entering the password selected by the purchacer. If purchasers do not keep an accurate record of their passwords, they may lose PAT. Even if the purchaser's password is known to a third party, there is a danger that PAT will be lost. (2) Although PATRON makes the best effort to treat PAT by major virtual currency exchanges, the value, of or benefit by the currency cannot be guaranteed. Purchasers must understand that the liquidity of PAT may be lower than what they predict and expect by themselves. (3) The profits or rights etc. that can be possesed by purchasers separately determined by PATRON by possessing PAT depend on the development of the business managed and operated by PATRON. PATRON will make the best effort. However, on the contrary, there is a possibility that it may be changed as to the interests, the presence or absence of such interests, the timing or contents to be realized, and other matters. Purchaser s expectation for the benefit or right that purchaser would obtain are not guaranteed.
(4) As with other tokens, the value of PAT can be volatile and there is a possibility that the value may be reduced for various reasons. (5) PAT is issued in the etherium blockchain. Therefore, a failure or malfunction of the Etherium blockchain protocol may negatively affect the value of the purchaser and PAT. 5. Representation warrant by Purchaser 1. In purchasing the PAT, the purchaser expresses and warrants the following matters to the PATRON (1) The purchaser does not fall under the purchase restrictions prescribed in each section of Article 3, and shall have the authority to purchase PAT lawfully and shall have full capacity (2) Purchaser shall be responsible for fully understanding the risks and disadvantages associated with the purchase of the preceding Article as per purchase of PAT, and taking responsibility for determining whether PAT purchase is appropriate for purchasers. (3) Buyer purchases PAT for himself and must not act as a third party's agent. (4) The purchaser should not purchase PAT for investment purposes. (5) The purchaser must confirm himself or herself, acknowledged and recognized that PAT does not fall under any form of securities in the purchaser's jurisdiction (6) Purchaser shall agree and recognizes that the promotion of PAT by PATRON is not intended to be solicitation of securities in the purchaser's area or solicitation of investment in securities. (7) Purchaser shall agree and recognize that implementation and completion of the token sale of PAT, or the future transaction of PAT in the virtual currency exchange should not be interpreted and judged as the value of PATRON or PAT.
(8) In case that purchase of PAT is not prohibited or restricted by laws, or regulations in the purchaser's area, and that PAT purchase or possession is limited, purchaser must abide by such restrictions and comply with the expense burden of the purchaser by himself or herself, without letting any responsibility to the PATRON officials. (9) Purchaser agrees and acknowledges that PAT is not classified and will not be handled as any of the following, at the time of purchase as prescribed in this agreement: a. Virtual currency as stipulated in Article 2, paragraph 5 of the Law on Funds Payment. b. A statutory currency or deemed currency stipulated by Japan or other state c. Bonds issued by PATRON or its affiliates d. Right of control on shares issued by PATRON or its affiliates and other issues. e. Such rights, options or derivatives concerning such bonds, shares or share certificates. f. CDF contract for the purpose of securing profits or avoiding losses or aiming at president Rights based on other contracts g. Share of collective investment schemes h. Share of business trusts i.derivatives of share in business trusts, other types of securities or types of securities (10) Purchaser shall be responsible for blockchain based software system, virtual currency wallet, or other related token storage mechanism, block chain technology
and smart contract technology of its operation, functionality, use, storage, transmission mechanisms and other important aspects of virtual currency. (11) purchaser fully recognizes and understands that there is a risk associated with PATRON or its business and operation (12) Purchaser shall agree and recognizes that the following status could be caused as a result of purchasing PAT: indirect losses, extraordinary losses, contingent losses, derivative losses and any other types of loss (Includes loss of revenue, income or profit and unavailable loss or loss of data.), and shall agree as PATRON and PATRON stakeholders are not responsible regardless of; whether it is based on tort act or other. (13) The Purchaser should not use the PAT for any illegal acts including money laundering and terrorist financing. 2.. PATRON and PATRON officials shall not be liable for any damages whatsoever to the purchaser regarding the risks and disadvantages related to purchase of PAT described to the purchaser in the preceding paragraph, and, regardless of any reasons, purchasers shall indemnify PATRON and PATRON officials for these matters. 6.Procedure to purchase PAT Purchase of PAT is a purchaser's intention to make deterministic purchase, please note that we cannot refund in any case. Individuals, companies or other organizations that intend to purchase PAT must carefully consider the risks, costs and benefits of purchasing PAT and start purchasing procedures. 1.Those who wish to purchase PAT can purchase PAT based on the purchase procedure separately specified by PATRON. 2.According to PATRON standards, PATRON judges whether or not to purchase by a person who wishes to purchase PAT. Purchase of PAT by a
person who wishes to purchase the PAT is completed upon notice of completion of the review from the PATRON, and This agreement shall be concluded between purchaser and PATRON. 3.PATRON may refuse the purchaser purchasing PAT if a person who wishes to purchase PAT pursuant to paragraph 2 falls under any of the following events. (1) In the event of breaching or violating the terms of this contract. (2) When not providing necessary information requested by the PATRON (3) False, erroneous or omissible for all or part of the information provided to the PATRON (4) When the PATRON judges that the purchase applicant falls under the purchase restriction prescribed in Article 3 (5) In cases where the PATRON judges that the purchase applicant violates the representation and warranty prescribed in Article 5. (6)In cases where a purchase applicant has received or has received measures to suspend the use of PATRON services such as account deletion in the past when using the services operated by PATRON, or related to that person. (7)In the event that it is found that you are either a minor, an adult ward, an insured person or an assistant, and you have not obtained consent from a legal representative, guardian, curator or assistant (8)In cases where the PATRON judges that purchasers are antisocial forces(meaning gangsters, gangster members, right-wing groups, antisocial forces, and others), or engaged in some sort of interaction or involvement with antisocial forces, such as cooperation or involvement in the maintenance, operation or management of antisocial forces, etc. through funds provision or other
(9)In addition, when the PATRON determines that registration is not appropriate 5.Purchasers must provide the necessary and accurate information required by PATRON for reviewing PAT purchases. PATRON and PATRON officials are not responsible for any damage caused to the purchaser due to falsehood, error or omission in the content of the provided information. 7.Changing information on purchasers 1. The purchaser shall notify the PATRON if the information provided to PATRON should be changed, the renewed information should be submitted within 14 days by the method specified by PATRON. 2. If the notification from the PATRON is not reached due to neglect of the notification under the preceding paragraph, the notice shall be considered to have arrived at the time when it should normally reach, The purchaser shall not be able to state any objection on this. 8.Prohibited act In purchasing and possessing PAT, the purchaser shall not perform any act that falls under any of the following items on its own or as a third party. (1) Acts of purchasing PAT for the purpose of using for criminal acts and related acts (2) In addition to the preceding item, other acts of purchasing PAT for the purposes contrary to these Terms and Conditions and the purpose opposing to purpose of PATRON (3) Actions that infringe or potentially infringe the intellectual property rights or privacy or other rights of PATRON or other purchasers or other third parties.
(4) Acts of causing excessive load to the PATRON network or system, etc. (5) Acts of sending, posting, etc. harmful computer viruses or programs to the PATRON website (6) Act to unauthorizedly access illegally to the entire PATRON system or to illegally rewrite or delete information stored in the PATRON facility. Other acts that damage PATRON (7)Acts that violate laws, court rulings, decisions or orders, or regulatory binding administrative measures. And/or, acts that promote these actions or that might possibly trigger the formerly described actions. (7) Fraud or intimidation against PATRON or other purchasers or other third parties. (8) Spoil acts as an PATRON or impersonate other purchaser or other third party (10)Actions that directly or indirectly induce or facilitate the acts of the preceding items (11)Acts to conduct the work or similar businesses in whole or in part by themselves without prior consent from the PATRON or to conduct them by a third party (12)Other acts that PATRON considers inappropriate. 9.Measures in cases of violation of the rules, etc. 1.If the PATRON determines that the purchaser falls under or falls under any of the following items, the PATRON may, at the discretion of the PATRON, restrict the purchase of the purchaser, or conclude to book purchaser to cancel the contract without giving a notice (1) In the event of violating any provision of terms in this contract. (4)In the event that it is found that you are either a minor, an adult ward, an insured person or an assistant, and you have not obtained consent from a legal representative, guardian, curator or assistant. (5)If purchaser is anti-society force or an individual belongs to anti-society force. Or in the case of carrying out some exchange or engagement with antisocial forces, such as cooperation or involvement in maintenance of operation or management of antisocial forces, etc. through funds provision and/or others. (6)Other cases where there are grounds similar to the preceding items 2.Even after receiving the measures set forth in the preceding paragraph, the purchaser will not be able to avoid any obligation (Including damage compensation liabilities, but not limited to this) under this agreement to PATRON. 3.PATRON and PATRON stakeholders are not liable for any damages caused to purchasers by acts under this section. 10.purchase conditions: change, addition, abolition and interruption, etc. 1.PATRON shall be able to change or add all or part of the content of PAT and the terms of purchase without notifying the purchaser in advance. 2.PATRON shall be able to terminate the provision / management of all or part of the sale of PAT without notice to the purchaser at the discretion of PATRON 3.PATRON shall be able to temporarily suspend some or all of PAT sales without notifying the purchaser in advance if any of the following events occur.
(1) When sales of PAT become impossible due to administrative guidance or laws or measures based on these issues. (2)Periodic or urgent maintenance and repair related to hardware, software, communication equipment etc. necessary for selling PAT (3)When load is concentrated on the system due to excessive access, other unexpected factors (4)When it becomes necessary to secure purchaser's security (5)When the services of telecommunications carriers are not provided (6)When PAT sales are difficult due to force majeure such as natural disasters (7)In cases where PAT sales are difficult due to force majeure such: fire, power outage, other unexpected accidents or war, conflict, disturbance, riot, labor dispute, etc. (8)When it is judged necessary by PATRON by the preceding items 4.PATRON and PATRON officials shall not bear any responsibility for damage caused to purchasers by measures under this section. 11.Rights attribution 1.PAT and all intellectual property rights relating to sales of PAT are attributed to PATRON or those who license the PATRON, and it does not imply PATRON or license of intellectual property right of a person who licenses to PATRON. 2.Purchaser shall not adapt, edit, and alter information provided by the PATRON without obtaining PATRON's permission, and shall not let any third party use it or make it public.
3.Although PATRON trademarks, logos, service marks, etc. (hereinafter referred to as "trademarks, etc.") may be displayed, PATRON does not transfer any trademarks, etc. or grant the use of such trademarks to purchasers or other third parties. 12.Collection and handling of information on purchasers 1.Information provided by the purchaser upon purchase of PAT, and the other information on handling purchasers shall be in accordance with a privacy policy stipulated separately, and the purchaser shall agree that PATRON will handle such information in accordance with the privacy policy. 2.PATRON uses the information provided by the purchaser in purchasing the PAT and other information related to the purchaser and related data and the like at the discretion of PATRON for the purpose of providing, operating and improving the PATRON service, etc. and it can be released as statistical information in a form in which an individual cannot be identified. And purchaser agrees to this. 3. The PATRON may provide statistical data on information gathered and analyzed based on the purposes set forth in the preceding paragraph to a third party, and the purchaser agrees to this. 13.Confidentiality 1.Purchaser shall treat the unknown information disclosed by PATRON for secret handling to purchasers confidentially unless there is prior written consent of PATRON. 2.Whenever purchasers are asked by the PATRON, they will follow the instructions of the PATRON without delay, and the written or other recording media material containing or containing the information in the preceding paragraph and all copies thereof shall be returned or discarded. 14.Compensation for damages
1.If the purchaser damages PATRON by violating these terms, (Including cases where, PATRON receives a request from a third party). Purchaser must compensate all its damage (including expert fees such as lawyers and PATRON personnel expenses or fees equivalent to it) to PATRON. 2.PATRON and PATRON officials are not liable for any damages suffered by the purchaser in connection with the purchase of PAT. Notwithstanding the provision for the exclusion of liability for damages by parties other than PATRON and PATRON in this section and other reasons for the application of the Consumer Contract Act or for other reasons, Even if PATRON or PATRON officials are liable for damages to purchasers, The extent of the liability of PATRON or PATRON stakeholders shall be limited to direct and normal damage actually occurred due to reasons attributable to PATRON or PATRON officials. 15.Disclaimer of Warranty and Disclaimer 1.PATRON will deny all implied warranties, with PAT "as is present" and "available limit", it is sold without any kind of warranty, Sellers expressly disclaim PAT regarding, but not limited to, merchantability, fitness for a particular purpose, implied warranties of title and non-infringement 2.PATRON will not make any representations or warranties that PAT is trustworthy, up-to-date, error-free, satisfies the buyer's requirements, or defects in PAT are modified in the future PATRON will not make any representations or warranties that PAT or PAT delivery mechanism is not affected by viruses or other harmful components. 4.PATRON does not represent or intend that warranties or promises of any kind, including representations, warranties or promises concerning the truthfulness, accuracy and completeness of the information contained in this Agreement or the PATRON website, nor does represent warranty or promise to disclose.
5.PATRON does not guarantee anything, as per approximate information on present value on PAT, information provided by PATRON and information that Purchaser can acquire by PAT, conform to purchaser's specific purpose, per expected functions product value accuracy usefulness completeness, per purchase of PAT complies with laws applicable to purchasers or internal regulations of industry organizations, and avoiding problems and solve problems related to PAT. 6.All prices of PAT that PATRON sells for purchase shall be exclusive of tax. Purchaser will be responsible for how much tax will be imposed (Consumption tax, sales tax, usage tax, VAT, etc. are included). Purchaser will also be responsible for collection and collection of the correct tax amount, reporting this and appropriately paying it. PATRON is not responsible for withholding collection, collection, reporting or payment of tax on the purchase of PAT. 16.Revision and change of contracts PATRON could change or add the contents of this agreement and individual terms of use at any time, under the judgment of PATRON. In the event that this agreement or individual terms of use change, the PATRON shall notify the purchaser of the change content by the method specified in the next Article. In the event that the procedure of termination of use is not taken within the period specified by the PATRON, the purchaser shall be deemed to have accepted the change of these Terms and Individual Terms of Service at the time of such notice when the purchaser purchases the PAT after the notification of the change content. From time to time, purchasers should check the latest contents of these terms. 17.Contact / notification 1.Notice concerning change of this agreement and other PATRON to the purchaser, such as posting to appropriate places in the PATRON website, sending e-mail, or push notification, shall be done by the method that PATRON considers suitable.
2.Contact or notification from the purchaser to the PATRON is made by sending to the inquiry form installed at an appropriate place in the PATRON website, or by other method specified by PATRON. 3.PATRON may distribute advertisement, publicity and other e-mail related to PATRON service to e-mail address registered by purchaser. 18.Transfer of status etc. in this contract 1.Purchaser may not transfer the whole or part of the status under this contract or the rights and obligations under this contract to a third party (including comprehensive succession by merger, company split, etc.) or for the purpose of collateral without prior written consent of PATRON. 2. In the event that PATRON transferred a business relating to PAT to another company, the status, rights and obligations under this contract, registration information and other information can be transferred to the assignee of said business transfer with the transfer of said business, purchaser shall be considered to be agreed such transfer as previously stated in this section. The business transfer referred to in this paragraph shall include a comprehensive succession by merger or company split where PATRON will be a dissolved company or a split company. 19.Separability Even if any provision of this agreement or part thereof is determined to be invalid or unenforceable by the Consumer Contract Act or other laws and regulations, the remainder of the provisions of this contract and the rest of the provisions where part of it is deemed invalid or unenforceable shall continue to be fully effective, PATRON and purchaser shall make such invalid or unenforceable provision or part lawful, and corrected to the extent necessary to make executive power, and strive to ensure the purpose of the invalid, or unenforceable provision or part and the equivalent effect legally and economically 20.Survival provision
The provisions of Articles 5, 7 to 10, 4, 11 to 22 shall survive effectively after the termination of this contract. 21. Governing law and agreement jurisdiction This contract shall be in compliance with the law of the Republic of Singapore. For any disputes arising out of or related to this contract, the Tokyo District Court shall be the first examiner's exclusive jurisdictional court. 22. Consultation solution PATRON and purchasers shall resolve promptly upon consultation pursuant to principles of faithfulness and mutual respect mutually in case any matter not stipulated in this Agreement or interpretation of this contract arises. (The above are stipulated as of December, 11 th, 2017)
