It is recognized that the problems with which this labor organization is accustomed to deal are not limited to unionism or to organization and collective bargaining alone, but encompass a broad spectrum of economic and social objectives as set forth above and as the Union may determine from time to time. We therefore determine and assert that the participation of this labor organization, individually and with other organizations, in the pursuit and attainment of the objectives set forth herein is for the benefit of the organization and its members. Section 5 ELIGIBILITY FOR MEMBERSHIP Eligibility to membership in this Local Union shall be as set forth in the International Constitution, and applicants for membership shall comply with and be subject to the requirements imposed by these Bylaws and the International Constitution. Section 6 OFFICERS The officers of this Local Union shall be the members of the Executive Board and, the Statewide Council, the SETC/Teamster Skilled Trades Division, and future Divisions created by the Executive Board. The Executive Board shall be comprised of the Secretary-Treasurer, President, Vice President, Recording Secretary, and five (5) Trustees. There shall be two (2) Skilled Trades Advisory Seats, appointed by the Executive Board. The Skilled Trades Advisory Seats shall be filled by one member from UC and one member from CSU. One of the Skilled Trades Advisory Seats shall be filled by the Skilled Trades Director. The Statewide Council shall be comprised of representatives from each Chapter, as follows. The Chapter Coordinator and Chief Steward - 5 -

of each Chapter shall be members of the Statewide Council by virtue of their office. The members of each Chapter with more than 400 members shall elect one additional Council member per 200 members or fraction thereof in excess of 400 to the Statewide Council. The Skilled Trades Division Board shall represent skilled trades members in the Statewide Council. (F) (G) (H) The Skilled Trades Division Board shall initially be comprised of the Skilled Trades Director and the SETC-UNITED Executive Board members serving at the effective date of the Affiliation and Merger between SETC-UNITED and Teamsters Local 2010. Additional seats shall be added to the SETC/Teamster Skilled Trades Division Board for representatives of skilled trades members at UCLA, UCSD, and any other groups of skilled trades workers that may join with Local 2010. The Local 2010 Secretary-Treasurer shall have an ex-officio seat on the Division Board. The Skilled Trades Director and the SETC/Teamster Skilled Trades Division Board shall be subject to election by the skilled trades members concurrent with each election of the Local Union Executive Board. No person shall serve simultaneously on the Statewide Council and the Executive Board,. In the event a Chapter Coordinator or Chief Steward is also elected to the Executive Board, her/his seat on the Statewide Council shall be filled by the Assistant Chapter Coordinator, if available to serve; if not, the vacancy shall be filled in accordance with the bylaws. In the event a member of the SETC/Teamster Skilled Trades Division is elected to the Executive Board, her/his seat on the Statewide Council shall be filled in accordance with the bylaws. The term of office of all officers shall commence on the first of January in the year following the election. The officers of each Chapter shall be the Chapter Coordinator, Assistant Chapter Coordinator and Chapter Steward. The duties and responsibilities of the Chapter officers shall be established by the Local Union Executive Board. - 6 -

Section 16 POWERS AND DUTIES OF THE SETC/TEAMSTER SKILLED TRADES DIVISION BOARD The SETC/Teamster Skilled Trades Division Board shall meet at least four times per year, at times and places to be determined by the Skilled Trades Director, who shall preside at such meetings. In accordance with these Bylaws, the SETC/Teamster Skilled Trades Division Board shall have oversight of the representation of skilled trades members. The SETC/Teamster Skilled Trades Division Board shall debate and deliberate regarding any and all aspects of the work and functioning of the Local Union as they may relate to skilled trades members and shall make recommendations to the Local 2010 Executive Board regarding all such matters. The Division Board shall review and provide feedback on staff, representatives, and independent contractors. The Division Board shall consist of committees to address division goals and mission. SKILLED TRADES DIRECTOR The Skilled Trades Director is responsible for the oversight of the representation of the skilled trades members of Teamsters Local 2010 subject to the provisions of these Bylaws. The Skilled Trades Director shall have oversight and make recommendations regarding the operations and business of skilled trades division, including the appointment and removal of stewards and other representatives of the Skilled Trades Division. The Skilled Trades Director shall coordinate with staff regarding all aspects of representation of members in the skilled trades division. The Director shall recommend hiring, reprimands, and trainings to Secretary-Treasurer and Executive Board. - 20 -

(F) The Skilled Trades Director shall convene skilled craft membership meetings at least four times per year, at times and places to be determined by the Skilled Trades Director. The Skilled Trades Director shall have oversight and make recommendations over the skilled trades division fund. The Skilled Trades Director shall perform all duties incident to the office of Skilled Trades Director, and shall perform such other duties and render such assistance as may be assigned by the Skilled Trades Division Board, Local Union Executive Board, Principal Executive Officer, or membership from time to time, including but not limited to representing the interests of the Local Union to the members, employers, political leaders and the public. PRESIDENT'S DUTIES It shall be the duty of the Skilled Trades Division President to preside at craft membership meetings of this Skilled Trades Division and to preserve order therein. The President shall appoint members to committees subject to the approval of the Skilled Trades Division Board and shall also have the right to serve on all committees by virtue of their office as an ex officio member. The President shall perform all duties incident to the office of Skilled Trades President, and shall perform such other duties and render such assistance as may be assigned by the Skilled Trades Division Director, Skilled Trades Division Board, Local Union Executive Board, principal executive officer, or membership from time to time, including but not limited to representing the interests of the Local Union to the members, employers, political leaders and the public. The President shall decide all questions of order during Skilled Trades membership and craft meetings, subject to an appeal, if a valid objection has been taken by an interested member, which appeal shall be determined by a majority vote of the members present and voting. The President shall not vote on motions pending before the membership meeting except to cast the deciding vote when a tie occurs on any question. The President shall announce the result of all votes, and shall have the power to call special meetings. The President shall have the right to vote on all matters at meetings of the Skilled Trades Division Board, except where such vote would create a tie. - 21 -

VICE PRESIDENT DUTIES It shall be the duty of the Skilled Trades Division Vice President, to preside at Skilled Trades Division meetings in the absence of the President. The Vice President shall perform all duties incident to the office of Skilled Trades Division Vice President, and shall perform such other duties and render such assistance as may be assigned by the Skilled Trades Director or President, Skilled Trades Division Board, Local Union Executive Board, Principal Executive Officer, or membership from time to time, including but not limited to representing the interests of the Local Union to the members, employers, political leaders and the public. TREASURER DUTIES The Skilled Trades Division Treasurer shall review and report on the Skilled Trades Fund to the Skilled Trades Division Board and membership. The Treasurer shall have authority to review Teamsters 2010 profit & loss statements. The Treasurer shall perform all duties incident to the office of Skilled Trades Division Treasurer, and shall perform such other duties and render such assistance as may be assigned by the Skilled Trades Director or President, Skilled Trades Division Board, Local Union Executive Board, Principal Executive Officer, or membership from time to time, including but not limited to representing the interests of the Local Union to the members, employers, political leaders and the public. RECORDING SECRETARY DUTIES It shall be the function of the Skilled Trades Division Recording Secretary to attend Skilled Trades Division general membership meetings and Skilled Trades Division Board meetings and to keep minutes of the proceedings. Minutes shall accurately record the motions made at meetings and shall include the names of the members making and seconding a motion, whether the motion was adopted or rejected, and the results of any division of the house or secret ballot votes. Minutes shall specifically include all financial transactions voted upon at the meeting. - 22 -

The Recording Secretary shall keep a record of the names of the members comprising each committee and handle all correspondence of the Local Union assigned by the principal executive officer or authorized by membership resolution. In the absence of the Recording Secretary, the Skilled Trades Board shall appoint a member to act as Recording Secretary pro tempore who shall have the duties set forth above. The minutes of the Recording Secretary shall reflect all members involved in the meetings. The Recording Secretary shall perform all duties incident to the office of Skilled Trades Division Recording Secretary, and shall perform such other duties and render such assistance as may be assigned by the Skilled Trades Director or President, Skilled Trades Division Board, Local Union Executive Board, Principal Executive Officer, or membership from time to time, including but not limited to representing the interests of the Local Union to the members, employers, political leaders and the public. BOARD MEMBER DUTIES It shall be the function of the Skilled Trades Division Board Member to cover territory as assigned by Skilled Trades Director. The Board Member shall have the responsibility to report all matters from assigned territory to Skilled Trades Division Board. The Board Member shall be responsible to attend skilled trades division general membership and board meetings. The Board Member shall serve on committees as volunteered or assigned by Skilled Trades President The Board Member shall perform such other duties and render such assistance as may be directed by the assigned by the Skilled Trades Director or President, Skilled Trades Division Board, Local Union Executive Board, Principal Executive Officer, or membership from time to time, including but not limited to representing the interests of the Local Union to the members, employers, political leaders and the public. - 23 -

determination shall be made on the facts presented. Periods of unemployment during the twenty-four (24) month period preceding the nomination shall not be considered a break in active employment at the craft within the jurisdiction of the Local Union if the nominee was actively seeking and available for employment in the craft, and not working outside the craft during such periods of unemployment; Members in a reserve component of the military or National Guard who are called to active service lasting more than thirty (30) days but not more than twenty-four (24) consecutive months, may have their eligibility determined in accordance with Article II, Section 4(a)(4) of the International Constitution. Nomination Procedures (1) Nominations shall be held in accordance with provisions of Section 17 above at a general or special membership meeting or meetings or at a meeting or meetings of each separate division, craft or place of employment authorized by the Local Union Executive Board to hold separate meetings. If nominations are held at separate division, craft, chapter or place of employment meetings, the members may nominate candidates from their own or any other division, craft, chapter or place of employment for election to Union office, except the nominations for Chapter Officers (or their alternates) which shall be restricted to those members from that respective chapter and nominations to the SETC/Teamster Skilled Trades Division which shall be restricted to skilled trades members. Nominations and the conduct of the election and related questions shall be the first order of business at the nomination meeting and complete minutes shall be kept of that business. Nothing in this provision shall prohibit the holding of special meetings, at which meeting nominations and the conduct of the election shall be the sole order of business. Nominations shall be taken at the scheduled time and date even if there is no quorum present as required by these Bylaws; (2) Nominations shall be made at the meeting by a member in good standing other than the nominee by motion seconded by a member in good standing other than the nominee. Nominations may also be submitted by mail petition specifying the name and signature of the - 30 -
