The Contest begins at 12:00:01 AM Eastern Time ( ET ) on Monday, February 1, 2016 and ends at 11:59:59 PM ET on Wednesday, March 30, 2016 (the Contest Period ). 2. ELIGIBILITY: To be eligible to win, a person must be a resident of Canada who has reached the age of majority at the time of entry in the jurisdiction in which he/she resides and who is not an employee (or a member of any such employee s immediate family (regardless of where they live) or a person with whom they are domiciled (whether related to the employee or not)), agent or representative of the Sponsor, its affiliated companies or agents, or their respective advertising or promotional agencies. In these Official Rules, immediate family includes mother, father, brothers, sisters, sons, daughters, partner and/or spouse. 3. HOW TO ENTER: NO PURCHASE NECESSARY. There are two (2) ways to enter the Contest: (a) Entry by text message: To enter the Contest by text message, a SMS enabled cell phone with text messaging features (a Phone ) is required. Standard text messaging and data fees may apply when entering the Contest. Please check your carrier plan for information on your standard text messaging and data fees. To be eligible, your Entry must be submitted and received within the Contest Period in accordance with these Rules. All Mail- in Entries must be received during the Contest Period to be eligible for one or more of the random drawings. Text Entry(ies) and Mail-in Entry(ies) may be referred to hereafter individually as an Entry and in the plural as Entries. Each eligible individual submitting such Entry may be referred to hereafter as an Entrant. Entries will not be acknowledged, regardless of the method of Entry, and no communication will be entered into except with selected Entrants. 4. LIMIT ON NUMBER OF ENTRIES AND RIGHT TO VERIFY: Regardless of the method of entry, Entrants are permitted to enter the Contest once per day (a day is defined as beginning at 12:00:00 AM ET and ending at 11:59:59 PM ET) during the Contest Period. Each Mail- in Entry must be submitted in a separate envelope and bear sufficient postage. Text message Entrants may use only one (1) Phone to enter the Contest, and each Text Message Entry MUST contain the Text Phrase. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) obtain more than one (1) Entry per day; (ii) use (or attempt to use) multiple names, identities, Phones and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest; and/or (iii) enter without sending the Text Phrase (if entering by text message), then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. Entries may be rejected (in the sole and absolute discretion of the Sponsor) if they are not fully completed with all required information and submitted and received during the Contest Period. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Contest server machine(s). All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of an Entry entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor. Participants may be asked to consent to receive promotional emails for upcoming promotions and information about Sponsor. Consenting to receive such emails is not a requirement to participate in the Contest, will not result in any additional Entries to the participants and will not increase participants chances of winning. 5. PRIZES: There are one hundred fifty (150) prizes available to be won, each consisting of one (1) Cineplex prize pack that includes vouchers for two (2) general admission passes, two (2) regular size soft drinks and one (1) regular size popcorn, each with an approximate retail value of forty- two Canadian dollars ($42 CDN) (each a Prize collectively Prizes ). General admission passes are valid for IMAX, 3D, UltraAVX, or VIP screenings (age restrictions apply) with the payment of an applicable surcharge. Without limiting the generality of the foregoing, the following general conditions apply to each Prize: (i) Prize must be accepted as awarded and is not convertible to cash (no substitutions except at Contest

3 Sponsor s option); (ii) all costs or expenses related to the Prize not expressly stated above as being included with the Prize are the sole responsibility of the confirmed winner, including, without limitation, any transportation to and from the theatre, accommodations (if required), meals, additional beverages, gratuities, other entertainment, merchandise and/or souvenirs; (iii) if a confirmed winner does not utilize any part(s) of a Prize, then any such part(s) not utilized will be forfeited in their entirety and nothing will be substituted in their place; (iv) Sponsor reserves the right at any time to substitute a Prize or a component thereof for any reason with a prize or a prize component of equal or greater retail value, including without limitation, but solely at the Sponsor s sole discretion, a cash award; (v) by accepting a Prize, each confirmed winner agrees to waive all recourse against the Releasees (defined below) if the Prize or a component thereof does not prove satisfactory, either in whole or in part; and (vi) redemption of passes and attendance at a movie are subject to additional terms and conditions of Cineplex Entertainment LP. ( Cineplex ). There is a limit of one (1) Prize per person during the Contest Period. Prize is redeemable only at a Cineplex brand theatre. IMPORTANT NOTE: ANY AND ALL OTHER COSTS ASSOCIATED WITH UTILIZING THE PRIZE WILL BE THE SOLE AND ABSOLUTE RESPONSIBILITY OF THE CONFIRMED WINNER. NONE OF THE RELEASEES, NOR ANY OTHER ENTITY, WILL BE PROVIDING ANY COMPENSATION WITH RESPECT TO ANY COSTS ASSOCIATED WITH USE AND/OR ENJOYMENT OF THE PRIZE. FOR GREATER CERTAINTY AND THE AVOIDANCE OF ANY DOUBT WHATSOEVER, THE PRIZE INCLUDES TWO (2) REGULAR S I Z E SOFT DRINKS, ONE (1) REGULAR SIZE POPCORN, AND TWO (2) MOVIE PASSES ONLY. 6. WINNER SELECTION (RANDOM DRAWS): On each weekday from March 18, 2016 until March 31, 2016, inclusive, at the offices of the Sponsor in Brantford, Ontario at approximately 11:00 a.m. ET ( Draw Date ), fifteen (15) eligible Entrants will be selected by random draw from among all eligible Entries submitted and received b y t h e d a y immediately prior to each Draw Date, in accordance with these Rules, during the Contest Period. All non- winning Entries from each Draw Date will carry over to the next Draw Date. The odds of winning depend on the number of eligible Entries submitted and received from the beginning of the Contest Period until the day prior to each Draw Date, in accordance with these Rules. 7. PRIZE WINNER NOTIFICATION: The Sponsor, or its designated representative, will make a minimum of two (2) attempts to contact the selected eligible Entrant using the phone number submitted in connection with the selected Entry within two (2) business days of the Draw Date. Selected entrants will then be sent the Sponsor s form of declaration and release by email to complete and return to the Sponsor within five (5) business days. If the selected eligible Entrant does not respond within two (2) business days of the applicable Draw Date or does not return the completed Sponsor s form of declaration and release within five (5) business days, or if there is a return of any notification as undeliverable; then that selected eligible Entrant may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible Entrant from among the remaining eligible Entries submitted and received in accordance with these Rules. 8. PRIZE WINNER CONFIRMATION: BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, the selected eligible entrant will be required

4 to: (a) correctly answer a mathematical skill- testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor s form of declaration and release); and (b) sign and return, within five (5) business days of notification, the Sponsor s declaration and release form which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Releasees from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, Entry, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever, including print, broadcast or the internet. Upon correctly answering the skill testing question and receipt of the duly completed declaration and release form by a representative of the Sponsor, the Prize, as described above, will be delivered by mail to each confirmed winner. 9. GENERAL CONDITIONS: All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all Entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. ANYONE DEEMED BY THE CONTEST SPONSOR TO BE IN VIOLATION OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE CONTEST SPONSOR AT ANY TIME. In the event of a dispute regarding who submitted a Text Message Entry, such Entries will be deemed to have been submitted by the authorized account holder of the telephone number used at the time of Entry. Authorized account holder is defined as the person who is assigned to a telephone number. An Entrant may be required to provide proof (in a form acceptable to the Sponsor including, without limitation, government issued photo identification) that he/she is the authorized account holder of the account associated with the Entry in question. By entering this Contest, each Entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry only for the purpose of administering the Contest and in accordance with Sponsor s privacy policy (available at: http://privacy.scjbrands.com/en- ca). In addition, if an individual is selected as a winner in the Contest, his/her information may also be included in a publicly- available list of winners. This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of his/her personal information. The Sponsor reserves the right, subject to the consent of the Régie ( d e f i n e d b e l o w ) to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any Entrant, Entry or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason. For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the

5 awarding of the prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest- related materials (including, without limitation, the French version of these Rules); the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law. By participating, participants hereby agree (and agree to confirm in writing): (a) that Sponsor, its promotional partners (including, without limitation, promotion administrators, digital agencies and independent judges or judging agencies), and their respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, s h a r e h o l d e r s, representatives and agents (collectively, the Releasees ) are released, will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Prize or participation in this Contest or any Contest- related activities; (b) except where legally prohibited, by participating each winner hereby grants permission and the right to Sponsor and those acting under its authority to use his/her name, photograph, Entry, voice and/or likeness, biographical and Prize information and/or statements, at any time or times, for advertising, trade, commercial, publicity and promotional purposes without additional compensation or notice, in all media now known or hereafter discovered, worldwide in perpetuity, and on the Internet and/or world wide web, without notice or review to, or approval from the winner and/or any third party; (c) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, incidental, consequential, punitive or any other damages, other than for actual out- of- pocket costs; and (d) any and all claims, judgments, and awards shall be limited to actual out- of- pocket costs incurred, excluding attorneys fees and court costs. By participating, each participant hereby irrevocably waives any right to seek injunctive or other equitable relief. 10. LIABILITY LIMITATIONS: Releasees are not responsible for lost, late, misdirected, incomplete, inaccurate, stolen, garbled, postage due or non- delivered Entries or for interrupted or unavailable satellite, network, wireless provider, server, Internet Service Provider (ISP), website, application or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether printing, typographical, human, mechanical, electronic or network or otherwise, including, without limitation, errors or problems that may occur in connection with the administration of the Contest, the announcement of the winners and/or Prizes, the incorrect or inaccurate capture or processing of Entries and/or text messages or the failure to capture, or loss of, any such information, or in any other Contest- related materials. Persons who tamper with or abuse any aspect of this Contest or otherwise attempt to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives, as solely determined by the Sponsor, will be disqualified. Any use of robotic, script, automatic, macro, programmed or like entry methods or any method which subvert the entry process will void all such Entries by such methods, and disqualify any participant using such methods. Releasees are not responsible for injury or damage to participant s or to any other person s Phone related to or resulting from participating in this Contest. Should any portion of the Contest be, in Sponsor s sole opinion, compromised by virus, worms, bugs, non- authorized human intervention,

6 technical failures or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion, and with the consent of the Régie, to suspend, modify or terminate the Contest and select the potential winners in a random drawing from all eligible, non- suspect Entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Releasees are not responsible for any incorrect or inaccurate information, whether caused by participants, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest, and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction. In no event will Sponsor award more than the stated number of Prizes. In the event that, due to technical, typographical, mechanical, programming or other errors, there are more winners than are stated in these Rules, in Sponsor's sole discretion a random drawing among the claimants may be held to determine the winners. CAUTION - - ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 11. DISPUTES/ARBITRATION: Except where prohibited by law, as a condition of participating in this Contest, each participant agrees that (a) any and all disputes, claims and causes of action arising out of or in any way connected with this Contest, or any Prize awarded, shall be resolved individually, without resort to any form of class action, (b) any and all disputes, claims and causes of action arising out of or in any way connected with this Contest, or any Prize awarded, shall be resolved exclusively by final and binding arbitration under the rules of the Canadian Arbitration Association and held at the CAA regional office nearest the participant; (c) the Commercial Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (d) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys fees, other than participant s actual out- of- pocket costs, and participant further waives all rights to have damages multiplied or increased. 12. GOVERNING LAW AND JURISDICTION: By participating, each participant agrees that (a) all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, the rights and obligations of such participant in connection with this Contest, or the rights and obligations of the Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, and any arbitrator shall apply, the laws of the Province of Ontario and the federal laws of Canada applicable therein and (b) any matters or proceedings which are not subject to arbitration as set forth in these Rules shall take place exclusively in the Ontario courts. By participating, each participant expressly consents to the jurisdiction and venue of the courts located in Province of Ontario and waives all claims that any such court is not a convenient or appropriate forum.
