ARTICLE 1 - NAME AND PURPOSE Section 1: Name: This chapter shall be called the C & R Bass Anglers. Section 2: Purpose: A. To provide an organization that supports the interests of bass fishing through; 1. Water quality. 2. Lake accesses 3. Maintenance of quality fisheries 4. Adhere to existing regulations B. To encourage youth participation in bass fishing through the frame work of an organized bass club. C. To improve individual bass/general fishing skills and abilities. D. To promote competitive bass fishing. E. To promote a visible, positive image of the modern bass angler on a community level. F. To enforce and encourage all catch and release methods. G. To pool purchasing power on a club basis. H. Public education and awareness of environmental issues. ARTICLE 2 - MEMBERSHIP Section 1: Number of Members: The chapter shall maintain at least six members. Total general membership shall not exceed 22 members. This number may be altered by amendment. Section 2: Requirements for Membership: To become a chapter member, a person shall; A. Voluntarily express a genuine interest in the objectives of the club. B. Must join or be a member of FLW Outdoors. 3

C. Be recommended by two members at a regular monthly meeting. D. Be voted on by the membership. Vote shall be by secret ballot and affirmation must be by 2/3 of the members present. E. Members must be at least 16 years of age. Additionally, any person between the ages of 16 and 18 must be a current member of our youth club and maintain that membership until their youth eligibility has expired. Section 3: Membership Dues: The membership dues shall be; A. Club dues of $15.00, plus WBF and TBF Inc. dues. B. Payable upon being voted into membership. C. Renewal membership dues must be paid in full at the October meeting unless the member elects to pay his/her dues as follows; at the October meeting, at the November meeting, and the balance at the December meeting. Any member who is not paid in full at the December meeting will be dropped from the membership roster for the next calendar year. Dues are non-refundable. ARTICLE 3 - QFFICERS, ELECTIQNS, VACANCIES AND ELIGIBILITY Section 1: Officers and Duties: The officers of the chapter shall consist of; A. President: Preside over all meetings and direct all official business, appoint and be an exofficial member of all committees, supervise all club functions. B. Vice President: Assist the President, preside in the absence of the President, arrange for speakers for each meeting, and procure items for the monthly club raffles. C. Secretary: Maintain accurate minutes and records and make available to the membership any communication from FLW, The Bass Federation Inc. or the Wisconsin Bass State Federation. Keep the official club records of the current standings of tournament competition, provide the awards committee chairman the point totals for all members Mr. Fisherman points prior to the awards banquet. Maintain a current membership roster and provide new members with a new membership packet which shall include copies of the Club By-laws, Tournament Rules and a membership roster. D. Treasurer: Collect and disburse all monies. Maintain accurate financial records and present current balance reports at regular meetings; prepare an annual budget. Present a financial report to the secretary to be put in the club minutes. Prepare an annual audit for review by the Board. 4

E. Wisconsin Bass Federation Representative: To attend the State Federation meetings and report to the membership as to the functions and responsibilities of the Federation and to vote on all issues at the direction of the membership. F. Past President: Provide continuity between administrations and act as advisor to the current President. Serve as a member on both the Board of Directors and Tournament Committee. Chair the Steering Committee. G. Elected Board Members: Provide continuity between administrations and serve on the Steering Committee. Section 2: Elections: The election of officers shall be held annually at a regular meeting during the month of October. Elections shall be by a simple majority of the members present. Election for each officer shall be held separately in order listed in ARTICLE 3, Section 1. Only members in good standing may hold a club office. Section 3: Voting Eligibility: Each member is entitled to one vote. Proxy votes are not permitted. Section 4: Term of Office: The term of office is for 1 year with the exception of the Federation Representative which shall be two years and Elected Board members which shall be two years. Term of office shall begin on November 1st and end the last meeting of October or until the successor assumes office. Section 5: Vacancies: In the event an office becomes vacant, an election shall be held to fill the unexpired term of the individual vacating office. The Wisconsin Bass State Federation shall be notified immediately of any change of officers. Section 6: Eligibility for Holding Office: To be eligible a member must; A. Have been a member for six months. B. Have attended at least 3/4 of the chapter meetings and/or functions C. Show an active interest in all chapter functions. Section 7: Removal of Officers: An individual will be removed from office for negligence of duties as well as any infraction of ARTICLE 5 by the following process; A. Petition by 50% of membership. B. Voted on by quorum (51% of total membership) vote at a regular meeting. 5

C. Simple majority vote required for removal. ARTICLE 4 - STANDING COMMITTEES All standing committees will serve for one year or until a new committee is appointed. The terms of the committee will coincide with that of the President. Section 1: Board of Directors: The Board of Directors will consist of nine members. President, Vice President, Secretary, Treasurer, immediate past President, Tournament Director, Wisconsin Bass State Federation Representative and two elected Board Members. A. The President will call all meetings of the Board of Directors and preside at such meetings. B. The Secretary will record the minutes of these meetings. C. The Board will decide all protests and rule on all violations of the bylaws of the chapter when appropriately received. D. The Board will develop the agenda for the monthly club meetings. Section 2: Youth Committee: This committee will organize all activities affecting youth in the community. The club goal will be to work with local sponsors to introduce young people to FLW, TBF and WBSF as a leader in rules of honesty, fair play and sportsmanship, and to give them an introduction to the joy of fishing. Section 3: Tournament Committee: This committee will plan, organize and operate all chapter tournaments and club open(s). The committee will draft tournament rules, which must then be approved by the general membership. The Director will furnish the Secretary with tournament points awarded prior to the next regular meeting following a club tournament, as well as posting the results for the general membership. A. Members tournament points will accumulate towards a Zone tournament position and towards Mr. Bass. B. Members will be allowed to represent the club at other FLW open and invitational tournaments. C. Members points will accumulate toward annual club awards Section 4: Awards Committee: This committee will plan, organize and execute an annual awards banquet as per the direction of the general membership. Awards and banquets will be in order, as the club treasury has funds available. All monies needed by the committee will be allocated by the Board of Directors. 6

Section 5: Steering Committee: This committee shall consist of the three most recent past Presidents and the two elected members of the Board of Directors. They shall have the responsibility of acquiring nominations for the election of officers. ARTICLE 5 - REMOVAL OF MEMBERSHIP Section 1; Removal of Membership: A member may be removed from the membership role by a 2/3 majority vote of the Board of Directors, for the following: A. Failure to pay dues. B. Any action which would reflect dishonor and disgrace on this chapter. C. Failure to attend 50% of the chapter meetings and 50% of chapter functions during a 12 month period, unless granted a waiver by the membership. Section 2: Method of Notice: A. Any member being considered for removal of membership will receive a formal notice prior to the vote by the Board of Directors. B. The member being considered will have an opportunity to address the Board of Directors prior to the vote being taken. ARTICLE 6 - AFFILIATION Section 1: Affiliation: C & R Bass Anglers will maintain affiliation with TBF and WBF by; A. Approval of Chapter Charter by TBF and WBF. B. Update the WBF and TBF with a chapter membership roster once each year immediately following the election of chapter Officers and Directors. C. Update the WBF and TBF with names and addresses of new members joining the chapter during the year as they occur. 7

D. Maintain a 100% WBF, TBF and FLW membership. E. Supporting Federation programs through dues and club representation. Participation in State Federation qualifying tournaments and federation sponsored tournaments or events are encouraged. ARTICLE 7 - METHOD OF AMENDING THE CONSTITUTION Amending the Constitution and BY-Laws; The Constitution and the By-Laws may be amended at any regular meeting by a 2/3 majority vote of the members present, provided written notice of the proposed amendment has been presented to the membership at least one regular meeting prior to the vote. 8
