BY-LAWS OF SURPRISE, AZ AERIE #4534 FOE, INC. Aerie Number 4534, Surprise, Arizona, instituted by authority of the Grand Aerie of the Fraternal Order of Eagles. MEETINGS Section 1.0 The meetings of this Aerie shall be held on the second and fourth Tuesdays of every month, at 6:30 p.m. There will be an Officers' Meeting held at 6:00 p.m., prior to each meeting. The meetings shall take place at Surprise, AZ Aerie #4534 FOE, Inc. Section 1.1 The second meeting of each month will have time allotted for balloting and initiation of new members. Section 1.2 Special meetings shall be held in conformity with the Grand Aerie Constitution and Statutes F.O.E., Section 72.2 Statutes for Local Aeries, or Laws amendatory thereof. Section 1.3 A Joint Aerie and Auxiliary Officers' Meeting will be held on the fifth Tuesday in the last month of each quarter, at 6:30 p.m. Section 1.4 The Aerie Board of Trustees shall hold regular meetings at least weekly and shall keep all official records as required by the Laws of the Order, in accordance with the Grand Aerie Constitution and Statutes F.O.E., Section 89.1. The date and time of these meetings shall be every Monday at 8:00 a.m. These meetings shall be opened to all Aerie members in good standing, unless the meeting concerns disciplinary matters. Those who attend a Trustees' meeting, other than the Trustees themselves, will have no voice in the proceedings, in accordance with the Grand Aerie Constitution and Statutes F.O.E., Section 89.4 and Opinion No. 737. Section 1.5 In the event of an emergency, if it is necessary that the Trustees act immediately, an issue may be determined by a telephone or e-mail polling procedure. This action should then be affirmed at the next Trustees' meeting by motion, second, discussion and vote, in accordance with the Grand Aerie Constitution and Statutes F.O.E., Section 89.1 and Opinion No. 663. NOMINATION AND ELECTIONS Section 2.0 The annual nomination, election, and installation of Officers shall be as provided in the Grand Aerie Constitution and Statutes F.OE., Section 91.1 thru 91.7, ~ 1

inclusive, or Laws amendatory thereof. Vacancies in office shall be filled as provided in the Grand Aerie Constitution and Statutes F.O.E., Section 92.1, or Laws amendatory thereof. Section 2.1 The office of Worthy Conductor shall be filled each year, by election, or by appointment by the Worthy President. Section 2.2 The election of Officers shall be by printed ballot: Polls shall be open from 1:00 p.m. to 6:30 p.m. on the date of election, which shall be the first regular meeting night in May. Section 2.3 Tellers shall be appointed by the Presiding Officer, and shall not campaign, or show preference toward a candidate, during their period of service in this position. Section 2.4 The term of office for the Secretary of this Aerie shall be two years with election in even years, starting with the 2016 election. Section 2.5 The term of office for the Treasurer of this Aerie shall be two years with election in odd years, starting with the 2015 election. Section 2.6 There shall be three elected Trustees elected to staggered terms, beginning with the 2015 election, as follows: a. One Trustee shall be elected to a three-year term b. One Trustee shall be elected to a two-year term c. One Trustee shall be elected to a one year term Section 2.6(a) In addition to the three elected Trustees, the Junior Past Worthy President, while serving as such, shall not serve as a member of the Board of Trustees of this Aerie. Section 2.6(b) In addition to the three elected Trustees, the Secretary of this Aerie, while serving as such, shall not serve as a member of the Board of Trustees of this Aerie. Section 2.7 The office of Outside Guard is abolished in accordance with the Grand Aerie Constitution and Statutes F.O.E., Section 80.1, or Laws amendatory thereof. AERIE MEMBERSHIP Section 3.0 The fee for membership by initiation into this Aerie, shall be $20.00. Section 3.1 The fee for re-enrollment shall be $20.00. ~~ 2

Section 3.2 The minimum age that members will be accepted into this Aerie will be 18 years of age on the date of initiation. Section 3.3 Non-Beneficial Life Membership Cards may not be granted to members of this Aerie. Section 3.4 After a report of the Interviewing Committee is submitted, the applicant shall be voted upon, and elected by a majority vote of all members present, by means of a secret ballot. FUNDS Section 4.0 The following funds are hereby established for this Aerie: Benefit Fund General Fund Building/Maintenance Social Fund Fund Section 4.1 By resolution, the Aerie shall designate a banking institution, in which each fund will be kept separately, in the name of the Aerie only. DUES Section 5.0 The dues year shall run from March 1 through the end of February, depending on leap year. Section 5.1 Dues of new non-beneficial members shall be $35.00 per year. An additional initiation fee of $20.00 shall also be remitted, of which $10.00 shall be remitted to the Grand Aerie. Both amounts shall be payable in advance. Section 5.2 Dues of renewing non-beneficial members shall be $35.00 per year, payable in advance. Section 5.3 Dues of re-enrolled members shall be $35.00 per year. An additional reenrollment fee of $20.00 shall also be remitted, of which $10.00 shall be remitted to the Grand Aerie. Both amounts shall be payable in advance. Section 5.4 Dues of non-beneficial members, other than dues of dual members, shall be divided annually among the various funds as follows: Benefit Fund General Fund Building/Maintenance Fund $15.00 $10.00 $10.00~ 3

Section 5.5 Dues for dual members shall be $15.00 per year, payable in advance, and payable in no event for a period longer than the period for which the member has paid his dues in advance in his original Aerie. Section 5.6 Dues of dual members shall be divided annually among the various funds as follows: Benefit Fund General Fund Building/Maintenance Fund $5.00 $5.00 $5.00 Section 5.7 No qualified member may make application for a "Golden Age Eagle" membership. DUTIES OF OFFICERS Section 6.0 Upon receiving due notice of a member being in dire circumstances, the Worthy President may provide temporary financial aid to said member, not to exceed the amount of $100.00, to be paid from the General Fund. Section 6.1 If any Officer absents himself from three consecutive meetings of this Aerie, or duly called or stated Officers,' Joint Officers,' Special Meetings, or Trustees' meetings, or any combination thereof, so long as they are consecutive, without being excused by a vote of the Aerie in regular session, the office of such Officer so absent, shall be declared vacant by the Presiding Officer. Section 6.2 The Secretary shall be allowed to notify the membership, through e-mail, regarding any and all matters concerning the business of the Aerie. If a member does not have e-rnail, the Secretary shall notify such member either by telephone or by U.S. mail. Section 6.3 Upon the death of a member, the Aerie shall provide a suitable floral or other form of tribute, cost not to exceed $100.00, to be paid from the General Fund. Section 6.4 House Rules governing the premises and the conduct of members thereon, shall be adopted by this Aerie, and such House Rules, as adopted, shall be posted at all times in a conspicuous place on the Aerie premises. House Rules shall be adopted and amended in the same manner as the By-Laws of the Aerie. SALARIES Section 7.0 For the faithful performance of their respective duties, the Worthy President, Worthy Vice President, and Treasurer shall each receive the amount of $5.00 annually, payable at the 2 nd meeting in May. ~~ 4

Section 7.1 For the faithful performance of the secretarial duties, the Secretary shall receive a per capita compensation, paid quarterly, and based upon the number of members in good standing, in the amount of $.35, per month, per member. Section 7.1(a) In accordance with the Grand Aerie Constitution and Statutes F.O.E. Section 85.12, or Laws amendatory thereof, the Secretary is allowed to appoint assistants to help with the efficient operation of the Secretary's office. Such assistants' compensation shall be paid by regular check from the Aerie treasury, based upon the number of members in good standing, in the amount of $.10 per month, per member, per quarter. Section 7.2 For the faithful performance of their duties, each Trustee shall receive the amount of $5.00 annually, payable at the 2 nd meeting in May. Section 7.3 For the faithful performance of his duty, the Aerie Auditor shall be paid the amount of $5.00 annually, payable at the 2 nd meeting in May. Section 7.4 The salary of the Aerie Auditor and Aerie Officers shall not be paid until such time as the duties required of them, by the Laws of the Order and the By-Laws of this Aerie, have been fulfilled, and all reports then due, have been completed, presented, and transmitted to those entitled to receive them. MISCELLANEOUS Section 8.0 Whenever the Aerie, by properly adopted resolution, sends its accredited representatives to the Grand Aerie, or State Aerie Convention, Zone or Area Conference, District meetings, Officers' or Committee meetings, Conference or School, they may be allowed, as their expenses, not to exceed $50.00 per day while going to, returning from, and while in attendance at the sessions, their registration fee, transportation to and from the sessions by most direct route. If traveling by automobile, 45 cents, per mile, round trip. Section 8.1 The Worthy President, Worthy Vice-President, Secretary, Treasurer, each Trustee, and other employees, and lor volunteers of the Aerie who handle monies of the Aerie, shall be bonded by a Surety Bond to be purchased by the Aerie. The amount of the Bond shall be based on the Annual Gross Receipts of the Aerie according to the following schedule: Annual Gross Receipts Under $10,000.00 Under $20,000.00 Under $40,000.00 Under $60,000.00 $60,000 and above Amount of Bond $ 1,500.00 $ 3,500.00 $ 6,500.00 $'10,000.00 $'13,500.00 ~ 5

- Section 8.2 No Officer or employee and/or volunteer shall be permitted to assume or discharge the duties of their office or employment until bonded. Section 8.3 The Presiding Officer shall cancel a regular scheduled meeting in the event anyone of the following occurs: (a) Less than 7 members, 2 of whom are Officers, are in attendance, (b) A natural catastrophe or "Act of God" which would make holding the meeting a hardship on the members. Section 8.4 An Eagle Riders Unit may be established in this Aerie, in accordance with Grand Aerie Constitution and Statutes F.O.E., Sections 116.1 and 116.5, or Laws amendatory thereof. Section 8.5 A Sports Club may be established in this Aerie, in accordance with Grand Aerie Constitution and Statutes F.O.E., Section 116.1, or Laws amendatory thereof. Section 8.6 In appreciation of services rendered by the retiring Worthy President, the Aerie may, by resolution adopted by the Aerie, present some suitable gratuity to the retiring Worthy President, at a cost not to exceed the amount of $75.00, to be paid from the General Fund. Section 8.7 Where the Constitution and Statutes of the Fraternal Order of Eagles, and the Rules and Regulations of the fraternity, and these By-Laws do not cover or control, then Roberts Rules of Order (revised), shall govern the actions and deliberations of this Aerie. MILITARY SERVICE RECEIPT Section 9.0 Upon a vote of the Aerie in regular meeting, there may be issued to any member in good standing, who is in the Military Service, a Military Service Receipt. When such receipt has been issued, such member, during their term of Military Service, and for 30 days thereafter, shall not be obligated to pay dues to the Aerie, but shall be carried on the rolls of the Aerie as a member in good standing. ~t:e> BY-LAWS COMMITTEE MEMBERS: Margaret Lieu 6
