WHAT Once a year European renderers meet up at the congress of the European Fat Processors and Renderers Association (EFPRA) to collect and exchange the most recent information about the industry. Colleagues from all over the world are also invited and join them there. The rendering industry is a very specific sector that targets the best possible utilization of animal by-products. To this end it needs plant, machinery and equipment, as well as spare parts, to process the materials for the good of the environment. It needs trucks, containers and vessels to carry animal by-products to rendering plants. It needs equipment to clean waste air and waste water. It needs services to market finished products or to carry out proper disposal where this is required. The industry exhibition during the EFPRA congress offers a unique opportunity to present such products and services. This is the place to meet representatives of the rendering industry from all over the world for two days at a single venue. No need to travel to them they will come to your exhibition booth! SPONSORSHIP: GENERAL TERMS AND CONDITIONS In order to optimise the congress organisation for both parties we kindly ask you to completely fill in the enclosed forms and take note of the following: ADMISSION TO THE EXHIBITION Companies are invited to display their products, present their activity and services as well as their specific know-how at the Exhibition area. Companies registering for the Exhibition undertake to participate and to show its services and products. These activities are restricted to the rented space. The purpose of the exhibit program is to further the education of the professionals in the Congress filed and due to that exhibits must be of an educational character: emphasize instruments, products and services. In keeping with the educational purpose of the exhibit program, sales and order-taking (entering into a contract of sale) are not allowed during the Congress. The Organisation reserves the right to decide which companies shall be admitted to the Exhibition. 1. FREE EXHIBITION SPACE INCLUDED IN THE SPONSOR CATEGORIES 1.1. The Organisation allows the free exhibition spaces as long as the exhibited items comply with the subject matter of the Exhibition. 1.2. Please find below the Sponsorship Application Form to be filled out and sent to the Congress Secretariat (AOPC) before January 30th, 2018. 1.3. Upon receipt of the application form, the exhibiting company will receive the corresponding invoice for the sponsorship fees. The Exhibitor s Technical Manual will be e-mailed in February 2018. 1.4. The Sponsorship Application Form signed by both the Company and the Congress Secretariat constitutes the contract as per clause 13 in this document. 2. ASSIGNMENT OF SPACE 2.1. Spaces will be assigned by the Organisation on a first-come, first-served basis with the following considerations: Platinum and Gold are assigned first, until a date: December 11 th, 2017. The order of receipt of the application forms and payment of the sponsorship fees Size of the space requested Whenever possible, space will be allotted according to the Exhibitor's choice, but the final arrangements will be determined by the Organisation in such a way as to produce the most advantageous grouping of the exhibits. 2.2. Space assignment will be cancelled automatically if the sponsorship fees are not paid at due time and the space will not be available for the company. If this were the case, advance payments will not be refunded. 3. STAND 3.1. Exhibits must be displayed for the entire duration of the Exhibition. The Organisation is entitled to have exhibits removed from the stand if their display runs counter to the principles of fair competition or does not comply with the display program. 3.2. Details of prices given in the form of signboards or stand lettering and references to sales of products already affected or details of suppliers and customers are not permitted. 3.3. The Exhibitor undertakes to leave the space in the same condition it was when he moved into the space. Any damage caused to the space or to the building will be at the cost of the Exhibitor. 3.4. As a matter of principle, only the area itself is hired out. The standard agreement with the organisers is offering only the exhibition space, and does not cover any structures, connections and /or equipment. No booth structure will be provided. 20

3.5. The maximum booth height indicated in the information provided to the Company may not be exceeded. 3.6. Booth structures and banners may not be positioned in such a way as to impede the promotional advertising of adjoining booths. 3.7. It is mandatory for all type of stands to have the back walls of the stand well finished, always be kept clean and free of obstacles. 3.8. The details in terms of booth construction, booth design and/or additional provisions are set forth in the General Information for Sponsors specific to the Congress in question, and/or in the Sponsors Technical manual, and shall be binding upon the Company. 4. CHANGES 4.1. The Organisation reserves the right to deviate from the space confirmation and to allocate a space in a different location, to alter the size of the space, to relocate or close entrances and exits in the Exhibition area and to carry out any other structural alterations wherever needed due to special circumstances. 4.2. Alterations to the agreement will only be made after mutual consultation. If in such cases the interests of the Exhibitor are unreasonably impaired, he may withdraw from the contract in writing within one week after receipt of notification of this type of alteration. 4.3. In the above event, the above changes or modification shall not give rise to any claims as against the Congress Secretariat on the part of the exhibitors affected. 4.4. Given serious cause (e.g. industrial action, etc) the Organisation is entitled to postpone, reduce the duration or close the Exhibition completely or in part for any period or to cancel it. 4.5. In the event of complete or partial postponement or curtailment, the contract is regarded as valid for a possible new date and duration unless the Exhibitor protests in writing within a period of five days after notification of the alteration. 4.6. In case of war, mobilisation, strike, lock-out, regulations of the authorities or other circumstances beyond control of the Organiser, that might render it impossible or difficult to carry through an arrangement, the Organiser shall be entitled to remove, in whole or in part, the arrangement to other premises and to postpone the accomplishment of the arrangement. The Organiser shall not be liable to pay compensation to the Exhibitor or be bound to reimburse the paid fees. 5. SUB-LEASING Sub-leasing of exhibit space is not permitted. Neither may two companies share the same space, even when belonging to the same Company Group. 6. TERMS OF PAYMENT 6.1. Each company will receive the corresponding invoice, which must be paid within a maximum of 15 days from the date of invoice and always within the payment period indicated before the Congress celebration. Payments should be made by bank transfer in EUR ( ). Bank details will be provided on the invoice and in this document. However, as per point 2.1 of this document, assignment of space and promotional opportunities will only be confirmed when payment is received. 6.2. The Exhibitor renounces the right to offset counterclaims against rent payable in time unless the counterclaims are undisputed or have been confirmed by a court of law. 6.3. If the Exhibitor fails to meet his financial obligations for additional expenses and other claims arising from the contract, the Organisation is entitled to retain exhibits and the stand equipment and to sell them by public auction or by private contract at the expense of the Exhibitor. The statutory provisions on realisation of objects seized are thus settled. 6.4. Invoicing: all the invoices have to clearly state the VAT number or TIN (Tax Identification Number for non E.U. companies) in the corresponding section of the application form. 6.5. As a matter of principle, the prices indicated in the Application Form and in other documentation provided by the Congress Secretariat are in EUR; these are net prices and, at the time of the event, will be invoiced plus the sales tax applicable at the time and, where indicated, in accordance with the salestax provisions of Spain. 21

6.6. The entire invoice amount shall fall due for remuneration within the payment period indicated. Any bank fees for funds transfers from abroad and, where indicated, exchange-rate differences, shall be borne by the Company. 6.7. Prerequisite and conditional to an obligation by the Congress Secretariat to fulfil its contractual commitment and to participation in the conference or event shall be payment in full of the total invoice amount. Should the Company comport itself in violation of the contract, particularly through non-payment of the purchase price due, the Congress Secretariat shall be entitled, pursuant to applicable provisions of law, to withdraw from the contract. In the event that payment by the Company of the rental price is not forthcoming, the Congress Secretariat shall be entitled to withdraw from the contract, provided that the Company was issued a reasonable payment deadline, or the issuance of such a deadline is non-essential under the provisions of law. 7. ADMINISTRATION/PROCESSING FEES The invoicing information required along with the Application Form, together with any data relevant to contractual arrangements and implementation, must be communicated, correctly, to the Congress Secretariat. If additional administrative expense should be incurred as a result of missing and/or incorrect data, this expense shall be replaced by the Company in an amount not less than a lump-sum processing fee of EUR 150. 8. CANCELLATION OR REDUCTION 8.1. By the Organisation: Due to unforeseen circumstances, the Organisation shall be entitled to cancel, postpone or shorten the event in question. Exhibitors will be reimbursed the amounts paid, after deduction of any expenses incurred, in case of cancellation only. No other claims will be admitted. 8.2. By the Exhibitor: Notification of an exhibitor's decision to cancel or reduce space must be made in writing to Congress Secretariat. 8.3. Refunds for cancellations: On or before January 30 th, 2018: Refund of 50% of the total rental cost. After January 30 th, 2018: No refund will be given. 9. EXEMPTION FROM LIABILITY The exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and save EFPRA. ANAGRASA, AOPC, the venue and their officers, employees, and agents, from harm against all claims, losses and damages to persons or property, governmental charges or fines and attorney's fees arising out of or caused by Exhibitor's installation, removal, maintenance, occupancy or use of the exhibiting premises or a part thereof, excluding such liability caused by the sole negligence of the venue. In addition, the Exhibitor acknowledges that EFPRA, ANAGRASA, AOPC and the venue do not maintain insurance covering the Exhibitor's property and that it is the sole responsibility of the Exhibitor to obtain insurance. 10. REGULATIONS The Exhibition is governed by these regulations and by the instructions issued by the Organisation. The Exhibitor undertakes to abide by the clauses of the regulations and observe the directives issued by the Organisation. The decisions of the Organisation may not be appealed. In unforeseen cases, the interpretation of these regulations will be the exclusive attribution of the Organisation. The Company shall have full responsibility for compliance with regulations by government authorities pertaining to fire and radiation protection, and relating to accident prevention. The Company shall guarantee that all specifications and regulations are passed along to all parties concerned, e.g. agencies, trade-fair construction staff, etc., and shall vouch for compliance with these measures on the part of third parties. The internal provisions within the exhibition building, in particular, shall be binding with respect to all exhibitors and their suppliers. Under the guidelines of the Accident Prevention Working Group Law [Ley de Prevención de Riesgos Laborales), the Company shall be under obligation to exhibit only flawless and safe machinery, devices and other equipment, in keeping with the accident-prevention regulations of the trade association in question. The Company shall be liable for all personal injury or property damage arising through machinery, devices, equipment, etc. 22

11. DATA-PROTECTION CLAUSE As the Congress Secretariat (indentified in the official congress website), we inform you that all your personal data collected by the fulfilment of this form will be stored in an automated processing file of our property registered in the General Record Department of the Spanish Data Protection Agency. All your personal data will be processed with the maximum confidentiality, according to the Privacy and Security Policy of this company, and with total compliance to the Personal Data Protection Law 15/1999, of 13 December. The purpose of this data treatment is to manage your attendance and participation at the congress, and/or to manage your hotel reservation, as well as to provide with information about future editions of the congress, by means of mailing or electronic mail. Moreover, we inform you that your personal data may be transferred to the congress partner companies. By the fulfilment of this document, you allow AOPC as Congress Secretariat to store your personal data for an automated and documentary treatment, as well as for its publication in the necessary documentation (printed and digital) which will be edited during or after the preparation of the congress, even for future editions, and to provide it to the hotel. You allow AOPC to communicate your data to the corresponding departments or collaborating organizations that participates in the organization of the event, within the legitimate purposes of the organization and promotion. The collection, storage and processing of personal data is an indispensable component of registration for the respective conference or event. This takes place exclusively for the purpose of organizing and carrying out the conference or event in question. These data are passed along only to such third parties as are directly involved in the conduct of the conference or event, and where organizational concerns require this. (E.g. organizers, conference centre, suppliers for the trade fair / for presentation services.) We also inform to you, as owner of the personal data, that you can exercise your rights to opposition, access, modification and cancellation of your personal data, sending your request at the following address: AOPC S.L. CLAIMS PROCEDURES, PLACE OF PERFORMANCE AND JURISDICTION Even where the Company should maintain headquarters abroad, all legal relationships between the Company and the Organisers / Congress Secretariat shall be governed exclusively by the laws of Spain. Any disputes arising hereunder shall be resolved before a court of law having jurisdiction in Barcelona, Spain and the language will be Spanish. The English and Spanish versions of the text of this document are equally authoritative. 13. FINAL CLAUSE The EFPRA 2018 Sponsorship Application form signed by both the Company and the Congress Secretariat, constitutes the contract between the Sponsor and the Organisation. The contract is based on the terms and conditions set out in this document. By this agreement, the Exhibitor is bound to comply with the technical rules stated in the Sponsors Technical Manual and other rules indicated by the venue. Even after the contract is signed by both parts, the Congress Secretariat reserves the right to exclude a Company from participation in the event, provided there is an important reason for dealing with the Company in this manner. 23
