Proposed Bylaw Amendments To be presented at the TASN Annual Conference June 19, 2017 Proposed Bylaw Amendment # 1 Combine the Secretary and Treasurer position and combine the Chair of Area Representative and the Employee Representative position. The latter will not sit on the Executive Committee, but will remain as a position on the board. Article 8, Section 8.1 Composition The EC shall be composed of the President as Chair, President Elect, Vice President, Secretary, Treasurer, Immediate Past President, and an elected Area Representative (Chair). The AR Chair is elected in accordance with the procedures in PPM. Due to reducing the number of Board meetings and various other meetings to streamline duties and reduce the number of people on the Executive Committee. This will also reduce the cost of travel expenses. Proposed Bylaw Amendment # 2 Article 5, Section 5.2 Executive Committee Meetings 5.2.2 A quorum for the EC shall be four (4). Section 11.2 Qualifications 11.2.1 Must be a single-unit employee. 11.2.2 Must be an active TASN member for at least two years. 11.2.3 Must have attended at least one TASN Conference.

Section 11.3 Terms of Office The ER shall serve a two-year term or until their successor is elected. Article 11 - Chair of Area Representative /Employee Representative Section 11.1 The Chair of the Area Representative /Employee Representative shall serve as a member of the BOD, as a liaison on the Area Representative, and the Membership Committee. Section 11.3 Terms of Office The Chair of the Area Representative shall serve a two-year term. Proposed Bylaw Amendment # 8 Change the structure of the Past Presidents Advisory Board Article 13 Past Presidents Advisory Board Section 13.1 The Past President Advisory Board shall consist of the Immediate Past President as Chair and four Past Presidents as selected at the first board of directors meeting by a ballot vote.
