Rules of Procedure Section I CONFERENCES A. Site Selection The site of the Annual Summer Conference shall be determined at least one year in advance. Bids for conference site consideration shall be presented in writing to the President of the Association or in the absence of the President, the President-Elect, prior to or on the first (1st) day of the summer conference by the of the county wherein the bidding city is located. In making the selection of the conference site, the Board shall give consideration to the fact that the conference should be held in various parts of the State, but in no event shall it be held at any place unless there has been an invitation for the conference to be held at that place by the Supervisor of Elections in the county where such place is located. The site of the Mid-Year Winter Conference shall be determined by the Association President. In selecting such a site the President should give particular regard to the fact that this Conference can be held in cities not equipped to handle the Annual Summer Conference. This meeting may be held in November, December, or January. B. Date Annual Summer Conference This meeting may be held in May, June, or July Exact dates may be determined by the Host Supervisor of Elections and where possible, submitted with the Conference bid. Mid-Year Winter Conference This meeting may be held in November, December, or January. Exact dates will be determined by the Host and the President. C. Conference Agenda(s) The FSASE shall be responsible for the workshop agenda and the Division of Elections may be consulted on the program and their participation in the conference. D. Registration Fees For Conferences The Association shall meet for a minimum of two days unless otherwise determined by the FSASE Executive Committee. The President and Host Supervisor will determine the conference schedules and events. When a invites FSASE to his/her county, he/she will develop a budget establishing conference fees. Additional conference requirements are listed under Conference Minimum Security Section XIX. A host county cannot use their county tax-exempt certificate number for any FSASE conference or workshop expense. No courtesy meals or registration fees will be provided to anyone except a speaker at the meal where he/she speaks. An overnight accommodation will be provided to such speaker if necessary. Any exceptions to the above will require prior approval of the Executive Committee. The hotel will provide for a complimentary suite for the FSASE president. The Host may have up to five staff members at a social event at no charge. Section II ORDER OF BUSINESS A. The order of business at each regular business meeting of the Corporation shall only be attended by Supervisors of Elections and conducted as follows: Call to Order. Report of the Secretary. Approval and correction of Minutes, as mailed, emailed or faxed of the last regular meeting and of any special meeting held since the date of the last regular meeting. Report by Officers. Report of the Elections Committee (Mid-Year Winter Conference) Report of the other Standing Committees. Report of the Special Committees. Unfinished business included on the agenda of the meeting. New business included on the agenda of the meeting. General discussion, lectures and addresses. It should be noted that welcoming speeches are not necessary. B. The order of business provided in subsection A may be altered or changed at the discretion of the President. C. The order of business of special meetings shall be fixed by the President as he/she may see fit at each of such special meetings. D. Roberts Rules of Order shall govern all parliamentary procedures in all meetings of the Corporation and the Board of Directors. Section III OUTGOING PRESIDENT A. The President shall be responsible for acquiring the State seal charm/pin for the new President. B. The President-Elect shall be responsible for acquiring the Past-President plaque for the retiring President. C. The Association shall not provide any additional gifts for any incoming or outgoing officers other than what is specified in this section. All gifts must follow any legislative disclosure guidelines. Disclosure is the responsibility of the election official receiving the gift. Section IV SPECIAL RECOGNITION A. New Supervisors Each new Supervisor will receive a desk plaque. B. Retiring Members ~ 43 ~
Suitable arrangements shall be made by the President of the Association to have their dates of service commemorated. C. 20 Year Award Supervisors with 20 years of service will be given a clock with State seal in background. D. Plaques/Certificates for outgoing officers The President may purchase plaques and/or certificates for the outgoing officers and board members.) E. All recipients of gifts must follow any legislative disclosure guidelines. Disclosure is the responsibility of the election official receiving the gift. Section V DISPOSAL OF BALLOTS At the end of the Mid-Year Winter Conference in which officers are elected, the Elections Committee shall destroy the ballots. Section VI CONFERENCE POLICY A. Notices and Invitations 1. The Host Supervisor may send notices of the conference and/or letters of invitation along with date, place, and anticipated events to: a. Each b. State Officials (Governor & Cabinet) c. Secretary of State d. Division of Elections e House Committee on Ethics & Elections f. Senate Committee on Ethics & Elections g. Host Supervisor's legislative delegation h. Others as deemed appropriate B. Vendors 1. a. Vendors of election related products shall be notified of each annual summer conference and each mid-year winter conference. Vendors shall be welcomed to provide hospitality, at their own expense, to the members as they deem appropriate. Vendors will be allowed to sponsor events if they wish. b. All vendors attending the conference shall be required to purchase at least one registration. 2. A vendor exhibition area is recognized as an important opportunity for supervisors to be exposed to election related products currently being marketed. A vendor exhibition area shall be established at each conference and the Host Supervisor shall seek out vendors to participate. Such vendor exhibition area shall conform to the following criteria: a. The vendor area shall be open for two days at the conferences and for the hours as set by the Host Supervisor in consultation with the Executive Committee. b. The vendor exhibition area shall be divided into individual booths approximately 10' x 10'. They shall be provided to vendors on a first-come firstserve basis. The fee for a booth, if any, shall be set in the host conference budget. The number of booths to be established shall be determined by the Host Supervisor and the Executive Committee. The expenses to set up booths and the cost of the opening get-together will come out of the charge. c. The FSASE, if possible, shall provide draped partitions to divide the booths and tables and chairs. Vendors shall be responsible for signage, etc. C. Registration and Event Tickets 1. Registration fee shall be due 30 days prior to the conference. A late fee of 10% shall be assessed on all late registrations. 2. Refunds a. Request for refund of registration fee or individual meal function tickets shall be refunded at 100% from the conference account if the request is received by the Host Supervisor on or before the 15th day prior to the Sunday of conference week. b. All requests received after the 15th day prior to Sunday of the conference week will not receive a refund unless approved by the Executive Committee. D. Host's Responsibilities 1. Receipts and expenditures shall go through the FSASE conference account, which has been set up by the Executive Director. The conference budget shall be the sum of the following and should not be exceeded: a. FSASE budgeted contribution b. Registration fees c. Sponsorships 2. The Host Supervisor will ensure that the needs of the conference are met and are authorized to rent or purchase any item so needed. The Host Supervisor shall make arrangements for video (recording) the conference. 3. The Executive Director and/or designated executive assistant, and the Host Supervisor shall see that all bills are paid in a timely manner and that a receipt is received for all payments. 4. The Host Supervisor shall inform the Executive Committee of any anticipated changes in the budget as soon as possible. 5. A complete financial report and all records and receipts pertaining to the conference shall be sent to the Executive Director as soon as practicable after the conference. The conference records shall be reviewed by the Executive Director and Treasurer or FSASE President. 6. The Host Supervisor shall work with the hotel to ensure the following: a. Registration area set up. b. Head table is set up for all meetings and meals. Floral arrangements may be provided as appropriate. c. Chairs and tables arranged as required. d. Podium, PA system, electrical outlets, extension cords and audiovisual equipment should be provided as required. e. Bulletin board for notices and announcements. f. Welcome sign on marquee. g. Menus for all meals and receptions along with number to attend if guarantee is required. h. Committee meeting rooms are available as required. ~ 44 ~
7. The Host Supervisor shall work with the President to ensure the following: a. Printing of programs. b. Speakers, Master of Ceremonies. c. Themes, programs, trips, etc. d. Name tags. e. Tickets. f. Ticket takers. 8. Minimum Security requirements (see Section XIX). E. Conference Planner The Host Supervisor of a conference may utilize the services of a conference planner as required. The fee of the planner shall be a part of the budget as provided. F. Framed Print presented by Ed Hubbard The framed print that was presented to the FSASE in 1990 by Ed Hubbard shall be rotated during the Annual Summer Conference to the incoming President at the conference or at another time. The print shall be prominently displayed during the year that the individual has possession of it and holds office in the FSASE. Section VII PRESIDENT'S ATTENDANCE AT NON-ASSOCIATION MEETINGS The Association will pay the expenses for the President (or a Supervisor designated by the President) to attend any meeting deemed appropriate by the President. If practicable, the President will designate the Supervisor of the county in which the meeting is to be held. Section VIII RESERVED Section IX CONTINUING EDUCATION Funds may be expended to pay for expert speakers in various fields in the election area at all workshops both regional and ones held in conjunction with FSASE conferences with prior approval of the Executive Committee. Section X ORIENTATION OF NEW SUPERVISORS OF ELECTIONS The Association shall conduct an orientation for all new SOE s. Budget permitting, travel expenses for the newly elected Supervisors attending the Orientation session will be reimbursable in an amount not to exceed the state travel allowance rates or actual expenses, whichever is lower. Section XI PUBLICATIONS/COMMUNICATION COMMITTEE The Publications/Communications Committee shall update the Association directory after each Mid-Year Winter Conference and shall print such other items and materials deemed appropriate and needed by the committee and the President in order to better serve the membership. Section XII ANNUAL AUDIT The books of the Association shall be audited annually as determined by the Executive Committee. Section XIII UPDATE OF RULES OF PROCEDURE The Secretary shall be responsible for updating the Rules of Procedure as to changes or additions to the procedures after each Association meeting. Section XIV HOSPITALITY COMMITTEE The activities of this Committee are not funded by Association member dues but rather member donations from personal funds. Section XV ASSOCIATION TRAVEL AND EXPENSES A. Reimbursement for Association related travel and any other expenses shall only be made upon the submission of a completed and properly approved expense report. A copy of the Expense Report is available by contacting the office of the Executive Director. B. Each expense report must include receipts of expenses, when possible, and must be signed by the Supervisor requesting reimbursement. C. Each expense report must be signed by the Committee Chair, if committee related travel, and must be signed by the President or Treasurer prior to the report being submitted to the Executive Director and/or executive assistant for payment. D. Expenses relating to traffic violations shall not constitute a reimburseable expense. Section XVI LEGISLATION All proposals submitted by the Legislative Committee shall be distributed to each member of the Association prior to Legislative Committee report at General Session of the FSASE meeting. The Legislative Committee Chair and Legal Counsel shall keep the Association membership informed of all election related bills as soon as efficiently possible. Section XVII ELECTION OF OFFICERS The Elections Committee shall serve as the canvassing board and be responsible for ballot production and layout for the FSASE Officers Election. The Elections Committee must send a Notice of Election and a Qualifying form to each the 5 th week prior to the Mid- ~ 45 ~
Year Winter Conference. Each Supervisor wishing to qualify to run for office must complete the form during the 4 th week prior the Mid-Year Winter Conference and return it to the Elections Committee Any who is a member of FSASE may submit the above form for Secretary, Treasurer or Vice-President to the Elections Committee. The election will be held at a time and location as indicated on the Mid-Year Winter Conference FSASE agenda. Time and location for Canvassing of the ballots, shall be performed as indicated on the Mid-Year Winter Conference agenda. The voting system of the host county will be used if possible. Section XVIII BUDGET COMMITTEE The Budget Committee will prepare the budget and submit it to the entire membership by e-mail, mail or fax at least two weeks prior to the annual summer conference. If it is necessary, Budget Committee will meet at the end of the session and revise budget. Section XIX CONFERENCE MINIMUM SECURTIY workshops, events, and vendor area for checking name badges. D. Designated Public Seating An area may be established for Public/Media and Vendors to sit. 1. This area should be well marked with signage. 2. Public/Media and Vendors shall have chairs only in an area separate from FSASE/DOE members seating. Section XX CONFERENCE/EVENT RECORDING A. Recording/Taping shall be considered an expense item of the event/conference, if determined to record. Recorded copies may be provided at a cost to be determined. Approved and last amended at Sarasota, Florida on December 9, 2013. A. Any SOE planning an FSASE event shall discuss with any potential hotel/resort prior to any contract or agreement the following items as listed: 1. What security procedures do you have in place? 2. What security options are available to our FSASE event? 3. What service do you offer for medical emergencies? B. Onsite Security 1. On-site security shall be arranged for all conferences, to include any special meetings, vendor areas and any special events. 2. The cost of the security is considered part of the regular budgeted item when establishing conference cost. 3. Security may be from the hotel/resort or be coordinated with the local Sheriff s department. C. Security Identification Name badge serves as admission to conference activities, especially for workshop and business sessions. 1. Name badges should be worn at all times and a color-coded badge classification system, as listed for all conferences, follows: a. FSASE Executive Committee (Yellow) b. FSASE Board Members (Yellow) c. Charter of the Florida State Association of Supervisors of Elections, Inc. ARTICLE I Name The name of this Corporation, not for profit, shall be FLORIDA 1 STATE ASSOCIATION OF SUPERVISORS OF ELECTIONS, Inc. and its principal place of business shall be at the office of the President. ARTICLE II Purpose The General purpose of this Corporation is to provide an 1 organization through which the County, may exchange ideas and experiences to enhance their ability to perform their duties so as to be able to exercise their public trust with the highest degree ofi ntegrity. A further purpose is to provide a convenient source for obtaining the combined thoughts of the principal Florida election officials and likewise, a source through which these officials can express themselves. ARTICLE III Qualification of Members The qualification for the four (4) categories of membership in this Corporation shall be as follows: A. Active members shall be those persons who are duly appointed or elected and commissioned as Supervisors of 1 Elections in the several counties of the State of Florida. Only active members shall be allowed to vote in this Corporation except with proxy as provided in Section B below. 1112 B. Associate members shall be those Deputy Supervisors of Elections or Voting Equipment Supervisors, as may from time to time be fixed in conformity with the requirements of the By- Laws of this Corporation. They may serve on such special committees as provided in the By-Laws. C. Honorary members shall be those persons, who may be so designated by the vote of the active members. D. Participating members shall be those persons, firms or corporations who may be so designated by the vote of the active members. ARTICLE IV Term of Existence This Corporation shall exist perpetually, unless sooner terminated in accordance with the laws of Florida. The Board of Directors of this 15 Corporation shall be composed of the five (5) officers, plus ten (10) active members, one (1) member from each of the following ten (10) districts: District One (1) consists of Escambia, Santa Rosa, Oklaloosa, Walton, Holmes and Washington; District Two (2) consists of Bay, Jackson, Calhoun, Liberty, Franklin, Gulf and Gadsden; District Three (3) consists of Jefferson, Wakulla, Taylor, Madison, Hamilton, Suwannee, Lafayette and Leon; District Four (4) consists of Marion, Putnam, Levy, Dixie, Gilchrist, Columbia and Alachua; District Five (5) consists of Flagler, St. Johns, Duval, Nassau, Union, Bradford, Baker and Clay; District Six (6) consists of Orange, Osceola, Seminole, Lake, Volusia and Brevard; District Seven (7) consists of Hillsborough, Polk, Pinellas, Pasco, Sumter, Citrus and Hernando; District Eight (8) consists of Glades, Highlands, DeSoto, Sarasota, Manatee, Hardee and Charlotte; District Nine (9) consists of Palm Beach, St Lucie, Okeechobee, Indian River and Martin; District Ten (10) consists of Lee, Broward, Collier, Dade, Monroe and Hendry, at the Annual 11 Convention. They shall be elected for two (2) years, or until the election and qualification of their successors. The duties of the Board of Directors shall be fixed by the By-Laws, but generally the Board shall be considered as the policy-making body of this Corporation and shall be responsible for the formulation of the annual program to be executed by the officers. Section 2. Quorum and Proxies. A majority of the Board of Directors shall constitute a quorum for the transaction of business and the favorable vote of a majority of those in attendance shall be sufficient to carry and motion. Any director unable to attend a meeting shall give a written proxy to any other active member of the Corporation. Proxy votes will be considered the same as a Director being present for the purpose of having a quorum present to transact business of this Corporation. 15 ~ 47 ~
ARTICLE IX Adoption and Amendment of By-Laws and Rules of Procedure 15 1. By-Laws. The By-Laws of this Corporation shall be adopted, amended, or repealed by the voting members of the corporation. Written notice of By-Law changes shall be given by the Chairman of the By-Laws and Resolutions Committee to the members present at any meeting of the association at which twothirds of the active membership is present. Any such proposed change must be ratified by a majority of the active members present. The By-Laws shall provide for the primary operation of this Corporation. 15 2. Rules of Procedure. Rules of Procedure, which may be adopted, amended or suspended at any meeting without written notice shall provide for the detail administration of this Corporation. ARTICLE X Amendment of Articles of Incorporation The articles of this Corporation may be amended upon adoption of a resolution first approved by a majority of the Board of Directors and then submitted to the active members of this Corporation for their approval at any regular meeting. Upon approval of such resolution by two-thirds (2/3) of the active members attending any regular meeting, said resolution containing the proposed amendment shall become effective so as to amend these articles and shall thence be transmitted to the Secretary of State for recordation as provided by law. By-Laws of the Florida State Association of Supervisors of Elections, Inc. ARTICLE I Membership, Dues and Budget Section 1. The active members of this Corporation (FSASE) shall be the several Supervisors of Elections who are duly qualified and commissioned as such in the respective counties of the State. Any person so qualified and commissioned shall automatically become a member of this Corporation upon payment of dues to the Corporation. Such dues to be billed October 1st preceding due date January 1st at which time delinquent dues denying said member all rights and privileges under our Charter. The official in charge of voter registration and elections in any county, regardless of the title by which he/she may be called, shall be similarly eligible for membership in this Corporation. Such active members are the only members who shall be entitled to vote upon matters for consideration before the Corporation except with proxy as provided in Section 2 below. Section 2. The associate members of this Corporation shall be Deputy Supervisors of Elections or Voting Equipment Supervisors. They shall not be eligible to vote on matters coming before the Corporation unless representing an active member with a written proxy. They shall be permitted to serve on special committees and shall be entitled to vote on the deliberation of such committees. Section 3. Honorary and participating members shall be elected by the active members as they see fit. Honorary members shall be those persons to whom the designation to honorary membership is granted as an indication of appreciation and esteem by the active members. Participating members shall be those persons, firms or corporations whose business interests make them particularly friendly towards the Corporation. Honorary and participating members shall not be allowed to vote nor shall they be allowed to participate in the deliberation of any committee, but they shall be encouraged to take part in discussions before the membership of the Corporation or before committees. Section 4. The Board of Directors shall consider and anticipate the financial needs and requirements of the Corporation and shall recommend the amount of annual dues to the membership at the Annual Summer Conference. Such recommendation shall be accompanied by an explanation of the anticipated expenditures of the Corporation. This shall be considered as the budget for the coming year, and copies of it shall be distributed to all members of the Corporation. The Board shall be expected to consider carefully the advice and suggestions of the Budget Committee in connection with the preparation of the budget. The proposed budget shall be subject to the approval of the active members of the Corporation at the Annual Summer Conference. Honorary members and participating members shall not be expected to pay dues. Section 5. The fiscal year of the Corporation shall be October 1st through September 30th of the following year. ARTICLE II Voting Section 1. Whenever a vote shall be taken at any meeting of the Corporation or of its committees on any question, motion, resolution, or otherwise, it shall be a voice vote of those eligible to vote and present and voting, except that on the demand of five (5) persons who are present and eligible to vote, the vote may be by secret ballot. Section 2. Election of officers shall always be by secret ballot. A plurality of votes shall be sufficient for election. If any more than the number of persons required to fill the vacancy as provided by the association by-laws receive the highest and an equal number of votes, then the election of those receiving such highest and equal number of votes shall be determined by lot drawn by the Association President in the presence of the canvassing board members (Election Committee) and association member-ship; otherwise, those, to the number required, receiving the highest number of votes, shall be considered elected to the office. Section 3. The election/voting for FSASE Officers shall be organized by the Election Committee. Section 4. The Canvassing Board for election of the Corporation offices shall be the Current FSASE President (Chair), President Elect and Past President. If any member is unable to serve the FSASE President shall appoint any unopposed member of the FSASE to serve. Section 5. Proxy Voting. When an active member of this Association is absent from a meeting of this Association, he/she, may designate an associate member employed in his office or another active member to cast a proxy vote on his or her behalf, provided, however, that such person designated shall not hold more than one proxy. Such proxy shall be in writing shall state on its face the duration of its validity and the place of the meeting for which its use is intended, and shall be signed, over the seal of the office of the active member so designating, or a Notary Seal. Proxies may be faxed to member receiving proxy as long as the stamp of office or a Notary Stamp is shown. ARTICLE III Conferences and Special Meetings Section 1. Conferences The Association shall meet at least twice a year. The Annual Summer Conference or Annual Convention that shall be identified as the same may be held within May, June or July. ~ 49 ~
The Mid-year Winter Conference may be held within November, December or January. Section 2. Special Meetings. Special meetings of the Corporation may be held on the call of the President, who shall fix the time and place thereof, and state the business to be considered. The President shall call a special meeting on the written request of fifteen (15) active members of the Corporation. If the President shall refuse to call a special meeting upon the receipt of such written request, then such fifteen (15) members may call a special meeting of the Corporation and fix the time and place thereof and give the notice indicated above. A quorum of active members shall be necessary for the transaction of any business at any special meeting, and no business shall be considered at such meeting that was not particularly described in the notice of such meeting. Section 3. Notice of Conferences. A notice of Conferences of the Corporation shall be distributed at least thirty (30) days before the date of any such meeting. The notice shall designate the time and place of the meeting and shall include an agenda of the business to be considered, and no item of business shall be considered which is not set out in the agenda; provided, however, that if a majority of the active members of the Corporation are present at any such meeting, and two-thirds (2/3) of any such majority shall vote in favor of amending the agenda, such agenda may be amended so as to include any item of business. Section 4. Executive Sessions. By the affirmative vote of two-thirds (2/3) of the active members who are present and voting, any meeting or any period of time within any meeting may be declared to be an executive session, and all members present who are not active members and all other persons shall, except the General Counsel and/or Executive Director, be required to leave such meeting during the Executive Session. Section 5. Roberts Rules of Order shall govern all parliamentary procedures in all meetings of the Corporation and of the Board of Directors. ARTICLE IV Officers Section 1. The President shall preside at all meetings of the Corporation, and shall have supervision of the officers of the Corporation, and shall have such other powers and perform such other duties as may be fixed by the By-Laws. Section 2. The President-elect and Vice-President shall perform such duties as may be assigned to them by the President or by the Corporation or by the By-Laws, and in the case of death, removal, resignation, absence or inability of the President to serve, the President-elect shall perform all duties and be vested with all the powers of the President during the vacancy in the term of the President or during his absence or inability. In the event of death, removal, resignation, absence or inability of the Presidentelect serving as President, then the Vice-President shall perform all duties and be vested with all the powers of the President during the term of the President or during his absence or inability. Any vacancy in the office of Secretary, Treasurer or Board Member shall be filled by a majority vote of the remaining members of the Board of Directors. Section 3. In the case of the death, removal, resignation, absence or inability of the President, the President-elect and the Vice-President to serve, the Secretary shall perform all the duties and be vested with all the powers herein confided to the Vice-President during the vacancy in the office of the President or his absence or inability. The Secretary shall attend and shall keep a record of the minutes of all meetings of the Corporation. The Executive Director shall perform the secretarial duties of the Corporation as per job description. Section 4. The Executive Director shall keep an accurate account of all monies of the Corporation. He/She shall receive all monies of the Corporation and pay out such monies on accounts of bills or accounts when approved by the President or Treasurer. All checks of the Corporation for the payment of monies shall be signed by the General Counsel or Executive Director, but he/she shall not disburse any monies or draw any checks against the funds of the Corporation, that are not otherwise specified in the Association s approved budget or provided for in an approved contract, except in the payment of bills or accounts first approved by the President or Treasurer. In the event of sickness or death, the General Counsel or Treasurer shall be the signers on any checks. The Executive Director or General Counsel shall post a bond in the amount of not less than $25,000.00 payable to the Corporation and secured by a surety company authorized to do business in Florida, and the Corporation shall pay the premium for such bond. Section 5. Upon the affirmative vote of a majority of the active members, the Corporation may employ an attorney, an executive director, and such other persons as shall be deemed necessary for the proper transaction of the business of the Corporation. The contracts under which such persons shall be hired shall be determined by the Executive Committee with recommendations from the respective committee chairs and shall not extend for a period of more than two (2) years. The Executive Committee with the recommendations from the respective committees shall annually evaluate those under contract and report their findings to the Board of Directors. Section 6. The Board of Directors of this Corporation shall be composed of the six (6) officers, plus ten (10) active members, one (1) member elected from each of the following ten (10) Districts, District One (1) consists of Santa Rosa, Okaloosa, Walton, Holmes, Washington and Escambia; District Two (2) consists of Bay, Jackson, Calhoun, Liberty, Franklin, Gulf and Gadsden; District Three (3) consists of Jefferson, Wakulla, Taylor, Madison, Hamilton, Suwannee, Lafayette and Leon; District Four (4) consists of Marion, Putnam, Levy, Dixie, Gilchrist, Columbia and Alachua; District Five (5) consists of Flagler, St. Johns, Duval, Nassau, Union, Bradford, Baker and Clay; District Six (6) consists of Orange, Osceola, Seminole, Lake, Volusia and Brevard; District Seven (7) ~ 50 ~
consists of Hillsborough, Polk, Pinellas, Pasco, Sumter, Citrus and Hernando; District Eight (8) consists of Glades, Highlands, DeSoto, Sarasota, Manatee, Hardee and Charlotte; District Nine (9) consists of Palm Beach, St. Lucie, Okeechobee, Indian River and Martin; District Ten (10) consists of Lee, Broward, Collier, Dade, Monroe and Hendry. The Directors shall be elected by caucus of those Supervisors in each of the ten (10) districts at a date and time determined by the Mid-Year Winter Conference agenda. Directors in even numbered districts (2, 4, 6, 8, 10) shall be elected in even numbered years and Directors in odd numbered districts (1, 3, 5, 7, 9) shall be elected in odd numbered years. They shall take office on the Monday following the Annual Summer Conference installation for two years or until the election and qualification of their successors. A majority, of the Board of Directors shall constitute a quorum for the transaction of business and the favorable vote of a majority of those in attendance shall be sufficient to carry any motion. Any director unable to attend a Board meeting may give a written proxy to any other active member of the Corporation. Proxy votes shall be considered the same as a director being present for the purpose of having a quorum present to transact the business of the Corporation. The President shall preside at meetings of the Board, and a quorum shall be necessary for the transaction of business by the Board of Directors. The Board of Directors shall be responsible for the establishment of the overall policy of the Corporation and shall also promote from time to time a program which designates several objectives which should be attained by the Corporation within a given period of time. The Board shall be responsible for the execution of its policies by the officers of the Corporation and upon failure of any officer to carry out the policy of the Board to its satisfaction, the Board is authorized to appoint some other person to perform such duty as the officer may have refused or failed to perform. Section 7. Any member of the Corporation may be appointed by the President as Sergeant-at-Arms, Parliamentarian, Chaplain or Historian. Persons so appointed shall perform the duties indicated by these positions during the term of the President who appointed them and may be reappointed by successor Presidents. Section 8. All officers shall take office on the Monday following their Annual Summer Conference installation. committee. Section 3. The powers and duties of the various standing committees shall be as follows: a. The Executive Committee shall consist of the President, the President-elect, the Vice-President, the Secretary, the Treasurer, Past President and the General Counsel as an ex-officio member. If the Corporation shall employ an Executive Director, such person shall be an exofficio member of the Executive Committee. The Executive Committee shall be responsible for any matters of business which occur between conference meetings of the Corporation and which in the mind of the President do not require a special meeting of the Corporation. During such times the Executive Committee shall have the power and the authority to do anything that the Corporation as a whole might. b. The Legislative Committee shall examine and report to the members of the Corporation any legislation affecting the Office of. It shall recommend to the members of the Association such legislation as it deems advisable to be enacted, and shall consider all legislation submitted by any member of the Corporation and makes its recommendation concerning same. The Committee shall take such steps as it shall deem proper to promote or defeat legislation, and shall use its efforts to secure the passage of legislative priorities of the Association and other beneficial and constructive legislation. This Committee shall and may call for the help of as many members of the Association as it may need in the performance of its duties. The Legislative Committee shall not be concerned with any legislation which does not affect or involve the duties of the Office of Supervisor of Elections. Legislation recommended by the Legislative Committee or any member of the Association shall become a Legislative priority of the Association upon an affirmative vote of two-thirds (2/3) of the active members present and voting. At least one Supervisor from each district shall be appointed by district caucus at the Mid-Year Winter Conference to the Legislative Committee and shall serve beginning the Monday following the Annual Summer Conference for one (1) year or until the appointment of their successor, with the exception of the Committee Chair who shall be appointed by the President, and it shall be a duty of this member or members to provide the Supervisors in their district with proposed legislation as it is filed and thereafter to keep their Supervisors informed of changes made in these bills. ARTICLE V Committees Section 1. There shall be the following standing committees: Executive, Legislative, By-Laws and Resolutions, Elections, Communications and Publication, Budget, Administrative Rules, Education, and Florida Certified Election Professional (FCEP). Section 2. Each committee shall consist of at least five (5) active members appointed by the President and a majority of the members of a committee shall constitute a quorum. Proxy votes will be considered the same as a committee member being present to transact business of the c. The By-Laws and Resolutions Committee shall be responsible for the drafting of resolutions recommended to it by the members of the Corporation, and shall on its own initiative propose resolutions which it deems necessary that the Corporation adopt. All resolutions approved by this committee shall be submitted to the active members of the Corporation for their approval. Any members proposing an amendment to these By-Laws shall submit such proposal to this committee for its approval and the members of the committee may submit such changes in these By-Laws as they consider necessary. Upon the approval of any change of these By-Laws and the drafting of such an amendment, the amendment will be submitted to the vote of the active members, pursuant to Article IX of the Charter. ~ 51 ~
d. The Elections Committee shall be comprised of the Past President, as chair, President and President Elect. The Elections Committee shall be responsible for presenting candidates for all offices to be elected during the Mid-Year Winter Conference, to take office on the Monday following their Annual Summer Conference installation for one (1) year or until the election and qualification of their successor. Elections will be called underarticle VI and VII, Charter of the Florida State Association of Supervisors of Elections, Inc. The Elections Committee shall be responsible for the ballot production and layout for the FSASE officers election. The Committee shall organize at the end of qualification week. Candidates must have provided in writing to the Elections Committee, the office he or she desires to qualify for, not later than the Friday of the 4th week prior to the Mid-Year Winter Conference. The office and name of each candidate shall be placed on the ballot for vote by the Association. The election of officers shall be provided at a stated time indicated on the Mid-Year Winter Conference agenda except for the Office of President and Offices of District Directors. The Presidentelect shall succeed to the Office of President. Executive Committee Officers Prior to the Mid-Year Winter Conference, the Chair of the Elections Committee shall submit to all members of the Association the office and the name of those persons who have qualified for that office. The Association Past President, Current President and President Elect shall serve as the canvassing board for FSASE Officers elections. All canvassing of ballots shall be performed in view of the Association membership. The canvassing shall proceed at a predetermined time and location as noted on the Mid-Year Winter Conference agenda. e. The Communications and Publications Committee shall be appointed by the President and shall be responsible for the preparation and distribution of any publications which have been authorized by the Corporation. f. The Budget Committee shall be responsible for preparing and submitting a proposed budget to the Association each year. The proposed budget shall be submitted to the President at least two (2) weeks prior to the Annual Summer Conference. The Treasurer shall be the chairperson of the Budget Committee. g. The Administrative Rules Committee shall be responsible for monitoring the development of proposed administrative rules. h. The Education Committee shall produce a conference schedule that informs and educates the members. The Committee shall book speakers with topics relevant to Florida Elections. In addition, the Committee works with the Division of Elections to present issues that are timely and important to all attendees. The Committee must work closely with the host for each conference to determine the meetings and schedule of events. The Florida Certified Election Professional (FCEP) Committee shall develop and implement a comprehensive professional education, certification and credentialing program. This program shall provide all 67 Supervisor of Elections and their staffs the opportunity to enroll in rigorous custom-designed courses leading to three levels of certification: FCEP I, FCEPII and FCEP III. The Committee shall be comprised of eight members to be appointed by the President. To ensure continuity of the core program, if possible, a minimum of 50% of the members shall have served previously on the FCEP Committee. Section 4. Special Committees may be appointed by the President and shall perform such duties as he/she may define. Such Committees shall consist of at least five (5) members and a majority shall constitute a quorum for the transaction of business. Each such Committee shall be responsible to the President and each member shall be subject to removal by him/her. No special Committee shall be appointed to perform any duties or function which conflict with or encroach upon those of a Standing Committee. ARTICLE VI Amendments Section 1. The Charter of the Corporation may be amended under the authority of the laws of Florida and in the manner thereby prescribed. The By-Laws and Resolutions Committee will be responsible for the drafting of a resolution with regard to any proposed change of the Charter and such resolution upon being further approved by the Board of Directors shall be submitted to the active members of the Corporation for their approval at any Regular Meeting. Upon the approval of such a resolution by two-thirds (2/3) of the active members at any Regular Meeting, the resolution, containing the proposed amendment, shall be transmitted to the Secretary of State for filing. Section 2. Amendments to these By-Laws may be proposed by any member and shall be presented to the By-Laws and Resolutions Committee for its approval. Such Committee shall, upon approving a proposed amendment of these By- Laws, submit it to the Corporation, pursuant to Article IX of the Charter. The Secretary or Executive Director of the Corporation shall be responsible for maintaining an accurate set of By-Laws and an accurate Charter for this Corporation and shall see that copies thereof are available to members of the Corporation upon request. A Resolution and Statement of Ethics We, the Supervisors of Elections, representing the sixty-seven Florida counties, do hereby adopt the following principles as our guide to inspire continued confidence and trust in our system of elections and to reaffirm our commitment to the highest standards of personal integrity, honesty and competence. We hereby resolve and state that a member of FSASE shall: Put loyalty to the highest ethical principles above loyalty to persons, political officials, political parties, or government departments. Comply with all laws and regulations and impartially apply them. Use county funds and resources efficiently, including materials, equipment and time. Avoid any interest or activity that is in conflict with the conduct of official duties. Strive for personal excellence and professional development by keeping up to date on state and federal laws, court opinions, Division of Elections opinions, Attorney General opinions and emerging issues facing the electoral process. Work to improve federal and state laws dealing with elections and voter registration. Effectively and efficiently work with other governmental agencies, political subdivisions, and other organizations in order to serve the public good.
