Reynolds, General Manager )JY" /If'- Department of Transportation Subject: SUPERSEDING FREEWAY AGREEMENT FOR US-101 FREEWAY IMPROVEMENTS SUMMARY The Los Angeles Department of Transportation has been working with Caltrans and NBCUniversal to implement improvements to the US-101 Freeway by adding a new southbound on-ramp from Universal Studios Boulevard, improving existing Regal Place southbound on-ramp, and closing the non-standard Barham Boulevard/Bennet Drive southbound off-ramp. These are mitigation measures identified in the NBCUniversal Evolution Plan approved by the City and County of Los Angeles in 2012. In order for the project to move forward, it is necessary for the city to execute a superseding Freeway Agreement with Caltrans. RECOMMENDATION That the City Council, subject to approval ofthe Mayor, AUTHORIZE the Los Angeles Department of Transportation (LADOT) to execute a superseding Freeway Agreement with Caltrans, subject to review by the City Attorney as to form and legality, to reflect changes in traffic circulation and freeway access to US-101 between Vineland Avenue and Barham Boulevard. The provisions of Section 100.22 of the Streets and Highways code have been complied with. DISCUSSION The Freeway Agreement between the City and Caltrans for the portion ofthe US-101 Freeway between Vineland Avenue and Barham Boulevard was last revised in 1999. LADOT has been working with Caltrans to prepare a superseding Freeway Agreement to reflect changes that have occurred since 1999, including mitigation measures associated with the NBCUniversal Evolution Plan (Plan), which makes changes to various ramp and interconnections with the City streets and access ways. In 2013, the City and County of Los Angeles approved the Plan, a long-range plan that provides for the development of approximately 2.67 million net new square feet at the Universal Studios property located in the City of Los Angeles and unincorporated County of Los Angeles. The Plan underwent a comprehensive environmental review process from 2007 to 2013 and, in November 2013, the Los Angeles City Council unanimously approved the Plan, certified the Plan's Environmental Impact Report (EIR) and adopted a Mitigation Monitoring and Reporting Program (MMRP). According to the MMRP, NBCUniversal is required to make significant investments in transportation improvements to enhance overall vehicular circulation and access to the US-101 Freeway between

Honorable City Council -2- June 10, 2015 Vineland Avenue and Barham Boulevard (Ordinance No. 182,437, C.F. 12-1657). Specifically, these improvements include: Construction of a new southbound (S/B) on-ramp from Universal Studios Boulevard; Closure of the existing non-standard S/B hook off-ramp at Barham Boulevard/Bennett Drive; Operational improvements shifting and widening S/B US-101 to extend the existing two-lane portion ofthe Regal Place on-ramp; Improvement of the mainline sight distance in the area of the new Universal Studios Boulevard S/B on-ramp; and Future elements of the overall system improvements will include revisions to the US- 101/Universal Studios Boulevard interchange with a new S/B US-101 off-ramp and a reconfiguration of the existing S/B on-ramp near Fruitland Drive. The freeway improvements have received all the necessary approvals and permits and the projects are currently under construction or will be under construction in the near future. In order to complete the administrative process, it is necessary for the City to execute a superseding Freeway Agreement with Caltrans. In addition to the proposed improvements, Caltrans is also requesting to update the 1999 Freeway Agreement to reflect past improvements that have been made. These changes include various curb radii modifications and traffic signal improvements. FISCAL IMPACT The proposed project will have no impact on the General Fund, as the freeway improvements will be funded by NBCUniversal. SJR:mh Attachments c: Jerrel Kam, Caltrans

FREEWAY AGREEMENT 07-LA-101 PM 9.2111.1 On Route 101 from Barham Boulevard to Vineland A venue. THIS AGREEMENT, is made and entered into on this _day of, 2015, by and between the STATE OF CALIFORNIA acting by and through the Department of Transportation (herein referred to as "STATE"), and the City of Los Angeles (herein referred to as "CITY"). WITNESSETH: WHEREAS, the highway described above has been declared to be a freeway by Resolutions of the California Highway Commission on May 25, 1943 and on November 18, 1954; and WHEREAS, STATE and CITY have entered into a Freeway Agreement dated December 14, 1999, relating to that portion of State Highway Route from Barham Boulevard to Vineland Avenue; and WHEREAS, a revised plan map for such freeway has been prepared showing the proposed plan of the STATE as it affects streets of the CITY; and WHEREAS, it is the mutual desire of the parties hereto to enter into a new Freeway Agreement in accordance with the revised plan of said freeway; NOW, THEREFORE, IT IS AGREED: I. This Agreement supersedes in its entirety said Freeway Agreement dated December 14, 1999. 2. CITY agrees and consents to the closing of CITY streets, relocation of CITY streets, construction of frontage streets and other local streets, and other construction affecting CITY streets, all as shown on the map attached hereto, marked Exhibit A, and made a part hereof by reference. 3. The obligations of STATE and CITY with respect to the funding and construction of the freeway project will always be dealt with in separate Cooperative Agreement(s) between the parties, and any amendments thereto, or Encroachment Permits issued to CITY. The parties responsible for the construction of the freeway shall make any changes affecting CITY streets only in accordance with the plan map attached hereto, marked Exhibit A. 4. The obligations of STATE and CITY with respect to the acquisition of the right of way required for the construction, reconstruction, or alteration of the freeway and CITY streets, frontage streets, and other local streets will always be dealt with in separate Cooperative Agreement(s) between the parties, and any amendments thereto or Encroachment Permits issued to CITY.

5. It is understood between the parties that the rights of way may be acquired in sections or units, and that both as to the acquisition of right of way and the construction of the freeway project, the obligations of STATE and CITY hereunder shall be carried out at such time and for such unit or units of the project as funds are budgeted and made lawfully available for such expenditures. 6. CITY will accept control and maintenance over each of the relocated or reconstructed CITY streets, any frontage streets, and other local streets constructed as part of the project, on receipt of written confirmation that the work thereon has been completed, except for any portion which is adopted by STATE as part of the freeway proper. If acquired by STATE, CITY will accept title to the portions of such streets lying outside the freeway limits upon relinquishment by STATE. 7. This agreement may be modified at any time by the mutual consent of the parties hereto, as needed to best accomplish, through STATE and CITY cooperation, the completion of the whole freeway project for the benefit of the people of the STATE and of the CITY.
