Terms & Conditions, International Copenhagen December 2017 Finding Hygge Official Rules Do not participate in this competition unless you meet the eligibility requirements set forth below, and have reached the age of majority in your country of residence at the time of entry. This competition is run by VisitDenmark, Copenhagen Denmark according to Danish law. NO PURCHASE NECESSARY. PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. VOID WHEREVER PROHIBITED. SIGN UP FOR NEWSLETTERS IS NOT REQUIRED FOR PARTICIPATION IN THE COMPETITION. The Finding Hygge competition ("Competition") will begin at 00:00 a.m. Danish time on December 1 st 2017 and end at 23:59 p.m. Danish time on December 24th 2017 ("Promotion Period"). Participation in the Competition constitutes the entrant s full and unconditional agreement to these Official Rules, and the Sponsor s and Administrator s decisions, which are final and binding in all matters related to the competition. The Sponsor is responsible for all aspects of this Competition. Eligibility: Entrants must have reached the age of majority in their country of residence at the time of entry. Employees, officers and representatives of VisitDenmark, Reuters, SAS Scandinavian Airlines, and any of their respective parent companies, affiliates, franchisees, licensees, distributors, suppliers, subsidiaries, retailers, advertising/promotion agencies, and members of their immediate family (mother, father, brothers, sisters, sons, daughters and spouse, regardless of where they reside) and household members of each such employee, whether or not related, are not eligible to participate. Winning a prize is contingent upon fulfilling all requirements set forth herein. Void where prohibited by law. Sponsor/Administrator: The Competition is sponsored by VisitDenmark, Islands Brygge 43, 2300 København S, Denmark (the Sponsor ). How to Enter: Eligible Entrants may enter the competition by: 1. Visiting www.findinghygge.dk (the Website ) 2. Completing the online competition registration Completing the registration form is mandatory. All entries must be received by 24.00 pm Danish time on each day during the Promotion Period. Only one entry is permitted pr. Person. All required information must be completed in order to enter the Competition and be eligible to win. Incomplete entries will be disqualified. Proof of entering information at the Website is not considered proof of delivery to, or receipt by, the Sponsor of an entry. Internet entries must be made by the entrant only at the Website. Entries made by any other individual, entity or those entries originating at any other web site or e-mail address, including, but not limited to, commercial competitions subscription notification and/or entering service sites, will be declared invalid and disqualified for this competition. The use of automated entry devices is prohibited and no mechanically reproduced entries are allowed; all such entries are void. The Sponsor is not responsible for: late, incomplete, incorrect, delayed, garbled, undelivered, or misdirected entries. The Sponsor reserves the right to disqualify any person or e-mail address that submits more than maximum allowed entries. All entries, upon submission, will be the exclusive property of the Sponsor and will not be acknowledged or returned. Entrant's Personal Information: By participating, the Entrant consents to the Sponsor obtaining, using and transferring his or her name, e-mail and country of residence for the sole purpose of administering this competition. Information collected from Entrants is subject to the Sponsor s Privacy Policy, available Page 2 of 9
at http://www.visitdenmark.com/denmark/disclaimer-and-privacy-statement. In the event that the Entrant should win the prize, he or she also gives express consent to have his or her name and country of residence used in all forms of media. In addition, by signing up to the newsletter, the Entrant gives his or her express consent to receiving promotional materials including, without limitation, emails containing information about Denmark from VisitDenmark. Limitations of Liability: If the administration, security, fairness, integrity or proper conduct of this competition, is impaired for any reason outside the control of the Sponsor and the competition cannot take place the Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process. The Sponsor reserves the right to subsequently cancel, terminate, modify or suspend the competition in whole or in part at any time without notice and award the Prizes using all non-suspect eligible entries received as of or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries (save to the extent that the same is attributable to the Sponsor). The Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from this competition or downloading any materials in this Competition. (save to the extent that the same is attributable to the Sponsor). CAUTION: ANY ATTEMPT TO PARTICIPATE WITH THE PURPOSE OF DELIBERATELY DAMAGING ANY WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT OCCUR, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a winner based on an e- mail address, the winning entry will be declared by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If the Sponsor fails to comply with these Official Rules, the Sponsor is responsible for loss or damage an entrant suffers that is a foreseeable result of the Sponsor's breach of these Official Rules or its negligence, but it is not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if they were an obvious consequence of the Sponsor's breach or if they were contemplated by the entrant and the Sponsor at the time that the entrant entered the Competition. The entrant will be responsible and liable to the Sponsor for any and all losses, claims and liabilities suffered by the Sponsor as a result of the entrant's breach of these Official Rules. Prizes: Twenty-four (24) Prizes will be awarded, one (1) on each day of the Promotion Period. The Prize winners will receive a trip for two (2) to four (4) people to Denmark. The prize winner and guest will each receive a round trip airline ticket (economy class) to Denmark from and to an SAS Scandinavian Airlines destination. Three (3) night stay for two to four persons in Denmark. (Accommodation can be hotel, apartment, hostel or holiday house). One (1) unique experience for two to four persons. (Experience can be within the themes of outdoor activity, food, design or wellness). The prizes are valid from January 15 th, 2018 through December 31 st 2018. The winner (and guest) will fly from the (to the winners private address) nearest international airport with a direct SAS connection to Denmark. All travel arrangements are subject to availability, blackout dates & other restrictions. Prize travel must be completed by December 31 st 2018. The Winner and guest must travel on the same itinerary throughout. Rebooking and changes are not permitted. Tickets are non-refundable and non-transferable and do not include transfer to and from the airport by which the Winner and guest travel from. The choice of airline is at the sole discretion of the Sponsor. All expenses related to the acceptance/use of prize that are not expressly included (such as, for example, travel insurance, costs in acquiring travel documentation, all taxes including airport taxes on the prize) are the winner's sole responsibility. The prize is conditional on the winner and their travelling companion having all necessary documentation (including passports and/or visas) to travel to and from their departure destination to Copenhagen. The prize cannot be substituted unless the Sponsor, in its sole discretion, decides to substitute the prize for a prize of equal or greater value in the event that the original prize is unavailable. In the event that the aforementioned prize is not available the Sponsor reserves the right at its sole discretion to substitute the prize with another prize of equal or greater value. Drawing and Notification: The prize winner will be selected amongst all eligible entries received in a random drawing by the international law firm Bird & Bird. The drawing will be completed within 48 hours from the competition is closed. The odds of winning will depend on the total number of eligible entries received. The winner will be notified by email. Prize Conditions: The Prize winners are solely responsible for all applicable federal, state and local taxes and/or any other costs associated with the prize or receipt of the prize. If any potential winner cannot be contacted within three (3) days of attempted notification, the prize will be forfeited and an alternate winner will be selected. The winner will be required to sign and return an Affidavit of Eligibility and Liability / Publicity Release (unless prohibited) within 7 days of written notification or they will be disqualified. Travel companions must also execute and return a travel release. In the event of noncompliance with the Official Rules, if a winner cannot be reached at the email address submitted by the winner s entry within 5 days of the first attempt, or if the prize or prize notification is returned as unclaimed or undeliverable, an alternate winner will be selected. Disputes: By entering the Competition, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and Sponsor in connection with the Competition, shall be governed by, and construed in accordance with Danish law, provided that if an entrant is a resident of another European Union member state that entrant will still benefit from any mandatory provisions of the law of their European Union member state of residence (regardless of any other provision of these Official Rules). Any legal proceedings stemming from this Competition or relating to these Official Rules shall be initiated only in the Danish court, provided that If an entrant lives in another European Union member state that entrant can bring legal proceedings in respect of the Competition and these Official Rules in either the courts of their European Union member state of residence or the Danish court. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid, otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. This Official Rules document is intended to govern participation of UNITED STATES ENTRANTS ONLY. NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT OF MONEY WILL NOT IMPROVE THE CHANCES OF WINNING. The Finding Hygge Sweepstakes (the Sweepstakes ) is intended for legal residents of the United States and shall only be construed and evaluated according to applicable U.S. law and state law. Do not enter this Sweepstakes if you are not located in the United States or are otherwise ineligible to enter in accordance with these Official Rules at the time of entry. SPONSOR/ADMINISTRATOR: The Sweepstakes is sponsored by VisitDenmark, Islands Brygge 43, 2300 København S, Denmark (the Sponsor ) and administered by American Sweepstakes & Promotion Co., Inc., 300 State St. Suite 402 Rochester, NY 14614 (the Administrator ). ELIGIBILITY: The Sweepstakes is open to legal U.S. residents residing in the fifty (50) United States (including the District of Columbia) who are at least eighteen (18) years of age or the age of majority, whichever is older, in their respective states of permanent residence as of December 1, 2017 (the Entrants ). At the Website, Entrants will enter the Sweepstakes by following the links and instructions to complete the Sweepstakes registration form requesting full name, email address and country. Each completed registration form with receipt upload will result in one (1) Sweepstakes entry. Limit one (1) Sweepstakes entry per Entrant. To be valid, each entry must provide all requested information. Proof of entry information at the Website is not considered proof of delivery to or receipt by Sponsor of an entry. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to Entrant's or any other person's computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney fees. DRAWING & NOTIFICATION: All potential Prize Winners will be selected from among all eligible entries received, in twenty-four (24) random daily drawings conducted by the Sponsor, whose decisions are final in all matters relating to this Sweepstakes. Odds of winning a Grand Prize will depend on the total number of eligible entries received during the day in question. Potential Winners will be notified by the administrator by email. NOTE : WINNERS MAY BE RANDOMLY SELECTED FROM OUTSIDE OF THE UNITED STATES. THE ABOVE AND BELOW EXECUTION WILL ONLY TAKE PLACE AS A UNITED STATES RESIDENT IS RANDOMLY SELECTED AS A POTENTIAL WINNER. GRAND PRIZES: There will be twenty-four (24) Grand Prizes awarded. Each Grand Prize Winner ( Winner ), upon the Administrator s confirmation of eligibility, will receive a trip for two (2) to four (4) people. Prize inclusions: Round trip airline tickets (economy class) to Denmark from and to an SAS Scandinavian Airlines destination. Three (3) night stay for two to four persons in Denmark. (Accommodation can be hotel, apartment, hostel or holiday house). One (1) unique experience for two (2) to four persons (4). Experience can be within the themes of outdoor activity, food, design or wellness. The Approximate Retail Value ( ARV ) of each Prize package is $5,000, which will vary depending upon points of departure and destination and seasonal fluctuation of hotel rates and airfares. Total Prize Pool - $120,000 USD. The value of the Grand Prize set forth above represents Sponsor s good faith determinations of the ARV thereof and such determinations are final and binding and cannot be appealed. If actual value of the Prize is lower than the stated ARV when Prize is procured and fulfilled, then the difference will not be awarded. See detailed prize descriptions on www.findinghygge.dk. Each prize winner will be published with name and country of origin on www.findinghygge.dk. NOTE: Prize travel must be between January 15, 2018 through December 31, 2018. Each Winner and guest will fly from a major commercial airport in the United States, near the Winner s primary residence with a direct SAS connection to Denmark. Reservations must be requested at least (30) days prior to intend date of departure and are subject to availability at time of request. All other expenses not specifically mentioned herein, including but not limited to, airport taxes and fees, baggage fees, ground transportation not specifically delineated, food, beverages, additional hotel amenities or fees and gratuities, obtaining required travel documents (including visa and passport), and insurance are the responsibility of the Winners and traveling companion(s). The Sponsor is not responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air transportation carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations necessitated by same. The Sponsor shall not be liable for any loss or damage to baggage and/or personal property. Travel, hotel and other accommodations are subject to availability. The Grand Prize Winners and traveling companion(s) must travel on same itinerary. Rebooking and changes are not permitted. Tickets are non-refundable and nontransferable. Certain blackout dates and material restrictions may apply. NOTE: No substitution, assignment or transfer of the Prize is not permitted, except by Sponsor, who reserves the right to substitute the Prize or any Prize component with another of comparable or greater value. PRIZE CONDTIONS: By accepting a Prize, the Grand Prize Winners agree to release and hold harmless the Released Parties, each of their related companies, and each of their respective officers, directors, employees, shareholders, and agents from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize. The potential Grand Prize Winners will each be notified by email, and must sign and return to the Administrator, within seven (7) days of the date of notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize. The Winners companion(s) must complete a Travel Companion waiver in the same time period. Note: The Affidavit sent to a potential Winner will require that the Winner provide their Social Security Number to the Administrator, which will be used solely for tax reporting purposes. The Grand Prize Winners are responsible for all local, state, and federal taxes associated with the receipt Page 7 of 9
of the Prize. The Grand Prize Winners must note that the value of their accepted Prize is taxable as income and an IRS Form 1099 will be filed in the name of each Winner for the value of the Prize, and the Winners are solely responsible for all matters relating to the Prize after it is awarded. If a Prize or Prize notification is returned as unclaimed or undeliverable to a potential Winner, if a potential Winner cannot be reached within three (3) business days from the first notification attempt, or if a potential Winner fails to return requisite document(s) within the specified time period, or if a potential Winner is not in compliance with these Official Rules, then such person shall be disqualified and, at Sponsor s sole discretion, an alternate Winner may be selected. By accepting a Grand Prize, where permitted by law, the Winners grants to the Released Parties and those acting pursuant to the authority of Sponsor and the Released Parties (which grant will be confirmed in writing upon Sponsor s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time their full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE(S). By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or misuse of, or any harm resulting from the acceptance, possession, use or misuse of the Prize(s). The Winners also acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize(s). DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Administrator, and Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state s or jurisdiction s laws. By participating in the Sweepstakes, Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, shall be resolved individually without resort to any form of class action; (ii) any judicial proceeding shall take place in a federal or state court within the State of New York; (iii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event will attorney fees be awarded or recoverable; (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to seek, punitive, incidental, exemplary, consequential, special damages, lost profits, other damages, and/or any rights to have damages multiplied or otherwise increased; and (v) Entrant s remedies are limited to a claim for money damages (if any) and he/she waives any right to seek injunctive or equitable relief. SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein. MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Sweepstakes and supersede all prior and contemporaneous agreements, representations and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. The waiver by Sponsor or Administrator of any provision of these Official Rules shall not constitute a waiver of any other provision herein. The rights and obligations hereunder may not be assigned by Entrant, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void. These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of Sponsor, Administrator, and Entrant.
