Contest Period: Jay Z s Life+Times The Internship Contest ( Contest ) begins at 12:00 a.m. Eastern Time ( ET ) on May 14, 2013 and ends at 11:59 p.m. ET on May 18, 2013 ( Contest Period ). The Contest is Sponsored by Jay Z s Life+Times ( Sponsor ). 2. Eligibility: The Contest is open to legal residents of the 50 U.S. and D.C., who are 21 years of age or older as of date of entry. Employees (and their immediate family members and/or those living in the same household) of Sponsor, IconicTV ( Administrator ), Roc Nation and each of their respective affiliates, parent companies, subsidiaries, divisions, and their advertising and promotion agencies, (collectively, the Contest Entities ) are not eligible to participate or win. All federal, state and local laws and regulations apply. Void where prohibited by law. 3. How To Enter: During the Contest Period, visit the Jay Z s Life+Times Facebook Page at https://www.facebook.com/officiallifeandtimes ( Site ), like the Page (if you do not already) and follow the instructions to complete a registration form and include an original essay, in 250 words or less, describing why you should be the Jay Z s Life+Times intern and click Submit. You also have the option to include the YouTube link to an original video (which you may upload to YouTube.com as indicated below), along with your essay further describing why you should be chosen. There is no time limit to the video. Once you click Submit, you will be provided with a pre-populated Tweet with the promotional hashtag #JAYZsLifeAndTimesInternship to share with your friends that you entered. If you are not a member of Twitter and would like to tweet this message, you may enter for free at Twitter.com. Only the essay portion of an entry will be judged. All material submitted to Sponsor in connection with this Contest shall be referred to herein collectively as the Entry and the person submitting the Entry shall be referred to herein as the Entrant or you. Only the Entrant may be depicted in the video portion of the Entry (if applicable). Limit one Entry per Entrant. Multiple submissions per person will automatically be disqualified. To enter a video, visit http://www.youtube.com, log into your account and follow the instructions to upload your original video. A YouTube Account ("Account") at www.youtube.com must be established before an Entry can be submitted. Creating a YouTube account is free. Once you have uploaded a video, you will be provided with a unique video link. That link may be copied and pasted to your registration form on the Site during entry. If submitting a video, Entrants are required to read and agree to the YouTube Terms of Service at 1

http://www.youtube.com/t/terms and the YouTube Community Guidelines at http://www.youtube.com/t/community_guidelines in order to create an Account and submit an Entry into the Contest. Sponsor is not responsible for Entries that are removed by YouTube for reasons that violate their Terms of Service or Community Guidelines. Entries that do not comply with YouTube's technical specifications. Entrant understands that his/her Entry may or may not be posted on the Site or other websites, broadcast on television and/or used in other Sponsor-selected media. Normal Internet access and usage charges imposed by Entrant s online service will apply and are Entrant s sole responsibility. Entries become the property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, misdirected, corrupted, incomplete or damaged Entries. Proof of submission is not proof of receipt by Sponsor. This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter or YouTube, LLC. By entering, you understand that you are providing your information to Jay Z s Life+Times and not to Facebook. 4. Contest Entry Requirements: In the event the Sponsor, in its sole discretion, determines that any Entry contains content that does not comply with these Official Rules, Sponsor reserves the right to disqualify the Entry or, if Sponsor determines, edit the content of the Entry. Entries must be in English and must comply with these Official Rules and the registration instructions in order to be eligible. All Entries must be the sole, original work of the Entrant. Entrants may not copy or otherwise plagiarize any portion of the Entry from any other source. Entries may not have been published previously or have been submitted in any other competition. The Entrant must own all rights in and to the Entry. Entries must be in keeping with Sponsor s image, or desired image, or they will be disqualified. The Entry may not contain obscene, profane, lewd, defamatory or inappropriate images or text; and may not include nudity, acts of violence, acts that appear to cause injury or harm, or acts that are illegal or dangerous, as determined in Sponsor s sole discretion. Entries may not contain any third party materials, and may not contain any materials that, violate or infringe (or may be at risk of infringing) any third party rights, including without limitation, copyright (including music), trademark rights, privacy rights (including portrayal in a false light), publicity rights, or other intellectual property rights. Entries should not contain logos, marks that identify a brand (including clothing worn in the video, if applicable), or other personal or proprietary materials of any entity or person living or deceased, excluding Jay Z. Sponsor has the sole discretion to determine whether an Entry is eligible. Any Entry that violates this section or is otherwise objectionable (as determined solely by Sponsor), will not be considered and will be disqualified. Automated, script, macro or robotic Entries will be disqualified. 5. Finalist and Grand Prize Winner Determination: Five Finalists will be determined by a Sponsor-selected panel of judges, consisting of representatives from Sponsor, Administrator, and Roc Nation, based, in their sole discretion on the Entrant that they feel best described why he/she should be chosen for an internship. Administrator will contact the Finalists by 6:00 p.m. ET May 20, 2013 at the phone number they provided 2

at registration and they must available for an interview, at a Sponsor-selected time on May 21, 2013, via Skype or similar online video service available to Finalists. Administrator will provide instructions for use at the time they contact each Finalist. In the event a Finalist is unavailable for the interview, he/she will be disqualified and an alternate Entrant will be contacted. After five Finalists have been interviewed, the Sponsor (and its judges) will select one Grand Prize winner based on the following criteria: Personality (33%); What the Entrant can bring to the team (33%); and Best fit for the organization (34%). In the event of a tie, tied Entrants will be rejudged based solely on Best Fit for the organization (100%). Potential Grand Prize winner will be contacted on or about May 24, 2013. Judges decisions are final with respect to all matters relating to the Contest. No information regarding Entries or judging will be disclosed to any third party not involved in the conduct of the Contest. 6. Transfer of Rights: By submitting an Entry or submitting to an interview (for Finalists only), Entrant hereby grants the Contest Entities the irrevocable, perpetual, worldwide rights to use, reproduce, publish, edit, market, store, adapt, assign, sell, dispose of, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Entry/interview or excerpts of the Entry/interview (as such may be edited and modified by the Sponsor in its discretion) in perpetuity, for editorial, commercial, promotional and all other purposes (including posting on Sponsor-affiliated websites, the Site, and/or other Sponsor-selected media). 7. Prize: Grand Prize (1): A 7-day/6-night trip for winner only to New York City, NY to become an intern for one week at Jay Z s Life+Times. The internship (which will be unpaid) will be from June 3, 2013 through June 7, 2013 and the winner must be able to travel from June 3, 2013 through June 8, 2013. Trip includes round-trip coach air transportation from the major airport nearest winner s residence, ground transfers to/from airport/hotel in NYC, hotel accommodations at the Courtyard Marriott or similar, and a $500 meal allowance, awarded as a check. The approximate retail value of the Grand Prize is $5,600. Winner must agree to take on all responsibilities of the unpaid intern, in Sponsor s and Administrator s sole discretion. If winner lives within 150 miles of NYC, he/she will instead receive round-trip ground transportation to/from his/her residence and hotel in NYC. Travel must be taken on dates indicated above or prize will be forfeited. Airline carrier's regulations and conditions apply. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Grand Prize winner and his or her travel companion must travel together on the same itinerary and must possess valid travel documents (i.e., valid photo ID), in order to travel. Seat selection and timing of trip subject to availability and confirmation of reservations. No refunds or credit for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, airline baggage fees, taxes, tips, entertainment, additional transfers, and transportation to and from winner s home residence/airport are the Grand Prize winner's sole responsibility. 3

8. Winner Notification: Winner will be notified by phone and email on or about May 24, 2013 and will be required to execute and return via email or fax, an Affidavit of Eligibility, a Liability and Publicity Release (where legal) and an Assignment of Rights within 48 hours of notification or prize will be forfeited and the Finalist with the second highest score will become the potential Grand Prize winner. 9. General Rules: Taxes, related to the prize, are the responsibility of the Grand Prize winner. By entering the Contest, Entrants agree to these Official Rules and the decisions of the Judges and Contest Entities, which shall be final and binding in all respects. Winner and all Entrants, as a condition of entry into the Contest, agree to release Contest Entities from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with creation of or submitting an Entry or otherwise participating in any aspect of the Contest, the receipt, ownership or use of prize awarded or any typographical or other error in these Official Rules or the announcement of offering of the prizes. Acceptance of a prize constitutes permission to the Contest Entities to use winning Entrants names, likenesses and the winning Entrants Entries/interviews (as applicable) for promotional purposes (including any possible public relations opportunities) without further compensation except where prohibited by law. The Contest Entities are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Contest or by any human error which may occur in the processing of the Entries in the Contest or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Contest. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Entry process or the operation of the Contest or Websites; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to cancel or modify this Contest for any reason, including (but not limited to) if, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest. If such cancelation occurs, Sponsor reserves the right to determine the winners from among all eligible Entries received prior to cancellation, based on the same criteria listed above. 4

10. Disputes: Entrants/winners agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prize awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in the state of New York; Entrants/Winners submit to sole and exclusive personal jurisdiction to said courts in the state of New York for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with submitting an Entry for this Contest but in no event attorneys' fees; and (c) under no circumstances will Entrants/Winners be permitted to obtain awards for and Entrants/winners hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants/winners or the Contest Entities in connection with this Contest shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law rules of provisions (whether of the state of New York, the United States, or any other jurisdiction), which would cause the Entry of the laws of any jurisdiction other than the state of New York. 11. Data Collection: Sponsor collects personal information from participants when they submit an Entry for the Contest for use in administration of the Contest. When submitting an Entry at the Websites, you may be asked to consent to receive promotional emails and information about Sponsor. Consenting to receive such emails and information is optional, and is not necessary to submit an Entry or win this Contest, nor will it increase or improve your chances of winning. The information collected is subject to the Privacy Policy located at http://lifeandtimes.com/privacy-policy. 12.
