The Gentlemen of Moore Rugby Union Football Club RULES 1 The name of the Club shall be "The Gentlemen of Moore Rugby Union Football Club". 2 The Club is formed to provide a ground for and to promote the game of Rugby Union Football and a Clubhouse to supply refreshments and social facilities for members. 3 The sale, supply or consumption of intoxicating liquor to or by persons under the age of 18 is not permitted. 4. No person shall become a member of the Club unless that person has completed an application for membership, in a form approved by the committee and the committee has approved the application. For the avoidance of doubt, membership is open to all without discrimination and may only be refused where admission to membership would be contrary to the best interests of the sport or the good conduct and interests of the club and no person shall be denied membership of the Club on the grounds of race, ethnic origin, creed, colour, age, disability, sex, occupation, sexual orientation, religion, political of other beliefs. A person may appeal against such decision by notifying the Committee who shall put the matter to a general meeting for it to be decided by majority vote of the members present and voting at such meeting. A person shall not be entitled to any privileges of the Club until two days have passed since his application for membership was submitted, whether or not they are admitted as a member before those two days have lapsed. 5. The above particulars relating to a candidate shall be posted prominently in the Clubhouse for not less than seven days preceding the next Management Committee meeting when the candidate comes up for election. Admission of all members shall be by the election of the Management Committee. A candidate for election who receives the votes of the majority of the Management Committee shall be declared elected. 6. On the election of a new member the Secretary shall notify the same to them in writing, furnish them with a copy of the rules and request them to pay the entrance fee and first subscription to the Treasurer. If payment not be made within one month from the date of the Secretary's notice, the election shall automatically be void unless sufficient cause be shown to the satisfaction of the Management Committee. 7. The annual subscription level shall be set from time to time by the Management Committee for the following classes of membership: (a) Playing Member (b) Playing Member and Wife (c) Playing Member -Student (d) Social Member (e) Social Member and Wife (f) Social Member Student and OAP (g) Social Member OAP and Wife Each member in the above classes shall have equal voting rights. (h) Block Membership Block membership is available to groups of people where: - i) A clear and obvious group identity exists. ii) The group is part of a society or organisation, visiting the club for the purpose of taking part in, or in the organisation of, or arrangements for, pastime, sport, game or recreation at this club. The secretary or other officer of Moore RUFC may enter in the guest book the name of the club, society or organisation visiting this club and the number of such persons without specifying their names and addresses and intoxicating liquor may be supplied to such persons at the request and in the presence of any officer of this club on the occasion of that visit. iii) The charge for Block Membership will be decided by the management committee on an individual group basis at the time of application. iv) Block membership is subject to annual review by the management committee. v) Block membership may be rescinded at any time if the management committee decide that it is no longer in the best interest of Moore RUFC for the group to remain block members. vi) Persons within Block Membership will have no voting rights at any meeting of Moore RUFC. 8. All annual subscriptions, (except as provided by rule 6) shall be payable on the 1st day of May in each year and if after a reminder has been given a subscription has not been paid on or before the 30th day of September following, the defaulter shall thereupon cease to be a member of the Club. He may in the discretion of the Management Committee be re-admitted to membership on payment of all arrears. 9. i) Any member may resign his membership by giving to the Secretary notice in writing to that effect, provided that if notice be given after the 30th day of November in any year he shall be liable to pay his subscription for that year. ii) Any member changing his address shall, within fourteen days give notice to the Secretary in writing of such address and until such notice is given, all communication and notices sent to his last address shall be deemed to have been served upon such member. 10. If, at any time, the Management Committee shall be of the opinion that the interests of the Club so require, they may suspend or terminate the membership of any member. The member shall have the right of appeal at which he shall have the right to be Represented and to call witnesses provided that he shall have given notice of his intention to do so to the Secretary no later than fourteen days before the hearing of any Appeal. 11. Any person ceasing to be a member of the Club shall forfeit all rights to and claims upon the Club its property and funds. 12. The Chairman, Secretary and Treasurer of the Club shall be elected annually by the members at the Annual General Meeting, and the procedure for the election of the said officers shall be in accordance with rule 15 hereof. 13. The entire management of the Club (except as otherwise provided for by these rules), shall be deputed to a committee of members consisting of Chairman, Secretary, Treasurer, Club Captain, Bar Chairman, Social Chairman and House and Grounds Chairman. 14. At the A.G.M. all the members of the Management Committee shall retire but shall automatically be eligible for re-election as a member of the Management Committee. Any two members may propose any other candidate or candidates by notice in writing to the Secretary at least seven days before the meeting. Voting shall be by ballot and every member shall be entitled to vote for as many candidates as there are vacancies to be filled. In the case of two or more candidates receiving an equal number of votes a second ballot shall be taken for these candidates. 15. In the event of a vacancy on the Management Committee the Management Committee shall have power to co-opt any member of the Club to fill such vacancy but the proceedings of the Management Committee shall not be invalidated in consequence of there being less than the prescribed number thereof 16. The property of the Club shall be vested in four trustees who shall be appointed by the Management Committee and the property of the Club shall be vested in them to be dealt with by them as the Management Committee may from time to time direct by resolution (of which an entry in the minute book shall be conclusive evidence). The Trustees shall be indemnified against risk and expense out of the Club property. The Trustees shall hold office until death or until removal from office by the Management Committee. Whereby reason of such death, resignation or removal it is necessary that a new trustee or trustees be appointed, the Management Committee shall nominate the person or persons to be appointed the new trustee or trustees. For the purpose of giving effect to such nomination the Secretary is hereby nominated as the person to appoint new trustees within the meaning of section 36 of the Trustees Act 1925 and he shall by deed duly appoint the person or persons so nominated by the Committee. 17. The Management Committee shall meet at least once a month during the season to examine the accounts and arrange the affairs of the Club. Notices of meeting shall be sent to each member. A quorum shall consist of five members including one officer. Minutes shall be taken of all proceedings of the Management Committee and shall be open to the inspection of any member of the Club applying to the Secretary. 18. The Captain and the Vice Captain of the Club teams shall be elected annually at the A.G.M. until the next A.G.M. Team selection shall be vested in the team Captains and two other members elected at the A.G.M. 19. The Management Committee has the power to appoint sub-committees from within the members of the Club. The Chairman of any such subcommittee must be a member of the Management Committee. 20. The A.G.M of the Club shall be held in May in each year upon a date and at a time to be fixed by the Management Committee for the following purposes:- a) To receive from the Management Committee a report balance sheet and statement of accounts for the preceding financial year. b) To elect all officers and to appoint an honorary auditor for the ensuing year that shall not be a Trustee or member of the Management Committee. c) To decide upon any resolution which may be duly submitted to the meeting as hereinafter provided. A copy of the report audited balance sheet statement of accounts shall be available to all members of the A.G.M. 21. Any member desirous of moving any resolution at the A.G.M shall give notice thereof in writing, to the Secretary not less than seven days before the date of such meeting. 22. The Management Committee may from time to time, for any special purpose, call a special general meeting and they shall do so forthwith upon the requisition in writing of any ten members stating the purpose for which the meeting is required. 23. A minimum of fourteen days notice of the A.G.M or any special G.M. shall be given either in writing to each member or by notice in the local press. 24. At all meetings of the Club, the Chairman and in his absence a member selected by the meeting shall take the chair. Every member present entitled to vote shall have one vote and in the case of equality the Chairman shall have a second or casting vote. 25. The financial year of the Club shall end on the last day of March in every year. 26. The Clubhouse shall be opened to members daily subject to Rule 3 (i) between such hours as the Management Committee shall from time to time determine but the Management Committee may close it for such times as they may deem necessary if there appears little or no demand for it to be opened. 27. The permitted hours for the supply of intoxicating liquor shall be as the licensed hours for the Licensing Division for Halton currently in force. Provided that if the general permitted hours for the licensing area in which the Club premises are situate are extended by an Order of the Licensing Justices the permitted hours for the supply of intoxicating liquor in the Club premises shall be extended to the same extent. 28. Members may on any one occasion, be permitted to introduce not more than two guests to the Club. Provided also that: - (a) (b) The name and address of the guest and of the visiting member who introduced him shall be written in the visitors book kept for that purpose at the time of entry to the Club by the introducing member. The introducing member shall be responsible for the behavior and general conduct of his guest while on the Club premises. (c) That such guests are not permitted to remain on the Club premises after the departure of the introducing member. Page 4 of 6 Gentlemen of Moore Club Rules 17 th November 2014

(d) No person whose application for membership has been declined or expelled or suspended from the Club shall be introduced as a guest. 29. There may be admitted to the Club premises persons who are members of other clubs or organisations who visit the Club to play a team of the Club or by written invitation of the Management Committee and who are not members of the Club or their guests and intoxicating liquor may be supplied to them by or on behalf of the Club for consumption on the premises and not elsewhere. 30. i) These Rules may be added to, repealed or amended by resolution of any annual or special general meeting provided that no such resolution shall be deemed to have been passed unless it be carried by a majority vote. ii) Written notice of any new rule or amendment of rules must be given by the Secretary to the Licensing Department at Cheshire Constabulary and to the Clerk to the Justices for the Petty Sessional Division of Halton within 28 days of the adoption thereof. 31. The Management Committee shall from time to time make, repeal, and amend, all such bye-laws and regulations (not inconsistent with these rules) as they shall think expedient for the internal management use of the ground and well being of the Club. All such byelaws and regulations shall be binding upon the members until repealed by the Management Committee or set aside by a resolution of a general meeting of the Club. 32. If at any time the Club in general meeting shall pass a resolution authorising the Management Committee to borrow money, the Management Committee shall thereupon be empowered to borrow for the purposes of the Club such amount of money either at one time or from time to time and at such rate of interest and in such form and manner and upon such security as shall be specified in such resolution and thereupon the Trustees shall at the direction of the Management Committee, make all such dispositions of the Club property or any part thereof and enter into such agreements in relation thereto as the Management Committee may deem proper for giving security for such loans and interest. All members of the Club whether voting on such a resolution or not and all persons becoming members of the Club after passing of such resolution, shall be deemed to have assented to the same as if they had voted in favour of such resolution. 33. No person shall at any time be entitled to receive at the expense of the Club (or of any member thereof) any commission, percentage or similar payment on or with reference to purchases of intoxicating liquor by the Club, nor shall any person directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to members or guests apart from any benefit accruing to the Club as a whole or apart also from any benefit which a person derives indirectly by reason of the supply giving rise to or contributing to a general gain from the carrying on of the Club. 34. i) Intoxicating liquors shall not be supplied to a member or guest on the Club premises otherwise than by or on behalf of the Club. ii) No arrangement shall be made by the Management Committee for any person to receive at the expense of Page 5 of 6 Gentlemen of Moore Club Rules 17 th November 2014

the Club any commission, percentage, or similar payment on or with reference to purchases of intoxicating liquor by the Club, for any person directly or indirectly to derive any pecuniary benefit from the supply of intoxicating liquor by on behalf of the Club members or guests apart from any benefits accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of supply giving rise or contribution to a general gain from the carrying on of the Club. 35. No member shall, except for professional services rendered at the request of the Management Committee, receive any profit or emoluments from the funds or transactions of the Club. 36. i) The Club may be dissolved by the consent of three fourths of members present and voting at a Special General Meeting called for that purpose in strict accordance with the rules, with not less than one half of the members present and all members having been given twenty eight days notice. ii) In any event of the Club being dissolved all property vested in the Trustees shall be held by them and after payment of the outstanding liabilities of the Club (if any), the Trustees shall thereupon or any such future date as shall be specified in a resolution proceed to realise the property of the Club and after discharging all liabilities shall divide the same equally among all the members and upon the completion of such a division the Club shall be dissolved. 37. Subject to the approval of the Committee, the Club premises may be hired to other individuals or organisations for dances, parties, receptions or similar events, which shall have been approved in advance in writing by the Committee on not more than twelve occasions in any one calendar year. On each occasion that such an event under this rule is to take place at the Club premises, the police shall be informed in writing not less than seven days before the function.
