The National Constitution & Bylaws Committee presents the following 67 proposed amendments to the Zeta Phi Beta Sorority, Incorporated Constitution & Bylaws for consideration at the 2016 Grand Boulé. There are fourteen (14) proposed amendments to our Constitution and forty six to our Bylaws. There is one (1) amendment received that is not included in this packet. It addressed an increase in staff at Zeta Phi Beta Sorority Headquarters which is outside the purview of this governing document. That amendment is being passed along to the National Personnel Committee who will take it under advice for future consideration. The 2016 proposed amendments are being presented in number order this year and do not include a consensus calendar. All wording for the proposed amendments is shown as received from the submitting chapter. Any grammatical errors, numerical interpretations, misspellings or any other errors will be addressed and corrected if and when proposed amendments are adopted and included in the next edition of the National Constitution and Bylaws.

2016 Grand Boulé Proposed Amendment # 1 Submitted by Chapter: Lambda Zeta Chapter Location: TX Region: Southern This Proposed amendment is to the: Constitution Article: V Section: 5 Page# 2 Type of amendment: Stirke out and Insert: To strike out the word "nine" and insert the word "eight" before regions The national constituency shall be divided into nine regions comprised of the representative states and countries. The national constituency shall be divided into eight regions comprised of the representative states and countries. Rationale: To be consistent with the current organization structure of the sisterhood of eight regions: Atlantic, Eastern, Southeastern, Midwestern, South Central, Great Lakes, Southern and Pacific.

2016 Grand Boulé Proposed Amendment # 2 Submitted by Standing Committee: National Constitution & Bylaws Committee This Proposed amendment is to the: Constitution Article: VI Section: 1 Page # 3 Type of amendment: Strike out the following National Officer Positions: Four National Trustees Proviso: All amendments recommended by the Board Restructure Committee, if adopted, shall take effect at the conclusion of the 2018 Grand Boulé. Rationale: The National Phylacter has done extensive research through Grand Boulé minutes going back to the early 1980s; there is no record or evidence that the membership ever voted to add these positions to the National Executive Board.

2016 Grand Boulé Proposed Amendment # 4 Submitted by Standing Committee: National Constitution &Bylaws Committee This Proposed amendment is to the: Constitution Article: VI Section: 1 Page # 3 Type of amendment: Add two sentences. Of the eight (8) Regional Directors on the National Executive Board only the Chair of the Regional Directors shall have a vote. The remaining seven (7) Regional Directors shall maintain all other rights as all other board members. Proviso: All amendments recommended by the Board Restructure Committee, if adopted, shall take effect at the conclusion of the 2018 Grand Boulé. Rationale: Reducing the number of voting appointed members on the National Executive Board would give the Membership a stronger voice in the composition of the National Executive Board while allowing the Regional Directors to be present and participate at all National Executive Board Meetings. Participation of the Regional Directors at National Executive Board Meetings will help make sure that the Regional Directors are always informed on the latest policies, procedures, and programs of the Sorority so that they can make sure that their Regions thrive.

2016 Grand Boulé Proposed Amendment # 5 Submitted by Chapter: Chi Theta Zeta Chapter Location: FL Region: Southeastern This Proposed amendment is to the: Constitution Article: VI Section: 1 Page # 3 Type of amendment: Strike out the following officer positions: Four National Trustees; Chairman of the National Executive Board, National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate Member to the Executive Committee; National Undergraduate Representative to the National Nominating Committee and Regional Directors. Rationale: Currently our NEB has several positions that are unutilized but are financially covered by the membership. In a effort to align Zeta with other 501c organizations this proposed restructuring along with subsequent proposals attempts to allow for great oversight of Board and reduces spending on number of elected and appointed members needed to report and attend NEB meeting. (I.E. 2nd Anti would become Programs Coordinator and receive reports for all appointed chairs over programmatic areas and can make a single report to the board.)

2016 Grand Boulé Proposed Amendment # 6 Submitted by Chapter: Beta Omicron Zeta Chapter Location: MI Region: Great Lakes This Proposed amendment is to the: Constitution Article: VI Section: 2, New paragraph b Page # 3 Type of amendment: Insert new Section 2 b.elections and re-number succeeding paragraphs to c, d and e. None New Section 2 b. ELECTIONS A candidate must receive a majority of the votes cast by persons entitled to vote to be elected to office. Rationale: While this is assumed, and is written in Robert's Rules of Order, it is not explicitly stated in our governing documents.

2016 Grand Boulé Proposed Amendment # 7 Submitted by Chapter: Nu Xi Zeta Chapter Location: VA Region: Eastern This Proposed amendment is to the: Constitution Article: VI Section: 2d Page # 3 Type of amendment: Add a sentence: No person, except the International Grand Basileus, shall serve more than a total of two (2) terms in the same office. Elected national officers may only serve two (2) consecutive terms in the same office and only three (3) consecutive terms on the board, unless she becomes International Grand Basileus. Members of the Trustee Board are elected for two (2) terms. The International Grand Basileus may serve three (3) terms. Elected national officers may only serve two (2) consecutive terms in the same office and only three (3) consecutive terms on the board, unless she becomes International Grand Basileus. Members of the Trustee Board are elected for two (2) terms. The International Grand Basileus may serve three (3) terms. No person, except the International Grand Basileus, shall serve more than a total of two (2) terms in the same office. Rationale: This language prevents someone from remaining on the National Executive Board, serving in the same capacity for an infinite number of years, since the current language does not preclude anyone from returning to the same office after they have taken a break after completing previous term limits. This language puts a limit on the number of years a person may serve on the National Executive Board, ultimately, which allows opportunity for leadership opportunities for new and qualified sorors who choose to run. This promotes effective leadership development and appropriate growth and change in philosophies to meet the need of changing times.

2016 Grand Boulé Amendment # 8 Submitted by Standing Committee: National Constitution & Bylaws Committee This proposed amendment is to the: Constitution Article VI Section 3 a Page # 3 Type of amendment: Strike out after and three (3) most recent Past International Grand Basilei. Insert the Immediate Past International Grand Basileus. Proviso: All amendments recommended by the Board Restructure Committee, if adopted, shall take effect at the conclusion of the 2018 Grand Boulé. Section 3. EXECUTIVE BOARD/TRUSTEE BOARD/EXECUTIVE COMMITTEE a. There should be an Executive Board comprised of the national officers and three (3) most recent past International Grand Basilei. Section 3. EXECUTIVE BOARD/TRUSTEE BOARD/EXECUTIVE COMMITTEE a. There should be an Executive Board comprised of the national officers and the Immediate Past International Grand Basileus. Strike out three (3) most recent Past International Grand Basilei. Insert the Immediate Past International Grand Basileus. Rationale: The National Executive Board members need to have input from the vast experience and wisdom of our Past International Grand Basilei and it will suffice to have the most recent Past International Grand Basileus in that position.

2016 Grand Boulé Proposed Amendment # 9 Submitted by Chapter: Beta Omicron Zeta Chapter Location: MI Region: Great Lakes This Proposed amendment is to the: Constitution Article: VI Section: 3b Page# 4 Type of amendment: Add a sentence: The National Chairman of the Trustee Board shall be elected by the members of the Trustee Board. The National Chairman of the Trustee Board shall be elected for two (2) consecutive Boulé Terms. Proviso: If this amendment is adopted it would become effective in 2018-2019 sororal year. b. There shall be a Board of Trustees, comprised of the National Chairman of the Trustee Board and four (4) National Trustees, three (3) of whom shall be elected during one Boule term and two (2) of whom shall be elected during the alternate Boule term. Each Trustee shall serve for two (2) consecutive Boule terms and shall not be eligible for re-election. b. There shall be a Board of Trustees, comprised of the National Chairman of the Trustee Board and four (4) National Trustees, three (3) of whom shall be elected during one Boule term and two (2) of whom shall be elected during the alternate Boule term. Each Trustee shall serve for two (2) consecutive Boule terms and shall not be eligible for re-election. The National Chairman of the Trustee Board shall be elected by the members of the Trustee Board. The National Chairman of the Trustee Board shall be elected for two (2) consecutive Boulé Terms. Rationale: The members of the Trustee Board are in the best position to know who should serve as the Chairman. Also, this ensures that the Chairman is already a member of the Trustee Board.

2016 Grand Boulé Proposed Amendment # 10 Submitted by Standing Committee: National Constitution & Bylaws Committee This Proposed amendment is to the: Constitution Article: VI Section: 3, New paragraph c Page # 4 Type of amendment: Insert: New Section 3c and re-number current c to d Proviso: All amendments recommended by the Board Restructure Committee, if adopted, shall take effect at the conclusion of the 2018 Grand Boulé. c. There shall be an Executive Committee comprised of the International Grand Basileus, National First Anti- Basileus, National Grammateus, National Tamias, National Phylacter, Chairman of the National Executive Board, Graduate Member to the Executive Committee, and the Undergraduate Member to the Executive Committee. New Section 3c. There should be an Advisory Board consisting of the four (4) elected National Trustees and elected National Chair of Trustees. Re-numbered Section 3d. ORGANIZATION The National Educational Foundation is governed by ARTICLE X ZETA PHI BETA SORORITY NATIONAL EDUCATIONAL FOUNDATION, INCORPORATED. Section l. Organization and Purpose. 1. Zeta Phi Beta Sorority National Educational Foundation was originally formed by Zeta Phi Beta Sorority, Incorporated, pursuant to a Trust Agreement and By-Laws, that were adopted on August 23, 1975, and April 9, l976, respectively. The Trust was formed as a separate entity to encourage and promote education, scholarship, educational research, and community service. In 2006, a business entity conversion was approved by Zeta Phi Beta Sorority, Incorporated, in which the Trust was converted to a not for profit corporation under the laws of the District of Columbia, on October 19, 2006. The Foundation

its own Trust Agreement and Bylaws which were adopted August 23, 1975 and April 9, 1976. This Trust Agreement provides for: a. A Board of Managers comprised of nine (9) trustees; four (4) of which are elected by the Sorority and five (5) of which are appointed by the National Executive Board of the Sorority, preferably past Grand Basilei. The ex-officio members of the Board of Managers consist of the International Grand Basileus, the National Second Anti-Basileus and the National Third Anti-Basileus of the Sorority. b. The National Educational Foundation must assume its own financial obligation of printing and dissemination of its materials to the constituency, as well as all other expenses incurred by it. c. The Board of Managers shall render accounts of its financial transactions to the Sorority annually for approval by the National Executive Board.d. The Sorority shall transfer funds annually to the Foundation for scholarships from chapter tax received annually from its chapters. d. Each member of the Board of Managers is elected or appointed for a term of four years. The terms of elected and appointed members are staggered. 3. Section 3. Foundation Support 1. Zeta Phi Beta Sorority, Incorporated, will develop policies and activities that promote the purposes of the Foundation. 2. Rationale: Life members are the life Boat of Zeta, they should be those who have demonstrated continued financial ability and interest in Zeta. Uncontrolled LM growth threatens the balance of power within Zeta, and diminishes the value of this category. The application process should include more than a check for the total amount. Membership into this category should reflect higher knowledge of zeta's interworking thus require ZOL certification, 3 Boules, leadership within the organizations as this takes time to develop and 5 yrs isn t enough to understand the ramifications and historical prospectives of the organization, especially in light of LMs having an individual vote that could potentially overpower that of delegates whom should represent the voice of an entire chapter.

These funds would be earmarked for infrastructural improvements including capital building maintenance.
