MINUTES VILLAGES OF VILANO HOA BOARD OF DIRECTORS MEETING On-site Clubhouse Thursday, May 21, 2015 7:00 P.M. 1. Call to Order: Tom Arnold called the meeting to order at 7:05 p.m. and confirmed that the meeting was properly noticed. He then noted that the Board has not received any requests to record the meeting and asked if anyone present was recording. No one stated they were recording the meeting. 1. Determination of a Quorum: A quorum of the Board was established with, Tom Arnold, Dick Keith, and Clara DeVane present. Andrea LaVallee-Maggs was present from Coastal Realty. 2. Approval of Minutes: Board Meeting held April 15, 2015 - Mr. Arnold noted that the minutes were distributed to the entire Board in advance by email. He then asked for unanimous consent to accept the minutes of the Board meeting held April 15 2015, as written. With no objections being noted, the minutes were approved. 3. President s Report: Mr. Arnold reported that all of the recent projects have been completed and one of the fountains in Lake III has been replaced. 4. Treasurer s Report: Financials for April 2015 Ms. LaVallee-Maggs presented the financial report for April 2015, which was distributed to the Board by email in advance of the meeting. Mr. O Neill made a motion to accept the April 2015 financial report, as submitted. The motion was seconded by Ms. DeVane. All in favor, motion passed. (See Attachment I) 5. Management Report: Ms. LaVallee-Maggs presented the management report. (See Attachment II) 6. Committee Reports: a. ACC: Chair, Ron Schmitz, reported that the ACC reviewed 4 requests at their meeting of May 11, 2015. The ACC also submitted some of their recommendations to the Board and intends to submit additional recommendations at upcoming meetings. Mr. Keith made a motion to amend the ACC Rules and Regulations by approving the 10 trim colors as proposed by the ACC and to add Benjamin Moore Heritage Red as an approved color for front entry doors only. The motion went to a roll call vote the results of which were as follows; Tom Arnold Yea, Clara DeVane No, Dick Keith Yea. By a vote of 2 to 1, the motion passed. b. Boat/RV Committee: Ms. LaVallee-Maggs reported that the majority of boats and RV s without updated stickers as reported at the last meeting had been renewed. 7. Old Business: a. Dispersal of Social Committee Funds: After a discussion on the matter, the Board decided not to take any action at this time. b. Review ACC Recommendations: The Board reviewed the recommendations of the ACC as submitted in the ACC meeting minutes of March 16, 2015 (see ATTACHMENT III) i. Mr. Keith made a motion to adopt the recommended wording regarding front entry doors and to include the six specific styles of doors with glass insert(s) as proposed by the ACC. The motion was seconded by Tom Arnold. All in favor, motion passed. ii. Mr. Keith made a motion to adopt the recommended wording regarding the installation of treated wood decks on specified lot types. The motion was seconded by Ms. DeVane. All in favor, motion passed.
iii. Mr. Keith made a motion to adopt the recommended revised wording regarding the installation of Solar Panels. The motion was seconded by Ms. DeVane. All in favor, motion passed. c. 140O Kolatac Front Door: Based on the Board s vote to allow front entry doors to be painted using Benjamin Moore Heritage Red, Ms. Kolatac informed the Board that she will no longer be pursuing the installation of a full leaded glass front door. 8. New Business: a. Ratify Email Vote Insurance Renewal: Mr. Arnold reported that the Board is required to formally report their actions taken since the last business meeting on April 15, 2015, consistent with Article V, Section 4 of the Bylaws of the Villages of Vilano Homeowners Association, Inc. In the interim between meetings the deadline for renewal came up on May 2nd. The Board voted to renew at an adjusted coverage amount and premium of $22,003.28. Ms. DeVane made a motion to affirm the Board s vote. The motion was seconded by Mr. Keith. All in favor, motion passed. b. Appeal by Aggrieved Party to Review ACC Decision - Schreiber/344 Village drive: The Board received a written request to appeal the decision of the ACC to deny the installation of a treated wood deck in the rear yard at 344 Village Drive. The ACC was not able to approve the request because wood decks were not addressed in the ACC rules. Mr. Keith made a motion to approve the appeal based on the newly adopted wording in the ACC Rules and Regulations regarding the installation of treated wood decks. The motion was seconded by Ms. DeVane. All in favor, motion passed. c. Exterior Maintenance and Compliance: Mr. Arnold noted that the next exterior maintenance inspection is tentatively scheduled for Tuesday, June 9 th after which notifications will be sent to all owners whose property is found to be in non-compliance. Ms. LaVallee-Maggs added that on prior inspections the main focus has been concerns of general appearance, cleanliness and disrepair and going forward more attention will be placed on identifying potential ACC non-compliance concerns. 9. Owner Comments: The Board entertained questions and comments from the owners who were present. 10. ATTACHMENT II VILLAGES OF VILANO BOD MEETING 5/21/15 AT 7:00PM MANAGEMENT REPORT 1. Past due notices were sent on Tuesday and updated statements have been sent to the attorney for the accounts that are in collections. 2. We are up to 58 followers on the website. By following the site, you will receive email notifications when new content is added, such as notices when a meeting is rescheduled. The site contains all Association forms, governing documents, and tons of other useful information. Signing up will also give you the password for the wi-fi at the clubhouse. 3. It was mentioned at the Beach Homes meeting Monday night that there are cars parking on the grass along A1A and Carcaba Rd. on VOV property. I attempted to pull up the actual property lines on the county website but it was not functioning.
