1 Bylaws Up-dated May 29, 2013 2 THE DELTA KAPPA GAMMA SOCIETY INTERNATIONAL 3 ETA STATE ORGANIZATION Voices of Influence Empowering North Carolina Women Educators 4 5 Eta State Bylaws 6 Revised April 29, 2005 7 Amended April 28, 2007 8 Amended April 25, 2009 9 Amended April 30, 2011 10 Amended April 27, 2013 11 12 ARTICLE I NAME 13 14 Section 1. 15 16 The name of this state organization shall be Eta State North Carolina of The Delta Kappa 17 Gamma Society International, hereafter known as Eta State. 18 19 Section 2. 20 21 Each chapter in Eta State shall be designated by a Greek letter or a combination of Greek 22 letters. 23 24 25 ARTICLE II OBJECTIVES 26 27 The objectives of Eta State shall be to 28 29 1. promote the purposes of The Delta Kappa Gamma Society International as found in 30 the Constitution, Article II; 31 2. act as liaison between chapters and the international organization; 32 3. organize Delta Kappa Gamma chapters within the state; 33 4. provide leadership training for state and chapter leaders; and 34 5. seek to make the Society more visible and more influential in educational endeavors. 35 36 37 ARTICLE III MEMBERSHIP 38 39 Section 1. 40 41 Classification: The membership of Eta State shall be composed of active, reserve, and 42 honorary members of chapters within the state. All membership practices shall be in 43 accordance with the Constitution, Article III. 44 45 A. An active member shall be a woman who is employed as a professional educator 46 at the time of her election or has been retired from an educational position. An Page 1 of 24

47 active member shall participate in the activities of the Society. 48 49 50 B. Reserve members shall be formerly active members who are unable to participate 51 in the activities of the chapter because of physical disability and/or geographical 52 location. Reserve status shall be granted by a majority vote of the chapter. A 53 reserve member, so requesting, may be restored to active membership. 54 55 C. Honorary members shall be women not eligible for active membership who have 56 rendered notable service to education or to women and are elected to honorary 57 membership in recognition of such service. They shall be privileged to participate 58 in all activities except that of holding office. A lifetime fee of $50 shall be paid 59 for each honorary member at the time of initiation. This fee shall be paid by the 60 initiating unit of the Society. 61 62 Section 2. 63 64 Chapters in the state shall have authority to act in matters of chapter membership in 65 accordance with the Constitution. All membership records shall be kept at the chapter 66 level. 67 68 Section 3. 69 70 State honorary members 71 72 A. State honorary members shall be nominated by chapters and/or members, 73 recommended by the Membership Committee, and elected by a four-fifths (4/5) 74 vote of the Executive Board. 75 76 B. Initiation of state honorary members shall be conducted at the state convention 77 unless circumstances dictate that the president and chairman of the Membership 78 Committee make other arrangements. 79 80 C. The state president and the chairman of the Membership Committee shall 81 organize the orientation session and the initiation. 82 83 D. The chairman of the Membership Committee shall assign each state honorary 84 member to a chapter in the area in which she resides or works. 85 86 Section 4. 87 88 Termination of membership 89 90 A. Membership in the Society is terminated for non-payment of dues and fees, 91 resignation, or death. The chapter treasurer shall report to the state treasurer the 92 record of all memberships terminated, including the reasons and dates of termination. Page 2 of 24

93 B. The chapter shall file all letters of resignation. 94 95 Section 5. 96 97 Reinstatement 98 99 A. A former member shall be reinstated to membership by the chapter receiving the 100 request. 101 102 B. The chapter treasurer shall report to the state treasurer when a former member has 103 been reinstated. 104 105 106 ARTICLE IV FINANCES 107 108 Section 1. 109 110 Annual dues 111 112 A. Annual dues shall be required of active and reserve members on all levels of the 113 Society. 114 115 B. Any changes in the amount of state dues shall require a two-thirds (2/3) vote of 116 members at the annual convention in an odd-numbered year. 117 118 Section 2. 119 120 Financial controls 121 122 A. Budget 123 (1) The Finance Committee shall prepare in odd-numbered years a biennial 124 budget for adoption by the Executive Board at its meeting prior to the state 125 convention. 126 127 (2) This budget shall be subject to annual review and amendment, if necessary, by 128 the Finance Committee and the Executive Board. 129 130 B. Expense vouchers 131 The president shall approve all expense vouchers before they are sent to the 132 treasurer for payment. The president's expense vouchers shall be approved by the 133 chairman of the Finance Committee. 134 135 C. Annual Financial Review/ Audit 136 (1) The financial records shall be reviewed annually by an external CPA. An audit 137 shall be performed when a new treasurer is appointed. 138 Page 3 of 24

139 (2) A report of the financial review/audit shall be presented to the Executive 140 Board for information. 141 142 Section 3. 143 144 Gifts 145 146 Gifts to Eta State, except gifts to Headquarters, are subject to the approval of the Eta State 147 Executive Committee and the Finance Committee. If the Executive Committee and the 148 Finance Committee determine that conditions/restrictions make the gift unacceptable, 149 they may enter into discussion/negotiation with the donor to effect modifications that 150 would make the gift acceptable. 151 152 153 ARTICLE V ORGANIZATION 154 155 Section 1. 156 157 Chapters 158 159 A. Each chapter shall have chapter rules which are consistent with the Constitution 160 and the Eta State Bylaws and Standing Rules and shall include a number specified 161 as a quorum for all business meetings. (Constitution, Article V, Section B,3) 162 163 B. The chapter officers, except the treasurer, shall be elected in even-numbered years 164 by a majority vote. 165 (1) The term of each elected officer shall be two years. No officer, except the 166 treasurer, shall serve in the same office longer than two terms in succession. 167 All chapter officers shall take office on July 1 following election. 168 169 (2) The chapter treasurer shall be selected by the Executive Board each biennium. 170 171 C. The chapter president shall represent the chapter as a voting member of the state 172 Executive Board. 173 174 Section 2. 175 176 New Chapters 177 178 A. The state Membership/Expansion Committee, in cooperation with the local 179 chapter, shall determine the need for new chapters and, after approval by the 180 Executive Board, shall make arrangements for the organization of additional 181 chapters resulting from the division of existing chapters or the sponsoring of a 182 new chapter by the state organization. 183 184 B. Each sponsored chapter so organized shall have no fewer than twelve members, at Page 4 of 24

185 least three of whom shall have been Delta Kappa Gamma members for a 186 minimum of three years. 187 188 C. Recommendations of candidates for membership in a sponsored chapter shall be 189 screened by the state Membership/Expansion Committee and shall be subject to 190 the approval of the state president. 191 192 Section 3. 193 194 Regions 195 196 A. Regions are for the purpose of rendering service to the membership and informing 197 members of state policies and programs of work. 198 199 B. The state Executive Board shall define the boundaries of regions and the chapters 200 in each. 201 202 C. Each region shall have a director who acts as a liaison between the state 203 organization and the chapters. She may plan and conduct a regional activity. She 204 shall visit each chapter in her region at least once during her term of office. She 205 shall collaborate with the state president when working with under-involved 206 chapters. 207 208 D. The regional director shall be a non-voting member of the Executive Board. 209 210 Section 4. 211 212 Coordinating Council Organization 213 214 A. Coordinating councils may be organized in counties and/or cities where several 215 chapters exist. 216 217 B. Coordinating councils shall adopt rules that are consistent with the Constitution 218 and International Standing Rules. 219 220 C. Each participating chapter shall be represented by the chapter president and at 221 least one additional chapter member. 222 223 D. Participating chapters shall approve the activities of their coordinating council. 224 225 E. Activities of a coordinating council shall be financed by the chapters choosing to 226 organize themselves as a coordinating council. 227 228 Section 5. 229 230 U.S. Forum Page 5 of 24

231 232 A. Eta State recognizes the U.S. Forum as a means of serving the interest of 233 members, insofar as it reflects the purposes of the Society. (Constitution, Article 234 V, Section D, 7, b) 235 236 B. The Eta State president shall appoint a State U.S. Forum Liaison to receive and 237 distribute information concerning the U.S. Forum and to organize forum activities 238 at the state convention. 239 240 C. Each chapter president shall appoint a chapter liaison as a contact for distributing 241 information. 242 243 244 ARTICLE VI OFFICERS AND APPOINTED PERSONNEL 245 246 Section 1. 247 248 Officers and appointed personnel 249 250 A. The elected state officers shall be president, first vice-president, second 251 vice-president, and secretary; the appointed officers shall be the treasurer, the 252 executive secretary, and the editor. 253 254 B. The treasurer, the executive secretary, and the editor shall be appointed by the 255 Executive Board upon the recommendation of the Personnel Committee. 256 257 C. The parliamentarian shall be appointed by the president. 258 259 D. Regional directors shall be appointed by the president upon recommendation of 260 the chapters of the region and current regional director. (See Eta State Standing 261 Rules 5, Organization D,5.) 262 263 Section 2. 264 265 Duties of officers 266 267 In addition to the duties listed below, the officers will be responsible for such other duties 268 applicable to the office as prescribed by the Constitution, these Bylaws, and the current 269 edition of Robert s Rules of Order Newly Revised. 270 271 A. The president shall 272 (1) plan and conduct a workshop for incoming state officers and committee 273 members after July 1 of odd-numbered years; 274 (2) plan for and preside at the annual Eta State Convention; 275 (3) plan workshops for incoming chapter presidents, treasurers, program/eec and 276 membership chairmen, and regional directors in June of even-numbered years; Page 6 of 24

277 (4) with the Leadership Committee, plan the Leadership Development Seminar 278 held in odd-numbered years; 279 (5) visit chapters upon invitation by chapters or coordinating councils; 280 (6) contact an under-involved chapter and, if needed, form a team to assist the 281 chapter; 282 (7) respond to chapters inviting assistance and form a team to assist the chapter; 283 (8) provide for a review of the minutes of business meetings to ensure accuracy; and 284 (9) approve all materials before they are posted to the state Web site. 285 286 B. The first vice-president shall preside at the Birthday Celebration during the state convention. 287 288 C. The second vice-president shall serve as coordinator of activities of the regional directors. 289 290 D. The secretary shall 291 (1) take minutes at all state business meetings; 292 (2) submit a draft of the minutes to the state president for review; 293 (3) forward the final version of the minutes to the executive secretary for distribution 294 electronically or in print within thirty (30) days; and 295 (4) upon approval of the minutes, verify with her signature, initial the date of approval, retain 296 a copy for the secretary s file, and send a copy to the executive secretary for 297 placement in the permanent file. 298 E. The treasurer shall submit for annual financial review/audit the accounts of the 299 organization. She shall maintain a record of receipts, bills, and bank statements. 300 301 Section 3. 302 303 Terms of office 304 305 A. Officers, elected by the members attending the state convention in odd-numbered 306 years, shall have a term of two (2) years, or until a successor has been named. 307 308 B. The terms of the executive secretary, the treasurer, and the editor shall be six (6) 309 years, or until a successor is named. 310 311 C. All officers and appointed personnel shall take office on July 1 following their 312 election or appointment. 313 314 D. When a new treasurer, executive secretary, or editor is to be named, she shall be 315 recommended by the Personnel Committee and appointed by the Executive Board. 316 317 Section 4. 318 319 Vacancies 320 321 A. When a vacancy occurs in the office of president, the first vice-president shall 322 become president. Page 7 of 24

323 324 B. When a vacancy occurs in the office of first vice-president, the second 325 vice-president shall become first vice-president. 326 327 C. When a vacancy occurs in the office of second vice-president, secretary, or other 328 elective or appointive position, the president shall name a successor. 329 330 D. When a vacancy occurs in the position of treasurer, executive secretary, or editor, 331 the president in consultation with the Personnel Committee may name a person to 332 serve until the Executive Board appoints a successor. 333 334 E. In the event that a member holding an elective or appointed position is unable to 335 perform her duties, the position shall be declared vacant by the Executive 336 Committee and a successor named by the president. 337 338 Section 5. 339 340 Nominations and elections 341 342 A. Nominations Committee 343 (1) Nominations for state officers shall be made by the Nominations Committee. 344 The committee consists of five members, appointed by the president for terms 345 of four years. 346 (2) Terms of the members shall overlap, with three members appointed in one 347 biennium and two in the alternate biennium. 348 (3) The state president shall appoint one of the members to serve as chairman. 349 (4) Geographical representation shall be considered in appointing members of the 350 committee. 351 352 B. Election of officers 353 (1) The Nominations Committee shall, in election years, present its report of 354 nominees to the state president, the executive secretary, and the editor by the 355 deadline for the spring issue of Eta State News. 356 (2) The nominees, with candidate qualifications, shall be published in the spring 357 issue the Eta State News. 358 (3) The committee shall present to the members in convention in odd-numbered 359 years the name of at least one nominee for each elective office. Consent of the 360 nominee must be obtained. 361 (4) After the report of the committee has been made to the convention, additional 362 nominations may be made from the floor with the consent of the nominees. 363 (5) Election shall be by ballot. A majority of the votes cast elects. If there is but 364 one nominee for an office, the election may be by voice vote. 365 (6) The Nominations Committee shall prepare the ballot and conduct the election. 366 367 C. The Nominations Committee shall actively seek members for official 368 recommendation for nomination for selection to international committees. The Page 8 of 24

369 committee may present to the Executive Board for endorsement the names of 370 candidates nominated for international office by chapters or individuals. 371 372 373 ARTICLE VII MEETINGS 374 375 Section 1. 376 377 Convention 378 379 A. Business of the state shall be conducted annually at a convention held at the date 380 and place as determined by the Executive Board for the purpose of receiving 381 reports, amending bylaws and rules, electing officers, and conducting other 382 business which may properly come before it. 383 384 B. Any member attending a state organization meeting may make motions, enter 385 discussions, and vote, except in cases where a roll-call vote is taken: 386 (1) A roll-call vote shall be taken when sustained by a majority vote of those 387 present or when requested by five (5) chapter presidents. 388 (2) The chapter president or her official representative shall cast the vote for the 389 chapter, one (1) vote for the chapter and one (1) vote for each five (5) active 390 and reserve members or major fraction thereof within the chapter. The vote 391 may be divided. 392 393 C. The quorum shall be a majority of those members who have registered at the 394 convention. 395 396 Section 2. 397 398 Other meetings 399 400 A. A regional activity may be coordinated by the regional director and chapter 401 presidents during their biennium. 402 403 B. A workshop for incoming state officers and committee members shall be planned 404 by the president and held after July 1 of odd-numbered years. 405 406 C. A workshop for new chapter presidents, treasurers, program/eec and membership 407 chairmen, and regional directors shall be planned by the president for June of 408 even-numbered years. 409 410 D. A Leadership Development Seminar shall be planned by the president and the 411 Leadership Development Committee for odd-numbered years. 412 413 414 ARTICLE VIII EXECUTIVE BOARDS AND EXECUTIVE COMMITTEE Page 9 of 24

415 416 Section 1. 417 418 State Executive Board 419 420 A. The members of the Executive Board shall be the elected officers, the immediate 421 past state president, and the chapter presidents. Other past state presidents shall 422 serve ex officio. The executive secretary, the treasurer, the editor, the regional 423 directors, the parliamentarian, and the chairmen of state committees shall be 424 ex-officio members without vote. 425 426 B. The duties of the Executive Board shall be to 427 (1) recommend policies and procedures for consideration by the state 428 convention or the chapters; 429 (2) establish the procedure for budget development and approval; 430 (3) examine, modify if necessary, and adopt the state budget; 431 (4) supervise state organization finances; 432 (5) appoint the executive secretary, the treasurer, the editor, and such other 433 personnel as may be needed, prescribe their duties, and fix their stipends; 434 (6) determine the date and place of state meetings ; 435 (7) act in the interim between conventions upon matters requiring immediate 436 attention; 437 (8) elect by four-fifths (4/5) vote state honorary members; 438 (9) approve the creation of new chapters; 439 (10) define the boundaries of regions and the chapters in each; 440 (11) authorize ad hoc committees; 441 (12) examine, modify, if necessary and approve the budget for the Headquarters 442 which is administered by the Headquarters Committee ; and 443 (13) approve the state strategic plan. 444 445 C. Meetings of the Executive Board shall be held at least twice each year. Special 446 meetings may be called by the president with thirty (30) days notice. 447 (1) The presence of a majority of the voting members, excluding ex officio 448 members, shall constitute a quorum at meetings. 449 (2) A chapter president who is unable to attend the state Executive Board 450 meeting may appoint an official representative who shall have full 451 privileges of participation. 452 (3) Chapter presidents shall notify the state president of substitute 453 representatives. 454 455 D. A vote by postal or electronic mail is authorized when necessary. 456 457 Section 2. 458 459 Executive Committee 460 Page 10 of 24

461 A. The members of the Executive Committee shall be the elected officers. Other 462 members may be invited by the president. (Constitution, Article VII, Section B, 3) 463 464 B. State organization and chapters 508 509 (1) The state organization and chapters may fulfill their constitutional 510 responsibilities by choosing to have a committee structure similar to the 511 international committee structure or may choose to accomplish its tasks in 512 another manner. 513 (2) Committees at the state organization and chapter level shall be appointed 514 by the president. 515 (3) The president shall serve as member ex officio on all committees except 516 the Nominations Committee. 517 (4) Committee business requiring immediate attention may be voted upon by 518 mail (postal or e-mail) when all members of the committee have been 519 notified. 520 (5) A committee meeting may be face-to-face or through electronic 521 communication. 522 (6) A committee may meet through electronic communication as long as all 523 the members may simultaneously hear one another and participate during 524 the meeting. 525 (7) The committee chairman shall request the approval of the president prior 526 to scheduling a committee meeting. 527 (8) The president shall authorize the mode, i.e., face to face, or electronic, of 528 each committee meeting. 529 (9) The committee chairman has the responsibility of submitting committee 530 reports. 531 (10) The state organization and chapters are responsible, at their respective 532 levels, for state organization responsibilities and/or chapter responsibilities 533 related to the work of certain international committees. 534 (11) Committees for which state organizations and chapters have work 535 responsibilities are marked with an asterisk in Constitution, Article VIII, 536 Sections B and C: Communication and Publicity; Finance; Membership; 537 Educational Excellence; Scholarship; and World Fellowship. 538 (12) Biennial international reports of the constitutional work of the state 539 organization and chapters shall be prepared on forms supplied by Society 540 Headquarters and submitted by the deadline indicated to the persons 541 designated on the forms. 542 543 B. State organization 544 545 (1) The president may assign a recognized member affiliate, representative, or 546 liaison as a consultant to or as an appointed member of a specific 547 committee for a particular purpose. These include, but are not limited to, 548 the United States Forum representative, the Covenant for North Carolina s 549 Children affiliate, and the North Carolina state organization liaison to the 550 United Nations DKG Representatives. 551 (2) The treasurer shall serve as member ex officio, without vote, on the 552 Finance Committee. 553 (3) The executive secretary shall serve as consultant to the Finance 554 Committee. 555 (4) The state organization webmaster and editor shall serve as members ex 556 officio, with vote, on the Communications and Publicity Committee. 557 (5) Committee chairmen shall submit state organization committee reports to 558 the executive secretary at least six weeks prior to the first day of the state 559 organization convention or by the deadline announced. 560 561 Section 3. 562 563 Duties of committees 564 565 Committees for which state organizations and chapters have constitutional 566 responsibilities are Communication and Publicity, Finance, Membership, Educational 567 Excellence, Scholarship, and World Fellowship. [Constitution, Article VIII, Sections B 568 and C] Committee responsibilities are described below. 569 570 A. Society Mission and Purposes (7 committees) 571 572 (1) Awards Committee The committee shall not exceed five (5) members. 573 The committee is to design and implement a selection process for awards. The 574 committee shall select the recipients of the Founders Award, the Order of the 575 Dogwood, and the Golden Key Award. The committee may study and 576 recommend the establishment of additional awards for deserving women, 577 members or non-members. 578 579 (2) Beginning Teacher Support Committee (Composition of this committee is 580 to be determined ) The committee is to support beginning teachers by 581 impacting education locally. The committee s impact locally can be 582 accomplished by 583 (a) identifying and implementing strategies to sustain and retain quality 584 teachers; 585 (b) supporting quality education for all children; and 586 (c) seeking alliances with entities external to the Society that share a common 587 interest in the status of women and children and excellence in education. 588 589 (3) Educational Excellence Committee (EEC) The committee s seven (7) appointed 590 members include the EEC chairman, a music or fine arts representative, a World 591 Fellowship representative, and the chairmen of four committees: Beginning 592 Teacher Support; Education Law and Policy; Leadership Development; and 593 Membership/Expansion. 594 595 The committee s decisions shall be guided by the Society Mission and Purposes and 596 the state organization s mission and vision. The committee is to 597 (a) identify and promote activities which sustain and support early-career 598 educators; Page 13 of 24

599 (b) promote state organization and Society activities that increase the personal 600 and professional pride of members; 601 (c) emphasize member development; 602 (d) recognize the value of fine arts in education and during Society events, 603 (e) encourage involvement of members in legislative action; and 604 (f) emphasize global perspectives and educational excellence worldwide. 605 606 The Planning Committee chairman shall serve as a consultant to the EEC. 607 608 (4) Educational Law and Policy Committee The committee is to 609 (a ) study and recommend action on professional issues; 610 (b) urge the state organization and chapters to initiate, endorse, and support 611 desirable legislation and other suitable endeavors in the interest of 612 education and women educators; 613 (c) educate members in strategies to impact educational policy; and 614 (d) promote activities that garner support for education at the local and state 615 levels. 616 617 The Society has specific guidelines for state organizations and chapters to 618 follow when initiating, endorsing, and supporting legislation: 619 The state organization and the chapters may cooperate with other 620 organizations when their legislative activities promote the Purposes 621 of the Society. 622 An individual may only represent the state organization on legislative issues 623 after receiving authorization from the state organization president. 624 Legislative action shall be based on a thorough understanding of the basic 625 issues involved in supporting excellence in education, equality for women, 626 and a safe, peaceful educational environment. 627 Legislative activity shall be concerned with educational issues, not with 628 candidates nor political parties. 629 Neither the state organization nor a chapter shall endorse a political 630 candidate. 631 Neither the state organization nor a chapter shall financially support a 632 political candidate s campaign. 633 Expenditures for legislative activities by the state organization or chapter 634 shall be no more than a nominal portion of its income. 635 636 (5) Leadership Development Committee This committee shall have five (5) 637 appointed members. The committee shall have staggered four-year terms of 638 service with two members appointed during one biennium and the other three 639 appointed in the next biennium. The president shall designate a chairman. 640 641 The committee is to 642 (a) evaluate the leadership development needs of members, the state 643 organization, and the chapters; 644 (b) prioritize, plan, schedule, promote, and implement activities to provide Page 14 of 24

645 leadership development opportunities for members; and 646 (c) encourage members to realize their potential as the leaders they are. 647 648 The committee is to promote the leadership development opportunities available 649 to members at Society conferences and conventions, and the events of 650 organizations external to the Society. These opportunities include, but are not 651 limited to, speeches, presentations, workshops, training sessions, and women s 652 conferences. 653 654 The committee shall assist the president with the Leadership Development 655 Seminar in odd-numbered years and the workshop for chapter leaders in even- 656 numbered years. 657 658 (6) Membership/Expansion Committee The committee shall not exceed six 659 (6) members, one of whom is designated as an expansion representative. 660 661 The committee is to 662 (a) encourage the recruitment and involvement of women educators capable 663 of impacting education; 664 (b) develop and implement strategies to sustain membership by engaging the 665 hearts and minds of members; and 666 (c) expand the numbers of chapters within the state organization. 667 668 (7) Scholarship Committee The committee shall have five (5) appointed 669 members. At least one member shall have been a state organization scholarship 670 recipient. Four members shall serve a two-year (2) term with one member 671 continuing for a second two-year term. The president shall designate a chairman. 672 673 The committee is to 674 (a) design and implement the scholarship application process; 675 (b) consult with the Finance Committee regarding the number of scholarships 676 available; and 677 (c) select recipients and present scholarships. 678 679 A member of the Scholarship Committee who wants to apply for a scholarship 680 must resign from the committee before she files her scholarship application. 681 682 B. Society Business (7 committees) 683 684 (1) Communications and Publicity Committee The committee shall not exceed 685 four (4) appointed members; the editor and webmaster shall serve as members 686 ex officio, with vote. 687 688 The committee is to 689 (a) be a conduit for information exchange between and among members at all 690 levels of the Society including, but not limited to, Eta Data; Page 15 of 24

691 (b) encourage communication with groups external to the Society; 692 (c) suggest to the state organization and chapter leadership ways to market 693 and promote the Society; and 694 (d) monitor the state organization Web site for accuracy and regularity of 695 updates. 696 697 Technology groups may be appointed by the state organization president to inform 698 and assist the state organization leadership and members with the use of 699 technology for Society business. 700 701 (2) Finance Committee The committee shall not exceed four (4) members, who 702 serve terms of four (4) years. The president in consultation with the Executive 703 Committee appoints two members each biennium. The president shall 704 designate one member as chairman. 705 706 In addition to the committee responsibilities described in Article IV, Finances, the 707 committee has other responsibilities. 708 (a) The committee shall consult with the treasurer in selecting a CPA to 709 perform an annual financial review. The committee shall select an 710 auditor when a new treasurer is appointed. 711 712 (b) The committee and the treasurer shall review the CPA s/auditor s report 713 and the treasurer s financial report prior to presenting financial 714 information to the Executive Board. 715 716 (c) The Finance Committee and the Executive Committee shall evaluate the 717 acceptance of proposed gifts, except gifts to Headquarters. The 718 chairman of the Finance Committee shall make a recommendation 719 regarding the acceptance of a gift to the Executive Board. 720 721 (d) The committee shall 722 1) determine the number of scholarships to be given; 723 2) set the convention registration fee in cooperation with the president 724 and the convention chairman; and 725 3) perform other duties assigned by the Executive Board. 726 727 (3) Headquarters Committee The committee shall have no more than six (6) 728 appointed members, one of whom shall be a local contact person. Two new 729 members shall be named each biennium for a six-year term. The state 730 president, treasurer, and executive secretary shall serve ex officio, without 731 vote. The president shall designate a chairman. 732 733 This committee shall serve as a supervisory body for the operation and 734 maintenance of the headquarters building and grounds/property. 735 736 The committee shall prepare and present an annual budget to the Executive Board Page 16 of 24

737 for approval. 738 739 No major action shall be taken without the consent of the Executive Board and the 740 knowledge and consent of the membership. 741 742 (4) Nominations Committee (The committee consists of 5 members appointed by 743 the president for staggered terms of 4 years.) In addition to the responsibilities 744 listed in the Bylaws, Article VI, Officers, Section 5, the committee shall 745 actively seek members for official recommendation for nomination to 746 international office and for recommendation for selection to international 747 committees and present those to the Executive Board for action. The 748 committee may present to the Executive Board for endorsement the names of 749 candidates nominated for international office by chapters or individuals. 750 751 (5) Personnel Committee The committee shall not exceed five (5) members. At 752 least one member of the committee shall be a past state president. 753 754 The committee is to 755 (a) study matters related to personnel and make recommendations concerning 756 personnel policies to the Executive Board; 757 (b) maintain an up-to-date record of paid personnel s duties and present those 758 duties to the Executive Board when personnel or duties change; 759 (c) maintain an up-to-date record of the responsibilities of each standing 760 committee and the committee chairman; and 761 (d) screen applicants and recommend candidates for the positions of executive 762 secretary, treasurer, editor, and webmaster to the Executive Board when 763 a vacancy occurs in any of the positions. 764 765 (6) Planning Committee This committee shall not exceed five (5) appointed 766 members. The state president and executive secretary shall serve as members 767 ex officio, without vote. The appointed members shall serve staggered four- 768 year (4) terms, with two members appointed in one biennium and three 769 members appointed the next biennium. Two committee members with recent 770 chapter president experience should be on the committee at all times. The 771 president shall designate a chairman. 772 773 The committee is to 774 (a) focus attention on areas necessary to sustain a state organization, support 775 change, and promote growth; 776 (b) review and update, as an on-going task, the state organization s strategic 777 plan; 778 (c) monitor the implementation of the actions approved by the Executive 779 Board and/or convention body; 780 (d) compile an annual report of progress for the Executive Board; and 781 (e) make proposals for future action by the state organization. 782 Page 17 of 24

783 The committee shall recommend a strategic action plan to the Executive Board for 784 adoption. 785 786 Officers and committee chairmen with designated responsibility for the actions on 787 the approved strategic action plan shall report progress to the Planning 788 Committee. 789 790 The state president and/or the executive secretary shall be present at each Planning 791 Committee meeting. 792 793 The EEC chairman shall act as a consultant to the Planning Committee. 794 795 (7) Rules Committee The committee shall not exceed four (4) appointed 796 members. The parliamentarian shall serve as member ex officio, without vote. 797 798 The committee is to 799 (a) review governing documents each biennium for concordance, accuracy, 800 and clarity; 801 (b) make proposed amendments for change, if needed; 802 (c) receive all proposed amendments to state organization Bylaws and 803 Standing Rules; 804 (d) format in print the proposed amendments for publication and distribution, 805 so that members would receive notice at least six weeks prior to the 806 first day of convention; 807 (e) present the proposed amendments to the Executive Board for information 808 and recommendation and to the convention assembly for adoption; 809 (f) after a convention, ascertain that the Bylaws and Standing Rules are in 810 concordance with approved actions; and 811 (g) with the assistance of the regional directors, review chapter rules on a 812 four-year cycle beginning in 2004 for consistency with the state 813 organization and international governing documents. 814 815 The Rules Committee shall make Eta State Bylaws available to the international 816 Constitution Committee for review each time the document is amended or 817 revised. 818 819 After each convention, the Rules Committee shall prepare digital copies of the 820 Bylaws and/or Standing Rules to be posted on the Web site. The committee shall 821 also prepare hard copies for the executive secretary for placement in the 822 permanent file. Both digital and hard copies shall be placed in the Rules 823 Committee file. 824 825 Section 4. 826 827 Special Committees 828 Page 18 of 24

829 The president may appoint a special committee if the committee is authorized by the Executive Board. 830 Such committees shall be dissolved after submitting a final report. 831 832 833 ARTICLE X ACTIVITIES 834 835 Section 1. 836 837 Scholarships 838 839 A. State scholarships shall be awarded to members who apply and are selected by the 840 Scholarship Committee. The number of scholarships shall depend upon the 841 availability of funds as determined by the Finance Committee. 842 843 B. Rules governing the administration of the scholarships program shall be presented 844 by the Scholarship Committee to the Executive Board for its recommendation for 845 consideration by the state convention. Written requirements and guidelines 846 governing the selection process of scholarship recipients shall be submitted to the 847 Executive Board for approval. These criteria should be reviewed by the 848 ScholarshipsCommittee at least every six years. (Eta State Standing Rules, 10, 849 Activities, A) 850 851 Section 2. 852 853 Publications 854 855 A. Eta State News shall be published four times a year and sent to each member in the 856 state. 857 858 B. The Eta State Directory shall be published every four years, with supplementary 859 material supplied as needed during the intervening years. 860 861 C. The Eta State Web site shall serve as a resource for members and others who seek 862 information about the organization. Materials must be approved by the state 863 president before being posted on the Web site. 864 865 D. The publication of special monographs and/or brochures shall be approved by the 866 president and the Executive Committee in consultation with the Finance 867 Committee. 868 869 E. Eta Data, a monthly electronic bulletin, shall be made available to members. 870 871 Section 3. 872 873 Founders Award 874 Page 19 of 24

875 A. The recipient of this award shall be selected by the Founders Award Committee, 876 according to the guidelines recommended by the Executive Board and adopted by 877 the state convention. (Eta State Standing Rules, 10, Activities, C). It may be 878 awarded in each odd-numbered year. 879 880 B. The award is financed by the Founders Award Fund. 881 882 Section 4. 883 884 Awards Granted to Members or Non-members 885 886 Grant-in Aid Awards 887 888 A. The term grant-in-aid shall represent the general category of awards granted by the 889 state organization and chapters that are supported by funds other than the 890 scholarship fee. 891 892 B. The specific title of a grant-in-aid award is the choice of the presenter. 893 894 895 ARTICLE XI STATE FUNDS 896 897 Section 1. 898 899 Available Fund 900 901 The state shall maintain an Available Fund. It shall be an operating fund and shall require 902 a budget. (Constitution, Article IV, Finance, Section F, Funds, 1.) 903 904 Section 2. 905 906 Permanent Fund 907 908 Maintenance of this fund is required by the Constitution, Article IV, Section F, Funds, 909 3. a.b.c.e. The principal of the permanent fund shall be used for the purchase of articles 910 and equipment of a permanent nature. 911 912 Expenditures from the state permanent fund shall be authorized by the state Executive 913 Board. 914 915 Section 3. 916 917 Scholarship Fund 918 919 920 The Scholarship Fund provides for the awarding of state scholarships according to Society Page 20 of 24

921 guidelines. (Eta State Standing Rules, 11, State Funds, C.) 922 923 Section 4. 924 925 Founders Award Fund 926 927 A. The Founders Award Fund provides an award to honor a woman who has made outstanding 928 contributions beyond the local and regional level. (Eta State Standing Rules, 11. State Funds, D.) 929 930 B. Investment of the fund shall be supervised by the Finance Committee. 931 932 Section 5. 933 934 Headquarters Fund 935 936 This fund consists of contributions to the state designated for headquarters and is used for operation 937 and maintenance of the headquarters building and grounds/property. 938 939 Section 6. 940 941 Pauline Moser Longest Leadership Development Fund 942 943 A. The fund provides resources for personal and professional development experiences to equip 944 key women educators for leadership in The Delta Kappa Gamma Society International and in 945 the field of education. 946 947 B. The fund shall be a supplement to and shall extend leadership opportunities beyond those that 948 are funded by the Eta State budget. 949 950 C. The fund shall accumulate, through contributions and interest, a balance of 951 $50,000 before disbursements are considered. Disbursements can be made only 952 from the net appreciated assets, i.e., earnings from the Fund. 953 954 D. Disbursements for a fiscal year shall not exceed 80% of the appreciated assets as 955 of June 30 of the preceding year. 956 957 E. The Finance Committee shall determine the amount of funds available for use. 958 959 960 ARTICLE XII DISSOLUTION 961 962 Section 1. 963 964 State Dissolution 965 966 Page 21 of 24

967 Upon recommendation of the Executive Board of Eta State by a two-thirds (2/3) vote, 968 followed by a two-thirds (2/3) vote of the Eta State Convention assembled in regular 969 session, the dissolution of Eta State of The Delta Kappa Gamma Society International 970 shall be carried out in the following order in accordance with the laws of incorporation in 971 North Carolina: 972 973 A. Audit of treasurer's records by an independent accounting firm 974 975 B. Payment of all liabilities and obligations 976 977 C. Disposition of residual assets as determined by the Executive Board of Eta State 978 979 Section 2. 980 981 Chapter Dissolution 982 983 A. Before a chapter is dissolved, the approval of the state Executive Board must be 984 obtained. 985 986 B. Careful consideration shall be given to the manner in which those desiring to 987 maintain membership transfer to other chapters. International procedures must be 988 followed. 989 990 C. Any remaining funds in the chapter account shall be sent to the state organization 991 treasurer and deposited in the Available Fund. 992 993 D. The chapter's paraphernalia, the Society publications, and the chapter records shall 994 be retained in the state archives and made available for use. 995 996 E. The chapter charter must be returned to the state to be forwarded to the 997 International Headquarters. 998 999 F. The state Executive Board shall decide whether the chapter Greek name shall be 1000 reused. 1001 1002 Section 3. 1003 1004 Chapter Merger or Consolidation 1005 1006 A. In the case of a merger of two chapters, one of the two chapters continues while 1007 the other loses it independent identity and ceases to exist since it is absorbed into 1008 the former. 1009 1010 B. In the case of a consolidation of two or more chapters, each chapter involved 1011 discontinues its independent existence. A new entity is formed that includes 1012 memberships of the consolidating organizations, continues their work, and Page 22 of 24

1013 assumes their assets and liabilities. 1014 1015 C. In either a merger or a consolidation of two or more chapters, the resulting chapter 1016 entity shall keep the chapter assets of the chapters involved in the merger or 1017 consolidation. 1018 1019 D. In either a merger or consolidation of chapters, the resulting entity may be given a 1020 new name by the state organization. 1021 1022 1023 ARTICLE XIII PARLIAMENTARY AUTHORITY 1024 1025 Robert's Rules of Order Newly Revised (current edition) shall govern the proceedings of 1026 Eta State and its chapters in all cases not provided for in the Constitution, International 1027 Standing Rules, Eta State Bylaws, and Eta State Standing Rules. 1028 1029 1030 ARTICLE XIV AMENDMENTS 1031 1032 Section 1. 1033 1034 Amendments to the Eta State Bylaws 1035 1036 A. Proposals for amending the Bylaws shall be considered in odd-numbered years. 1037 1038 B. Proposals for amending 1039 (1) may be submitted to the Rules Committee by any member, committee, board, 1040 or chapter; 1041 (2) shall be submitted to the Executive Board for approval before they are 1042 submitted to a vote at the state convention; and 1043 (3) that have been rejected by the Executive Board shall be submitted to a vote of 1044 the convention noting the disapproval. 1045 1046 C. Notification of proposed amendments 1047 Proposed amendments to the Bylaws shall be prepared in printed form and 1048 distributed so that members receive notice at least six (6) weeks prior to the first 1049 day of convention. 1050 1051 D. Approval by two-thirds (2/3) of the votes cast, a quorum being present, shall be 1052 required for the adoption of an amendment to the Bylaws. 1053 1054 E. The adopted amendments take effect immediately upon adoption. 1055 1056 F. Incorporating the adopted amendments into the Eta State Bylaws shall be the 1057 responsibility of the Rules Committee. 1058 Page 23 of 24
