RECITALS THIS SECOND AMENDMENT AND RESTATEMENT to the Team Kaos Charter is made this 31 st day of October, 2016, by and between the current Team Kaos Board of Directors, John Bentley, Sid Frede, Jim McCall, Ron Smith, and Jacques Telles, residing in the State of Arizona. The Board of Directors move to amend the original Team Kaos Charter and to incorporate the continuing provisions of the original Charter plus this second amendment and restatement into a single document as follows: Team Kaos was founded in March 2013 to support an informal group of competitive RC pilots flying IMAC precision aerobatics. Later, during October of 2013, Joe Sluga and Ron Smith established a formal team and team logo. At a special dinner on November 11, 2013, Joe Sluga presented the Team Kaos logo, shirts, and hats to Ron (Capt. Kaos), Sid Frede, Jack Yablonski, and Jim Spurlock (who later opted out). In this document, Ron, Joe, Sid, and Jack are collectively referred to as the founders of Team Kaos. During May 2015, Capt. Kaos expanded Team Kaos to include NSRCA pattern. John Bentley (F3A Class) joined the team to lead the pattern activities. In addition, pattern flyers Jerry Bauer and Steve Hosner (now deceased) joined Team Kaos. Team Kaos is now recognized as a special group of competitive IMAC/Pattern flyers seeking to improve their precision flying skills. 1. Early Membership: a. Frede, Sid: March 2013 b. To provide a network of team communication that promotes fellowship, sportsmanship, and solutions to aircraft construction, maintenance, and flying problems. b. To participate in and support the objectives of IMAC and NSRCA competition. 4. Team Kaos Positions and Responsibilities: a. Director of Team Kaos: Ron Smith (Captain Kaos). i. ii. Responsibilities: 1. Establish team goals that facilitate learning and improving flying skills. 2. Develop training sequences (known and unknown). 3. Attend district contests and judging workshops whenever possible. 4. Fill all administrative positions with regular Team Kaos members in good standing. 5. Assume all the responsibilities of vacant positions until they are filled. 6. Provide training with current and historic documentation as may be required. b. Team Captains: Two (2) for IMAC and two (2) for Pattern. i. Term: Established annually by IMAC and NSRCA Southwest District highest class and rank within the class. ii. Responsibilities: 1. Establish and implement team procedures and checklists that focus on reducing the risk of aircraft failure both during practice and contests. 2. Closely monitor and manage team members to help them follow procedures and checklists whenever possible. 3. Attend district contests whenever possible. a. Observe team members performance and suggest simple adjustments to maneuvers that will improve maneuver scores. b. Attempt to adjust a member s flight order whenever possible to ensure the best team caller for the pilot. c. Provide guidance to develop the exemplary call sheets and airspace management techniques to IMAC unknown sequences. d. Encourage as much practice of unknown sequences with stick airplanes. 4. Endeavor to help team members learn and improve flying skills. a. Schedule at least one special team training event for IMAC Basic and NSRCA Sportsman pilots 5. Team Kaos trophies: a. Select two winners. b. Select and purchase trophies (See trophy details in Article 6. Page 2 of 9
c. Activities Coordinator: i. Term: Open-ended ii. Responsibilities: 1. Organize and schedule at least one team social event. Consider the following suggestions: a. The Organ Stop Pizza restaurant. b. The Arizona Opry. c. Waldo s restaurant d. BBQ at team member s home, park, or flying field. 2. Prior to November 1 st, submit an annual budget to the Secretary/Treasurer that provides the funds to accomplish events (good, trophies, etc.) d. Secretary/Treasurer: i. Term: Open-ended ii. Responsibilities: 1. Organize and maintain a database consisting of current members. Database shall include at a minimum: a. Member name, address (winter and summer), home phone, cell phone, email b. Membership IDs: AMA, IMAC, NSRCA, RC clubs. c. Competitive IMAC, NSRCA class 2. Organize, maintain, and distribute important Team Kaos documents as needed: a. Team Kaos membership applications b. Team Kaos Charter c. Board of Directors meeting minutes 3. Maintain a book of accounts. Financial records shall be created on a computer using QuickBooks or equivalent software. Financial records shall be backed up and protected from computer failure. 4. Establish and maintain a Team Kaos bank account with signature authority from either the Secretary/Treasurer or Director of Team Kaos. 5. Purchase the following items for new members (A onetime new membership fee shall cover the cost). a. Team Kaos shirt and cap. b. Aircraft decals for one aircraft 6. Establish annual membership fees on or before December 1 st. Membership fees shall include funds for: a. All items included in the activities budget that is Page 3 of 9
submitted by the Activities Coordinator for the upcoming contest season. b. All Team Kaos expenses that recur. 7. Provide members on or before December 31 st : a. A semi-annual membership/financial report. b. A membership renewal application c. A Team Kaos Charter (if amended during the year). e. Editor/Columnist: i. Term: Open-ended. ii. Responsibilities 1. Upon request, provide writing and/or edition services to all Team Kaos members for any and all Team documents: a. Charter b. Membership application c. Web page content d. Correspondence e. Other documents, as needed 2. Upon request, assist the Secretary/Treasurer in the organization, maintenance, and distribution of Team Kaos documents as needed. 3. Write and/or edit articles for model airplane related publications a. National magazines b. Model airplane club newsletters f. Webmaster: i. Term: Open-ended. ii. Responsibilities 1. Design and maintain a website that satisfies the goals set forth in Article 5. 2. Whenever possible, obtain the help of individuals attending events to provide photo/video coverage. 3. Routinely send, via email, hypertext links regarding pertinent event activities to other Team Kaos members to facilitate those members staying current with those relevant events. 4. Prior to November 1 st, submit an annual budget to the Secretary/Treasurer that provides the funds to develop and maintain the website. g. Member: i. Regular Member: Page 4 of 9
1. Term: Renewable with annual membership application 2. Responsibilities: Meets all the requirements set forth in Article 4-h. ii. New Member: 1. Term: One year. Renewable as a regular member with annual membership application. 2. Sponsor: a. A prospective new member shall be sponsored by either a regular team member or Team Kaos founder. The sponsor shall determine if the prospective member will likely satisfy the requirements required of a regular member. b. The sponsor is not expected to provide the support of a Team Captain; however, a sponsor is encouraged to help a new member improve his flying skills and participation in contests. Time to provide this level of support is flexible and in accordance with the life style of both the new member and sponsor. c. The sponsor shall provide an application and Team Kaos Charter to the prospective member. d. The sponsor shall review the application and submit it to the Director of Team Kaos. e. Approval for regular membership shall be based on a majority vote among the Director and Team Captains (IMAC or NSRCA). In the event of a tie, the Director shall cast the deciding vote. iii. Limited Member: 1. Term: Renewable with annual membership application. 2. Responsibilities: In the event a pilot is not able to satisfy the requirements set forth in Articles 4-hi,ii,iii,and vi below, the pilot will be granted limited membership for one calendar year or until the member removes all deficiencies. If deficiencies exist after one year, the pilot s membership will be terminated. iv. Team Kaos Founder: In recognition of the service and contributions of the Team Kaos founders, membership in Team Kaos is granted to Sid Frede, Joe Sluga, Ron Smith, and Jack Yablonski. 1. Term: Renewable with annual membership application. 2. Responsibilities: Exempt from Articles 4-h-iii,vi. v. Grandfathered Member: Jerry Bauer, joined Team Kaos prior Page 5 of 9
to December 2015 with the understanding he would be participating in the Team on a limited basis. 1. Term: Renewable with annual membership application. 2. Responsibilities: Exempt from Articles 4-h-iii,vi. h. Member Responsibilities: i. Maintain a current membership in the Academy of Model Aeronautics (AMA). ii. Maintain a current membership in at least one of the following organizations: 1. International Miniature Aerobatics Club (IMAC) 2. National Society of Radio Controlled Aerobatics (NSRCA). iii. Compete in a minimum of two AMA sanctioned IMAC or NSRCA contest during a contest season. iv. Maintain at all times a disposition that clearly meets the criteria for sportsmanship as defined below: 1. Sportsmanship is an aspiration or ethos that a sport or activity will be enjoyed for its own sake, with proper consideration for fairness, ethics, respect, and a sense of fellowship with one s competitors. A sore loser refers to one who does not take defeat well, whereas a good sport means being a good winner as well as being a good loser (someone who shows courtesy towards another in a sports game). Sportsmanship can be conceptualized as an enduring and relatively stable characteristic or disposition such that individuals differ in the way they are generally expected to behave in sport situations. In general, sportsmanship refers to virtues such as fairness, self-control, courage, and persistence, and has been associated with interpersonal concepts of treating others and being treated fairly, maintaining self-control if dealing with others, and respect for both authority and opponents. viii. Team Kaos competition documents: The following items shall not be loaned or given to non-members: 1. Practice sequences. 2. Unknown sequences designed by Team Kaos 3. Calling sheets for known/unknown sequences i. Member Termination: i. Failure of a Limited Member, Article 4-g-iii, to remove all deficiencies within the one year grace period. ii. Failure to submit a renewal application with membership fees by January 31 st. iii. Failure to act in accordance with the standards of sportsmanship as set forth in Article 4-h-iv. 1. Termination caused by poor sportsmanship is accomplished by majority vote of the current members of the Board of Directors. 5. Team Kaos Website: a. Purpose: To share member experience and happenings that will arouse interest in the R/C community, AMA, IMAC, and NSRCA over the Internet World Wide Web. The website shall include but not be limited to the following features: i. Calendar schedule of events. ii. IMAC and NSRCA competition flight sequences. iii. Southwest Contest results to include: 1. Competitor scores. 2. Photo and video coverage whenever possible. iv. Aircraft construction, set-up tips, and flight trimming. v. Practice routines. b. Web Hosting: Selected on the basis of service, build-it-yourself software, and cost. 6. Team Kaos Trophies: a. Trophies shall be awarded to members who participated in at least two IMAC or NSRCA contests. b. Trophies: Four (4) to be presented by Team Captains to pilots, flying in IMAC (two trophies) and NSRCA (two trophies) contests at a scheduled Team Kaos social event. c. IMAC/NSRCA team captains shall determine the trophy winners. i. Pilot selection shall not be determined solely from southwest district contest results. d. Trophies shall be paid for by Team Kaos funds. e. Description of trophies: i. Extreme Kaos: Trophy for the highest amount of frustration, setbacks, and loss during an entire season. Page 7 of 9
ii. Least Kaos: Trophy for the least amount of frustration, setbacks, and loss during an entire season. iii. Trophies shall include, at a minimum, pilot name, IMAC or NSRCA, team captains, and date. Trophy design is at the discretion of the team captains. 7. Board of Directors: a. Governance of Team Kaos: i. Board members shall consist of the Director of Team Kaos, Secretary/Treasurer, Activities Coordinator, and Team Kaos captains. ii. Meetings: 1. The Director of Team Kaos shall schedule a board meeting as needed and send notice of the meeting agenda, location, date, and time one month in advance. 2. Attendance at a board meeting is closed to the membership. However a board member may invite any member that desires to present pertinent information to the board. iii. Charter Amendments: 1. A regular member or Team Kaos founder may submit a written request for a charter amendment to the Director of Team Kaos for processing by the board members. 2. The articles of the Team Kaos Charter may be amended by majority vote of the board members. In the event of a tie vote, the Director of Team Kaos shall cast the deciding vote. 3. The Secretary/Treasurer shall mail (USPS) copies of the amended charter to Team Kaos members. iv. Election of Director of Team Kaos, Secretary/Treasurer, and Activities Coordinator: 1. 8. Team Kaos Charter Second Amendment Approval: In accordance with the Team Kaos Charter Article 7-a-iii, the Board of Directors have executed the Second Amendment of the Team Kaos Charter dated December 1, 2015, in accordance with this document this 11 st day of November, 2016.
