Regado Biosciences, Inc., et al., Case No. 14-cv- 04345-JAP-DEA against Defendants on July 10, 2014; WHEREAS, a similar putative class action complaint, captioned Alston v. Regado Biosciences, Inc., Case No. 14-cv-04380-JAP-DEA, was filed against Defendants and certain additional parties on July 11, 2014; WHEREAS, the Court consolidated the foregoing actions and appointed John Wells and Michael Cheren as Lead Plaintiffs in this action on September 25, 2014; WHEREAS, the Consolidated Amended Class Action Complaint that was to be filed by December 9, 2014 has not been filed; WHEREAS, this action has not been certified as a class action; and WHEREAS, in consideration of the covenants and agreements contained in this Stipulation, the undersigned parties hereby stipulate and agree as follows: 1. Pursuant to Fed. R. Civ. P. 41(a)(1)(A)(ii), this action be dismissed without prejudice by Lead Plaintiffs John Wells and Michael Cheren as to all Defendants, with each side to bear its own attorneys' fees and costs incurred in connection with this action; 2. This dismissal shall not affect or alter the rights, if any, of any absent members of the putative class to pursue claims separate from the above-captioned action, and shall not affect Defendants' rights or defenses against any such claims;

This Stipulation shall not be construed against any party, but shall be construed as if the parties jointly prepared this Stipulation, and any uncertainty or ambiguity shall not on ground of authorship or otherwise be interpreted against any one party. THEREFORE, it is hereby stipulated and agreed by all undersigned parties that this action be dismissed without prejudice against the undersigned Lead Plaintiffs as to all Defendants, pursuant to Fed.
