Constitution for Association for Computing Machinery (ACM) Student Chapter @ Iowa State University (ACM@ISU) ARTICLE I Name This organization shall be called: Association for Computing Machinery (ACM) Student Chapter @ Iowa State University (ACM@ISU). It is referred to as the Chapter in this constitution. The Association for Computing Machinery is referred to as the ACM. Iowa State University is referred to as ISU. ARTICLE II Purpose & Goals 1. Association for Computing Machinery (ACM) is a leading learned society for computing. This Chapter will enhance the visibility and further the cause of ACM in ISU in a way that helps the student community in ISU. 2. The Chapter is organized and will be operated exclusively for educational and scientific purposes to promote the following: 3. An increased knowledge of and greater interest in the science, design, development, construction, languages, management and applications of modern computing. 4. Greater interest in computing and its applications. 5. A means of communication between persons having an interest in computing. 6. The Chapter will serve students at ISU and other interested persons in the ISU / Ames community. 7. The Chapter is chartered by the ACM. 8. The Chapter will encourage the creation of and act as an umbrella organization for all ACM Special Interest Group (SIG) Student Chapters existing at ISU. ARTICLE III Statement of Compliance 1. The Chapter abides by and supports Iowa State University policies, State and Federal Laws and follows local ordinances and regulations. 2. The Chapter abides by and commits to the ACM Code of Ethics. 3. The Chapter agrees to annually complete the ISU President s Training, Treasurer s Training and Advisor Training. ARTICLE IV Non- Discrimination Statement ISU and The Chapter do not discriminate on the basis of race, ethnicity, sex, pregnancy, color, religion, national origin, physical or mental disability, age, marital status, sexual orientation, gender identity, genetic information or status as a U.S. Veteran.

ARTICLE V Membership The provisions of this section must conform to the membership provisions specified in ACM s Bylaws (Bylaw 5, Section 5; ACM Constitution Article 3). 1. Membership in the Student Chapter shall be open to all registered students in good standing at ISU by paying the Chapter membership fee. 2. Voting membership in the Student Chapter shall be granted to chapter members who are also ACM members. ARTICLE VI Officers 1. The officers of this Chapter shall be: Chair, Vice Chair, Secretary, and Treasurer. These officers constitute the Council. The Chair and Vice Chair will also be known as the President and Vice President of the Chapter respectively. 2. The Officers must meet the following academic requirements: a. Be a registered student in good standing with ISU with enrollment of at least 6 or more credits for the Fall and Spring semesters. b. Have a minimum cumulative grade point average (GPA) of 2.00 and further obtain at least a GPA of 2.00 in the semester prior to holding office and each semester thereafter. c. Officers become ineligible to hold an Office should they fail to maintain the requirements as prescribed in (a) and (b). 3. The Chapter Officers must be student members of ACM. 4. The officers shall be elected by a plurality of the votes of all voting members of the Chapter cast at the annual election meeting to be held in March and then approved by the Chapter Sponsor. They shall take office on the first day of the ISU Fall Semester that year and serve for one year. 5. No member may serve in the office of Chair or Vice Chair for more than two consecutive years. 6. In case any Chapter Officer in unable to perform the duties as assigned by this constitution, a motion to impeach the Officer can be made either by the Chapter Sponsor, the Chair or by two-thirds vote of the Executive Council. Once the motion is made, the Officer can be impeached by two-third votes of all voting members of the Chapter. The officer is permitted to speak before the Executive Committee and the general membership before the vote. However, the officer is not permitted to participate in the deliberation of the Executive Committee regarding the charges. 7. If an Officer submits a premature resignation or graduates or is impeached or becomes ineligible, the Chair or someone nominated by the Chair takes up that position immediately until an election is held to fill up the position permanently for that academic year. The election will be done by a plurality of all voting members of the Chapter. The election must be held within one month of the date of the resignation, except for the Summer term in which case it can be held in the next Fall.

ARTICLE VII Duties of Officers 1 The Chair is the principal officer and is responsible for leading the Chapter and managing its activities in accordance with the policies and procedures of the ACM, ISU and the Chapter constitution. The Chair shall preside at all meetings of the chapter except for specific committee meetings. The Chair is also responsible to encourage the creation of and provide assistance to any Special Interest Group or SIG Student Chapters that may exist in ISU. Other duties include: a. Act as the Risk Management Officer of the Chapter. In this capacity, the Chair must do the following: i. Recommend risk management policies or procedures to the Chapter. ii. Submit documentation to ISU s Risk Management Office. iii. Ensure that Risk Management procedures are implemented at all events organized by the Chapter. b. Organize weekly executive meetings with all Officers. 2 The Vice Chair shall preside at meetings in the absence of the Chair and assist the Chair in the management of the Chapter. Other duties include: c. Act as a central authority to coordinate the actions of all existing SIG Student Chapters. d. Perform other duties as assigned by the Chair. 3 The Secretary shall keep the minutes of all Chapter and Executive Council meetings. Other duties include: a. Maintaining the records for the chapter. b. Preparation of the Chapter s annual report and officer contact information, and submission of these to ACM Headquarters via the chapter administrative interface. c. Submission of any proposed amendment of the constitution to the ACM Chief Operating Officer. Proposed amendments must be approved both by ACM as well as the Chapter Sponsor before they can be submitted to the Chapter s membership for a vote. d. Perform other duties as assigned by the Chair. 4 The Treasurer shall collect dues, pay all bills, and maintain the Chapter's financial records. Duties of the Treasurer also shall include: a. Co-signs all expenditure along with the Advisor b. Preparation of the Chapter's Annual Financial Report for presentation to the Chapter at the Annual Election Meeting. c. Completion and submission of the Annual Financial Report to ACM Headquarters. d. Submission of the Annual Financial Report to ISU. e. Organize fund generation activities, which are approved by the Executive Council. f. Perform other duties as assigned by the Chair.

ARTICLE VIII Chapter Sponsor 1. The Chapter sponsor shall be a voting member of ACM and a tenured faculty member of ISU. The Student Chapter Sponsor shall also be known as the Advisor of the Chapter. 2. The Student Chapter Sponsor shall be elected by the plurality of votes of the Executive Council immediately following the Election Meeting. The selection shall be confirmed by ISU. The Chapter Sponsor holds office for one year and can be reelected during the annual election meeting. 3. In case the Chapter Sponsor is unable to perform the duties as assigned by this constitution, a motion to impeach the Chapter Sponsor can be made by the Chair and must be supported by at least two-third votes of all voting members of the Chapter. The Chapter Sponsor is permitted to speak before the Executive Committee and the general membership before the vote. However, the Chapter Sponsor is not permitted to participate in the deliberation of the Executive Committee regarding the charges. 4. In case the Chapter Sponsor resigns or is impeached or becomes ineligible, the Chapter Chair is responsible to re-install the position by another tenured faculty member of ISU who will hold office till the next annual election meeting. 5. The Chapter sponsor shall be generally responsible for the activities of the Chapter. Specifically, the Sponsor: a. Helps provide continuity from year to year as student leadership and personnel change. b. Promotes effective student-faculty relationships. c. Helps maintain ACM and ISU standards and policies in all activities of the Chapter. d. Exercises financial supervision, if necessary, by: i. Providing the mandatory approval of Chapter expenditures by signing each expenditure before payment. ii. Promoting prompt payment of bills and collection of dues. iii. Overseeing the settlement of all accounts in the event of dissolution of the Chapter. e. Represents the Chapter interests to the faculty and administration of ISU. ARTICLE IX Executive Council The Executive Council shall consist of the Chapter officers, the Student Chapter Sponsor, and Presidents of the Chapter s standing committees. 1 The Chair would be the presiding officer of the Executive Council and all its meetings.

2 The terms of the members of the Executive Council shall be coincident with the terms of the officers. They shall take office on the first day of the ISU Fall Semester and serve for one year. 3 All standing committees of the Chapter report to the Executive Council and the Chapter Chair in particular. 4 The Executive Council is responsible for the overall operations of the Chapter and the coordination of the Chapter with other SIG Chapters at ISU. ARTICLE X Standing Committees The standing committees of the Chapter shall be Program, Finance, Education, Membership, Publicity and Technology. The President of each Standing Committee decides on the size, membership and meetings of that committee. Any member of the chapter can be chosen by the Committee President to be a part of the corresponding Standing Committee. The Chapter Chair in consultation with the Executive Committee can overrule any membership decision of any Standing Committee. 1. The Program committee is presided over by the Chapter Vice Chair and shall plan and make arrangements for the technical programs of the Chapter's meetings in accordance with the membership's interests and the aims of the Chapter as set forth in Article II. 2. The Finance committee is presided over by the Chapter Treasurer and helps the Treasurer in keeping all accounts for the Chapter and in the creation of the Annual reports to be submitted to the ACM headquarters and ISU. 3. The Education Committee is presided by a member of the Chapter in a good standing. The President is elected by the Executive Council. The President can also be one of the Officers of the Chapter. The Education Committee oversees the educational activities of the Chapter including arranging research presentations, student competitions, forums for exchange of ideas regarding Computing etc. 4. The Membership Committee is presided by the Chapter Secretary and helps in recruitment of ISU students for the Chapter including recruitment towards ACM Student membership. The Membership Committee is also responsible for the annual elections of the Chapter to be organized every year in March. 5. The Publicity Committee is presided by a member of the Chapter in a good standing. The President is elected by the Executive Council. The President can also be one of the Officers of the Chapter. The committee shall maintain a mailing list and publish and distribute all notices and publicity for and to the members of the Chapter. 6. The Technology Committee is presided by a member of the Chapter in a good standing. The President is elected by the Executive Council. The President can also be one of the Officers of the Chapter. The Technology committee helps in the use of technology in Chapter operations like Website creation and maintenance, creation of additional software for the Chapter etc.

ARTICLE XI Temporary Committees With the advice of the Chapter's Executive Council, the Chair may appoint temporary committees as appropriate whenever needed. All temporary committees must be presided over by a member of the Chapter, including the members of the Executive Council. The President of each Temporary Committee decides on the size and membership of that committee. Any member of the chapter can be chosen by the Committee President to be a part of the corresponding Temporary Committee. The Chapter Chair in consultation with the Executive Committee can overrule any membership decision of any Temporary Committee. 1. An Audit committee is formed every year before the end of the fiscal year. The committee is presided over by the Vice Chair. The committee is responsible for auditing the annual financial report prepared by the Finance Committee before submitting to ACM Headquarters and ISU. 2. Other Temporary Committees can be created from time to time by the Executive order of the Chapter Chair in consultation with the Executive Committee. ARTICLE XII Meetings 1. The Chapter shall hold meetings only in places that are open and accessible to all members of the Association. 2. The Chapter will be meeting once every month on a date decided by the Executive Council. Written notices of all meetings shall be distributed to all members at least one week prior to any meeting. 3. The Annual Election meeting should be held in March. At this meeting, the Secretary and Treasurer will present the required reports. Also, the election of officers shall be held. ARTICLE XIII Disbursements and Dues 1. Disbursements from the Treasury for Chapter expenditures shall be made by the Treasurer with authorization of the Executive Council and shall be included in the minutes of its meetings. 2. Dues shall be fixed annually by the Executive Council. The dues for membership cannot exceed $10 for one academic year. 3. All monies belonging to this organization shall be deposited and disbursed through a bank account established for this organization at the Campus Organizations Accounting Office and/or approved institution/office (must receive authorization via Campus Organization Accounting office). All funds must be deposited within 48 hours or two business days after collection. The Advisor and Treasurer to this organization must approve and sign each expenditure before payment.

ARTICLE XIV Amendment and Voting Procedures 1. The ACM Chief Operating Officer, ISU, as well as the Chapter Sponsor must approve all proposed changes to the Chapter Constitution. 2. No official business of the Chapter shall be conducted unless a quorum is present. A quorum of the Chapter shall be defined as 50 percent of the voting members. 3. Any changes to constitution will require the support of two-thirds majority of all voting members. Any other changes to other Chapter policies would require a simple majority of the voting members present should be required to carry a motion. 4. Officers will be elected by a plurality of votes cast during the annual election. ARTICLE XV Dissolution of the Chapter 1. Dissolution of this Chapter by consent of the members shall consist of unanimous agreement of the Chapter Sponsor, all its officers together with a majority vote at a meeting which has been publicized in advance to all members of the Chapter for the purpose of taking this vote. 2. Should this Chapter be dissolved, its assets and liabilities shall be transferred to ACM and shall be supervised by the ACM Finance Director.
