RULES AND REGULATIONS OF ASSOCIATION OF PHYSICIANS OF INDIA KERALA CHAPTER [Activities of this Society shall be fully under the Travancore Cochin Literary, Scientific and Charitable Societies Registration Act 12/1955] 1. NAME: The name of this association shall be ASSOCIATION OF PHYSICIANS OF INDIA KERALA CHAPTER.(Kerala State Branch of API) 2. ADDRESS: The address of this association is-, Secretary, API Kerala Chapter,C30/60,Thenmadom, Chairman Road, Near BSNL office, Tiruvalla.689101. 3. REGISTERED OFFICE At present the office of the association is Secretary, API Kerala Chapter, C30/60,Thenmadom, Chairman Road, Near BSNL office, Tiruvalla.689101 4. JURISDICTION The jurisdiction of the Association shall be physicians within the State of Kerala. 5. Aims & Objectives Memorandum of the association 1. To encourage and advance the knowledge, study and practice of the science of medicine in all ways. 2. To encourage research, including experimental work, in the science of medicine. 3. To organize, establish, conduct, superintend or control institution for prompting, whether directly or indirectly, the study of and research in problems. 4. To hold meetings and organize conferences, exhibitions, study circles or conventions for the study and discussion of problems relating to and allied with the science of medicine. 5. To provide instructions and education to deserving persons in the science of medicine. Page1

6. To make pecuniary grants by way of scholarships, donations, subscriptions, allowances, gratuities, guarantees and otherwise to and for the benefit of deserving students, scholars and other persons who are worthy of receiving such grants by reasons of their skill and proficiency in the science of practice of medicine or their contribution to the cause of promotion of learning, research and practice of the science of medicine. 7. To award prizes, medals or other certificates or diploma of proficiency in the science of medicines to persons found deserving after such tests, examinations or other forms of scrutiny as may be prescribed from time to time. 8. To make rules prescribing standards of professional conduct for members of the Association. 9. To establish and maintain libraries and reading rooms. 10. To print, publish, distribute or sell books, pamphlets, notices, pictures, periodicals, newspapers or magazines or any other literature on any matter concerning or relating to the science or practice of medicine or the life or work of eminent persons. 11. To suggest, study, offer opinion and advise on, or take part in, the 'arming of laws affecting the science of practice of medicine, medical education, health policies and health care activities. 12. To promote esprit de corps among persons studying or practicing the science of medicine and good feeling between them and members of the general public or public authorities. 13. To co-operate with other associations or individuals to promote the objects of the association. 14. To construct, provide, regulate and maintain buildings, rooms or other structures for the purpose of the Association and to alter, add to or remove any of them. 15. To receive any gift or legacy of moveable or immovable assets with or without conditions for promoting the objects of the Association. Page2

16. To purchase, acquire, to take or get on lease and/or the ownership and/ or the use of the land, buildings, movable or immovable property/properties for the purpose and use of all or any of the Institutions connected with the association. 17. To improve, manage, develop, sell, mortage, lease or let, under-lease or sub-let, dispose or turn to account or otherwise deal with, all or any part of the property of the Association. 18. To act as trustees, agents or managers of property endowed by any persons for objects similar to those of the Association. 19. To draw, make accept, endorse, execute, negotiate, purchase, lend money upon, discount, hold and dispose of cheques, promissory notes, bills of exchange, drafts and other instruments and to cancel or change such instruments as per statute of Government. 20. To lay out advance, invest and deal with the Association's funds for such investments and securities and generally in such manner as may be determined from time to time. 21. To arrange and / or organize subject to the law for the time being in force, fetes, benefit shows and the like to augment the funds of the Association in furtherance of the objects of the Association 22. To engage such officials, servants or other persons as may be found necessary or useful for the conduct and management of the affairs of the Association. 23. To make bye-laws, rules and regulations of the Association and to delete, change, or add to the same from time to time. 24. To do all such other acts as may be necessary, incidental, conducive or convenient to the attainment of the above objects or any of them. 25. To act generally in accordance with the rules and regulations contained in the Travancore Cochin Literary, Scientific and Charitable Societies Registration Act 12/1955. Page3

26. To undertake teaching activities and CME s and to establish research and education centres and to act as a nodal centre for researches undertaken by the members of the association. 27. The general rules contained in the constitution of the API national chapter will be applicable to Kerala Chapter API. 6. DEFINITION. a) The Association means ASSOCIATION OF PHYSICIANS OF INDIA KERALA CHAPTER. b) The General body/ Executive Committee means the body constituted as per these rules. c) Member means any person admitted to the membership of the Association in accordance with the rules of the Association d) The financial year of the Association shall commence on the 1st April of each year and shall end on the 31st March of the following year. Provided however, the accounts of the first period shall be closed on 31st March, 2008. e) General Body Meeting means the Annual meeting of the members of the Association held as per the provisions of rules of the association. 7. MEMBERSHIP Page4

a. Eligibility: Those who possess a post graduate degree or equivalent qualifications can become members of the association. b. Membership Procedure : All members are life members and must pay membership fee at the time of joining the association.there will be a lump sum payment of a single installment on application. Application for membership of the association should be submitted in the prescribed form to the secretary.all members of the central body also. Membership of central API should be taken by all members c. Membership Fee : The amount fixed for life membership is Rs 1500-/ (rupees thousand five hundred only) d. Membership Register : A membership Register containing the names and addresses of members shall be kept at registered office of API Kerala Chapter. On receiving information from members, all changes pertaining to the members including their citizenship or addresses shall be recorded in the register. 8. OFFICE BEARERS AND EXECUTIVE COMMITTEE: The following office bearers elected from the members shall constitute the executive committee: President -1 nos Vice presidents-3 nos General secretary -1 nos Treasurer-1 nos Executive committee members shall be - 14 members from each of the districts of Kerala (one from each district) and Immediate past president and secretary 9.ELECTION OF OFFICE BEARERS Page5

a) Eligibility: i. President- The president will be elected every year from among the members of the Association.He shall hold office for a term of one year.the president will preside over all meetings.in the absence of the president, the vice-president will discharge the duties of the president. He should be an active Ordinary Life Member of the association for at least 10 years and should have served as an Executive Committee Member of the association for at least 1 term. He should be a resident of Kerala at the time of election and should have attended at least 5 meetings of API Kerala Chapter over the last 5 years. He shall hold office for a term of 1 year. The President will preside over all meetings. ii. Vice President: The vice president will be elected from among the members of the association. The term of office is one year.he should be an active Ordinary Life Member of the association for at least 10 years and should have served as an Executive Committee Member of the association for at least 1 term. He should be a resident of Kerala at the time of election and should have attended at least 5 meetings of API Kerala Chapter over the last 5 years. iii. General Secretary S ecretary: The General Secretary shall be elected from among the members of the Association. The General Secretary should be an active Ordinary Life Member of the association for at least 5 years and should have served as an Executive Committee Member of the association for at least 1 term. He shall hold office for a period of 3 years iv. Treasurer:The treasurer shall be elected from among the members for a period of one year but extendable up to three years.treasurer shall preferably be from the palace of general secretary. The Treasurer should be an active Ordinary Life Member of the association for at least 5 years. The treasurer shall be elected from among the members for a period of 3 years Page6

v. The executive members :Fourteen members shall be elected annually for a term of one year. The executive committee consists of the president, vice president, general secretary, treasurer, fourteen executive committee members and the immediate past president and secretary. Executive committee shall function for one year only. The executive committee shall meet as and when required, at least four times a year. b) Election procedure: Election of different posts shall be made during the annual general body meeting At any General Body Meeting a resolution put to vote shall be decided on a show of hands unless a poll is demanded by any member of the Association. The majority decision shall be binding on the members. Each one of the members of the Association present at the meeting shall have one vote only. In the event of a tie in the result in voting the President shall exercise his casting vote. A. API Kerala chapter will have an annual election and the office bearers will assume charge in the annual general body meeting. B. API Kerala chapter election will be conducted during the annual general body meeting C. returning officer will be nominated in the branch general body meeting. D. A member is eligible to contest for any official post of API Kerala chapter only after completing 2 yr of API Kerala chapter membership and she or he should have attend at least 50% of the previous 2ys API meeting E. A member who is elected to a particular post of API Kerala chapter must be present in person in the annual general body meeting to assume the post. Absence of such persons automatically cancels his post.the opposing candidate will assume charge in such an event F. Election will be held annually for the following post 1. one President 2. 3 Vice presidents 3. one hon. secretary 4.one treasurer Page7

5. one join secretary 6. Executive committee members-14 (Preferably from different districts. Past president and secretary will also be executive committee members. G. Members must apply in prescribed form of nomination for any post which will be published in the circular when the election is announced. Election announcement will come in the annual quarterly meeting. All procedures for the postal ballet will be observed like in any other associations.election will be completed before annual general body meeting and elected members will be informed sufficiently early final result of election will be announced in the annual general body meeting. if no nomination are there by post ballets election will be held in the annual general body meeting. H. decisions of the returning officer will be final in case of any dispute 10. DUTIES OF OFFICE BEARERS a) President: The President shall preside over the General Body, Governing Body, and all other official meetings & functions of the Association. The President shall guide the activities of the Association and its aims & objectives. The President may allocate all or any of the powers and duties under this or any other clause of the constitution to any other office bearer as he/she may deem fit and necessary for the discharge of his duties. b) Vice Presidents: The senior most Vice President will preside over the meetings in the absence of the President.The Vice Presidents will act according to the duties assigned by the President and actively help the President to further the aims and objects of the Association in general. c) General Secretary S ecretary:the secretary shall be responsible for carrying out the directions and decisions of the executive committee and the affairs of the association as put down in the constitution.the secretary shall: i. Periodically hold executive committee meetings in consultation with the president Page8

ii. Hold periodical meetings of the General Body in consultation with the president iii. Keep minutes of the meetings of the Association (both executive committee and general body). iv. Maintain a register of the members of the Association. v. Prepare reports of the activity of the association over 6 months and forward to the central body of the API Kerala Chapter after approval from the general body. vi. He should perform all duties in relation to the election of office bearers. vii. Have administrative control of the affairs of the association. viii. Have charge of all the correspondence of the association. ix. Perform all such duties that are incidental to the office. x. Forward the list of the new office bearers and amendments of the byelaw if nay to the Registrar of Societies, Commissioner of Income Tax (Exemptions) and to the Secretary, API Kerala Chapter. d) Treasur reasurer: The treasurer shall transact all money matters relating to the Association and also deposit the money in banks approved by the executive committee. He shall also maintain true accounts of all receipts and payments as well as expenditure and of other assets connected with or in anyway controlled by the association.he shall produce audited accounts every year in the General Body meeting. 11.MEETINGS a). General Body Meetings: Page9

There will be four meetings in a year. The meeting which is held in the end of the year will be the annual general body meeting. The office bearers to various posts will be elected during the annual general body meeting. In the annual general body meeting,the audited accounts of the association shall be discussed and approved. The accounts of the Society shall be audited by a Chartered Accountant to be appointed by the General Body of the Society. The general Body shall appoint Auditor or Auditors for the ensuing year and fix their remuneration Notice for the annual general body meeting shall be dispatched to the members at least 15 days prior to the date of the meeting under certificate of posting. The quorum for general body meetings is 15. b)executive Committee Meetings The general secretary shall convene executive committee meeting as and when required. The committee shall meet at least 4 times a year. Notice for the executive committee meeting shall be sent at least 2 weeks prior to the date of the meeting. Emergency meetings can be called by the secretary with 3 days notice The statements regarding income and expenditure of the association shall be discussed in the executive committee meeting before it is presented to the general body The quorum for the meetings of the executive committee will be eight. in the absence of the president and vice president, the members of the executive committee can elect a chairman from among themselves. If the secretary Page10

cannot attend the executive committee meeting he should entrust his responsibilities to the treasurer or any other member. in the event of resignation, demise or prolonged absence of general secretary/treasurer, the executive committee shall nominate one of the members of the executive committee to discharge the duties of the office till a new person is elected by the general body. 12.CONFERENCES The association shall conduct four conferences in a year. The conferences will be held in a suitable place in the state and a local member will be nominated as the organizing secretary for the conference. He will make all arrangements for the conference in consultation with the general secretary. The organizing secretary shall submit the account of the conference within 60 days of conference to general secretary. The balance will be remitted to the association s account. 13.AMENDMENTS Amendments to the Memorandum of association and Rules and by laws and byelaw can be made as follows: A notification of proposal of any amendment must be sent to the secretary of the association. If approved by the executive committee, the amendment shall be sent to all the members at least two weeks prior to the annual general body meeting. The amendment can be passed with three-fifth majorities of the members present at the meeting. 14 FUNDS AND ASSETS a) The property, moveable or immoveable, belonging to the Association shall vest in the Governing Body. b) No sale, exchange, mortgage, lease or other transaction of immovable property belonging to the Association shall be valid unless at least the President or any one of the Vice Presidents and the Honorary General Secretary execute the document concerned. c) The funds of the association shall be formed of Membership fee,contribution,donation,grants from any person and organizations, and surplus amount from conferences held. d) Accounts and other investments of the Association shall be jointly operated by the treasurer and any one persons out of the following two viz. the President, General Secretary.. 15.DISSOLUTION OF THE ASSOCIATION In the event of winding up or dissolution of the association the excess, if any that remains after the satisfaction of all the debts and liabilities shall be transferred or handed over by the general body to an association or association with similar objects of a charitable nature and that the members shall not get a share in the assets or income of the association. In the event of any such association not in existence, it shall vest with the government We, the below said persons assembled and have decided to form a Society in accordance with the Rules & Regulations contained in Travancore, Cochin, Literary, Scientific and Charitable Societies Registration Act,1955 (12 of 1955).
