The meeting was called to order at 9:3 KAIA Board of Directors Meeting February 27, 214 Topeka, KS In attendance: President Bob Wood, President-elect SueAnn Schultz, VP/Treasurer Dusty Davis, Assistant Treasurer/Secretary Lyle Davidson, Immediate Past President Tim Tyner, State National Director Bob Fee, Lonny Claycamp, Scott Strong, Rob Lessen, Lee Gleason, Jim Runnebaum, Kristy Wilson, Ron Bolz, Doug Smart, Chad Fuqua, and Ryan Murry. Absent: Jim Wilkinson (retiring) Staff present included Kerri Spielman, Bob Harris, Joan Sutton, Shannon Bower, Lisa Parkhurst, and Stephanie Mulholland. Lonny Claycamp moved and Doug Smart seconded approval of the consent agenda and minutes of the December 13, 213 meeting. Motion carried. Ownership Thinking A presentation was made by Kristin Scott of Scott HR (consultant to KAIA) regarding Ownership Thinking training for KAIA and potentially for members. Executive Report The sign in front of the building will be replaced. Staff is in the process of receiving bids for security of the building. The investment policy is going to be reviewed and a meeting with GTrust advisor will be scheduled. Staff will proceed with Ownership Thinking process. Staff Report There is one staff vacancy position. Hiring process has begun. Finance Report Dusty Davis presented the financials noting any noticeable difference from last year comparison and providing explanation for those differences. The audit for 213 was presented and reviewed. Question was raised regarding revenue number for FY212-213. Staff will review with the accountant. Jim Runnebaum moved, and Lee Gleason seconded, approval of the Financials and audit. Motion carried. Membership Committee

Discussion focused on the dues process. The committee met on 1/14/14 to discuss the dues. The recommendation from the committee is to find out who the Life & Health agents are and take a survey as to why they are members. They are also to look to see if there is a legal issue to verify P&C revenues by reviewing E&O apps. New members were presented for approval. Chad Fuqua moved and Doug Smart seconded approval of the new members. Motion carried. Government Affairs Progress of the KAIA sponsored and supported legislation was given to Board members. Updates on bills not officially introduced or not moving was noted. Discussion also focused on the national crop insurance rebating notice that went out to companies. Board members also reviewed the Kansas Agents Legislative Day program and its usefulness and success. Committee members recommended increasing KIAPAC dues from $75 to $1. Members discussed development of an informational toolkit for all insurance commissioner candidates which would include an electronic spreadsheet of member agencies and their business contact information. Board members asked that KAIA members be given the option to opt-out of having their agency on the spreadsheet. Lee Gleason moved, and Scott Strong seconded approval to pursue legislation, raise KIAPAC dues, and move forward with development of a toolkit. Motion carried. National Director Report In addition to talking about CAP, staff updated the board on National s strategic plan effort No action necessary. Next Board meeting is June 1, 214. Meeting adjourned.

AScK / Marketing Reported By: Doug Smart Period Covered: February 27, 214 June 1, 214 Date of Report: June 1, 214 AScK s last Board Meeting was May 15, 214 AScK Budget 9/1/13 4/28/14 (attached) and Production January 1 May 3, 214 (report attached): Because of lost accounts in our E&O program our total production is down YTD.7% ($34,732.83) Contingency Payments EMC $6,37.12 Swiss-Re $4,91 New Personal Lines Market We have been looking for an additional personal lines market. We had completed the appointment paperwork for Allstate. I received a call from the Sales Reparative and he said we were not approved for appointment. The company did not want to appoint operations like ours on a local basis. Appointment of aggregators is handled at the national level. He is still looking for agency appointments in the state of Kansas but his company is not ready to appointment an organization like AScK. Cyber Liability We have contracted Arlington Roe, a broker, using Beazley as the company to write cyber liability for insurance agents. Currently, we have written 4 accounts and have others submitted. Oak Street Funding (attachments) Oak Street Funding is a financing company exclusively for insurance professionals. We are looking at working with them as an associate member of KAIA. Kelly Drouillard is the local Director of Strategic Markets and will be working with those members interested in agency funding. The AScK board approved working with Oak Street Funding, and would like to get the approval of KAIA board. Oak Street is different from InsurBanc, banking services we have available through national Big I. With Insurbanc, in order to obtain business funding other services are required to qualify for the loans. Oak Street will offer loans to our members for a number of reasons (see attached) without requiring additional use of other services. We (KAIA) will revenue share for loans made to our members. There are several revenue sharing programs depending on amounts of total loans, number of loans etc. We did not negotiate final arrangements; however we will be in a better position once we have a working relationship.

Travelers Commercial Surety (attachments) Travelers would like to contract with AScK for their Commercial Surety line of business. There is no minimum premium requirement. The AScK board has approved and would like the approval of KAIA board. Angela Adams Consulting For a couple of reasons, we have considered two different vendors to outsource some of the work load in AScK. After reviewing the opportunities and costs, we have decided to contract with Angela Adams Consulting. They have the experience with similar operations (other state associations) and AMS36 knowledge to help us with our processing. We will also have them audit our processes and train us to use our system more effectively. We will be looking to them in the future for consulting services as well as to create a procedure manual for AScK.

CONSUMER & TECHNICAL ADVOCACY Report by: Lee Gleason, Chairman Period Covered: February 27, 214 June 1, 214 Date of Report: June 1, 214 The committee met by conference call May 15, 213: Committee updates: Staff reviewed the MAIC mission and date for conference this year. Members agreed to consider sponsoring a CTA member or other individual to build awareness of the effort. Neither work comp bills passed that would have affected the KWCIP and the threshold and split point. Staff will work with the GA Comm on whether to pursue legislation in the next session. Net reporting of claims has been resolved by a change made by NCCI. Staff reviewed the Insurance Day panel members and asked for submission of panel questions from the committee members. Members had asked to bring more awareness to the CTA committee suggestions were made to have them be a sponsor of certain training/education programs. Reported by: Rob Lessen Period Covered: Feb. 27 to June 9, 214 Date of Report: June 1, 214 Last meeting: Feb. 26, 214 Interim Activity: Government Affairs Committee One-Pager KAIA Priority Bills Allowing Self-funded Association Health Plans (SB 39) SIGNED INTO LAW. The bill passed almost unanimously in both the Senate and the House. It was signed into law by Governor Brownback and goes into effect on July 1. The bill will allow trade or professional associations the option to establish a self-funded health insurance plan. Eligible association must be incorporated in Kansas, have at least five members, and have been inexistence for at least five years. Staff requested a ceremonial bill signing in late April, which was attended by legislators and KAIA members. Prohibiting Most Favored Nations Clauses (SB 336/HB 2587) NOT CONSIDERED. This bill was brought forward late in the Session by lobbyists for Aetna. Neither the House nor Senate insurance committee chair would grant a hearing. Background Checks for Navigators (SB 362) PASSED SENATE. The bill passed the Senate almost unanimously and received a hearing in House Health. However, the House committee tabled the bill after the hearing and would not bring it before the full House for a vote. Work Comp Assigned Risk Pool (HB 2615) PASSED HOUSE. The bill passed the House, but too late in the Session to be considered by a Senate committee. Work Comp Threshold/Split Point (HB 264) RECEIVED HOUSE HEARING. The bill received a hearing in House Commerce, but the committee took no action on the bill. KIAPAC KIAPAC made contributions totaling $16, during the Jan. 1-Dec. 31, 213 cycle. The committee met June 5 to determine contributions for the Jan. 1-Aug. 5, 214 Primary Election cycle. KIAPAC checks will be disbursed at the Town Hall meetings scheduled for the week of June 16 th. The location of the meetings and the meals were strategic to draw more legislators and build awareness that independent insurance agents are business owners (not company employees). CROP REBATING KAIA had been contacted by members about concerns over rebating in the crop insurance market. Will Larson made an inquiry with the USDA on behalf of KAIA. As a result, the USDA sent out a reminder to carriers in Kansas regarding the federal laws and enforcement surrounding rebating. Specific examples would be needed for the USDA to take further action. No action needed at this time

Communications/Trusted Choice Committee One-Pager Reported by: Ron Bolz Period Covered: Feb. 27 to June 9, 214 Date of Report: June 1, 214 Last meeting: September 11, 213 Interim Activity: Trusted Choice Marketing Campaign Staff has incorporated use of the new Freedom Campaign materials into the association s radio, billboard and overall marketing campaign. The news and ag network radio spots are running now and newspaper ads are set to begin in August. The online Find Your Agent lookup tool has been launched at www.kansastrustedchoice.com. It allows consumers to quickly and easily find their nearest independent agents by entering their own county, ZIP code or street address and hitting the search button. Consumers are being directed to the online tool through the statewide media campaign. Staff has included articles about the Freedom Campaign and the availability of templates for agents to use in Kansas Agent and KIA&B. Another feature story on the materials and the association s investment in the statewide campaign is included in the upcoming issue of KIA&B. Staff will present on the opportunities available to agents during the Road Show (zone meetings). The presentation will cover the association s investment in a statewide campaign, as well as how agents can utilize the co-op and the ready-made ad templates. Member Communications We continue to see readership for both email newsletters well above the industry average of 17.1%: o Kansas Agent readership is averaging 28.44% with our highest week at 43% Highest week was first issue of the year stories on New Year s resolution on member benefits, Rural & Small, Government Affairs Committee o Capitol Notes readership is averaging 28.54% with our highest week at 32% Highest week was 2/7/14 stories on COI, work comp, farm bill o KIA&B the magazine is currently being distributed to 758 agencies, companies, state associations and industry partners. We are averaging $9,168 in ad revenue per issue this year vs. $6,983 per issue this time last year o Website The site has had 11,276 visitors to date in 214, averaging 2,255 visits per month. Almost 61% of those have been new users. Make-A-Wish Marketing KAIA has been approved for the $7,5 Make-A-Wish grant offered through Trusted Choice. Make-A-Wish has identified a 17-year-old Wichita boy with leukemia to be our wish child this year. His wish is to swim with the sharks. Staff will be working with Make-A-Wish to coordinate a media event with local agents tentatively in late July. No action needed at this time

We have created a new site called www.kansastrustedchoice.com. This website allows visitors to just enter one piece of information a zip code, address or county to find all agents in particular region. The trustedchoice.com site makes it difficult for a visitor to just quickly find an agent with just a couple of keystrokes. Government Affairs Mobile App Working on getting the Government Affairs app to a different platform. This will save $1 a month and give us more access to make changes when needed. The current Government Affairs app is available in Google Play and itunes store. No Items for Board Approval
