Annexure-I MAIN TERMS AND CONDITIONS OF SELECTION AND APPOINTMENT OF PROGRAMMER (Regular)2012 In this document unless otherwise stated Company or Organization as and when used, means Madhya Pradesh Poorv Khsetra Vidyut Vitran Company Limited Jabalpur. Educational Qualification: Age Limit: 1. The candidate should be a MCA or B.E./B.Tech in Computer Science/ Electronics & Communication Engineering / Information Technology (or any equivalent graduate degree in relevant branch of engineering) from a Institute recognized by AICTE or a University recognized by University Grants Commission, with minimum 65% marks in aggregate in case of General & OBC category candidates and 55% in case of SC/ST category candidates. The candidates appearing in final Semester/Year exam of the Qualifying educational qualification may also apply and in such cases the average marks prior to the final year/semester should be minimum 65% and 55% respectively for General / OBC and SC / ST categories. Such candidates, if selected for interview, shall have to produce the proof of having passed the qualifying examination with minimum stipulated qualifying marks for the respective category before appearing for personal interview, otherwise their candidature shall be cancelled. 2. The candidates having MCA or B.E. / B.Tech in Computer Science/ Information Technology (or any equivalent graduate degree in relevant branch of engineering) should also have following certification(any one of these): (i) Sun Certified Java Programmer(SCJP) / Sun Certified Java Developer(SCJD) (ii) Oracle Certified programmer (OCP) (iii) Microsoft Certified Solution Developer(MCSD) OR The candidates having B.E./B.Tech in Electronics& Communication Engineering should be CCNA Certified. 3. The age of the candidates should not be less than 21 years and more than 30 years as on 30.06.2012. Candidates belonging to SC / ST / OBC / Physically Handicapped categories, widow/ Divorcee lady candidates, Ex. Serviceman will get relaxation in upper age limit to the extent of five years. Selection Process: 4. The eligible candidates will have to undergo a written test comprising of questions on Information Technology, Computer Science, Logical Reasoning, General Aptitude and General awareness. 5. Based on performance in the written test, candidates shall be called for Personal interview. 6. Final merit list will be prepared giving 80:20 weightage to candidates for marks obtained in the written test and marks obtained in interview. Page 1 of 1

Reservations: 7. The reservation of posts meant for SC / ST / OBC / Physically Handicapped shall be applicable only for the candidates of Madhya Pradesh Domicile. Such candidates shall be required to submit a proof of Domicile in M.P.State. 8. For application of reservation, the state level roster shall be followed. 9. The SC / ST category candidates belonging to other States shall be considered as general candidate for all purposes except for reimbursement of fare as per applicable rules for attending the Written Test / Personal Interview. 10. For availing the benefits of reservation, the candidates shall be required to produce Service Certificate / Death certificate of husband/legal proof of divorce/medical Certificate / Caste Certificate issued by competent authority / SDO (Revenue) of concerning jurisdiction. General Conditions Regarding Eligibility: 11. The candidate should be an Indian national. 12. The Candidates working in Government / Semi Government / Public Sector organizations, satisfying the eligibility criterion, education and age, shall have to apply through proper channel; otherwise their candidature shall not be considered. 13. The Candidates, who have a third child born on or after 26.01.2001 are not eligible to apply unless twins are born after first child. 14. The Candidate must possess sound health. General Terms and Conditions Regarding Conduct: 15. During the period of training and on engagement as Programmer or equivalent, the candidate shall abide by the rules and regulations governing conduct, as may be made applicable / amended from time to time, in the Distribution Company. Position of Appointment: 16. The selected candidates after stipulated period of successful training will take up the role of Programmer or equivalent. Training: 17. The selected candidates will undergo 6 months training. Each module of the training shall be evaluated followed by final appraisal. The appointment shall be cancelled in case the candidate does not get the minimum marks required for successful completion of the training or the training may be extended for a considerable period as deemed fit by the Company at its discretion. 18. It is compulsory for the candidate to join the training on the stipulated date failing which the appointment offer shall be deemed cancelled. The trainees shall not be reimbursed any traveling expenses incurred by them in order to join at designated location. Page 2 of 2

Probation: 19. The Programmer, after the successful completion of the training period of 6 months, shall be appointed as Programmer or equivalent, and will be on probation for a period of two years during which time his / her performance will be monitored. This period may be extended at the Company s discretion. The candidate will be-deemed to be on probation unless a letter of confirmation in writing is issued by the Company. 20. The Programmer on probation shall complete probation once they have received a rating of B and above during the probation year. Any rating less than this shall lead to extension of probation. Location and Transfer: 21. The Company may change the place of work / training from time to time in accordance with operational requirements. By accepting this position, the trainee acknowledges that he / she may be required to be transferred to the office of a client or another office of the Organization or its sister concerns whether existing or set up in the future within India, or at an overseas location. Your acceptance of this contract indicates that you agree to be transferred as per the business exigencies of the Company. Accommodation: 22. During Training the Programmer shall be provided hostel accommodation on sharing basis as per their need while they are in Jabalpur (however they will have to arrange for bedding as per requirement at their own). They shall also be provided accommodation in the external institute during the period of training. The accommodation facility during on-job training & rotational training at various locations of the Company s operation may be provided subject to availability. In case accommodation is not available the trainee will be required to make his / her own arrangement. Compensation: 23. The Programmer shall be paid in the pay scale of Rs.15,600 in the wage structure of the Company with other allowances as indicated therein, in accordance with the Rules and Regulations laid down by the Company. New Defined Contributory Pension Scheme: 24. On appointment as Programmer the services shall be governed under the New Defined Contributory Pension Scheme. Medical Examination: 25. At the time of joining, the candidate shall submit a medical fitness certificate issued by any of the Divisional medical Boards in MP or a Hospital/Dispensary of MP Power Management Company Limited, Jabalpur, failing which the candidature shall be cancelled. Reference Check, Character Verification & Caste Verification: 26. The initial admission to the training and subsequent appointment will be subject to satisfactory verification of character and antecedents as well as a police verification report as per the Rules and Regulations laid down by the Page 3 of 3

Company. The candidate s appointment will be subject to satisfactory character verification report and on receipt of any adverse information the appointment will be liable to be terminated immediately. At the time of reporting the candidate is required to submit Character Certificate attested by a Class-I Gazetted officer in prescribed format. Till satisfactory verification the appointment shall remain provisional. 27. In case of SC/ST/OBC category candidates the appointment shall be subject to verification of caste from competent authority in addition to character & antecedent verification. In case it is found that the caste is not covered under the reserved category as specified in schedule of M.P. or the caste certificate submitted is false / fake, the appointment of the candidate shall be revoked immediately and appropriate action shall be taken for submission of wrong information. Service Agreement - cum Surety Bond: 28. The Programmer will have to execute a Service Agreement-cum-Surety Bond in prescribed format, at the time of reporting, on Rs.250.00 (Rs. Two hundred fifty only) non-judicial stamp paper, to successfully complete the prescribed training and thereafter to serve the Company for a period of 5 years. If the Trainee fails to do so, then he/she and the Surety shall be liable to pay the Company an amount of Rupees One Lakh only (Rs.1,00,000/-) for General/OBC category candidates and Rs. Fifty Thousand only (Rs.50000/-) for SC/ST category candidates plus the stipend paid to him/her. Holiday & Leave: 29. List of Holidays will be notified every year by the Company. 30. During the period of training, the Programmer will be eligible for casual leave for a maximum of 3 days. Medical leave up to 5 days during the training may also be granted to the Programmer who is unable to attend duty owing to illness. 31. Any holiday intervening during the period of Medical leave shall be treated as medical leave accounted for in the limits prescribed under clause (29) above. 32. The Company may call upon the Programmer to produce a medical certificate from a registered medical practitioner in support of his/her medical leave. A medical certificate shall, however, be necessary if the leave exceeds 3 days. Tour and Travel: 33. During the training period, as well as after appointment of the candidates as Programmer the selected persons shall be entitled for traveling and daily allowances as per the rules applicable for the officers of the rank of Assistant Engineer (Distribution) or equivalent of the Company, while on tour in relation to performance of official duties. Exclusivity of Engagement 34. Whilst employed with the Company, the Programmer will not be permitted to undertake any other employment or engage in any external activities of a commercial nature without the written permission from the Company. In case Page 4 of 4

the conduct of Programmer is found to be in contravention of the provisions of this clause, then his/her appointment would be terminated without assigning any reasons thereof. Code of Conduct: 35. The Programmer will be required to maintain the highest standards of personal conduct and integrity and comply with all policies and procedures as laid down under MPPKVVCL human capital manual as adopted by the Company. Any violation of these policies or any other organizational procedures may result in disciplinary action being initiated against him/her including termination of the services from the organization. Confidential Information: Notice Period 36. The Programmer shall observe utmost confidentiality and secrecy of any and all information received by him/her or entrusted to him/her in the course of his/her engagement. He/She shall at all times, whether during or after the termination of employment, act with utmost integrity and not disclose or divulge any such information. 37. The Programmer hereby undertake to the Company that he/she shall: a. Use the Confidential Information only for the purpose to perform the Services in the Company and not for any other purposes. b. Preserve the secrecy of any Confidential Information. c. Return to the Company all documents or other materials containing Confidential Information (including copies thereof) on completion of purpose or separation which ever may be the case. 38. For the purpose of this Clause, Confidential Information shall mean any knowledge or information (whether oral, written, visual or otherwise, hard or soft copy) concerning the business, affairs, operation, assets, organization, dealings customers, employees, officers and financial matter of the Company and shall include without limitation, the report, information, advice and recommendation (in whatever form) contained in any feasibility studies, valuation reports etc. 39. During the training period, either party can terminate the employment without assigning any reason whatsoever, as desired by the Company, by giving one month s notice or one month s stipend in lieu of notice, to the other party. The Programmer shall also be liable to pay the applicable bond amount plus the stipend in case he/she terminates employment during the training period. 40. During the probationary period and on confirmation, while within the period of Service Agreement-cum-Surety Bond (clause 27), the Programmer can terminate the employment without assigning any reason whatsoever, by giving three months notice or three months pay in lieu of notice, to the Company. In such a case the Programmer shall also be liable to pay the applicable bond amount plus the stipend and other expenses paid to him/her by the Company during the training period as notified in the Service Agreement-cum-Surety Bond. The selected candidates are required to bring the following documents at the time of reporting to the Executive Engineer (Training) MPPKVVCL at Central Training Institute, SP-2 Block, Behind Area Store, Nayagaon, Jabalpur:- a. Original and one set of certified copies of (i) (ii) (iii) (iv) (v) Electronics Engineering / Information Technology / MCA Degree course mark sheet for every year/semester of education. Electronics Engineering / Information Technology / MCA Degree certificate (provisional, if final degree not received). 10 th Board exam mark sheet as proof of date of birth. Annexure - II GUIDELINES FOR EXECUTING THE SERVICE AGREEMENT-CUM-SURETY BOND FOR PROGRAMMER ON REGULAR BASIS, BATCH-2012 Please read the following instructions carefully before you proceed to execute the Service Agreement-cum-Surety Bond. 1. The surety should be either a Government servant presently in service or a domicile of M.P. 2. The first page of the Service Agreement-cum-Surety bond should be printed and typed on Rs.250.00 (Rupees Two Hundred Fifty only) non-judicial stamp paper, with the specific purpose of executing Service Agreement-cum-Surety Bond in favor of M.P. Poorv Kshetra Vidyut Vitaran Co. Ltd. The additional sheets / continuation sheets used, if any, should be on a good quality watermark paper. Service Agreement-cum-Surety bond should be notarised. 3. The candidate and the surety should sign on all pages of the Bond. All cuttings, erasing, filling up the blanks by ink or over-writings if any, should be duly signed or authenticated by the executants. However, no cutting should be done on the first and last page. 4. The Surety should be a person of substantial means capable of paying the amount agreed in the Service Agreement-cum-Surety Bond (viz. Rs.thirty Thousand) and his Permanent Income Tax account Number (PAN No.) should be indicated in the Bond, legible under his / her signature. The Surety should also attach a photocopy of his / her PAN Card, duly attested by a Gazetted Officer. 5. Witnesses should be persons known to the Programmer (Regular) and Surety respectively. 6. The amount of Bond is Rupees One Lakh for UR / OBC category candidates and Rupees Fifty Thousand for SC / ST category candidates. 7. Leave the date blank on the first and last page of the Bond. 8. The last page of the Bond should be got so typed that signature of Programmer (Regular), Surety and the employer and those of witnesses appear in one page. 9. If surety is taken by parent of the Programmer (Regular), in that case the parent should be strictly a state / Central Government employee.

AND WHEREAS as per the Main Terms and Conditions of the said offer of appointment, the Programmer (Regular) is required to serve the Employer for a period of at least 5 years; AND WHEREAS as per the Main Terms and Conditions of the said offer of appointment, the Programmer (Regular) and his Surety are required to execute a Service Agreement-cum-Surety Bond on non-judicial stamp paper in favor of the Employer, to serve the Employer for a period of at least 5 years from the joining, failing which the Programmer (Regular) and the Surety shall be jointly and severally bound unto the Employer in the sum of Rs.1,00,000/- (Rupees One Lakh only) for Unreserved / OBC category candidates and 50,000/- (Rupees Fifty Thousand only) for SC / ST category candidates. AND WHEREAS the Programmer (Regular) recognizes and accepts that at the time of appointment as Programmer (Regular), except exposure to academic knowledge, he / she has received no formal, effective, technical or practical training enabling him / her to become commercially viable to the Employer; AND WHEREAS the Programmer (Regular) is aware that the Employer would be expending substantial sums of money and incurring substantial costs, expenses, man hours in the process of selecting and appointing him as Programmer (Regular); Page 1 of 1

AND WHEREAS it is understood by the parties that if the Programmer (Regular) leaves the services of the Employer before expiry of the bond period, he / she will not only impart and cause heavy financial losses to the employer, but also inconvenience, loss of resources, man hours, computer time etc; the Programmer (Regular) and the Surety undertake that they shall jointly and severally compensate the employer for all the expenses incurred by it; AND WHEREAS this Service Agreement-cum-Surety Bond executed with the Employer by the Programmer (Regular) along with a Surety to the extent Rs.1,00,000 (Rupees One Lakh only) for Unreserved / OBC category candidates and 50,000/- (Rupees Fifty Thousand only) for SC / ST category candidates is quantified damages based on the pre-estimate of the expenses / cost incurred upon the Programmer (Regular) for indemnifying the Employer against all losses or damages which the Employer may suffer by reason of breach and / or non-compliance of any of the terms of this agreement with the Programmer (Regular); AND WHEREAS the Programmer (Regular) also agrees that if he / she commits any breach of any of the conditions of this agreement, the Programmer (Regular) and the Surety shall be jointly and severally liable to pay to the employer on demand the above said sum of Rs.1,00,000 (Rupees One Lakh only) for Unreserved / OBC category candidates and 50,000/- (Rupees Fifty Thousand only) for SC / ST category candidates; AND WHEREAS in order to secure the Employer against the expenses incurred on appointment of Programmer (Regular) and to ensure due compliance of all terms and conditions stipulated by the employer and accepted by the Programmer (Regular), it is agreed that the Programmer (Regular) shall be liable to compensate the Employer in the manner and under the circumstances enumerated in this agreement; NOW THIS AGREEMENT WITNESSES AS FOLLOWS : 1. The Employer can terminate this agreement at any time without notice and without assigning any reason. 2. The Programmer (Regular) shall not leave the Employer during the period of service with the Employer for the stipulated period of 5 years, except for reasons of continued serious ill-health, incapacitating him to work, provided that such ill-health has not been brought about by his neglect, carelessness, design or misconduct, about which the decision of the employer shall be conclusive and binding. 3. If the Programmer (Regular) fails to serve the Employer for the stipulated period of 5 years, the Programmer (Regular) and the Surety undertake that they shall jointly and severally be liable to compensate the Employer for all the expenses incurred by it on account of and in connection with appointment. 4. The Programmer (Regular) / Employee as well as the Surety shall keep the Company indemnified, against each and every loss, damage, injury, liability etc. caused to or against the Employer due to any breach, act omission, negligence, default, failure of resumption of duties / of the terms of his employment or he / she fails to serve the employer for the stipulated period of 5 years or breach / non compliance of any of the terms of this agreement in any manner whatsoever and he / she shall be liable to pay on demand an amount of Rs.1,00,000 (Rupees One Lakh only) for Unreserved / OBC category candidates and 50,000/- (Rupees Fifty Thousand only) for SC / ST category candidates as quantified damages. 5. In the event of any default on the part of the Programmer (Regular) as stated herein above, the Employer shall be entitled to recover the said amount from the Programmer (Regular) / Employee and / or the Surety jointly or severally by instituting a legal suit for recovery under the special provisions of Order 37 of the Civil Procedure Code. 6. Provided always and it is hereby declared that the decision of the Employer as to whether the Programmer (Regular) / Employee has or has not performed and observed any of the obligations, terms and conditions herein before indicated shall be final and binding on the parties hereto. 7. Provided further that any forgiveness or forbearance on the part of the Employer or its successors, administrators and / or executors or any of them towards the Employee in respect of his failure, neglect, default, etc., responsibilities or his quitting service or breach of any of the terms of employment or those of this agreement shall not in any way release or exonerate the Programmer (Regular) or Employee or his heirs, executors, or administrators in respect of his liabilities in terms of this bond / agreement. 8. The Employer can transfer / assign to the Programmer (Regular) / Employee any work in his subject or associated field either in any of its own establishment or in an establishment of any group Company / sister concerns / subsidiaries whether existing or that may be set up in future. 9. The Programmer (Regular) shall be appointed as Programmer (Regular) and will be on probation for a period of 2 years, which period may be extended for a further period at the sole discretion of the Employer. 10. The Surety hereby undertakes and accepts that his liability is coextensive with that of Programmer (Regular) that he shall be jointly and severally liable with the Programmer (Regular) for payment of all amounts that may become due and payable under this agreement, that, he / she is aware and accepts the special nature and character of the deputation of the Programmer (Regular) as well as the manner of computation of damages / compensation; that the Employer shall be at liberty to enforce this guarantee / Surety furnished by him without necessarily seeking to enforce the same against the Programmer (Regular) in the first instance; that the Employer shall be entitled to proceed either against the Programmer (Regular) or Surety or both for recovery of any amounts due under this agreement. Any demand made on the Programmer (Regular) under this agreement shall be deemed to be sufficient notice of such demand to the Surety also; and that the Surety guarantees the satisfactory performance of each of the clauses, terms, obligations and conditions of this agreement. 11. The Programmer (Regular) agrees to diligently, faithfully and to the best of his ability conduct and behave himself honestly and obediently towards his superiors and management of the Employer and will devote his whole time to the duties assigned to him by the Employer and will not engage directly or indirectly in any trade, business or occupation till the end of the period for which he / she is bound to serve the Employer. 12. The Programmer (Regular) shall observe secrecy and / in no way divulge or disclose to any person or persons what-so-ever, the secrets entrusted to him or coming to his knowledge in the course of service with the Employer either in relation to its work, business or its customers. 13. The Programmer (Regular) shall not commit or cause to be committed any waste, damage or other injury to the property and / or goods of the Employer not shall he lend any such property or goods to any persons without the permission of the management of the Employer. 14. The Programmer (Regular) shall on the termination of his service by the Employer or on his / her leaving the said service, whenever it may happen, shall account for, pay and peacefully deliver to the Employer all the stocks in trade, books of accounts, documents, papers and effects that are in his possession and custody and belonging or relating to the Employer. 15. For matters not provided for in this Service Agreement-cum-Surety Bond, the Programmer (Regular) shall be governed by the offer of appointment and Rules and Regulations of the Employer in force and amended from time to time. 16. In case the Programmer (Regular) does not comply with the terms and conditions contained in the offer of appointment or the Rules and Regulations of the Employer or the covenants contained in this bond, the Programmer (Regular) and his Surety undertake that they shall jointly and severally pay to the Employer on demand without any demur the amount demanded by the Employer towards the expenses incurred by it on account of and in connection with including cost of supervision, overhead charges, direct and indirect expenses incurred by the Employer, else the Employer will be at liberty to initiate appropriate legal action under Order 37 of the Code of Civil Procedure. 17. The jurisdiction for all the legal matters with regard to Service Agreement-cum- Surety Bond shall be the appropriate court at Jabalpur (M.P.). Page 4 of 4
