October 26, 2013 TO ALL MEMBERS, FRIENDS AND GUESTS OF THE GEORGIA FEDERATION OF REPUBLICAN WOMEN In accordance with the Bylaws of the Georgia Federation of Republican Women (Article VIII, Sec. 1 [B], I Rose Wing, President of GFRW, hereby issues the Official Call to the Georgia Federation of Republican Women s 28th Biennial Convention and to the Delegates to the GFRW District Conventions. Delegated representatives of the members of GFRW are requested to present themselves for this Convention on October 26, 2013, 9:00 AM in Marietta, Georgia. Included with this Call is the Convention Agenda including such business as should properly be conducted by the delegates, including election of officers for the 2014 2015 term, adoption of resolutions, hear committee reports, and any additional business appropriate for consideration. Location Hilton Atlanta/Marietta Conference Center and Hotel Address: 500 Powder Springs Street Marietta, GA ZIP 30064 Phone; 770-427-5200 www.mariettaatlantaconferencecenter.com Convention Registration Fee Early Registration Fee of $50 includes the Thursday Seminars, Friday Tours, Friday Evening Reception and Lunch on Saturday. Additional Lunch tickets may be purchased for non-convention participants at $40 each. Guests The Convention is open to all members and their guests. Fully registered guests may attend the Friday Evening Reception which will celebrate the 75 TH Anniversary of NFRW. Fully registered guest may attend all sessions of the Convention upon payment of the Registration Fee. A separate reception will be held on Friday Night, October 25, 2013 at 5:30 (location to be announced) for members of the Reagan Club.

Hotel Reservations Please make your own hotel reservations by calling the Hilton Atlanta/Marietta Hotel and Conference Center directly or on line. Identify yourself as a member of GFRW. If they ask for a code give GFRC. If you go on line you will have to give the code. Dead line for hotel Registration is October 10, 2013. Resolutions Resolutions must be submitted in writing to the Chairman of the Committee seven days prior to the Convention. Resolutions may be presented to the Convention only through the Resolution Committee and may not be presented as a motion by an individual or club. Names of newly elected Directors are to be reported to First Vice President, Judy True, immediately following the caucus.

District Directors and Committee Chairmen are requested to submit written reports to Rose Wing seven days prior to the meeting. Reports may be emailed to: wingr@bellsouth.net. Proposed Bylaws Changes The following proposed amendments are the only proposed changes to the Bylaws, by the Bylaws and Rules Committee, therefore, any Article, Section, or Subsections not contained herein remain in full force and effect as approved October 1, 2010. Proposed Amendment No. 1: ARTICLE IV: OFFICERS AND THEIR DUTIES Section 2. Eligibility A. NO CHANGE B. NO CHANGE

C. Candidate for President must satisfy at least ONE (11) of the following criteria: 1. Served as a Chairman of a GFRW Standing Committee for at least one (1) term and has served as a local Club s President for at least one (1) full term as prescribed by the local Club s Bylaws 2. Served as a GFRW Standing Committee Chairman for at least two (2) terms. an Officer on the GFRW Executive Committee for at least one (1) full term. 3. AND satisfy at least one of the following: i. Served as Chair of a GFRWStanding Committee for at least one (1) full term. ii. Served as Chair of a GFRW Special Committee for at least one (1) full term. iii. Served as Vice Chair of a GFRW Standing Committee for at least one (1) full term. iv. Served as Vice Chair of a GFRW Special Committee for at least one (1) full term. v. Served as District Director for at least one (1) full term. vi. Served as a committee member of a GFRW Standing Committee for at least two (2) consecutive terms. RATIONALE: The current provisions for eligibility limited the number of individuals that would qualify for the office of GFRW President. The proposed changes offer a greater combination of experiences to meet the eligibility requirements for GFRW President. Duties of the President A. NO CHANGE B. Provides a list of recommended committee chairs and members vice chairs, except Nominating Committee, to the Executive Committee for approval no later than the first meeting of the Executive Committee. Proposed Amendment No. 3: ARTICLE V: BOARD OF DIRECTORS, EXECUTIVE COMMITTEE AND DISTRICT DIRECTORS

Section 1. Board of Directors A. NO CHANGE B. Proxy Voting: 1. The president of a Local Club may appoint a member of her Executive Committee one of her elected officers as her proxy, with full voting power. 2. No member may hold more than one proxy, for a total of two votes. RATIONALE: The purpose of the proposed amendment to Subsection 1.B.1 is to clarify that a club president may give her proxy to a member of the executive committee that has been elected by the members of the local club to represent them. The purpose of the proposed amendment Subsection 1.B.2. is to bring this section into conformity with Subsection 1.B.1, in that a proxy may only be granted by a club president to one of her elected officers. Executive Committee The Executive Committee shall consist of the GFRW officers, the Immediate GFRW Past President and the GFRW Parliamentarian, who is a non-elected, non-voting member. RATIONAL: The additional language is inserted for clarification purposes, and conforms with NFRW Bylaws ARTICLE V. Sec.1.B. BYLAWS COMMITTEE: Vivian Childs, Chairman Members: Tonya Boga Melinda Mock Ullanie Stokes Johnell Woody Report of the Nominating Committee Pursuant to Article VI, Section 1 #6, the Nominating Committee shall submit one nominee for each office in a report sent out with the Call thirty (30) days prior to the Biennial Convention to all members of the Board of Directors. The Slate will be presented at the Biennial Convention at the Hilton Marietta Conference Center in Marietta, GA on October 26, 2013. The report of the Nominating Committee is as follows.
