CONSTITUTION AND BY-LAWS OF THE MILTON GROVE SPORTSMEN S CLUB Article I Name The name of the Association shall be The Milton Grove Sportsmen s Club. Article II Purpose The purpose of this Association is to protect and propagate game and fish and to assist in the conservation of forests and streams. Also to assist in the making of game and fish laws and to foster and perpetuate a feeling of goodwill between fellow sportsmen, farmers and game and fish authorities. Article III Membership The membership of this Association shall be divided as follows: annual, life and honorary, as prescribed hereinafter by the by-laws. Article IV Officers The officers of the Association shall be elected and shall consist of the following: 1. President 2. Vice President 3. Recording Secretary 4. Financial Secretary 5. Treasurer 1

Section II. The Board of Directors shall be composed of the elected officers and four additional members of the Association, also elected. One of the four additional members shall be elected each year with term of office to be four (4) years. Article V Committees The committees of the Association shall be established annually or as deemed necessary, by the officers. Article VI Meetings Section II. Section III. Section IV. The regular annual meeting of the Association shall be held on the last Friday of December at 7:30 PM or at such other date and time as the Board of Directors may set. The regular meetings of the Association shall be held monthly on the last Friday of the month. Special meetings may be held at the request of either the Board of Directors or at the request of the members present at any meeting. Every member shall be notified of all special meetings. A quorum to transact any business at any regular or special meeting of the Association shall consist of the number of members present. Article VII Finance In the event it ever becomes necessary for the Association to raise special funds for the advancement of the Association, as herein set forth by the constitution and by-laws. The Board of Directors shall recommend to the members of the Association at any regular or special meeting a method by which sale conditions may be established. 2

Article VIII Amendments Amendments to this Constitution must be proposed in writing at a regular or special meeting and signed by at least seven (7) members in good standing. The said proposed amendment or amendments shall be carried until the next regular or special meeting and signed by at least seven other members in good standing or by the majority of members present. Article IX Property Real estate and or other property requiring transfer to or from the Club shall be recorded in the name of Milton Grove Sportsmen s Club and shall remain the property of the Club. It can be released or transferred only upon authorization by the members of the club, at a regular or special meeting called for that purpose and then, only by a motion duly passed by a two thirds majority of the members present and recorded as a part of the minutes of that meeting. Such motion will be an authorization for the Treasurer, President and Recording Secretary to make such transfers the club may direct. Article X Dissolution In the event of the dissolution of the Milton Grove Sportsmen s Club by any means, no Officer, Shareholder or Member shall in any way receive monies or assets from said club. The Board of Directors, by a majority vote of all nine members as per Article IV Section II shall select to transfer the property and or monies of the club to a similar group or club. This would qualify as an Organization under section 501(c) of the Internal Revenue Code. 3

BY-LAWS Article I Nomination and Election of Officers Section II. Nomination of candidates for the elective offices of the Association shall be made by a nominating committee of five members, appointed by the President. The committee shall present the names of the nominees at the regular meeting in November. Additional nominations may be made from the floor at this time. The election shall be by ballot at the annual meeting in December and the candidates receiving the most votes shall be declared elected by the President. Vacancies in any office by death, resignation or otherwise shall be filled by the Board of Directors whose action shall be valid until the next annual election. Article II Duties of the Officer Section II. Section III. President: It shall be the duty of the President to be the Presiding Officer. He shall call all regular and special meetings as prescribed by the Constitution and it s by-laws. He shall affix his signature to all legal documents of the Association. He shall be chairman of the Board of Directors, an Ex-Officio member of all regular and special committees and attend to all other matters coming under his jurisdiction as President. Vice President: In the absence of the President at any regular or special meeting, as well as meetings of the Board of Directors and meetings of regular and special committees, it shall be the duty of the Vice President to assume the duties of the President. Recording Secretary: The Recording Secretary shall keep an accurate record of the proceedings of both the Association and the Board of Directors. He shall prepare, certify and sign all orders to the Association s Treasurer when directed to do so by the proper Authority. He shall notify the Board of Directors of all board meetings and attend to all matters coming under his jurisdiction. If the Treasurer is incapacitated for any reason and is unable to fulfill his duties of disbursing checks, the Recording Secretary shall have authority to do so. 4

Section IV. Section V. Financial Secretary: The Financial Secretary shall collect all membership dues and forward them to the Treasurer of the Association, taking a receipt therefore. He shall forward to each member the necessary credentials upon payment of dues and keep a true record of their standing. He shall notify all members of both regular and special meetings of the Association and attend to all other matters coming under his jurisdiction. Treasurer: The treasurer shall keep an accurate record of all monies received and disbursed by him, showing specifically for what account collected and for what purpose expended. He shall give a detailed account of all monies received and disbursed at each meeting. As well as a yearly report at the annual meeting. He shall deposit all monies belonging to the association in the bank so directed by the club in the name of the Milton Grove Sportsmen s Club, subject to withdrawal by check of the Treasurer of the Association. The Treasurer shall present all expenditures in excess of $500.00. For the authorization of payment at the regular monthly meetings. He shall attend to all other matters coming under his jurisdiction. Section VI. Board of Directors: It shall be the duty of the Board of Directors to meet once a year and as otherwise deemed necessary for the purpose if discussing and recommending that of which they may deem valuable for the good of the Association. Examine and audit the books and accounts of the Association and report all their actions at the next regular or special meeting. Five (5) directors present at any directors meeting shall constitute a Quorum. Article III Membership Annual Membership: Any person who is over twelve (12) years of age, is an American born or a naturalized citizen, is of good moral character and in full accord with and agrees to abide by the purpose of our club as outlined under Article II of the Constitution may attain annual membership. 5

Section II. Section III. Section IV. Life Membership: May be granted to any member 65 years of age or older who has been paid up member for the previous 10 years. Any member desiring to purchase a life membership must have been a member in good standing for five years and pay the required fee. The fee for a life membership shall be ten (10) times the current annual membership fee. All life members of MGSC 80 years old on or before December 31 of the current years will be given the honorary title of Senior Life Member (SLM). These Senior Life Members will not be counted in with the limited membership of 1350 members. The Financial Secretary will review this number in January of each year. Honorary Membership: May be granted to an individual at any regular or special meeting, who has performed a meritorious act or who has attained eminence in scientific pursuits in the advancement of the interest of fishing, hunting, forestation and/or the purification of the waters of Pennsylvania. Honorary members shall be exempt from payment of dues. All persons sixteen (16) or older must become a member of Milton Grove Sportsmen s Club in order to continue their using the clubs facilities and or attending club meetings. Section V. Application for Membership. The membership will be limited to 1350 members. Dues are to be paid by January 1. If your dues are not paid by January 31 you are no longer a member in good standing (and have no club privileges). As of February 1 your membership slot will be offered to those awaiting the opportunity to join the club. Openings in the clubs membership are made from those not renewing their annual membership and deceased members. Anyone requesting an opportunity to join the club must fill out a Request for Membership Form and mail it to the club. The request for membership form is down loadable from the clubs web site or a copy may be procured from the Financial Secretary. The post-marked date on the envelope will be used to establish membership on first come - first serve basis. If there are openings, individuals will be notified when to attend a meeting, at which time they will be able to fill out the membership form, pay their dues and be voted into the club. If there are no openings, applicants will be notified and placed on a waiting list. If, throughout the year, an opening becomes available the next in line based on the mailing date will be notified to attend a meeting to complete the membership form etc. Children (sons and daughters) of members in good standing (parents or legal guardians) who will be turning 16 years old during the calendar year have the first options for membership. If there are no openings, these sons and daughters will be issued a temporary membership. (Their card will be stamped TEMPORARY ). The 6

procedure will then be the same as with any new member. Attend a meeting, pay their dues, be voted in and stay for orientation. A Temporary Member will have all the privileges of a normal membership. When any of the (1350) membership openings becomes available, the longest standing Temporary Member will be granted membership status first. Article IV Dues The dues for annual membership shall be determined by the members of the Association at the regular meeting and shall be due as of January first (1) of the New Year. Dues not paid by January thirty-first (31) of the current year will result in the loss of membership. Section II. Membership for all military service personnel will be maintained at no cost to the member while under active duty status. After active duty status continuation of club membership is dependent upon compliance with Article IV, Article V Conduct of Members Any willful disregard or violation of the game and fish laws will not be tolerated by the Association and shall be a just and sufficient cause of expelling a member of the Association. The members of the Association shall foster clean sportsmanship. 7

Article VI Expulsion Section II. Any member of the association violating any article of this Constitution and or by-laws or any ruling of the Association subjects the said person to expulsion. Any member of the Association subject to expulsion may be expelled by a vote of the majority of the members present at any regular or special meeting. Article VII Conduct of Meetings Section II. All meetings of the Association shall be conducted according to recognized parliamentary rules. A majority vote of the members present at any regular or special meeting when properly called shall transact business, except wherein it is otherwise specified by the Constitution and by-laws of the Association. Any member who shall at any meeting make use of improper language or misbehave in any manner shall be subject to expulsion from the Association. The Following shall be the Order of Business: 1. Calling of the Meeting to Order. 2. Roll call of Officers. 3. Reading of minutes of Board of Directors meeting. 4. Reading of minutes of regular and special meeting of the Association. 5. AMENDMENTS TO THE MILTON GROVE SPORTSMEN S CLUB CONSTITUTION Attached are the Amendments to the Constitution of the Milton Grove Sportsmen s Club. The attached Amendments were proposed and signed by members in good standing and accepted and signed by members in good standing. Any questions or comments concerning these Amendments should be directed to the Board of Directors. AMENDMENTS 1. September 28, 1973 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that Article IV, Section I, regarding the limitation of two terms in the same office be deleted. The two (2) year limitation was instituted by an amendment adopted October 31, 1958. October 26, 1973 At this regular meeting members in good standing properly signed the proposed Amendment to Article IV, Relative to term limitations in the same office as proposed at the September 28, 1973 meeting. 2. August 25, 1978 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that the following be added to Article Ill, Section lv, regarding membership. All persons sixteen (16) years or older must become a member of the Milton Grove Sportsmen s Club in order to continue their using the facilities and/or attending meetings. September 29, 1978 At this regular meeting members in good standing properly signed the proposed Amendment to Article Ill, Section lv. Relative to requiring all persons sixteen (16) years or older to become members in order to continue using the facilities and attending meetings as proposed at the August 25, 1978 meeting. 9

March 30, 1979 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that the Constitution and by-laws as amended by the Board of Directors during February 1979 supersede the previous Milton Grove Sportsmen Club Constitution and by-laws. These were presented to the club members at the regular February meeting for review and accepted by the members present at the regular meeting March 30, 1979. The previous Constitution and by-laws are considered null and void. April 27, 1979 At this regular meeting of the Milton Grove Sportsmen s Club members in good standing properly signed the proposed amendment that the Constitution and by-laws as amended by the Board of Directors during February 1979 supersede the previous Milton Grove Sportsmen s Club Constitution and by-laws. These were presented to the club members at the regular February meeting for review and accepted by the members present at the regular meeting March 30, 1979. The previous Constitution and bylaws are considered null and void. 4. November 26, 1982 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that the following be added to Article II, Section III, regarding duties of the Recording Secretary. If the Treasurer is incapacitated for any reason and is unable to fulfill his duties of disbursing checks, the Recording Secretary shall have the authority to do so. December 30, 1982 At this regular meeting members in good standing properly signed the proposed Amendment to Article II, Section III. Relative to the duties of the Recording Secretary as proposed at the November 26,1982 meeting. 5. January 27, 1989 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that the following be added to Article IV, Section I, regarding Dues. The Dues for annual membership shall be determined by the members of the Association at a regular meeting and shall be due as of January the first (1) of the New Year. 10

February 24, 1989 At this regular meeting members in good standing properly signed the proposed Amendment to Article IV, Relative to the dues as proposed at the January 27, 1989 meeting. 6. January 27, 1989 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that Article III Section I be changed to read. Annual Membership is available to any person who is over twelve (12) years of age, is an American born or a naturalized citizen, is of good moral character and in full accord with and agrees to abide by the purpose of our club as outlined under Article II of the Constitution may attain annual membership. February 24, 1989 At this regular meeting members in good standing properly signed the proposed Amendment to Article III, Relative to the Annual Membership as proposed at the January 27, 1989 meeting. 7. September 28, 1990 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that Article IV Section II be changed to the following. Membership for all military service personnel will be maintained at no cost to the member while under active duty status. After active duty status continuation of club membership is dependent upon compliance with Article IV, October 26, 1990 At this regular meeting members in good standing properly signed the proposed Amendment to Article IV, Section II. Relative to military personal on active duty as proposed at the September 28,1990 meeting. 8. May 31, 1996 At this regular meeting of the Milton Grove Sportsmen s Club it is proposed that an amendment in the form of Article X entitled Dissolution be added to the Constitution. In the event of the dissolution of the Milton Grove Sportsmen s Club by any means, no Officer, Shareholder or Member shall in any way receive monies or assets from said club. The Board of Directors, by a majority vote of all nine members as per Article IV Section II shall select to transfer the property and or monies of the club to a similar group or club. June 28, 1996 At this regular meeting members in good standing properly signed the proposed Amendment. The addition of Article X to the Constitution and by laws. Relative to the clubs Dissolution as proposed at the May 31, 1996 meeting. May 31, 2013 At this regular meeting members in good standing properly signed the proposed Amendment. The addition of Article III Section V to the by laws. Relative to the capping of the clubs total membership. June 28, 2013 At this regular meeting members in good standing properly signed the proposed Amendment to Article III Section IV. Removing the portion on Application for Membership as it is now covered in Article III Section V. June 28, 2013 At this regular meeting members in good standing properly signed the proposed Amendment to Article IV Relative to the collection of dues for Annual Memberships and the process to handle delinquent dues. PLT 30-Jun-2013 September 26, 2014 At this regular meeting of the Milton Grove Sportsmen club it is proposed the following change be made to Article III, Section II. Regarding Life Members over the age of 80. The following 7 members in good standing properly sign this proposed amendment. Current Article III, Section II. Life Membership: May be granted to any member 65 years of age or older who has been paid up member for the previous 10 years. Any member desiring to purchase a life membership must have been a member in good standing for five years and pay the required fee. The fee for a life membership shall be ten (10) times the current annual membership fee. 12

Addition of: All life members of MGSC 80 years old on or before December 31 of the current years will be given the honorary title of Senior Life Member (SLM). These Senior Life Members will not be counted in with the limited membership of 1350 members. The Financial Secretary will review this number in January of each year. PRINT SIGN 1. Treasurer: The treasurer shall keep an accurate record of all monies received and disbursed by him, showing specifically for what account collected and for what purpose expended. He shall give a detailed account of all monies received and disbursed at each meeting. As well as a yearly report at the annual meeting. He shall deposit all monies belonging to the association in the bank so directed by the club in the name of the Milton Grove Sportsmen s Club, subject to withdrawal by check of the Treasurer of the Association. The Treasurer shall present all expenditures in excess of $200.00. For the authorization of payment at the regular monthly meetings. He shall attend to all other matters coming under his jurisdiction. Changed to: Section V. Article IV Currently: The dues for annual membership shall be determined by the members of the Association at the regular meeting and shall be due as of January first (1) of the New Year. Dues not paid by January thirty-first (31) of the current year will result in an additional late fee until February 28 th. As of March 1 of the current year the membership will be terminated. The additional fee is to be determined by the Financial Secretary on an annual basis (Currently $20.00).
