Organization/Big industrial house along with certificates of stockiest / dealership / Sub-dealership as well as copy of Sales Tax Registration No. should be produced with Techno-commercial bid. No tender will be technically accepted without requisite documents, along with Techno-commercial bid. 1.5 Techno-commercial Bids and Price Bids will be opened on the date and time specified above in the office of the Supdt. 1.6 Issue of tender documents to any party will not automatically qualify the party as to its capability etc. to execute the work / supply and GSECL shall assess the capability of the party at the time of evaluation of bids. 1.7 All required documents should invariably be submitted along with technocommercial bid, otherwise offer will be ignored. 1.8 Gujarat State Electricity Corporation Ltd. reserves the right to accept any tender and to reject any or all the tenders without assigning any reason thereof. To, M/s SECTION 2 INVITATION OF TENDER Sub: Tender No. KHEP/TECH/10/3/08 for supply of water level sensors for PANAM Mini Hydro Power Station Ref: This Office advertisement No. KHEP/TECH/10/2/08 Dear Sir, Tender documents are for the supply of water level sensors for PANAM Mini Hydro Power Station, as specified in attached schedule-b material specification and as per specifications of material, quantity and conditions mentioned. Any clause, condition or term of your offer and/or your acknowledgment letter which is repugnant to or in consistent with the terms and conditions of this tender and schedule attached hereto, shall be void and of no force and effect unless specifically approved and expressly modified by the GSECL. You will also be deemed to be fully aware of the GSECL s general conditions of contract for the supply of plant, equipment and materials and any ignorance of these conditions will not exempt you from your liability to abide by the same. However if you need, you may ask for the copy of the booklet of the GSECL s having General Terms & conditions. 2.1 Gujarat State Electricity Corporation Ltd. invites offer in accordance with this Tender No.KHEP/TECH/10/3/08 from well experienced and resourceful suppliers who have executed similar type of Supply order in GSECL / Govt. / Semi Govt. / Public Sector undertaking / Big Industrial house. 2.2 Bidder has to submit the details of the similar Supply order executed by him. Tenders without such details will be liable to be rejected without any correspondence. 2.3 The Bidder shall be responsible for obtaining all the clearances if required for supply order at his cost. 2.4 The bidder has to quote his firm and fixed price item-wise in Schedule B. This price will remain firm and fix throughout the term of contract. No price escalation will be permitted on any account. Tender will be evaluated based on this quoted amount. 2.5 The tender should be submitted in two parts / covers-a&b as under: a) TECHNO-COMMECIAL BID i.e. PART/COVER-A. b) PRICE BID i.e. PART/COVER-B. c) DD/ Receipt of Tender Fee and EMD ( DD/ Receipt of Tender Fee and EMD should be placed in a separate cover superscribing EMD cover. PART/COVER A FOR TECHNO-COMMECIAL BID: All information regarding technical and commercial aspects of your offer shall be given in the techno-commercial bid i.e. technical bid. Terms of payment, delivery period / completion periods, etc., shall also be given in the technical bid. It shall also include unpriced price schedules-b. The bidder must return entire tender specification sheets along with the offer duly signed and stamped with seal of the bidder in inner cover A. Other details regarding qualification of the bidder along with proof of E.M.D. paid should be enclosed in separate outer Envelope A. Technical and price bid shall contain adequate cross-references to ensure proper identification and correlation of two bids without any ambiguity. PART/COVER B: Part / cover - B shall contain only Price Bid. Engineer, KHEP, GSECL, Diwada colony-389 250, Dist: Panchmahal and full address of the tenderer should appear on all the envelopes so that it is possible to find out whose bid it is without opening the envelope. 2.6 All the three covers shall be placed /packed in One single cover superscribing Tender No. KHEP/TECH/10/3/08 for supply of water level sensors for Panam Mini Hydro Power Station to be dispatched by Registered AD post/ Speed post only to the Supdt. Engineer, Gujarat State Electricity Corporation Ltd, Kadana HEP, Diwada colony-389 250, Dist: Panchmahal. 2.7 If the tenderer, wishes, he may familiarize himself with the site conditions by contacting Purchaser's site offices/premises. For this purpose the tenderer should write to the Supdt. Engineer, KHEP, GSECL, Diwada colony-389 250, Dist: Panchmahal (giving tender No. etc.), who will give necessary instructions in the matter. 2.8 As this is a two-part bid method, the bidder will be assessed based on its Technical qualifying documents submitted in Cover-A. If he qualifies then only price bid Cover-B (filled up in Schedule-B) will be opened, otherwise, i.e. price bid of technocommercially qualified bidders will be opened. 2.9 Rates should be quoted unconditional. Conditional tenders will not be accepted. 2.10 Bidder has to submit his offer by R.P.A.D. only, super scribing name of Tender & due date of opening on Technical bid, price bid and EMD cover. 2.11 The general terms and conditions relating to supply as standardized by the GSECL, but not specifically brought out herein shall also be made applicable to the proposed contract and will be binding to the successful tenderer. 2.12 The contractor shall indemnify the GSECL against all suits, actions, Proceedings, etc. arising out of any claim or demand for breach of any rules, regulations, default, etc. on part of the contractor, his agents or servants in the course of performance of this contract. 2.13 The GSECL shall not be responsible for any loss / damage to the property of the contractor or any injury fatal / non-fatal to him or any of his agents or servants during the course of performance of the contract. 2.14 It shall be the sole responsibility of the contractor to maintain all relevant Forms registers or record in accordance with the various statutes, laws, enactments, etc. 2.15 Gujarat State Electricity Corporation Ltd. reserves right even to issue partial order based on quotations/offers received for individual items. Section 3 Special terms and condition. 3.1 SPECIFICATION: Specification shall mean the specification annexed to these conditions. 3.2 Tender documents are not transferable. Tender Fee paid for Tender documents is not refundable. 3.3 This tender is invited for supply of water level sensors for Panam Mini Hydro Power Station, as mentioned in attached Schedule B. 3.4 In case of divergence between rates in figures and words, it will be construed to read the rates most favorable to the GSECL. 3.5 NO TENDER WILL BE CONSIDERED UNLESS THE FOLLOWING DETAILS ARE SUBMITTED IN SEPARATE ENVELOPE OF EMD COVER. a) The Earnest Money Deposit as specified in tender is paid along with Tender b) The required details as specified in Clause 3.12 herein below are not submitted along with offer. c) Names of partners and other details are not indicated in Schedule-A. 3.6 Delayed And Late Tender: No tender shall be accepted / opened in any case which are received after due date and time of receipt of tender irrespective of delay due to postal services or any other reasons and Board shall not assume any responsibility for late receipt of tender. ANY CORRESPONDENCE IN THIS MATTER WILL NOT BE ENTERTAINED. 3.7 OFFER TO BE MADE ACCORDING TO TENDER DOCUMENTS: Offer / Tender / Bid must be in accordance with and must be responsive to this invitation to tender and all documents appended hereto. Incomplete tender, amendments & additions to tender received after the bid dead line, amendments & additions to tender received prior to bid dead line but which are not in sealed covers & super scribed as stipulated above are likely to be rejected. All Technical and Commercial deviations from the tender documents should be mentioned in Schedule- C Deviations mentioned else where shall not be considered. 3.8 EARNEST MONEY DEPOSIT: The Earnest Money should be paid by in Cash or by a Demand Draft in favor of GUJARAT STATE ELECTRICITY CORPORATION LTD. drawn on Bank of Baroda at Diwada Colony. E.M.D. in cash will be accepted up to 15.30Hrs.up to the date of opening of the Tender. Tenders without E.M.D. or with part payment of E.M.D. will not be considered in any circumstances. The details of E.M.D. paid should be submitted separately in a letter giving details of payment of E.M.D. i.e. Cash or Demand Draft and GSECL s Money Receipt No. in the cover superscribed as EMD cover. In no case Demand Draft for E.M.D. should be put inside the cover containing price bid cover-b, such tender may not be considered. 3.9 No interest will be paid on E.M.D. 3.10 The Earnest Money Deposit shall be collectible by the purchaser upon failure of the tenderer to hold his offer open in accordance with the terms of this invitation to tender. The Earnest Money Deposit will be released in accordance with the following conditions. Tender No KHEP-10-3-08.doc 7 of 14 9/3/2010

(i) In case of the successful tenderer, the Earnest Money will be refunded after the tenderer has furnished Security Deposit. (ii) In case of unsuccessful tenderer, the earnest money will be refunded after the award of contract to the successful tenderer and payment of Security Deposit by successful tenderer. (ii) If the successful tenderer withdraws his tender within the validity date or fails to give the required Security Deposit within 30 days time, he shall be liable for any difference by which the cost of procuring the supplies/works exceeds the amount of his tender and the Earnest Money Deposit shall be available towards off-setting such difference. 3.11 SECURITY DEPOSIT : Successful bidder shall have to pay amount of Security Deposit at the rate of 10% of the order/contract value within 10 days from date of issue of order. You can keep your security deposit against Performance Guarantee if you desire. The Security Deposit is payable at the option of the GSECL by (a) Demand Draft of Schedule Bank (b) in cases where the amount of the Security Deposit payable exceeds Rs.5000/-. SD in the form of PBG in the form approved by the GSECL is acceptable from the following Bank only: -All public sector Bank and -Private Bank authorised to undertake Government business, which are IDBI Bank, UTI Bank, HDFC Bank and ICICI Bank. i. In the case of Bank Guarantee, you shall renew the Bank Guarantee one-month before the expiry of the validity date, failing which the GSECL will encash the Bank Guarantee without prior intimation to you. ii. iii. iv. No interest will be paid on Security Deposit. This Security Deposit is for the due performance of contract and the same is liable to forfeiture by the GSECL in the event of your nonfulfillment of the terms and conditions of this contract. It will be refunded after due fulfillment of contract, except in case where it is considered necessary to retain it till expiry of the guarantee period specified above. Refund of Security Deposit will only be made on return of the original Receipt stamped or otherwise given by the GSECL or in case of loss thereof by furnishing an indemnity Bond duly stamped under the Bombay Stamps Act. 3.12 Bidder shall furnish the following details: (IN OUTER COVER-A) i. Sales Tax Registration No., date and issuing authority. ii. Performance reports if any. iii. All the testing equipment MUST have been calibrated up to date the details for the same may be submitted. iv. Sample of material if asked by GSECL. v. Certificate for Stockiest/Dealership/Sub Dealership etc. vi. All Technical Details alongwith test certificate. 3.13 VALIDITY: The validity of Offer shall be not less than 60 days from the date of opening of the price bid by the GSECL and they shall be legally bound to honor any commitment relating to tenders during this period. In case of non-compliance, E.M.D. will be forfeited apart from taking any other action as may be considered suitable under the circumstance. 3.14 Prices quoted shall be unconditional. 3.16 CONTRACTOR S UNDERTAKING: I / we have carefully read all the terms and conditions contained in these specifications and am / are agreeable to the same. In taken thereof, I / we have laid out signature and seal here under. The Bidder must return the entire specification sheets along with the offer duly signed & stamped. 3.17 Payment terms: All payment if order is placed by GSECL, will be made through a crossed cheque payable at the Bank of Baroda, Diwada Colony subject to furnishing invoice and advance stamped receipt for the payments. Such advance receipt shall be titled as Advance receipt. 80% payments are made within 60 days and balance 20% within 75 days from the date of receipt of Bill/TRC etc. to the Contractors/ Suppliers after receipt of material at site in good condition subject to availability of fund. OR, 3.18 Penalties for delays: Any delay that may take place in supply and / or erection and commissioning activities beyond contractual cut off date shall be subjected to penalty (not liquidated damages) at the rate of ½ % of the contract price of delayed supply / works per week or part thereof subject to a maximum of 10% of the total contract value. 3.19 JURISDICTION: All questions, disputes or differences arising out of or in connection with the tender/contract if concluded shall be subject to the exclusive jurisdiction of the court under whose jurisdiction the place from which the tender/ acceptance of tender is issued is situated i.e. Diwada colony. 3.20 Termination: If in the opinion of GSECL, the performance of the successful tenderer as a whole OR part, is found unsatisfactory, GSECL reserves the right to terminate the contract at any time by giving a written notice of 15 days. In such case, GSECL shall take either or all of the following actions at its sole discretion: a. Terminate the contract. b. Forfeit the SD. c. Shall get the work done and or get supply through other agency(ies) at the risk and cost of successful tenderer. 3.21 All question, disputes or difference whatsoever which may at any time arise between the parties to this agreement touching the agreement or subject matter thereof, arising out or in relation there to and whether as to construction or otherwise shall be referred to the decision of the sole Arbitrator, appointed by the Chairman & MD, GSECL for that purpose, who shall be retired High Court Judge or a retired District and sessions Judge, and the decision of the said Arbitrator shall be final and binding upon the parties, reference to the Arbitrator shall be governed by the provisions of the Arbitration and Conciliation Act, 1996 as amended from time to time and rules made there under. The Arbitration proceedings shall be conducted at C.O, GSECL. Vadodara or at such places as the Sole Arbitrator may determine. 3.22 Guarantee/ Warrantee: If the Goods/ Stores/ Equipments are found defective due to bad design/ materials or poor workmanship, the same should be repaired or replaced by you free of charge if reported within 18 months of their receipt at site or 12 months from the date of commissioning of equipment whichever is earlier. You shall hand over all certificates of guarantee and warrantee, Interchangeability along with bill of loading. 3.23 Performance Guarantee: You shall have to give performance guarantee for your product valid for 18 months from the date of receipt of materials or 12 months from the date of commissioning whichever is earlier and Bank guarantee of 10% of the order value of nationalized Bank only. Against standards p[performance guarantee shall be furnished as per enclosed prescribed format on Non- Judicial Stamp Paper value of Rs. 100/-.
