Chaparral Riders Club Chapter Bylaws ARTICLE I Membership Section 1: Membership is open to any person who is a member of the Chaparral Rider s Club and is at least eighteen (18) years of age. Section 2: Members must conduct themselves in a manner that is consistent with promoting a positive image of motorcycling and the Chaparral Riders Club. Misconduct of any kind may be grounds for termination of membership in this chapter and will be addressed by the Executive Board. Section 3: The consumption of any alcoholic beverages during any club activity is discouraged. The consumption of any alcoholic beverage during riding activity is prohibited and is grounds for termination of membership. ARTICLE II Fees and Dues Section 1: The dues of this chapter shall be $12.00 per member per year, payable in advance at such time as the chapter shall designate. Due shall be paid by all members and by the dates specified to maintain membership in the chapter. Section 2: The amount of dues payable shall be determined by a majority vote of the Executive Board as needed. ARTICLE III Meetings Section 1: Regular meetings of the chapter shall be held every 1 st Sunday at 8:00 AM (changed by majority vote C.D.G.) in the Chaparral Motorcycle break room unless otherwise notified. Section 2: The Executive Board shall meet whenever it is necessary. ARTICLE IV Election of Officers Section 1: The officers of the chapter shall be a President, a Vice President, a Secretary and a Treasurer. 1
Section 2: Nominations for all officers of the chapter shall be made from the floor at the time of the election. All elections shall be by secret ballot with a majority vote of all members present at the time of the election necessary for the election. Section 3: The terms for all officers shall be one (1) year. There will be no term limitations. Elections will be held at the first meeting of December each year. Section 4: Any vacancy in office shall be filled by special election held at the next meeting following the announcement of the vacancy. Section 5: The Executive Board shall consist of the President, Vice President, Secretary, the Treasurer and the sponsoring Honda Dealer. ARTICLE V Duties of Officers Section 1: The President presides at the meeting of the chapter and the Executive Board. The President has general supervision of the operation of the chapter. The President can not make any actions or contracts binding against the chapter without authorization of the chapter requiring two-thirds (2/3) vote of the members present or majority of the Executive Board. Section 2: The Vice President shall preside in the absence of the President. Section 3: The secretary shall have custody of the chapter bylaws and all other records. The secretary will maintain an accurate record of all club meetings and activities. Section 4: The treasurer receives and disburses all funds of the chapter. The Treasurer will be responsible for paying any debts owed by the chapter and will make regular financial reports when requested by the President or Executive Board. ARTICLE VI Rules of Order Section 1: The general procedure of meetings of this chapter shall be in harmony with the guidelines set forth in Robert s Rules of Order as long as there are no conflicts with these bylaws or the Honda Rider s Club of America s charter. ARTICLE VII Liability and Dissolution Section 1: This chapter and its members shall be responsible for expenses incurred at its discresion in the activities approved by the membership or Executive Board. In the event of dissolution of the chapter, all indebtedness will be paid from the existing funds 2
with any remaining funds being donated to the Ride for Kids Foundation benefiting children s brain tumor research. ARTICLE VIII Amendments Section 1: These bylaws may be amended at any regular meeting of this chapter by tow-thirds (2/3) vote of the members present and voting. Any amendments must be submitted in writing prior to a vote being taken. Upon its adoption by this chapter, any amendment to these bylaws must be with the consent of the administrators of the Honda Rider s Club of America. Section 2: Any amendment or any other matter voted on by the membership may be vetoed by unanimous vote of all the members of the Executive Board. Regardless of the affiliation with the Honda Rider s Club of America, chapters are separate entitles responsible for their own actions. Considering that, the Honda Rider s Club of America strongly encourages each chapter to modify, alter and change this sample outline of Chapter Bylaws as needed and desired by its membership. If the sample is used the chapter, may of course, write their own bylaws within the guidelines established by the HRCA administrator. 93-OD86 07193 61 01 3
Amendments to meetings, Section 1 Passed by majority vote. CDG AMENDMENTS Members who miss three (3) consecutive meetings without notifying a member of the Executive Board are subject to loss of membership. Arrangements made in advance to miss more than 3 meetings will usually be accommodated. Members who loose their membership may be reinstated by paying dues again and by approval of the Executive Board. It was voted in at the last meting (10/2/05) by 2/3 vote to add that the 15% Chaparral discount will also be lost if a member misses more than 3 consecutive meetings without notifying a member of the Executive Board. 4
