Pearl Touchdown Club By Laws as adopted October 27, 2009 ARTICLE I ORGANIZATION Section I: The name of the organization shall be the Pearl Touchdown Club. It will consist of an Executive board, Junior High Committee, Ninth Grade Committee, and the qualified membership. The Board of Directors has been dissolved along with its oversight and control. ARTICLE II OBJECTIVES Section I: The objectives of this organization shall be to promote the football/cheerleader/dance program of the Pearl Separate School District; to encourage all youth to participate in individual organized sports programs; to advance the principles of good sportsmanship; and to assist in developing a unified football, cheerleader, and dance program; and all acts proper and necessary for the purpose of helping carry out such sports programs in the Pearl Separate School District. ARTICLE III MEMBERSHIP Section I: Any adult, association, corporation, partnership or estate may apply for membership in said organization, who is interested in furthering the objectives for which this organization was organized. All members shall receive a copy of the By-Laws, either in print or by email, by the Secretary of the Pearl Touchdown Club. Membership shall be for one (1) year, starting January 1 and ending December 31. Section 2: Any member of the Pearl Touchdown Club may join any committee of their choosing. Membership to a committee is not limited nor is required. Members may serve on as many committees as they wish.

Section 3: The Secretary shall keep a current list of all members of the Pearl Touchdown Club and on what committee each member serves. ARTICLE IV DUES Section 1: The annual membership dues of the organization for the Pearl Touchdown Club will be decided annually by the elected officers of the Executive Board. Section 2: Honorary members shall not be required to pay dues. Honorary members shall include, but not limited to, Coaches and Pearl School Administration. These members shall not be qualified to vote or to hold office. If these members so choose, they may pay membership dues, which will entitle them to all rights and privileges of full membership. ARTICLE V MEETINGS Section 1: This organization will meet a minimum of one (1) time per month with date and time set by the members of the Executive Board. Necessary meetings of this organization shall be held throughout the calendar year with dates and times being decided upon by the members of the Executive Board. Section 2: The President or his/her representative may call a special meeting of the Executive Board or full membership with a twenty four (24) hour notice. Notice shall be given by generally acceptable forms of communication. Section 3: Email between general members, committee chairs or members and the elected officers may be used to facilitate the business of the Pearl Touchdown Club. This shall include the power to vote by email. Standard voting rules will apply. All voting results will be tabulated by the Secretary, verified by the Treasurer, and approved by the President. All business conducted by email will be read in summary form into the minutes at the next regular meeting of the Pearl Touchdown Club by the Secretary. Details of any business conducted by email will be provided to any member of the Pearl Touchdown Club upon written request to the Secretary. Section 4: Committee Meetings shall be held no less than monthly during normal football seasons (July through December) and only if necessary after the season (January through June). Committees may elect to meet as often as is necessary to conduct its business. Roberts Rules of Order shall be observed during committee

meetings. All committee business conducted by email will be copied to the Executive Committee Secretary and the President. Section 5: During an Executive Board meeting, only Executive Board members are allowed to vote. Any member of the Pearl Touchdown Club may attend an Executive board meeting. All members will be allowed to vote during a full membership meeting of the Pearl Touchdown Club. Only registered members of a committee may vote during a committee meeting. ARTICLE VI EXECUTIVE BOARD Section 1: The Executive Board of the organization shall consist of the President, Vice President, Secretary and Treasurer. The Head Football Coach shall be considered and ex-officio member of the Executive Board. Section 2: The Executive Board shall be vested with full power to conduct the business of this organization. The authority to interpret and enforce the by-laws shall be vested in the Executive Board. The Executive Board shall have the authority to promulgate such reasonable rules and regulations regarding all activities of the organization, particularly with reference to the financial policy of the organization as it may seem expedient. The Executive Board may only approve up to $1,500.00 in expenses with-out a vote from the membership. The Executive Board and Mr. Ray Rogers, or his designate, will choose the recipients of the Ray Rogers Scholarship. Section 3: The Executive Board shall have the authority to dismiss or reprimand any member of the Pearl Touchdown Club for the following reasons: A) Any actions that may be detrimental to the objectives listed in Article II, Section 1. B) Any unbecoming conduct; use of the Pearl Touchdown Club name or its membership for promotion of personal gain. Section 4: The method of dismissal or reprimand from the Pearl Touchdown Club shall be as follows: A) Reprimand from the President as directed by the Executive Board. B) Dismissal by vote of the Executive Board. Any accused members shall have the right of appeal within thirty (30) days by written notice to the Executive Board. The parties involved shall have the right to a hearing

with the Executive Board to be resolved. The decision of the Executive Board shall be final and binding upon all parties. Section 5: A quorum of the Executive Board shall consist of a majority of the Board. Section 6: A quorum of the membership of the club shall consist of a majority of the members present. ARTICLE VII OFFICERS & DUTIES Section 1: As stated in Article VI Section 1, the Executive Board shall consist of the President, Vice President, Secretary and Treasurer. The Head Football Coach will be an ex-officio member of the Executive Board. The Second (2) group of elected officers shall consist of the Jr. High Committee Chair, Ninth (9) Grade Committee Chair, Program & Events Committee Chair and Souvenir Committee Chair. The Executive Board and Committee Chairs shall serve a term of one (1) year. Election for officers shall be as follows: President This office is not elected. The outgoing Vice President shall assume the role of President for a term of 1 year. In the event the Vice President cannot assume the role of President for any reason, than a general election of the membership to fill the office shall be performed. For Vice President, Secretary and Treasurer, elections shall be held in December by the full membership effective January 1. **To serve in one of these elected positions, you must have a child as a member of the Pearl Varsity Football Team, Varsity Cheerleading Team, or Varsity Dance Team. It is recommended that the Vice President be a parent of a Junior Classman or lower in order to better full fill the two year commitment. For Committee Chairs, elections shall be held in December by the full membership effective January 1. In the event a Committee Chair is not elected before the start of the New Year, the President, at his discretion, shall appoint a Committee Chair Pro-Tem and call a special election to permanently fill the vacancy at a later date. Section 2: The President, or his representative, shall preside at all meetings of this organization and shall perform all duties incident to this office. He/She shall be an exofficio member of all Committees.

Section 3: The Vice President shall preside in the absence of the President and perform other duties as directed by the President. It is the goal of the Vice President to learn the role and responsibilities of the office of President in order to serve in that capacity for the following year. Section 4: The Secretary shall conduct the official correspondence, preserve all books, documents and communications, and maintain an accurate record of the proceedings of the organization. Section 5: The Treasurer shall receive and disburse funds of the organization. All disbursements shall be made by checks which shall be signed by the Treasurer and the President or Vice President. The Treasurer shall make reports to the Executive Board on a weekly basis and at least once a month to the general membership. Section 6: The Treasurer, President and Vice President must remain at all times authorized to sign all checks written on behalf of the organization, and shall require two (2) signatures on all checks. Section 7: 9 th Grade Committee shall consist of a Chairman, Vice Chairman, Secretary and Treasurer. This committee will meet independently of the Pearl Touchdown Club and will be chartered specifically to support our Ninth Grade Football Team. The Committee will follow the same rules and By-Laws of the Pearl Touchdown Club as well as Roberts Rules of Order. The Committee chair will schedule meetings independently from the Pearl Touchdown Club. The Committee Chair will hold open elections from the members of the committee for the remaining leadership positions. These Positions to be filled by the end of May and will serve for a term of one (1) year. The Committee Treasurer will report to the Executive Committee Treasure weekly for deposits and check approvals. The Committee Treasurer shall not have the authority to sign checks for the Pearl Touchdown Club. The Committee Secretary shall report to the Executive Committee Secretary weekly to turn in copies of minutes from committee meetings. Dues shall be set by the Pearl Touchdown Club. The Committee Chair will hold open elections from the membership of the committee for the remaining leadership positions. ARTICLE VIII VACANCIES Section 1: Any vacancies shall be filled by election of the membership thirty (30) days from the date of the vacancy. Failure to fill the vacancy by the members, the Executive Board shall fill the vacancy by appointment. The Secretary will send out by reasonable communication to all members announcing the vacancy and the voting process. ARTICLE IX AMENDEMENTS Section 1: These By-Laws may only be amended by the following: A) A recommendation may be made at any annual or called meeting of the full membership of the Pearl Touchdown Club. B) Recommendation will be tabled until the next called meeting and written notice of the proposed changes shall be given to all members at least ten (10) days prior to voting. C) A 2/3rds vote of the attending membership shall be required. You must be present to vote. No email or proxy voting will be allowed. ARTICLE X RULES OF ORDER Section 1: Except as otherwise provided, Robert s Rules of Order shall govern the order of business at all meetings of the organization and committees.
