THE WIMMERA CROQUET ASSOCIATION INCORPORATION CONSTITUTION
1: NAME CONSITITUTION OF THE WIMMERA CROQUET ASSOCIATION INCORPORATED The Name of the incorporated association is Wimmera Croquet Association Inc: (in these rules called the Association ) 2: DEFINITIONS 1) In this constitution, unless the contrary intention appears. Act means the Associations Incorporation Reform Act,2012. Member Club means an affiliated Croquet or Mallet Sports Club within the Association; Committee means the Committee of Management of the Association; Ordinary member of the committee means a member club of the committee who is not an officer of the Association under Rule 22; Regional Director is a person elected by the Association to represent the Association at State Council Meetings; Financial Year means the year ending on 30 th April; General Meeting means a general meeting of member clubs convened in accordance with rule 12; Region means the Wimmera area of Victoria as a designated by Victorian Croquet Association; Regulations means regulations under the Act; Relevant Documents has the same meaning as in the Act. 2) In these Rules, a reference to the Secretary of an Association is a reference a) The person holding office under these Rules as Secretary of the Association 3. ALTERATION OF THE RULES These Rules and the Statement of Purposes may only be altered, amended or repealed by special resolution at a duly convened meeting of members. No such resolution shall be of any force or effect unless it is approved by a duly convened meeting of the Wimmera Croquet Association Inc. Any amendments to the Rules and Statement of Purposes must be approved by the Victorian Croquet Association Inc prior to being submitted as a special resolution at a duly convened meeting of members. 4. STATEMENT OF PURPOSE a. To be and remain a member of the Victorian Croquet Association and to adopt in principle the purposes of that association. b. In all competitions and matches conducted by the Association, to apply and abide by the laws of the game of croquet as approved by the Australian Croquet Association Inc. c. To promote, encourage, foster, develop and extend the sport in the region.
d. To co-ordinate competition and tournament dates, times and venues within the Region.
30. VOTING AT COMMITTEE MEETINGS 1) Questions arising at a meeting of the committee, or at a meeting of any sub-committee appointed by the committee, shall be determined on a show of hands or, f a member requests, by a poll taken in such manner as the person presiding at that meeting may determine. 2) Each member club present at a meeting of the committee, or at a meeting of any sub-committee appointed by the committee is entitled to one vote and, in the event of an equality of votes on any question, the person presiding may exercise a casting vote. 31. REMOVAL OF COMMITTEE MEMBER 1) The Association in a general meeting may, be special resolution remove any member of the committee before the expiration of the member s term of the office and appoint another member in his or her place to hold office until the expiration of the term of the first-mentioned member. 2) A member who is the subject of a proposed special resolution referred to in sub-rule (1) may make representations in writing to the Secretary or President of the Association (not exceeding a reasonable length) and may request that the representations be provided to the member of the Association. 3) The Secretary or the President may give a copy of the representations to each member of the Association or, if they are not so given, the member may require that they be read out at the meeting. 32. MINUTE OF MEETINGS The Secretary of the Association must keep minutes of the resolutions and proceedings of each general meeting, and each committee meetings, together with a record of the names of persons present at committee meetings. Members are to have access to the minutes of the committee and are permitted to make copies of them unless otherwise decided by the committee. 33. FUNDS 1) The Treasures of the Association must a) Collect and receive all moneys due to the Association and make all payments authorized by the Association; and b) Keep correct accounts and books showing the financial affairs of the Association with full details of all receipts and expenditure connected with the activities of the Association. 2) All cheques, drafts, bills of exchange, promissory notes and other negotiable instruments must be signed by the Treasurer and one other office bearer of the Association. 3) The funds of the Association shall be derived from annual subscriptions, event entrance fees, donations and such other sources as the committee determines. 34. SEAL 1) The Common seal of the Association must be kept in the custody of the Secretary. 2) The Common seal must not be affixed to any instrument except by the authority of the committee and the affixing of the common seal must be attested by the signatures either of two member clubs of the committee or, of one member club and of the public officer of the Association.
BY LAWS OF THE WIMMERA CROQUET ASSOIATION Inc. May 2008 1. Annual General Meeting. (a) To be held on the last Friday in May prior to the Annual Meeting of the Victorian Croquet Association. (b) Executive to be elected from Rotation or Combined Clubs. 2. Affiliated Clubs and Members will pay their dues as decreed at the Annual General Meeting. Memberships due at the AGM must be paid before participating in any Wimmera event. New proposed members may participate in all WCA events upon the payment of a membership. 3. A list of club members, their VCA handicaps, the Club President, Secretary and Club Captains with their phone numbers and email addresses, if applicable will be given the WCA Secretary. 4. Only Member Club Representatives shall have voting rights. The President to have casting vote if necessary. In the absence of a Club Representative, a proxy from the same club may attend with the same rights. This Committee will meet bi-monthly in opposite months to the Victorian Croquet Council. If a resignation occurs, a member of the same club shall fill that position if possible. 5. To be elected at the Annual General Meeting or if no nominations are received, the positions may be filled at Committee of Management meetings. a) President b) Secretary c) Treasurer d) Senior Vice-President e) Junior Vice- President f) VCA Director g) Alternate VCA Director h) Promotions Officer i) Pennant Recorders (Association and Golf) j) Referee Liaison Officers (Association and Golf) k) Golf Croquet Regional delegate 6. The Committee of Management will consist of; a) President b) Secretary c) Treasurer d) Senior and Junior Vice Presidents e) One Representative from each Member Club f) The Immediate Past President g) Promotion Officer h) VCA Director or Alternate Director i) Golf Croquet Regional Delegate 7: Notice of motion, wherever possible, must be presented to all Clubs before being voted on at Annual General Meeting or Committee of Management meetings.
8. The President and Secretary s duties are: - a) Smooth running of the WCA b) Draw and flags for each Pennant Division c) Draw and flags for Championship events d) Arrange the printing and distribution of Fixtures Booklet and ordered e) Fixtures Booklet to include: Officials of WCA Association and Golf Croquet Referees Association and Golf Croquet Pennant Draws List of WCA member clubs, members and their VCA handicaps Club Presidents, Secretaries, Club Captains Dates of WQCA Tournaments and Championship events Date and Venue of Regional Championships, Committee of Management and Annual Meeting dates Dates of Country Week And any other WCA or VCA events that may arise. 9. The Secretary shall be responsible for keeping proper and accurate records of all meetings and to attend to and deal with all matters relevant to WCSA and VCA and ACA. 10. The Treasurer shall attend to all financial matters and present interim reports at all meetings. 11. The Association and Golf Croquet Pennant Recorders shall record all pennant results and forward results of each round to all clubs. 12: The Referee Liaison Officers shall deal with all matters of dispute regarding the standard of WCA refereeing. 13. Pennant, Championship and Handicap Rules: Will be amended as needed. 14. The Bank Account titled Wimmera Croquet Association Inc, shall be based at the Commonwealth Bank, Horsham. a) Signature s to be changed when new Office Bearers are elected. b) Signature s to be President, Secretary and Treasurer with any two to sign cheques c) Forms to be available at Annual General Meetings d) The Financial books may be audited. 15. Incorporation renewal shall be paid yearly. 16. The President and Senior Vice President or proxy shall attend Regional Championship Meetings.
