CONSTITUTION OF THE GEORGETOWN CRICKET ASSOCIATION ARTICLES 1. NAME: The name of the organization shall be the Georgetown Cricket Association (hereinafter referred to as the Association ). 2. FLAG And The Association shall have a Flag and Emblem. EMBLEM: 3. AIMS AND OBJECTS 1. To develop, organize, regulate, and promote the game of cricket in Georgetown (bounded by Agricola in the South, Atlantic Ocean in the North, Cummings Lodge in the East and Demerara River in the West). 2. To organize Cricket Competitions among its members, cricket clubs and other cricketing bodies in the Georgetown at all the levels for both men and women. 3. To establish facilities for the playing of cricket and to organize coaching schemes to train cricketers of all ages in the technical skills of the game in order to obtain the highest standards and to enable them to play representative cricket at the national, regional and international levels. 4. To organize and promote cricket teams of all levels and ages and to represent Georgetown Association in competitions in Demerara Guyana and against teams both local and foreign. 5. To seek affiliation to and /or membership of any other cricketing body or sports association. 4. MEMBERSHIP 1. The founding members of the Association are Malteenoes Sports Club, Police Sports Club, Demerara Cricket Club, Georgetown Cricket Club, Everest Cricket Club, Guyana Defence Force Cricket Club, Guyana National Service Sports Club, Public Service Union Sports Club, Transport & Habours Department Sports Club, National Guard Service Sports Club, Packer Sports Club, Guystac Trade 2 Sports Club, Georgetown Third Class Cricket Association and Queens College. 2. Membership of the Association shall be open to any cricketing body playing and residing in Georgetown providing that:. (i) (ii) (iii) They are properly organized. Present a Copy of the constitution Serve a satisfactory probation period of one year as an associate member. 3. All members shall enjoy the same rights except Associates who shall both be entitled to vote. 4. Any cricketing body applying for membership shall pay an entrance fee of $1,000.00 which shall be refunded if the application is not granted. 5. Members of the Association shall pay an annual subscription fee which shall be payable in the first month of the Association s fiscal year. 6. Application for membership shall be submitted along with two references from Founder Member Clubs to the Executive Committee of the Association which shall refer the application with its recommendation to the Ordinary General Meeting or Annual General Meeting of the Association whichever is first held after the Executive Committee has considered the application. 7. A member which is in default of payment of its annual subscription for three years shall forfeit its membership and a member which is in default of payment of its annual subscription for one year shall not be entitled to the rights of membership provided for herein, until the subscription have been fully paid off.

2 5. EXECUTIVE COMMITTEE 1. The Executive authority of the Association shall be the Executive Committee, which shall promote its aims and objectives and carry out all decisions of the Special General Meeting, the ordinary General Meeting and the Annual General Meeting. 2. The Executive Committee shall, subject to the over-riding authority of the Annual General Meeting interpret the meaning of the constitution of the Association and in respect of any matter for which the Constitution makes no provision, shall make and apply such rules as it considers appropriate and necessary. 3. The Executive Committee shall be comprised of :- a) The Officers of the Association b) The Chairperson of the Competitions Committee c) The Marketing Manager d) The Public Relations Officer e) The Chairperson of the Selectors Committee 4. The Officers of the Association shall be the President and two Vice Presidents, Secretary, Assistant Secretary, Treasurer and Assistant Treasurer. 5. The Executive Committee shall meet at least once every month or as otherwise decided by the Committee. 6 TENURE OF OFFICE a) The members of the Executive Committee shall hold office from the time of their election to the time of holding of elections at the next Annual General Meeting following their election. b) No person shall hold the office of The President, The Secretary, or The Treasurer, for more than five successive terms. 7 VOTE OF NO CONFIDENCE a) Any member may submit a motion of no confidence in the Executive Committee or any member thereof for consideration at an Ordinary General Meeting or Special General Meeting provided the motion is duly seconded by another member of the Association and notice of which has been given to the Executive Committee and circulated to all members of the Association at least fourteen (14) days before the date of the meeting at which it is proposed to consider the motion. b) The motion shall be passed only of it is supported by at least a majority of 2/3 of those eligible to vote. c) If the motion is passed, a new Executive Committee or member shall be elected at the same meeting to serve the remainder of the term until the holding of elections at the next Annual General Meeting. d) A motion of no confidence shall not be considered if submitted at any time after nine months from the date of the election of the Executive Committee at the proceeding Annual General Meeting. 8 VACANCY a) A member of the Executive Committee who fails to attend three (3) consecutive meetings of the Executive Committee, without giving to the Executive Committee a reasonable explanation for his or her failure to attend, shall cease to be a member of the Executive Committee. b) A vacancy which occurs in the Executive Committee in any elected position for any reason shall be filled by election at the next Ordinary General Meeting held after the date the vacancy occurred. c) In any other case the vacancy shall be filled by the same process by which the person was originally appointed. 2

3 9 COMPETITIONS COMMITTEE 1. A Competitions Committee shall be established for the purpose of conducting and supervising all competitions of the Association. 2. The Competitions Committee shall be responsible to the Executive Committee. 3. The Competitions Committee shall be comprised of a Chairperson and four other members who shall be elected at each Annual General Meeting. 4. The Assistant Secretary of the Association shall function as Secretary of the Competitions Committee. 10. SELECTION COMMITTEE 1. The Selection Committee of the Association shall comprise of a Chairperson and two other members elected at the first meeting of the Executive after the Annual General Meeting. 2. The Selection Committee shall select teams to represents the Georgetown Association and shall establish procedures, facilities and hold practice sessions and trial matches for the purpose of selecting the team. 3. The Selection Committee shall be responsible to the Executive Committee and shall be guided by selectoral principles formulated by the Executive Committee. 11. FINANCE COMMITTEE 1) The Executive Committee shall appoint a Finance Committee for the purpose of :- a) Exercising financial control b) Preparing financial statements as required by the Executive Committee c) Receiving monies on behalf of the Association and Accounting for such monies. 2) The Chairperson of the Finance Committee shall be a Vice President of the Association. 12. OTHER COMMITTEES 1) The Executive Committee shall appoint such other committees to carry on the business of the Association as it considers necessary. 2) The Executive Committee shall not appoint persons who are not members of the Association to Committees set up under the provision of this Article but may co-op persons who are members of affiliates, providing it does not conflict with any of the governing rules. 13. ANNUAL GENERAL MEETING 1) The highest authority of the Association shall be the Annual General Meeting which shall be held in the month of January on a date and at a Venue to be decided upon by the Executive Committee. 2) The Annual General Meeting shall review the work of the Association for the preceding year, discuss and consider reports from President, Secretary and Treasurer and the Auditor along with motions and any other business arising out of its aims and objects. 3) The Annual General Meeting shall elect a) Officers of the Board b) The Marketing Manager and Public Relations Officer c) The Chairperson and the Competitions Committee d) An Auditor 3

4 4) The Annual General Meeting shall consider applications for membership and appeals against disciplinary action taken against a member of the Association by the Executive Committee. 5) The Annual General Meeting shall be a meeting of members of the Association represented on the following basis: a) Each member shall initially be entitled to two (2) delegates plus one delegate for each member with a First Division Team. b) For this purpose of allocating delegates to the Annual General Meeting, the Competitions Committee shall keep a Register of clubs participating in the Competitions of the Association and the Executive Committee shall allocate the number of delegated based on the information recorded in the Register of Clubs. c) Members of the Association may be represented at an Annual General Meeting, Ordinary General Meeting and a Special General Meeting of the Association only by a person who, under the provisions of the Constitution of the Area Association qualifies to be its representative. d) No person may be elected to any position of the Association for which an election is held at the Annual General Meeting unless that person is a member of a club affiliated to the Association. e) A member of the Association shall not be entitled to representation at the Annual General Meeting, the Ordinary General Meeting and the Special General Meeting if the subscription of that member has not been paid up for the fiscal year in which the meeting is held. f) Each delegate, and no other person, shall be entitled to vote at the Annual General Meeting. 14. ORDINARY GENERAL MEETING 1) The Association shall hold no less the four (4) Ordinary General Meetings every year. 2) An Ordinary General Meeting shall discuss the Agenda prepared by the Executive Committee. 3) The representative of a member of the Association at an Ordinary General Meeting and a Special General Meeting shall be on the same basis as at Annual General Meeting as stated in Article (13). 4) The Executive Committee shall summon a Special General Meeting on the written request of any two members of the Association and the meeting shall discuss only the issue or issues for which the meeting was requested. 5) Each delegate and no other person shall be entitled to vote at the Ordinary General Meeting and Special General Meeting. 15. NOTICE 16. QUORUM 1) The Executive Committee shall give at least 28 days notice to members of the holding of the Annual General Meeting and 14 days notice of the holding of the Ordinary General Meeting and Special General Meeting and further, in the case of the Annual General Meeting and further, in the case of the Annual General Meeting the notice shall be published in a National Newspaper circulating in Guyana at least one month before the holding of the Annual General Meeting. 2) Motions for the Annual General Meeting shall be submitted to the Executive Committee at lease seven days before the date of holding of the Annual General Meeting. 1) The quorum for the Annual General Meeting and Ordinary General Meeting and Special General Meeting shall not be less than 60% of the members of the Association with a combined representation of not less than 15 delegates. 4

5 2) The quorum for the Executive Committee shall not be less than 60% of the members of the Executive Committee and shall include at least two officers of the Association one of whom must be the President or Vice President. 3) The quorum for any other Committee of the Association shall be not less than 60% of the members of that Committee. 17. PROTEST AND DISCIPLINE 1) The Competitions Committee shall establish procedures for hearing of protest and reports of misconduct by players in competitions conducted by the Association and the Competitions Committee shall have the authority to make decisions and to apply appropriate disciplinary measures, subject to a right of appeal by a team or player in the case of misconduct. The decision of the Competition Committee in every other case is final. 2) The Executive Committee shall be the body authorized to take disciplinary action against any member which fails to carry out its obligation under this Constitution or to adhere to the Competitions Committee in its conduct of competitions. 3) Disciplinary action taken by the Executive Committee may include a fine, suspension from Competitions, suspension from membership for a period not exceeding three (3) months, with a right of appeal to the next Annual General Meeting or Ordinary General Meeting whichever is first held after the decision of the Executive Committee. 4) Where disciplinary action against a member is initiated and taken by the Executive Committee, the member shall have a right of appeal to either the Annual General Meeting, the Ordinary General Meeting whichever is held first after the disciplinary action is taken, provided that in the event the disciplinary action taken is suspension from Competitions or from membership, the appeal shall be heard with two weeks of the date of the lodging of appeal and the Executive Committee shall summon a Special General Meeting to hear the appeal if the Annual General Meeting or the Ordinary General Meeting will not be held within two weeks of the said date. 5) Only the Annual General Meeting shall exercise the power of expelling a member from the Association and may do so only on the recommendation by the Executive Committee and by a vote of not less than 2/3 of those eligible to vote at the Annual General Meeting. 18. FINANCE AND PROPERTY 1) The Association s finance shall be under the control of the Finance Committee subject to the over-riding authority of the Executive Committee. 2) The Treasurer shall keep appropriate Accounts and the Association shall operate such number of Bank Accounts as are considered necessary by the Executive Committee. 3) The signatories of the Bank Accounts shall be the Treasurer, along with anyone of the following officers, namely, the President, Vice Presidents and the Secretary and in the event the Treasurer is absent from Guyana the signatories shall be the Secretary along with either the President or Vice President. 19. FISCAL YEAR 1) The fiscal year of the Association ends on the 30 TH day of November. 2) All Annual Financial Statements shall be prepared with reference to the fiscal year. 20. ALTERATION OF CONSTITUTION The Constitution of the Association may be amended on a motion before the Annual General Meeting, which is supported by at least 2/3 of those eligible to vote. 5

6 21. DISSOLUTION 1) The Association may be dissolved by a motion support by at least 75% of those eligible to vote at the Annual General Meeting. 2) The assets of the Association after payment of all outstanding debts shall be distributed equally among the members of the Association in the event the Association is dissolved.
