Issue of RFP The detailed terms and conditions for qualification of the Bidders and for Bid submission are indicated in the RFP. All those interested in obtaining the RFP may download the RFP from https://tender.eprocurement.gov.in. Please visit https://tender.eprocurement.gov.in for details regarding online submission of the RFP Bidders are required to procure a Digital Signature Certificate from any Certifying Authorities (CA) in India from the list mentioned in the below URL: https://tender.eprocurement.gov.in/digitalcertificate/signature.html The Digital Signature Certificate is mandatory for participation in eprocurement. The Bids can be submitted only upon logging-in with the Digital Signature Certificate in the eprocurement portal. Hard copies: i) Bidders shall submit hard copies of the Bid Processing Fee as per Clause 3.1.2 and EMD as per Clause 3.7.1 to the address mentioned in the respective clauses of this RFP. (Timelines specified in Clause 3.2 of the RFP) Bidders shall also upload scanned copies of these documents (DD/PO and Bank Guarantee towards Bid Processing Fee and EMD) as a part of the PQ Bid on the eprocurement platform ii) All the Bidders shall invariably upload the scanned copies of DD/BG/PO/RTGS particulars in eprocurement system and this will be one of the key requirements to consider the Bid responsive. iii) The Authorised Representative will notify the Successful Bidder for submission of original hard copies of all the uploaded documents i.e. towards Technical Bid and Financial Bid prior to signing of the Letter of Award (LOA) iv) The Successful Bidder shall furnish the original certificates/documents of the uploaded scanned copies to the Authorised Representative before signing the LOA, either personally or through courier or post and the receipt of the same within the stipulated date shall be the responsibility of the Successful Bidder. Deactivation of Bidders If any Successful Bidder fails to submit the original hard copies of uploaded certificates/documents, within stipulated time or if any variation is noticed between the uploaded documents and the hard copies submitted by the Bidder, as the successful Bidder will be barred from participating in the tenders on eprocurement platform for a period of 3 years. 1 Introduction and Background 1.1 Introduction 1.1.1 New and Renewable Energy Development Corporation of A.P. Ltd. (NREDCAP) intend to select Successful Bidders for supply and installation of around 4000 Nos. of 3HP / 5HP A/C model Solar Pumping Systems anywhere in Andhra Pradesh state for agricultural purpose on Turnkey basis, as per MNRE technical specifications of 2015-16 and other guidelines, under e- procurement process. 1.1.2 Bidders declared as Successful Bidder based on this RFP shall sign Tri-partite Agreement (TPA) with NREDCAP and the DISCOM in line with terms and conditions of this RFP and the TPA. 1.1.3 NREDCAP and the DISCOM shall enter into Tri-partite Agreement (TPA), with the Successful Bidders selected based on this RFP, for a period of 5 (five) years as per the terms, conditions and provisions of the RFP. 1.1.4 The Bidding process shall be carried out for procurement and installation of Solar Pumpset Systems in the state of Andhra Pradesh. The evaluation of Bids shall be done separately as per the provisions of the Section 4 of this RFP. 1.2 Background 1.2.1 Andhra Pradesh has more than 300 sunshine days with average solar insolation of nearly 5.0 kwh/m 2. In order to implement energy efficiency off grid solar applications, NREDCAP, the nodal agency and authorized representative for Renewable Energy in the State proposes to install solar powered agricultural Solar Pumpset System(s) for all new agricultural connections in the State. 1.2.2 The Authorised Representative proposes to install 4000 Nos. of Solar Pumpset Systems in the state of Andhra Pradesh. 2 Definitions Any capitalized term, used but not defined in this RFP, shall have the meaning ascribed to such term in the TPA. In absence of availability of definitions in the foregoing references, the capitalized terms shall be interpreted in accordance with the Electricity Act 2003, the Appropriate Commission (Terms and Conditions of Tariff Regulations, Grid Code or any other relevant electricity law, rule or regulation prevalent in India, as amended or re-enacted from time to time, in that order.) or the Ministry of New and Renewable Energy (Notifications, policies, guidelines as notified or amended from time to time) Following terms used in the document will carry the meaning and interpretations as described below: Affiliate shall mean a Company that, directly or indirectly, i. controls, or ii. is controlled by, or iii. is under common control with, a Company developing a Project/Solar Pumpset System(s) or a Member in a Consortium developing the Project/Solar Pumpset System(s) and control means ownership by one Company of at least 26% (twenty six percent) of the voting rights of the other Company; Allocated Quantity has the same meaning as assigned to in Clause 4.1.3.2 of the RFP Allocated %age has the same meaning as assigned to in Clause 4.1.3.2 of the RFP Authorised Representative shall mean the body authorised to carry out the Bidding process for the selection of the Successful Bidder(s). As per this RFP, NREDCAP is the Authorised Representative. Authorised Signatory shall have the same meaning as assigned to in clause 3.9.8 of the RFP Average Annual Turnover shall have the same meaning as assigned to in Clause 3.5.1.2 of this RFP Bank Guarantee shall mean the EMD and the PBG required to be furnished by the Bidder in accordance with the provisions of Clause 3.7 of this RFP Bid shall mean the Prequalification Bid submitted by the Bidder in accordance with provisions of Clause 3.10.1 (A), Technical Bid submitted by the Bidder as per the Clause 3.10.1 (B) and Financial Bid submitted by the Bidder as per Clause 3.6 and Clause 3.10.1 (C) of this RFP, in response to this RFP, in accordance with the terms and conditions thereof Bid Processing Fee shall have the same meaning as per Clause 3.1.2 of this RFP Bidder shall mean Bidding Company or a Bidding Firm or a Bidding Consortium submitting the Bid. Consortium, Member of a Bidding Consortium including its successors, executors and permitted assigns and Lead Member of the Bidding Consortium jointly and severally, as the context may require; Bidding Company shall refer to such single Company that has submitted the response in accordance with the provisions of this RFP; Bidding Firm shall refer to such single partnership Firm that has submitted the Bid in response to this RFP. Sole proprietorship participating in this Bid process and that has submitted the Bid in response to this RFP shall also be referred to as Bidding Firm Bidding Consortium or Consortium and Bidding Consortium of Companies/Bidding Consortium of Firms/ Hybrid Consortium shall refer to a group of Companies and/or Firms that have collectively submitted the Bid in response to this RFP in accordance with the provisions of this RFP; Bidding Consortiums shall not have more than three (3) Members and Bidding Consortiums comprising of more than three (3) Members shall be summarily rejected. Bid Deadline shall mean the last date and time for submission of Bid in response to this RFP as specified in Clause 3.2 of the RFP Bid Parameter shall have the same meaning as provided in Clause 3.6 of this RFP Bid Validity shall have the same meaning as provided in section 3.12 of this RFP Chartered Accountant shall mean a person practicing in India or a Firm whereof all the partners practicing in India as a Chartered Accountant(s) within the meaning of the Chartered Accountants Act, 1949; Company shall mean a body corporate incorporated in India under the Companies Act, 1956 or the Companies Act, 2013, as applicable; Conflict of Interest A Bidder may be considered to be in Conflict of Interest with one or more Bidders in the same Bid process under this RFP, if they have a relationship with each other, directly or indirectly through a common Company/ Firm/Promoter, that puts them in a position to have access to information about or influence the Bid of another Bidder Date of Commissioning (DOC) shall mean the date on which the Solar Pumpset System(s) is declared to be operational, provided that DOC shall not be achieved and Solar Pumpset System(s) shall not be operational until such Solar Pumpset System(s) has satisfied the conditions as per the TPA DISCOM shall mean power Distribution Companies of Andhra Pradesh. In this RFP, DISCOMs shall refer to APSPDCL and APEPDCL. Effective Date shall mean the date of execution of Tri-partite Agreement (TPA) by all the Parties to the Agreement; New and Renewable Energy Development Corporation of Andhra Pradesh Limited (NREDCAP) 3
EMD shall have the same meaning as provided in Clause 3.7.1 of this RFP Financial Bid shall mean the documents and formats as specified in Clause 3.10.1 (C) of the RFP Financial Eligibility Criteria shall mean provisions of Clause 3.5.1.2 of this RFP Firm shall mean a partnership firm registered under the Indian Partnerships Act, 1932 and as amended from time to time. A sole proprietorship registered under the Indian Partnerships Act, 1932 shall also be referred to as Firm General Eligibility Criteria shall mean provisions of Clause 3.5.1.1 of this RFP Group Company of a Company means (i) a Company which, directly or indirectly, holds 10% (ten percent) or more of the share capital of the Company or (ii) a Company in which the Company, directly or indirectly, holds 10% (ten percent) or more of the share capital of such Company or (iii) a Company in which the Company, directly or indirectly, has the power to direct or cause to be directed the management and policies of such Company whether through the ownership of securities or agreement or any other arrangement or otherwise or (iv) a Company which, directly or indirectly, has the power to direct or cause to be directed the management and policies of the Company whether through the ownership of securities or agreement or any other arrangement or otherwise or (v) a Company which is under common control with the Company, and control means ownership by one Company of at least 10% (ten percent) of the share capital of the other Company or power to direct or cause to be directed the management and policies of such Company whether through the ownership of securities or agreement or any other arrangement or otherwise. However, above mentioned provisions are not applicable in case of Public Sector Undertakings/Enterprises; Provided that a financial institution, scheduled bank, foreign institutional investor, Non-Banking Financial Company, and any mutual fund shall not be deemed to be Group Company, and its shareholding and the power to direct or cause to be directed the management and policies of a Company shall not be considered for the purposes of this definition unless it is the Member of the Consortium developing the Project; Lead Member of the Bidding Consortium or Lead Member There shall be only one Lead Member, which shall meet not less than 30 (thirty) points as the Technical Score under Clause 3.5.6 of the RFP, shall apply mutatis mutandis to both Bidding Consortium of Companies as well as Bidding Consortium of Firms as well as Hybrid Consortium. Letter of Award or LoA shall mean the letter issued by the Authorised Representative to the Successful Bidder for award of the Project; Local Category represents the Bidders registered in the state of Andhra Pradesh and declare to participate under the Local Category as specified in Format 6.1 of the RFP Bidding Company participating under the Local Category Incorporated in the state of Andhra Pradesh. Parent shall mean a Company, which holds more than 50% equity either directly or indirectly in the Supplier implementing the Project; Performance Guarantee (PG) shall mean the Bank Guarantee furnished by the SPD to DISCOM, to assure timely and satisfactory completion of a Project by the SPD as described in the RFP. Please refer to Clause 3.7 of the RFP Quoted Price shall mean such firm price accepted by the Bidder that will be payable for design, supply, installation, commissioning, operation and maintenance of the Solar Pumpset System(s) as per the provisions of this RFP and TPA Qualified Bidder shall mean the Bidder (s) who, after evaluation of their Technical Bid(s) as per Clause 4.1.2 of the RFP meet the Qualification Requirements and hence stand qualified for opening and evaluation of their Financial Bid(s); Qualification Requirements shall mean the General Eligibility Criteria, Technical Eligibility Criteria and Financial Eligibility Criteria specified under this RFP New and Renewable Energy Development Corporation of Andhra Pradesh Limited (NREDCAP) 5
RFP/RFP Documents shall mean the RFP document issued by Authorised Representative including the TPA and all attachments vide RFP No. NREDCAP/SE/SPV Pumps/2016 dated 01 December 2016 for Selection of suppliers for Design, Supply, Installation, Commissioning, Operations and Maintenance of Solar Pumpset Systems in Andhra Pradesh State and shall include any modifications, amendments, alterations or clarifications thereto. Scheduled Date of Commissioning (SDOC) shall mean the date which is 30 (thirty) for Purchase Order of less than 20 Solar Pumpset System(s)/45 (forty five) days for Purchase Order of 20 or more Solar Pumpset System(s) from the date of issue of Purchase Order by the DISCOMs to the Supplier, on which date the Supplier is required to commission the Solar Pumpset System(s) in accordance with the provisions of the TPA Successful Bidder shall mean the Bidder selected pursuant to this RFP to design, supply, install, commission, operate and maintain the Solar Pumpset System(s)s as per the terms of TPA; Please refer to provisions of Clause 4.1.3 for L1 Successful Bidder, L2 Successful Bidder, L3 Successful Bidder and so on. Solar Pumpset System/Pumpset System/Project shall mean the Solar PV Water Pumping Systems comprising of SPV modules, VFD/Inverter, Remote Monitoring Arrangement, AC Surface/Submersible Pump, Mounting Structure, Manual Tracking, Cables, HDPE Pipe etc. as per the MNRE specifications of 2015-16 (Test Reports), inclusive of CMC and Insurance for 5 (five) years from the DOC of the Pumpset System. Test Certificate shall have the same meaning as assigned to in Clause 3.4 (d) and Clause 3.5.1.3 point (3) of the RFP TPA shall mean the Tri-partite Agreement signed between the Successful Bidder, NREDCAP and DISCOM according to the terms and conditions of the TPA enclosed with this RFP; Ultimate Parent shall mean a Company, which owns at least more than fifty percent (50%) equity either directly or indirectly in the Parent and Affiliates; New and Renewable Energy Development Corporation of Andhra Pradesh Limited (NREDCAP) 7
3 Bid information and instructions to Bidders 3.1 Obtaining RFP document & Bid Processing Fees 3.1.1 All those interested in the RFP can download the RFP from the website https://tender.eprocurement.gov.in. All information related to submission of response to this RFP and the Bid shall be available at the aforementioned website 3.1.2 Prospective Bidders interested in participating in the Bid process are required to submit their Bids in response to this RFP document along with a non- refundable Bid Processing Fee of Rupees One Lakh (Rs 1,00,000/-) & applicable service tax as levied by the Govt. of India. 3.1.3 Bidders shall provide the above non-refundable Bid Processing Fee in the form of DD / Pay Order payable in favour of NREDCAP. Any Bidder will be eligible to participate in the Bid process only upon submission of Bid Processing Fee at the following address of the Authorised Representative as per the timelines specified in Clause 3.2 of the RFP The VC & Managing Director, NREDCAP 5-8-207/2, Pisgah Complex, Nampally, Hyderabad, 500001 3.1.4 Notwithstanding anything to the contrary contained in this RFP, the Authorised Representative shall open the Technical Bid of the Bidder, only upon receipt of the above non-refundable Bid Processing Fee, along with the Covering Letter as per Format 6.0 (PQ) within the timelines mentioned in Clause 3.2 of the RFP. Bidders shall also upload scanned copies of the original EMD and the DD towards Bid Processing Fee on the eprocurement platform under the PQ Template/PQ Bid. 3.2 Timelines for Bidding process The Bidders shall submit their Bids based on the conditions specified in this RFP document. No Company can participate in this Bid process as a Bidding Company and Member of Bidding Consortium of Companies or Member of Hybrid Consortium. b) Any Firm can submit only one Bid as a Bidding Firm in this Bid process. No Firm can participate in this Bid process as a Bidding Firm and Member of a Bidding Consortium of Firms or as a Member of Hybrid Consortium. Further no two Bidding Firms participating in this Bid process shall have common partners. c) Any entity cannot simultaneously participate in this Bid process under this RFP as Bidding Individual, partner in a Bidding Firm or Consortium of Bidding Firms, promoter in Bidding Company or promoter in Member of Consortium of Companies or Member in Hybrid Consortium. d) No two Consortiums participating in this Bid shall have common Lead Member or other Members New and Renewable Energy Development Corporation of Andhra Pradesh Limited (NREDCAP) 9
e) No Bidder participate in this Bid process under both Open and Local Categories. A Bidder shall submit a Bid only under one Category f) Foreign companies/partnership firms are not eligible participate in this Bid process g) Bidders in Conflict of Interest with one another shall be liable for disqualification/rejection under the sole discretion of the Authorized Representative. Bidder shall make relevant disclosures as specified in Format 6.1 of this RFP. 3.4 Project Scope and Technology Selection a) Selection of suppliers for design, supply, installation, commissioning, operations and maintenance of 4000 (four thousand) Nos. Solar Pumpset System(s) is expected through this RFP. b) Notwithstanding anything to the contrary contained herein, the Authorised Representative, in its own discretion, at any time during the Bid process, reserves the right to decrease or increase the Tendered Quantity of Solar Pumpset System(s), Tendered Quantity for Local Category and/or Tendered Quantity for Open Category without assigns c) Procurement, installation and commissioning of the Solar Pumpset System(s) should be done as per provisions of the TPA d) The components/items to be supplied for installation of the Pumpset System should be as per the component/items indicated in the Test Certificate of the authorized test centres of MNRE including the brand, capacity etc. The Test Certificate shall be submitted under Clause 3.5.1 point (3) of the RFP ( Test Certificate ) In case the Supplier intends to change any component/items, they should obtain a Test Certificate for the new components/items. The Bidder shall submit an undertaking to this effect under Format 6.1 and this shall also form part of the Supplier s obligations under the TPA. Noncompliance with this obligation will attract penal provisions under the TPA. The Test Certificate shall also form part of schedules to the TPA e) Bidders can submit the Bid for any one or more of the below Solar Pumpset System(s) Models. DISCOMs are responsible for aggregation of farmer applications at regular intervals 2. This batch of farmer applications is then categorized into Open Category and Local Category under the 80:20 ratio 3. They are then further segregated into each of the Solar Pumpset System(s) Models 4. Allocation %age specified under Clause 4.1.3 (C) of the RFP shall be applied for distribution of Solar Pumpset System(s) amongst various Suppliers and Purchase Orders shall be issued to the Suppliers accordingly 5. After distribution of the first batch, subsequent batches will be allocated to Suppliers based on the satisfactory implementation of Solar Pumpset System(s) in the first batch 6. If it is found that the Supplier has been successful in commissioning only a partial quantum of Solar Pumpset System(s) allocated during the any batch, then such Supplier shall not be considered for issue of POs under the subsequent batches until such time the Supplier satisfactorily completes the POs allocated in the first batch. 7. S.No. Scope Details for reasons solely attributable to the Supplier even after time extensions (if any) approved by the DISCOMs, then TPA corresponding to such Supplier shall be terminated, pursuant to the provisions of the TPA and such unsuccessful PO shall be equally distributed amongst the remaining satisfactorily performing Suppliers. 8. The Successful Bidder shall submit Commissioning Performance Guarantee of a value calculated at Rs 10,00,000/- (Rupees Ten Lakh only) for upto 200 Solar Pumpset System(s) and additional Rs.5,00,000/- (Rupees Five Lakh only) for every 100 Pumpset System(s) allocated as per provisions of Clause 4.1.3 of this RFP subject to a minimum of Rs 5 Lakhs and Liquidated Damages of 0.5% of CPG corresponding to for each day of delay for a maximum of 15 (fifteen) days is payable for delay in commissioning of the Solar Pumpset System(s). The Commissioning Performance Guarantee will be returned within fifteen (15) days of successful commissioning of each Solar Pumpset System(s) under each PO Successful Bidders/Suppliers shall open an authorized Service Centre in the concerned district on or before the commissioning of the first Solar Pumpset System(s) allotted to the Bidder as per the allocation process specified in the TPA 6 Operations & Maintenance The Service Centre shall be in satisfactory operation for a minimum period of 5 (five) years from the date of establishment failing which the Supplier shall be liable to be penalties calculated Rs.2,00,000 (Two Lakhs only) per service centre per annum which will be recovered from the O&M Performance Guarantee furnished by the Bidder Further, the Supplier shall have the obligation to ensure satisfactory operations and maintenance of the Solar Pumpset System(s) for a period of five (5) years from the DOC of the Solar Pumpset System(s), failing which the DISCOM shall have the right to New and Renewable Energy Development Corporation of Andhra Pradesh Limited (NREDCAP) 12

Any Bidder who meets the Qualification Requirements stated herein shall be Qualified Bidder for the purpose of evaluation under this RFP.
