On March 6, 2019, Network Billing Systems, LLC (Company) filed a new tariff to change its name to Fusion, LLC before the West Virginia Public Service Commission (Commission). The name change has been approved by the West Virginia Secretary of State on June 22,2018 Initial and Final Recommendation of Commission s Utilities Division Staff On March 29, 2019, David Kennedy, Utilities Analyst for the Commission s Utilities Division (Technical Staff) issued an Initial and Final Joint Staff Memorandum. Technical Staff states the request to change its tariff reflecting the name change is reasonable. The Commission should approve the new tariff and require the Company to file official tariff pages with the Commission s tariff office. PUBLIC SERVICE COMMISSION OF WEST VIRGINIA UTILITIES DIVISION INITIAL AND FINAL RECOMMENDATION DATE: March 29,20 19 FROM: Utilities Division tilities Analyst Re: Case No. 19-0315-T-NC Network Billing Systems, LLC Request for Approval of Corporate Name Change Network Billing Systems, LLC (NBS) hereby requests West Virginia Public Service Commission ( Commission ) authority for the Company to change its name from Network Billing Systems, L.L.C. to Fusion, LLC, effective April 1, 20 19. NBS has provided a copy of a Certificate of Amendment to the Articles of Organization of Network Billing Systems, LLC issued by the West Virginia Secretary of State dated June 22, 20 18 thereby authorizing the change in name registration. In addition the Petitioner has provided a replacement tariff reflecting the new name and address. The new tariff otherwise remains unchanged. The Company asserts that it maintains authority to provide interexchange telecommunications services in the State of West Virginia. The Company provides service exclusively to commercial subscribers. Subscribers are being notified of the name change via bill message, the text of which is attached. This change in corporate name will have no effect on the services offered to West Virginia subscribers. The Company respecthlly requests that the Commission approve its name change and amend the Company s certification and Commission records to reflect the Fusion, LLC name, as appropriate. Prior Commission Action Involving the Petitioner On October 29, 1998, in Case No. 98-1071-T-CN the Commission approved a request by Network Billing Systems, LLC to provide resold interexchange telecommunications service. Page 2 Case No. 119-0325-T-PC Utility Division Staff Memorandum On August 9, 2012, in Case 12-0774-T-PC the Cornmission granted prior consent and approval of a transaction by which NBS Acquisition Corp. and Fusion Telecommunications International, Inc. acquired control of Network Billing Systems, LLC. On March 23, 20 18, In Case No. 17-16 12-T-PC the Commission approved a merger that resulted in the transfer of a controlling interest in Network Billing Systems, LLC to BCHI Holdings, LLC. Through this Transaction, the Birch Companies and the Fusion Companies combined their business service.2 Staff Recommendation Staff observes that the Commission maintains an interest in maintaining an ongoing record of corporate name changes of carriers operating in West Virginia as well as any associated tariff reflecting such change. Staff recommends approval of the request by Network Billing Systems, LLC to change its name to Fusion, LLC effective April 1, 20 19. Staff further recommends approval of the proposed Resale Interexchange Telecommunications Tariff (West Virginia PSC Tariff No. 2). Finally, Staff recommends that the utility file an official tariff noting the name change with the Commission s Tariff Office in accordance with the Rules & Regulations for the Government of the Construction & Filing of Tar@% of Public Utilities & Common Carrier by Motor Vehicle.
