Amendment RECOMMENDATION Staff recommends that the City Council move to approve Amendment No. 2 to an Agreement between the City of Beverly Hills and Bryan Cave LLP adding litigation services to the Agreement. INTRODUCTION The City has filed two lawsuits concerning the proposed subway tunneling beneath Beverly Hills High School. The first suit was filed against the Los Angeles County Metropolitan Transportation Authority ( Metro ) in State court and the second suit against Federal Transit Administration (the ETA ) in federal court. The City s litigation team has included two law firms, Shute, Mihaly & Weinberger and Gilchrist & Rutter. The lead lawyer at Gilchrist & Rutter recently departed the firm and his new firm is unwilling to honor the terms of the City s agreement with Gilchrist & Rutter. As a result, the City s litigation committee reexamined the City s legal team to determine how best to staff the City s litigation team. DISCUSSION Both the City s litigation committee (Councilmembers Brien and Gold) and the City Attorney recommend that the City retain Bryan Cave LLP, and specifically Philip Karmel of Bryan Cave, to complement the litigation team at Shute, Mihaly & Weinberger in connection with the federal litigation against Metro. Mr. Karmel and Bryan Cave would also assist in the State litigation. Mr. Karmel is an experienced environmental and land use law litigator with the New York office of Bryan Cave LLP. Most significantly for the City of Beverly Hills, Mr. Karmel has represented the New York Metropolitan Transportation Authority in litigation over several B0785-0001\1585297v1.doc Page 1 of 2

large transit projects, including the Second Avenue subway that is currently under construction. Mr. Karmel will bring to the litigation team an insider s understanding of the subway construction process and the FTA funding of that process. This expertise is not currently possessed by the City s litigation team. FISCAL IMPACT The City Council has previously set aside $1.25 million to fund efforts to prevent Metro from tunneling beneath Beverly Hills High School. Bryan Cave would replace Gilchrist & Rutter on the City s litigation team in federal court and would bill the City at the rate of $450 per hour for work on subway related litigation, which is the same rate that was being charged by Gilchrist & Rutter. ence. AMENDMENT NO. 2 TO AN AGREEMENT BETWEEN THE CITY OF BEVERLY HILLS AND BRYAN CAVE LLP ADDING LITIGATION SERVICES TO THE AGREEMENT This Amendment No. 2 is to that certain Agreement dated August 31, 2010 and identified as Contract No. 386-10 (Agreement ) as amended by Amendment No. 1 dated March 6, 2012 and identified as Contract No. 74-12, between the City of Beverly Hills, a Municipal Corporation (hereinafter City ) and the law firm of Bryan Cave LLP (hereinafter Attorney ), copies of which are on file in the office of the City Clerk. RECITALS A. City and Attorney entered into a written Agreement dated August 31, 2010 for special counsel services relating to intellectual property matters, which was previously amended. B. City desires Attorney to provide additional services related to litigation concerning the Westside Subway Extension. NOW, THEREFORE, the parties hereto amend the Agreement as follows: Section 1. Section 1 of the Agreement entitled Attorney s Responsibilities shall be amended as follows: Section 1. Attorney s Responsibilities. Attorney shall perform for the City special counsel services relating to intellectual property and litigation matters as requested by City, including the following: a. Provide legal advice to the City Council, City Manager, and City Attorney and such persons that they may designate. b. Serve as co-counsel in the Westside Subway litigation entitled City of Beverly Hills v. Federal Transit Administration, et al., U. S. District Court Case No. CV 13- B0785-0001\1 584454v1.doc

01144 SVW (MANx) and provide advice and appear in related litigation matters as directed by the City Attorney. c. Prepare reports and opinions as may be requested by City. d. Attend City Council Meetings and additional meetings with City staff as may be requested by City. Philip Karmel and Donald L. Samuels shall be the primary attorneys to represent the City and provide services regarding Westside Subway litigation matters and shall be assisted Ivan London. Donald L. Samuels shall be the attorney with primary responsibility for the intellectual property services and additional services provided to City pursuant to this Agreement. Any additional personnel performing services under this Agreement shall be approved in advance by the City Attorney. All personnel changes are subject to prior written approval of City. The services furnished by Attorney shall be under the direction of the City Attorney. Section 2. Section 2 of the Agreement, entitled Consideration shall be amended to read as follows: Section 2. Consideration. For Attorney s services performed in connection with the federal subway litigation case and related matters, City shall pay Attorney for the actual time of services rendered at a blended rate for attorney time of $450 per hour. For all other services performed by Attorney under this Agreement, City shall pay Attorney for the actual time of services rendered by Donald L. Samuels, partner, at the rate of $350 per hour; for services rendered by Jill Chalmers, partner, at the rate of $365 per hour; for services rendered by Katherine Keating, senior counsel at the rate of $350 per hour; for services rendered by an associate, at the rate of $295 per hour; Judi Cope, paralegal, at the rate of $140 per hour; and for B0785-0001\1584454v1.doc -2-

services rendered by Dee Kerkow, trademark administrator, at the rate of $125 per hour. The City Attorney may approve, in writing, services performed by other attorneys, paralegals and trademark administrators at these same rates based on their experience. Time shall be billed in increments of one tenth of one hour. City shall reimburse Attorney for actual expenses reasonably incurred in the performance of legal services under this Agreement for court costs, services of process, messengers, deliveries, postage, and other similar services incidental to the performance of this Agreement. City shall not reimburse or pay Attorney for word processing, document preparation or clerical tasks. Computerized research shall be billed at Attorney s cost without additional mark-up. City and Attorney agree that Attorney shall be reimbursed no more than fifty cents (500) per page for facsimiles, with a maximum charge of Forty-Five Dollars ($45.00) for any individual facsimile transmission, and no more than ten cents (100) per page for photocopies. Attorney shall not be reimbursed for travel time or expenses from other locations to Los Angeles, and shall be reimbursed for travel expenses and one half of travel time for travel within the Los Angeles area. Attorney shall send a monthly statement for services rendered during the previous month and for expenses incurred on City s account. The monthly statement shall describe the nature of the work performed, the attorney performing the work and the time spent for each task as well as the nature of any fees and expenses incurred. Any expense over $250 shall include the appropriate back-up documentation for that expense (i.e. invoice, receipt, etc.). B0785-0001\1584454v1.doc -3-
